25 BYLAWS IOWA FEDERATION OF REPUBLICAN WOMEN Revised October 2007 & October 2011 ARTICLE I NAME The name of this organization shall be: IOWA FEDERATION OF REPUBLICAN WOMEN ARTICLE II OBJECTIVES The objectives of this organization shall be: to promote an informed public through political education and activity. to foster and encourage loyalty to the Republican Party and to promote its ideals. to support the policies of the Republican National Committee and the Republican Central Committee. to collect and distribute reliable information concerning governmental and political affairs. to cooperate in the election of Republican nominees. to promote the principles of freedom, equality and justice upon which our government is founded. to increase the effectiveness of women in the cause of good government. ARTICLE III MEMBERSHIP SECTION 1. Eligibility: Membership shall be open to any Republican Women s Club in Iowa which conforms to the objectives and to the bylaws of the Iowa Federation and the National Federation of Republican Women. A. New local clubs shall be accepted into membership only after approval of their bylaws by the state federation executive committee or board of directors. B. Dues and service charges must be paid in accordance with NFRW deadlines. 25

26 C. No club shall be admitted to or continue in membership if it is on record as advocating a split party ticket or of having supported a candidate on an opposition ticket. D. Associate membership: Republican women under 18 and Republican men may be eligible for associate membership only, upon payment of the required annual dues. Republican women who are regular members of a club and who wish to support other clubs may be eligible for associate membership upon payment of required annual dues. Associate members may attend club meetings, but cannot make motions, have a vote, be on committees, hold office, or be counted for the purpose of determining the number of delegates to district, state or national meetings or conventions. As associate members, they do not become members of the Iowa Federation or the National Federation of Republican Women. E. At-large members may be permitted in counties where there are no organized clubs. Upon payment of the required annual dues, at-large members are eligible to attend state meetings and shall receive state and national publications. At-large dues are paid to IFRW. The state membership chair shall assign the members to a neighboring club for the purpose of reporting membership to NFRW. At-large members will have all voting privileges of the club to which they are assigned. No county shall be permitted more than nine (9) at-large members. F. Student membership provides an option to undergraduate or post-graduate level female students who want to be a part of the Iowa Federation of Republican women but do not have the time to devote to a local club or do not have a local club near them. Student members would receive all the benefits that an at-large member receives upon the payment of the required annual dues. Annual proof of enrollment is required before membership is granted ( a copy of either a current class schedule or a student ID). G. All local organizations shall be known as clubs. 26

27 SECTION II. Local Club Applications: A. There shall be no limit to the number of local clubs that may be organized within any area. B. A local club shall be in good standing for at least six months prior to the NFRW Biennial Convention to be eligible for representation. The six-month period begins on the date the state president notifies the NFRW President in writing by mail, fax or that the local club s bylaws have been approved at the state level and the local club s dues and service charge have been received by the NFRW office. This notification by the state federation president shall be accompanied by the name of the club and the name and contact information of the local club president. C. A local club which has been inactive must pay dues for at least ten (10) members and a service charge for the current year. ARTICLE IV OFFICERS AND THEIR DUTIES SECTION 1. Elected Officers: The elected officers of this organization shall be president, first vice president/president-elect, second vice president, third vice president, recording secretary and treasurer, all of whom shall be elected at the Biennial Convention for a term of two years beginning the following January 1. A. No person shall be eligible for an elective state office who has not served as a member of the State Board of Directors. SECTION 2. Duties of the President: The duties of the president shall be: A. To preside at all meetings of the Federation, the Executive Committee and the Board of Directors. B. To appoint with approval of the Executive Committee the Standing Committees and Special Committees and to be an ex officio member without vote of all committees, except the Nominating Committee. C. To appoint with approval of the Executive Committee the 27

28 corresponding secretary, parliamentarian, Iowa Republican Woman editor, historian, sergeant-at-arms and chaplain to serve for the Biennium as members of the Board of Directors. D. To be the liaison officer to act as coordinator between the State Central Committee and the Iowa Federation. E. To issue a call for the Biennial Convention at least 30 days prior to said convention. F. To certify to the National Federation President, not later than December 1 following the Biennial Convention, names of club presidents, state officers and state standing committee chairmen. G. To obtain the names of all clubs, club presidents, their addresses, zip code, phone numbers (including home, work, fax and ), and the numbers of members in each club whose dues are paid and mailed to the National Federation President, postmarked at least 90 days preceding the Biennial Convention. H. To submit to the National Federation President, no later than 20 days prior to the National Federation Biennial Convention, the names, addresses and zip codes of stated delegate and alternates-at-large, on credential forms provided by the National Federation. Emergency changes necessary after the filing date must be in writing or by telegram, postmarked or sent in no later than 10 days prior to the convention. 1. Only members in good standing may be delegates. 2. Clubs must have been chartered and in good standing for at least six months prior to the National Federation Convention and/or the Iowa Federation Biennial Convention to be eligible to have representation at said convention. The six months period shall begin when the club has been approved by the Iowa Federation President and the National Federation notified of such approval. 3. A member shall be counted from their primary club only for the purpose of delegate representation to a state or national Federation meeting or convention. I. To handle all necessary details of application of new 28

29 clubs in accordance with Article X, Section 2. J. The President shall be allowed to sign checks in the absence of the Treasurer. SECTION 3. Duties of the Vice Presidents: A. The vice presidents in their order shall perform the duties of the president in her absence or inability to serve. They shall perform such other duties as shall be assigned to them. SECTION 4. Duties of the Recording Secretary: A. The recording secretary shall have custody of the minutes of the Federation meetings and shall keep a permanent file, including the proceedings of the Executive Committee and the Board of Directors. B. To furnish copies of the minutes of the Executive Committee to each member of the committee. A copy of minutes of the Board of Directors shall be sent to each member of the board. Such minutes must bear the approval of the state president and parliamentarian and be mailed as soon as possible following said meetings. SECTION 5. Duties of the Treasurer: A. To give her bond, approved by the Executive Committee, before she enters upon her duties; the premium of said bond to be paid by the Federation. B. To receive and deposit all funds belonging to the organization, in a bank or banks approved by the Executive Committee. C. To pay bills approved by the president when accompanied by a voucher signed by an Executive Committee member. D. To keep an account of the vouchers approved by the president and an Executive Committee member. E. To disburse funds as directed by the Executive Committee and/or the organization. F. To provide written reports of receipts and disbursements for all meetings, and as directed by the president. 29

30 G. To notify all delinquent clubs of such delinquency, not later than April 1. H. To be an ex officio member of the Finance Committee and of the Credentials Committee. I. To collect from region treasurers the National Service Fee and transmit same to the National Federation, prior to March 1 of each year. To collect the Iowa Service Fee. J. To submit to the Biennial Convention a financial statement of the Biennium to date. K. To submit for audit, at the close of the Biennium, the books and records of her office to a Licensed Professional Accountant. L. To submit for audit, at the change of a treasurer, the books and records of her office to a Licensed Professional Accountant. SECTION 6. Duties of Appointed Officers: A. The corresponding secretary shall have charge of the mailing list and correspondence, keep copies of all communications, send out calls for all meetings and furnish delegate information and credential forms provided in Article IX, Section 7. B. The sergeant-at-arms shall preserve order at all meetings and assume such other duties as directed by the president. C. The historian shall compile a biennial history of the Federation and present same with a report to the Biennial convention. Said biennial history of the Federation shall be forwarded to the State Historical Society of Iowa in Iowa City for its file. D. The chaplain shall serve at all meetings of the Board of Directors and the Biennial Convention of the Federation. E. The parliamentarian shall serve at the meetings of the Executive Committee, Board of Directors and Biennial Convention of the Federation; shall counsel on proposed amendments and revisions of the bylaws of the Federation and of member clubs of the organization; and counsel on procedural matters of the clubs and Federation. 30

31 F. The editor of the Iowa Republican Woman, under the direction of the president, shall be responsible for the compilation, editing and distribution of the Iowa Republican Woman. SECTION 7. Term of Office: A. The term of office of elected and appointed officers shall be two (2) years, and no officer may succeed herself, except the treasurer, parliamentarian and Iowa Republican Woman editor. These three officers shall not serve more than one additional two (2) year term. a. Officers shall take office on January 1 following the Biennial Convention. B. Twelve months or more shall be considered a term of office in determining eligibility for re-election or appointment. SECTION 8. Removal from Office: A. A change of officers shall be allowed during a biennium, if said officer is unable to function in said office as determined by the Executive Committee. B. Lack of meeting attendance, without just cause, by an officer is grounds for removal from office by the Executive Committee. SECTION 9. Vacancies: A. A vacancy in an elective office shall be filled by appointment by the President, approved by the Executive Committee and voted on by the IFRW Board of Directors at its next meeting following the vacancy. ARTICLE V GOVERNING BODIES SECTION 1. Executive Committee: A. The Executive Committee shall consist of the elected officers and immediate past president of the Federation and non-voting parliamentarian. B. Duties of the Executive Committee: 31

32 1. To approve appointments of the president. 2. To recommend the biennial budget to the Board of Directors. 3. To recommend to the Board of Directors the levy of assessments to be paid by clubs. 4. To approve the treasurer s bond. 5. To direct the disbursements of funds of the organization; however, any expenditure over $200 shall have approval of the Board of Directors, except if the item is in the approved budget. 6. To approve depositories in which Federation funds shall be deposited. 7. To select a Licensed Professional Accountant to audit the books and accounts of the treasurer at the end of the biennium or change of treasurer. 8. To select an audit committee to audit the books and accounts of the treasurer at the end of the fiscal year and when deemed necessary. 9. To meet on call of the president or written request of four members. In event of emergency, the committee may be contacted by mail or other means of communication and vote may be taken by such means. 10. To present recommendations to the Federation Board of Directors. 11. To have jurisdiction over club membership applications and removal or reinstatement of club membership. Acceptance shall be a majority vote of those present and voting, or by a majority vote of mailed ballots received by a given date. 12. To remove for cause, in the sole discretion of the Executive Committee, from membership or from any IFRW office or position of any kind, by a two-thirds (2/3) vote, any IFRW member, officer of any member of the IFRW Board of Directors or any state appointee. Cause for such removal shall include, with limitation, the failure or refusal to support the policies and objectives of the IFRW, as stated in the Bylaws or any act of omission intended to cause or having the effect of causing damage to the IFRW or its reputation 32

33 or financial stability. Without limiting the generality of the foregoing, the initiation of litigation or any other adversary proceeding against the IFRW or in which the IFRW is a named defendant or respondent, shall constitute cause for removal and the IFRW shall be entitled to recover from such member, officer or appointee its attorney s fees and other costs and expenses relating to any such litigation or proceeding if the IFRW shall substantially prevail therein. SECTION 2. Board of Directors: A. The Board of Directors of the Federation shall be composed of the elected officers; the appointed officers; the immediate past president of the Federation; the regional directors; the chairmen of standing committees; the National Committeewoman; State Central Committee members who are Federation members and any officer of the National Federation of Republican Women residing in Iowa. 1. For such committees as may have a vice chairman, said vice chairman may have the same privileges as the chairman of the committee at meetings of the Board of Directors, in the absence of the committee chairman. B. Duties of the Board of Directors: 1. To be the governing body of the organization in the interim between conventions. 2. To adopt standing rules necessary to carry on the work of the organization. 3. To approve the plan of action as presented by the president and the committee chairmen. 4. To approve the biennial budget and approve all gifts and expenditures of over $200, unless the item is in the approved budget. 5. To levy assessments to be paid by the clubs as recommended by the Executive Committee. Said assessments shall be binding on the clubs, and on the respective districts if not paid by the clubs. 6. To fill all vacancies in elective offices, except that of the President. 33

34 7. To select the time and place of the Biennium Convention. 8. In event of emergency the Board of Directors may be contacted by mail or other communication and may vote by such means. C. Proxy voting. A member of the Board of Directors may appoint a member in good standing of the IFRW as her proxy with a voice and vote. Forms for proxies shall be provided by the Iowa Federation president. In the absence of a chairman of a standing committee, the vice chairman shall have the same privileges as the standing committee chair at the IFRW Board of Directors Meeting. ARTICLE VI COMMITTEES SECTION 1. There shall be the following standing committees: A. Bylaws, Campaign, Fund Raising, Legislation/Research, Membership, Program and Public Relations. The chairmen and vice chairmen of the committees shall be appointed by the president subject to the approval of the Executive Committee. 1. The Finance Committee shall be composed of the president, recording secretary, treasurer, finance table chairman, fund raising chairman and three (3) other members of the Iowa Federation to be appointed by the president, who shall also name the chairman of the committee. 2. The duties of the Finance Committee shall be: a. Prepare a budget. b. Devise ways and means of fund producing projects for the benefit of the Federation. c. Consult with their committees having concern with finance for their areas of activity. d. Be responsible for supervision and administration of the budget. B. In addition to the chairman, the number of members on the other committees shall be as many as deemed necessary for the functioning of the committee. 34

35 1. Duties of other committees shall be to outline programs of action in their respective fields for presentation to the resident and Board of Directors. SECTION 2. Special Committees: A. The president may appoint other committees as deemed advisable, with the approval of the Executive Committee. ARTICLE VII MEETINGS SECTION 1. Executive Committee Meetings: A. The incoming Executive Committee shall meet no later than November 1, following the Biennial Convention, to approve the appointments of the president and for discussion of other pertinent matters. 1. The Executive Committee shall meet on call of the president and may meet preceding each Board of Directors meeting. 2. In the event of emergency, the committee may be contacted by mail or other means of communication and vote may be taken by such means. SECTION 2. Board of Directors Meetings: A. The Board of Directors shall meet during the month of April of each year, and in September of the even numbered years, at the call of the president. 1. Other meetings of the Board of Directors may be called by the president. B. Conferences: 1. A conference shall immediately follow the Board of Directors meeting in April of each year, and also follow the September Board meeting of the first year of the Biennium period. At the discretion of the Board of Directors, a conference may be held prior to the Biennial Convention. 2. These conferences shall be open to all members of the Iowa Federation of Republican Women. SECTION 3. Biennial Convention: 35

36 A. The Biennial Convention of the organization shall be held as near as possible to the 15th of October in the odd numbered years, and the official call shall be sent to all member clubs at least thirty (30) days prior to the convention date. B. The voting body of the convention shall include members of the Board of Directors, all club presidents, one additional delegate from each club and one (1) additional delegate from each club for each fifty (50) members or major fraction (26 or more) thereof. 1. A club must have been chartered for at least six (6) months prior to said Convention; the six months period shall begin when the Iowa Federation has approved the club and the National Federation has been notified of such approval. C. Any regional director, club president and/or club delegate may be represented by an alternate. SECTION 4. National Federation Convention: A. State delegates to the biennial convention of the National Federation of Republican Women shall be the State Federation elected officers selected according to their rank, as listed in the Blue Book of the Federation, and/or member of the Board of Directors. Delegate representation shall be according to the provisions of the National Federation bylaws, both for state and club delegates. 1. State delegates to the National Federation Biennial convention are to be certified to the national president as outlined in Article IV, Section 2 (G) (H) (1) (2) and (3). 2. Club delegates shall be certified by the club presidents according to the procedures outlined in Article X, Section 7 (A) and (A) (1). SECTION 5. Other meetings: Other meetings of the Iowa Federation, the Executive Committee and/or the Board of Directors may be called by the President. SECTION 6. Meeting notice. 36

37 A call for all meetings, other than that of the Biennial Convention, shall be sent not less than two (2) weeks prior to said meeting. ARTICLE VIII QUORUMS SECTION I. Executive Committee: A quorum for the Executive Committee meetings shall be a majority of members. SECTION 2. Board of Directors: A quorum for the Board of Directors meeting shall be a majority of members provided two are officers elected by the Convention. SECTION 3. Biennial Convention: A quorum for Conventions shall be a majority of delegates registered. ARTICLE IX NOMINATIONS AND ELECTIONS SECTION 1. Elections: The officers of this organization shall be elected by ballot at the Biennial Convention. A majority vote shall constitute an election. Where there is but one candidate for an office, election may be by voice. The IFRW may allow Region Federations to organize regional representation. SECTION 2. Nominating Committee: There shall be a nominating committee of seven (7) members elected by the Board of Directors from among its own members not later than April 30th prior to the Iowa Federation Biennial Convention. The committee shall meet immediately after its election for the purpose of selecting from its own membership a chairman and secretary of the committee. Said committee shall hold its first meeting not later than June 15 prior to said convention. A. The nominating committee shall select one nominee for 37

38 each office and list said nominees in a report to be sent to all members of the Board of Directors and to all club presidents of the Federation, with the call to the Biennial Convention. All nominees shall be members in good standing of the Federation, and in accord with its bylaws, and with policies of the Federation and in accord with its bylaws and with policies of the Federation and of the Republican Party. B. No person shall be nominated to an elective state office who has not served as a member of the State Board of Directors, and who has not given consent to serve if elected. C. The nominating committee shall present said list of nominees to said Biennial Convention as the first order of business of the convention. The president shall call for nominations from the floor for each office. SECTION 3. Credentials Committee: A credentials committee of not less than three (3) members shall be appointed by the president not later than 45 days prior to the Biennial Convention. The state treasurer shall be an ex officio member of the committee. The chairman of the committee shall be named by the president. Clubs shall be informed of the name and address, with zip code, of the chairman. A. It shall be the duty of the credentials committee to receive from each club a list of delegates and alternates to the State Convention, not later than two weeks prior to the convention. B. The committee shall check the credentials of the delegates and alternates and others eligible to vote at said convention, and at the designated time report to the convention as to the number of delegates and others properly accredited, and shall provide a suitable badge for each delegate and alternate, and other voters. C. The chairman of the committee shall furnish the chairman of the elections committee a list of those entitled to vote not less than two hours prior to election, providing 38

39 the election is to be by ballot in the event there is more than one candidate for office. SECTION 4. Elections Committee: An elections committee of not less than three (3) members shall be appointed by the president not later than 45 days prior to the Biennial Convention, and the duties of the committee shall be to provide election materials and act as tellers for the election. SECTION 5. Resolutions Committee: A resolutions committee composed of one (1) member from each region shall be appointed by the president not later than 45 days prior to the Biennial Convention; duties of the committee shall be to receive proposed resolutions for presentation to the convention. SECTION 6. Rules Committee: A rules committee of not less than three (3) members shall be appointed by the president not later than 45 days prior to the Biennial Convention; the duties of the committee shall be to provide operating procedures for the convention subject to acceptance by vote of the assembly. SECTION 7. Delegates and Alternates: A. Thirty (30) days prior to the Biennial Convention, the state corresponding secretary shall furnish each club president the number of delegates and alternates the club is entitled based on the paid-up membership of that date. She shall also furnish credential forms for said delegates and alternates. B. Other persons eligible to vote in the convention will be furnished credentials by the corresponding secretary. C. Two (2) weeks prior to the convention, a list of delegates and alternates shall be furnished by each club to the state credentials chairman. 1. The state corresponding secretary shall furnish a list of other eligible voters to the state credentials chairman. 39

40 D. Each club delegate and alternate shall be given her completed credentials form by the club president and the credentials form shall be presented to the credentials committee at the time of registering at the convention. 1. Other eligible voters shall also present their credentials at time of registering to the credentials committee. ARTICLE X CLUBS, ORGANIZATIONS, DUES SECTION 1. Clubs: Clubs shall consist of ten (10) or more women who form a permanent organization, adopt bylaws and pay dues and service charges. A. Name: The word Republican shall appear in the title of the club and the word federation shall not be used in the title of a club. B. There shall be no limit as to number of clubs that can be organized within an area. SECTION 2. New Clubs: A. Application of a new club for membership in the Iowa Federation shall be sent to the state president with a copy of its bylaws, lists of officers and names of charter members, their addresses, zip codes, telephone numbers (including home, work, fax and ), per capita dues, NFRW service charge and IFRW service fee. B. After approval of the bylaws by the IFRW president and parliamentarian, the state treasurer shall forward the service charge of the National Federation with the national dues for issuance of a charter to the club. SECTION 3. Dues and Assessments, Clubs: A. Each club shall pay per capita dues to the Iowa Federation, which include National Federation dues, and shall be paid in amounts set and at such times as recommended by the Board of Directors and voted on by the membership. These per capita dues with a list of members shall be forwarded by the club treasurer to the 40

41 state treasurer within 30 days after receipt from the club member. Any special assessments that may be levied shall be in addition to said per capita dues, prorated per member based on membership. B. Region per capita dues shall be forwarded to the treasurer of the region within 30 days after receipt from club member. C. Clubs shall be delinquent, as organizations, on April 15 of each year, if dues have not been paid to the treasurer of the Iowa Federation, following notification of the April 1 delinquency by the treasurer of the Iowa Federation. D. No club shall be in good standing or have representation at any Biennial Convention unless state, region and national dues and any assessments levied have been paid. E. The National service fee and the Iowa service fee shall be remitted annually to the region treasurer. SECTION 4. Qualifications: A. The fiscal year of the clubs shall be January 1 to the following December 31. B. Clubs may make their own rules, provided they are in conformity with and not in conflict with rules of the National Federation and Iowa Federation of Republican Women. 1. Revisions of an amendment to club bylaws must be approved by the president and parliamentarian of the Iowa Federation. C. Clubs shall be under the supervision of the regional director. D. Clubs shall hold at least five (5) meeting a year, one of which may be the Biennial meeting of the club. SECTION 5. Elections Clubs: A. Election of officers shall be held at the earliest possible date in September preceding the Biennial convention of the Iowa Federation. Names, addresses, zip codes and telephone numbers of officers so elected shall be forwarded immediately to the regional director. B. When a club has not elected a president within thirty (30) 41

42 days after the date set for election in the preceding paragraph of this Section, it shall be the duty of the regional director to appoint a club president to serve until such time as an election is held, which shall be at the earliest possible time. C. If a club has not had an election of officers by April 1 of the even numbered year, and has not otherwise fulfilled its obligations as provided in the bylaws, the regional director shall make every possible effort to reactivate the club. D. If a club president fails to function in her office in accord with the club bylaws and the provisions of the Iowa Federation, the office shall be declared vacant after a reasonable time, and the regional director shall appoint a president to serve until the office can be regularly filled. SECTION 6. Removal and Reinstatement to Membership: A. Clubs may be removed from the membership for: 1) failure to pay dues, 2) failure to support the Party ticket or working against the expressed ideals or objectives of the Iowa Federation or the National Federation of Republican Women, 3) failure to hold the required number of meetings, 4) failure to maintain the minimum of ten (10) members or 5) for bylaws in conflict with State and National Federation bylaws. B. Clubs may be reinstated, after having been removed for cause, by filing an application for reinstatement with the Iowa Federation, to be forwarded to the National Federation. Reinstatement may be made by a two-thirds vote of the National Federation Executive Committee, present and voting. C. The assets, upon dissolution of a state or local club, shall be distributed to the Federation. None of the assets shall be distributed to any member or officer of the dissolved organization. D. The right to use the name of the dissolved club shall revert to the superior body of the Federation. 42

43 SECTION 7. Club Delegates: A. Club delegates to the National Federation Convention shall be selected as club bylaws provide and on the basis set by the National Federation. The club shall have mailed and postmarked, not later than thirty (30) days prior to the National Federation Convention, the names, addresses and zip codes of delegates and alternates. 1. Any emergency change necessary after the filing date must be in writing or by telegram to the National President no later than ten (10) days prior to the convention. Mail must be postmarked accordingly and/or telegram sent within the ten days. B. Club delegates and alternates to the Iowa Federation convention shall be selected as club bylaws provide; the names of delegates and alternates shall be given to the State Federation as provided by Article IX Section 7 of these bylaws. C. To be eligible for representation at state or national meetings, a club must have been chartered for at least six (6) months from the date of approval by the Iowa Federation and notification of such date to the National Federation. D. Representation at above said meeting shall conform to all procedures as outlined in Article VIII of these bylaws. Article XI IFRW Regions SECTION 1: Region Organization A. Iowa will be divided into 9 permanent regions. B. The members of the region will elect Regional Representatives and a Secretary/Treasurer for a biennial term. If regional Representation is not elected, the IFRW Board of Directors shall appoint Representation. C. All Regional Representatives shall be members of the IFRW. D. Each Region shall hold a minimum of one meeting a year at the call of the Regional Director. 43

44 SECTION 2. Regional Director Duties: A. To preside at all Regional meetings. B. Represent the region at the State IFRW meetings. C. To assist in club development, club membership, program, encouragement and organization of new and existing clubs. D. To promote and assist in organizing new clubs within the district as set forth in Article X. E. To submit to the state president the names, addresses, zip codes and telephone numbers of district offices, committee chairmen and club presidents within the district not later than November 1 following the State Biennial Convention. SECTION 3. Region Bylaws: Regions may operate under their own bylaws provided they are in harmony with and do not conflict with rules of the State and National Federations, and provided that said bylaws have been approved by the state president and parliamentarian. SECTION 4. Region Responsibility: Regions shall be held responsible for full payment of assessments levied against the clubs of the region, in the event said assessments are not paid by the individual clubs. SECTION 5. Region Convention: At the Biennial Convention of the Iowa Federation, each region may hold a meeting for the purpose of considering matters of interest to the region. ARTICLE XII FISCAL YEAR The fiscal year of the Iowa Federation shall be from January 1 to December 31 of each year. ARTICLE XIII AMENDMENTS 44

45 SECTION 1. These bylaws may be amended by a two-thirds (2/3) vote of the members present and voting at any meeting of the Board of Directors, provided notice of the proposed amendment has been sent to each member of the Board of Directors and to each club at least thirty (30) days prior to said meeting and provided further that amendments shall go into effect after consideration and ratification at the succeeding Biennial Convention. In an emergency, as determined by the Iowa Federation Board of Directors, ratification may be accomplished by a majority vote taken by mail of the clubs after a vote of their Board of Directors. SECTION 2. Amendments of these bylaws may also be made at any Biennial Convention by two-thirds (2/3) vote of the delegates present, provided that the proposed amendment has been submitted in writing and read to the convention at a session preceding that at which the vote is to be taken. ARTICLE XIV PARLIAMENTARY AUTHORITY Robert s Rules of Order Newly Revised, latest edition, shall govern all matters of procedure not covered by these bylaws. 45

46 STANDING RULES 1. It is to be understood that the regular Republican Party organization is elected by the voters and has legal status whereas the Federation is a voluntary adjunct of the regular party and approved by the State and National Republican Party Officials. 2. A registration fee of at least $5.00 shall be paid by all delegates and members attending the conventions and conference of the Iowa Federation of Republican women. 3. The president of the Iowa Federation of Republican Women shall receive twenty (20) cents per mile for transportation to all Republican meetings within the state. 4. Members of the Board of Directors shall receive twenty (20) cents per mile for transportation to meetings of the Iowa Federation. However, no board member shall receive mileage if she does not attend the board meeting. Although she may be present for the conference following. 5. Expenses of the state president or her representative to the board meetings of the National Federation of Republican Women shall be paid by the Iowa Federation. 6. Funds collected by the clubs of the Iowa Federation shall be used for political purposes and for such other contributions to non-political organizations and projects as may from time to time be requested or recommended by the National Federation of Republican Women. 7. When a death occurs in the family of a member of the Board of Directors, a card conveying the sympathetic thoughts of the Federation shall be sent to the family. a. In the event of the death of a member of the Board of Directors, or of a past president of the Federation, the state president shall be authorized to send an appropriate memorial. 46

47 8. The Iowa Federation and all club groups, as such, shall preserve neutrality toward all candidates for public office preceding the primary, although individual members may express their preference and work for their favorite candidate. 9. Date for regional meetings shall be cleared with the Iowa Federation President to avoid conflict with other regional meetings and/or the Iowa Federation or Republican Party. 10. All officers and committee chairmen shall deliver all accounts, records, files and properties of the Iowa Federation to their successors or other proper Federation officers, within one (1) month after retiring from office, unless otherwise directed by the president or Executive Committee of the Federation. 11. The National dues are $10 per member. 12. The State dues are $8 per member. 13. The National service fee is $15 per club. 14. The Iowa service fee is $15 per club. 15. The president shall issue a call to all board meetings at least 2 weeks prior to said meeting. 16. The Executive Committee shall appoint an auditing committee at the end of each fiscal year. 17. The president, with approval of the Executive Committee, may appoint standing committee members, other than those listed in Article XI, Section 1. They will have all privileges of Board of Directors members. 18. IFRW membership chairman is responsible for inquiring and determining a member s primary club. 47
