2 2 FIRST RESOLUTION : NEW ROLE OF UPDEA The 33 rd Ordinary General Assembly of UPDEA, met in Durban on 26 th June 2002, Considering the necessity to adapt the UPDEA to the current economic environment characterized by globalisation, Considering the accelerated liberalization and development of the African Power Sector. Considering the necessity to strengthen the UPDEA`s stand within the African Union in order to contribute significantly in the New Partnership for Africa`s Development (NEPAD), Considering the necessity for Africa to have an integrated electrical sector for an active and shared cooperation in the interest of all parties involved, Considering that, with this perspective, the 32nd Ordinary Assembly General held in Libreville on 15 January 2002 had recommended that a document on the future role of UPDEA be drafted Having read the document prepared on the issue, Approves the new vision of UPDEA, namely : UPDEA will be the primary catalyst in the realization of access to electricity for all peoples of Africa. Defines as follows the new role of UPDEA : 1. UPDEA :promoter and facilitator of integration and regional exchanges particularly through the Power Pools in Africa. 2. UPDEA : facilitator of access to energy, electricity in particular, for all peoples of Africa 3. UPDEA : official interlocutor of the African public institutions and a leading voice of the African power sector at international level 4. UPDEA : a center for information, documentation, strategy and analysis on the African power sector 5. UPDEA : a point of convergence for identification and treatment of common problems experienced by members 6. UPDEA : promoter of the use of electric materials and technologies adapted to the African conditions.

3 3 SECOND RESOLUTION : RESTRUCTURING OF THE UNION`S ORGANS The 33rd Ordinary General Assembly of UPDEA, met on 26 June 2002 in Durban, Considering the necessity to adapt the organs of the Union to the new role, Adopts the modifications proposed on the categories of members,ie - the broadening of the category of affiliated members to systems operators and power brokers in the framework of power markets, - the withdrawal of the category of Observers (potential Active members), -the redefinition of the category of Honorary Members as honorific distinction to be granted to the personalities recognized by the General Assembly for having made significant contribution to the Union, Adopts the principles of representation of member-utilities by geographical area in the Executive Committee, in conformity with the sub regions as defined by the NEPAD Establishes that there shall be three member-utilities per sub-region nominated for the Executive Committee, except the sub-region which hosts the headquarters which is entitled to an additional member,ie This additional seat belongs to the host utility. Decides on a transitional period, which is to last no more than five years, and establishes for this period the following distribution : - North Africa : 3 members - West Africa : 5 members - Central Africa : 3 members - Southern Africa : 3 members - East Africa : 2 members Total = 16 members At the end of the transition, the General Assembly, on the advise of the Executive Committee, shall decide on the re-establishment of the agreed representation, ie (3x5)+1 Confirms that the Executive Committee shall consist of only one member utility per country with the exception of the host country which may not exceed two members. Decides to keep the current statutory clauses which state that it is the utility which hosts the Congress which automatically becomes President of the UNION at the end of the Congress Decides that, should the utility presiding over the UNION be unbundled, it is the first Vice-President who shall take over the reminder of the term of office.

4 4 Decides that should a utility acting as Vice-President or holding any other statutory office be liquidated, the other utilities in the sub-region shall replace it. This clause applies to any other member utility of the Executive Committee. Decides that, should the utility presiding over the UNION, acting as Vice-President or any other statutory office bearer be unbundled, it is the utility proposed by all the member utilities of the country concerned that shall take over. Decides that the chairmanship of the Scientific Committee (1 st Vice-President of the UNION) should not necessarily be the utility hosting the next Congress. Specifies that a member utility of the country which hosts the UNION s headquarters can only organize a congress if there is no other utility offering to host the congress. Approves, in terms of the new role of the UPDEA, the restructuring of the UNION bodies, ie the Executive Committee, the Scientific Committee, the Study Committees. Gives a mandate to the Secretary General to prepare the amendments to the Constitution and By-laws occasioned by the preceeding changes for approval by an Extraordinary General Assembly.

5 5 THIRD RESOLUTION : EXECUTIVE COMMITTEE The 33rd Ordinary General Assembly of UPDEA met on 26 June 2002 in Durban, Requests the current Executive Committee to stay in office until the adoption of the new Constitution and By-Laws by an Extraordinary General Assembly to take place by October Nominates ESKOM (South Africa) as President of the Executive Committee and President of the UPDEA.

6 6 FOURTH RESOLUTION : SCIENTIFIC COMMITTEE The 33 rd Ordinary General Assembly of UPDEA met on 26 June 2002 in Durban, Considering the non performance of the Scientific Committee, Considering the need to improve the performance of this significant organ of the UNION, Decides to create the following Study Committees within the Scientific Committee : - Study Committee on Operation, Maintenance and Development of Power Systems - Study Committee on Rural Electrification - Study Committee on Customer Management - Study Committee on Standardization - Study Committee on Restructuring and Financing the Power Sector - Study Committee on Human Resources. Nominates ESKOM to continue as President of the Scientific Committee until the next Extraordinary General Assembly, and gives it a mandate, jointly with the Secretary General, to put in place Study Committees and Working groups in terms of the recommendations on the restructuring of the UNION`s Organs.

7 7 FIFTH RESOLUTION : TRIENNIAL BUDGET The 33rd Ordinary General Assembly of UPDEA met on 26 June 2002 in Durban, Considering the new vision of the UNION and the resulting challenges, Approves the triennial budget for year 2002 at US $ , for year 2003 at US$ and at for The amounts related to the real estate may be modified after consultation between the President, the host utility and the General Secretariat. Keeps the dues for the three years to come at the same level as those of the financial year Decides that the yearly dues of affiliate members will correspond to the fixed share of the dues of active members ie $ US

8 8 SIXTH RESOLUTION : GENERAL MATTERS The 33 rd Ordinary General Assembly of UPDEA met on 26 June 2002 in Durban, Expresses satisfaction about the significant participation of African power utilities, the International Organizations and other institutions in the 14th Congress of UPDEA, Approves : The activity report of the Executive Committee The membership of the following utilities who joined the Union as Active Members : 1. Entreprise d`electricité et d`eau de la Guinée Bissau (E.A.G.B) 2. Zambia Electricity Supply Company (ZESCO) 3. Société de Gestion de l`energie de Manantali (SOGEM/OMVS) Congratulates the Executive Committee and the General Secretariat for these new memberships and encourages them to proceed with their efforts.
