2 2 PREFACE TO CHAPTER BY-LAWS Requirements for International Allegro Family Motor Home Club, Inc. ( Tiffin Allegro Club ), chapter members and chapters: Sec. 1 Tiffin Allegro Club has the authority to cancel any Tiffin Allegro Club member and/or chapter member for: A) Failure to pay yearly dues to the Tiffin Allegro Club. B) Causing dissension among members of the Tiffin Allegro Club. C) Selling of the Tiffin-built motor home by a member of the Tiffin Allegro Club. D) Being disgruntled and/or dissatisfied with any part of the Tiffin Allegro Club. E) Giving or using the Club or Chapter Directory and/or membership list for any general mailing by an individual or a company. Sec. 2 Tiffin Allegro Club has the authority to cancel any officially chartered chapter of the Tiffin Allegro Club, for: A) Failure to comply with International Code of Ethics, Rules, Regulations, etc. B) Failure to comply with Chapter By-Laws. C) Failure to discontinue membership for members who were cancelled due to the sale of the Tiffin-built motor home, failure to pay Tiffin Allegro Club dues, or cancellation for any other reason.

3 3 CHAPTER BY-LAWS ARTICLE I. NAME AND LOCATION The name of this Tiffin Allegro Club chapter shall be VIRGINIA ALLEGRO LOVERS; a non-profit chapter of the Tiffin Allegro Club. The principal area of operation of this Chapter shall be within approximately a 150-mile radius of CHARLOTTESVILLE, VIRGINIA. Tiffin Allegro Club will consider for approval any extension of this radius. ARTICLE II. OBJECT AND PURPOSE The purpose of this chapter is to promote the objectives and goals of this chapter and of the Tiffin Allegro Club for the mutual benefit of the members for fun, travel and fellowship. ARTICLE III. DUES Chapter dues will be $20.00 per year, per membership unit. Chapter dues will be due on or before the March meeting each year. The Chapter Secretary shall submit a chapter membership roster to the Tiffin Allegro Club office twice a year, on or before January 1 and on or before July 1. The Allegro Club office will return a copy of the chapter membership roster to the Chapter with notification of Tiffin Allegro Club membership issues to be resolved. These membership issues must be resolved before Chapter membership can be considered valid. ARTICLE IV. MEMBERSHIP REQUIREMENTS Sec. 1 An initiation fee of $ 0 will be paid by each chapter member when they join the chapter. This fee is a one-time only fee. The Chapter Secretary shall submit to the Tiffin Allegro Club office information about each new chapter member at the time of joining. Sec. 2 Members of this chapter must: A) Be owners of Tiffin built motor home (such as Allegro, Allegro Red, Allegro Breeze, Allegro Bay, Allegro Bus, Allegro Star, Open Road, Phaeton, Zephyr and any other motor home built by Tiffin Motor Homes, Inc.) B) Be members of the Tiffin Allegro Club with dues current. C) Attend chapter campouts in their Tiffin built motor home. D) Attend three (3) meetings a year to be considered a chapter member in good standing (Excused absences by the Chapter Board of Directors include: illness, extended travel, etc. Amended 4/22/2015

4 4 Sec. 3 All Tiffin Allegro Club members with dues current, who apply to this chapter for membership, must: A) Be received and submitted for approval in the order the forms are presented to the Chapter Secretary B) Be approved by a majority vote by secret ballot of the chapter members present at that meeting. Attend two meetings before being voted on by the chapter. At the third visit, the prospective member should either be voted in and join the chapter or no more invitations be sent to them. C) Be able to demonstrate current valid Tiffin Allegro Club membership. Sec. 4 Each membership unit has one vote. No membership shall vote by proxy. A membership will consist of two people who are members of the Tiffin Allegro Club and will include one of the following: A) A couple (1 vote) and their dependent children under 18 years of age who are unmarried (0 vote). B) One individual (widowed, single or divorced) (1 vote) and their dependent children under 18 years of age who are unmarried (0 vote). If joint ownership of a coach can be demonstrated, both couples or couple and individual must join and become members of the Tiffin Allegro Club before becoming members of the chapter. Both must pay chapter dues, also. These two couples or couple and individual with joint ownership are to be considered two chapter members, not one. Sec. 5 The recommended maximum number of memberships in this chapter is twenty (20) membership units. The Tiffin Allegro Club office in Red Bay shall be notified if membership exceeds twenty (20). There is no provision for honorary members. Sec 6 Charter membership will be open to those members who join this Chapter VIRGINIA ALLEGRO LOVERS no later than (Chapter name) Sec. 7 No X-brand motor homes can attend any chapter activity. This includes an X-brand owner, who is also a Tiffin built motor home owner and a member of the Tiffin Allegro Club. Members can come to the chapter meeting only in their Tiffin-built motor home. Sec. 8 Members who forfeit their chapter membership are no longer chapter members and cannot attend or be invited to take part in any chapter activities. A member forfeits his/her chapter membership by: A) Voluntary withdrawal from the chapter or the Tiffin Allegro Club. Amended 4/22/2015

5 5 B) Failure to pay their yearly dues to the Tiffin Allegro Club within thirty days of their expiration date. C) Failure to pay the yearly chapter dues on the due date specified in Article III. D) Not owning a Tiffin-built motor home. E) Failure to conduct one s self in a respectable manner may lead to expulsion by a majority vote of the Chapter Board of Directors. F) Failure to comply with chapter by-laws. ARTICLE V. REINSTATEMENT OF A CHAPTER MEMBER A former chapter member may be reinstated if: A) They fulfill all the membership requirements of a new chapter member including owning a Tiffin-built motor home, having Tiffin Allegro Club dues current, approved by a majority vote of the chapter members present at that time by secret ballot, etc. B) They paid all dues and fees as required of a new chapter member. ARTICLE VI. CHAPTER BOARD OF DIRECTORS AND THEIR DUTIES Sec. 1 The Board of Directors of this Chapter shall be the officers of this Chapter including president, vice-president, secretary, treasurer and wagonmaster. Sec. 2 Any chapter director or officer may resign his/her office by submitting a resignation in writing to the Chapter Board of Directors. The Chapter Board of Directors shall designate another member to serve in his stead until next election. Sec. 3 All elected officers, and appointed committee members of this chapter shall hold their office until others are appointed or elected in their stead. Any officer may serve more than one term if re-elected and accepts the post. Sec. 4 All power, authority, duties and functions of the chapter members, elected officers and committee members shall be exercised in conformity with the provisions of these Chapter By- Laws. Sec. 5 The duties of the President of this chapter shall be to preside at the meetings of the members and the Chapter Board of Directors, appoint various committees and assistants, and generally lead the affairs of the chapter. 6 6 Sec. 6 The duties of the Vice-President of this chapter shall be to perform the duties of the President of the chapter during his absence or his inability to act and to coordinate the activities of the various committees. Sec. 7 The office of Secretary and Treasurer may be combined into one office as secretary/treasurer. Please state if this chapter will have the combined office of secretary/treasurer or a secretary and a treasurer. This chapter will have a secretary and a treasurer. Sec. 8 The duties of the Secretary of this chapter shall be as follows: A) Take all minutes of the chapter meetings, including Chapter Board of Directors meeting, restaurant meetings, or any other meetings of the chapter. B) Submit to the Tiffin Allegro Club office a copy of the minutes of each chapter meeting within fifteen (15) days of any such meeting for a record of chapter activities. C) Give notice of all meetings and maintain chapter membership records. D) Submit to the Tiffin Allegro Club office a copy of the correct chapter roster by January 1 and on or before July 1 each year. Sec. 9 The duties of the Treasurer of this chapter shall be to control all finances and have charge of all cash, books of accounts, and bank accounts pertaining to this chapter. The Chapter Treasurer shall sign all checks and withdrawals against the account. Flowers or cards shall be sent by the Chapter Treasurer for the following occasions: Upon the death of a chapter member, flowers (spray or cut), or an honorarium, at an amount not to exceed $75, shall be sent to the immediate family. Upon the death of a chapter member s parent, child, sister or brother, a card shall be sent from the chapter to the chapter member. Sec. 10 The office of wagonmaster of this chapter may be filled on a thirty-day rotation basis or elected on a yearly basis with the approval of the membership present. Please state if the chapter wagonmaster is yearly or given thirty-day rotation basis: YEARLY. Sec. 11 The duties of wagonmaster of this chapter are as follows: secure volunteers to arrange for each of the upcoming Chapter outings, assimilate outing information, and distribute the information to the membership. The Chapter President may appoint assistants to the wagonmaster or any other assignment that may be needed. Amended 6/17/2013

7 7 ARTICLE VII. MEETINGS OF THE MEMBERS Sec. 1 Business meetings of this chapter membership will be held once every month on the same weekend voted on by the chapter membership present. The campout and business weekend will be the 2 nd weekend of each month. The location of campout and business meetings will be decided by vote of the membership. This chapter will be unable to have campouts during the months of DECEMBER, JANUARY AND FEBRUARY due to unfavorable weather. This chapter will have restaurant meetings to hold the chapter together during the month of MARCH. Sec. 2 Chapter meetings will be governed by Roberts Rules of Order and shall include the following: 1. Reading of the minutes of the previous meeting. 2. A financial report. 3. Old Business. 4. Report on previous campouts or restaurant meetings. 5. Chapter entertainment report. 6. New Business. 7. Program and Research Committee reports on points of interest for future campouts. ARTICLE VIII. COMMITTEES Sec. 1 Entertainment Committee of this chapter shall be appointed by the Chapter President if needed. The duties of Chapter Entertainment Committee shall be to handle all the details for entertainment at chapter meetings and outings. Sec. 2 The Rules Committee of this chapter shall be appointed by the Chapter President to establish the rules and regulations of conduct for the chapter. All rules and regulations that are established by this committee must be approved by the Chapter Board of Directors and adopted by a majority vote of the membership present. ARTICLE IX. CHAPTER LOGO The Chapter Logo shall be designed by the chapter membership with design and color that meets with the approval of the chapter membership present and the Allegro Club. Requirements for the logo are: 1. Must include the chapter number. 2. Must include the chapter name (Allegro and other registered trademarks will be used in their correct form). 3. Must include size, color, quantity, etc., needed. 4. Must be sent to the Tiffin Allegro Club office for approval of all logos and registered trademarks. Forms are available from the Club office.

GENERAL Sec. 1 The words, Allegro, Allegro Bay, Allegro Red, Allegro Breeze, Allegro Bus, Open Road, Allegro Star, Zephyr, Phaeton, Roughing It Smoothly, and other names of motor homes that may be built by Tiffin Motor Homes, Inc., are registered trademarks and can only be used by and with the approval of the Tiffin Allegro Club. Officially chartered chapters of the Tiffin Allegro Club may use the registered trademarks only on the items that are submitted by the chapter and approved by the Tiffin Allegro Club. Forms for approval are available at the Tiffin Club office. Sec. 2 A dealer or anyone affiliated with a local dealer in any capacity cannot hold an office or be appointed to serve on a committee by the chapter due to potential conflict of interest. ARTICLE XI. DISSOLUTION Sec. 1 The Chapter may cease operation and dissolve under provisions and procedures established by the Allegro Club office. Sec. 2 If this Chapter is dissolved and after all bills and expenses are paid, any remaining funds will be donated to the charity voted on by the chapter membership present. Sec. 3 A Chapter may be cancelled by the Tiffin Allegro Club at any time that the Chapter does not abide by the Chapter By-Laws. Sec. 4 If for any reason a Chapter is cancelled by the Allegro Club, disassociates itself from the Tiffin Allegro Club, and/or its Chapter Charter returned to the Tiffin Allegro Club office, the Chapter must drop from the chapter name the words: Allegro, Allegro Bay, Allegro Red, Allegro Breeze, Open Road, Zephyr, Phaeton, Allegro Bus, Allegro Star, Roughing It Smoothly and any other names of motor homes built by Tiffin Motor Homes, Inc., which are registered trademarks. In the event that the group continues to meet as a chapter and since the group will no longer be affiliated with the Tiffin Allegro Club, any unauthorized use of these registered trademarks will be an infringement on these trademarks and will be treated as such. Once the chapter is no longer an officially chartered chapter of the Tiffin Allegro Club, the following must be mailed to the Tiffin Allegro Club office promptly: A) The Chapter Charter B) A document stating where residual chapter funds were donated. The Chapter President and Chapter Secretary must sign document. Forms are available at the Tiffin Allegro Club office. C) Letter of explanation of the decision to dissolve the chapter. (If the chapter votes to dissolve the chapter.)

9 9 ARTICLE XII. ANNUAL MEETING Sec. 1 The fiscal year of this chapter shall end as of FEBRUARY each year. Sec. 2 The annual meeting of the members to elect officers shall be held during the regular meeting during the month of JUNE each year. Sec. 3 Notice of all special meetings shall be given by the Chapter Secretary to each chapter member at least fifteen (15) days before each meeting. Sec. 4 The election of chapter officers at the annual meeting shall be by a majority vote of the chapter members present. Each chapter member, per chapter membership list are required to attend two meetings prior to election of officers, and shall have one vote each. No member shall vote by proxy and all elections should be voted by secret ballot, unless agreed upon by the majority vote of the Chapter membership present. Sec. 5 Upon formation of a chapter, chapter officers shall serve a term of one (1) year. Each year thereafter, chapter officers shall serve a term of one (1) year unless re-elected and accepts the post. ARTICLE XIII. AMENDMENTS OF THE CHAPTER BY-LAWS These Chapter By-Laws may be amended by a majority vote of the chapter members at any meeting called for that purpose. The notice of any such meeting shall be in writing and shall specify the Article of the Chapter By-Laws to be amended and how and wherein the same is to be amended. The notice of any such meeting shall be given to each chapter and board member at least fifteen (15) days prior to this meeting. The amendments are to be attached on a separate sheet (sample attached) to the Chapter By-Laws and must be approved by the Tiffin Allegro Club President before going into effect.
