1 Dear Fellow Corvette Enthusiast, Tri City Corvette Club (SE Texas) An Unincorporated Non-Profit Association The Best of Southeast Texas P.O. Box 636 Nederland, Texas Website: I wish you greetings on behalf of myself, the Officers, the NCM Ambassador and the general membership of the Tri-City Corvette Club. The Tri-City Corvette Club is comprised of Corvette owners throughout Southeast Texas. The club promotes fellowship among its membership and is an organization that provides a source of information about Corvettes to those needing assistance. As a result of our increased numbers we have become more civic-minded and community oriented. We provide Corvettes for the parades at various festivals, for homecoming dignitaries at area high schools, for mall car shows, for car rallies, and other special occasions. We donate our time and raise money for the needy children in our area for their Christmas. Each year, we donate to the Lamar University scholarship fund and, on behalf of the Tri-City Corvette Club, Lamar selects deserving area high school students to receive our scholarships. These scholarships may be used to attend the Lamar University. Every year our club sponsors two special events, the Annual Poker Run and TCCC Holiday party. In early May we produce Southeast Texas' largest Corvette Car Show along with our club major Sponsor Cowboy Chevrolet-Buick-GMC-Cadillac of Silsbee. Though we have a busy schedule, we still make time for social runs around the area! Our membership is growing all the time. We have a collection of the finest cars and people the area can offer. I invite you to meet the necessary requirements for admission, as stated in the club by-laws, and become part of this exciting organization. I look forward to meeting each of you! 3 TRI-CITY CORVETTE CLUB (TEXAS) An Unincorporated Non Profit Association By-Laws Revised: 4/2012 In accordance with the Articles of Association of the Tri-City Corvette Club (Texas), An Unincorporated Nonprofit Association, the following By-Laws shall govern the operation of the Tri-City Corvette Club (Texas). ARTICLE I NAME The club shall be known as Tri-City Corvette Club (Texas). ARTICLE II PURPOSE Purpose of the club will be to promote the fellowship among Corvette owners, in general, and Club members, in particular, and to provide a source of information about Corvettes to those needing assistance. The Club will participate in charitable activities as provided in the budget and voted on by the membership. ARTICLE III FISCAL YEAR The Club will operate on a yearly basis with the fiscal year beginning June 1 and ending May 31, one year later. The outgoing President or Vice-President will start the June meeting and complete the old business and the newly elected President will preside upon election results. Officers serve one-year term. ARTICLE IV ELECTION OF OFFICERS Elections of officers will be held as follows: A. Nominations will be taken from the floor at the May meeting. B. Nominees will be listed in the May Newsletter for consideration by the members. C. Members must be present to vote. Secret ballot voting will be held directly upon call to order at the June meeting. Ballots will then be counted and new officers installed. Decision is a majority of those votes cast.
4 ARTICLE V OFFICERS, DUTIES AND SUPPORT The governing body of the Tri-City Corvette Club (Texas) shall be a Board of Directors which will consist of nine seven (or ten eight if Secretary and Treasurer are separate officers) members. No individual may hold more than one office with the exception that the same individual may hold both the offices of Secretary and Treasurer. The planning of each year s activities shall be vested to the Board of Directors, which shall consist of the following: Officers: ** PRESIDENT: The President shall preside at all meetings of the organization and Board of Directors and enforce all rules and regulations. He/She shall be an ex-officio member of all committees and shall be empowered to sign all contracts, for the organization, enlist members for special committees and perform any other duties normally pertaining to this office. ** PAST-PRESIDENT: The immediate Past-President will serve as an Ex-officio member of the Board of Directors. ** VICE-PRESIDENT: The Vice-President shall perform all duties of President in case of his/her disability or absence or desire. The Vice-President shall, also, oversee the special committees as appointed by the President. ** SECRETARY: The Secretary shall keep a complete record of all proceedings of the organization and oversee the position of the Membership Director. ** TREASURER: The Treasurer shall be the one to sign all checks. He/She shall render statements of dues to members prior to June 1 of each year; collect and pay all organization money subject to the order of the organization; keep a correct detailed account of all money received and expended and render a statement to the Board of Directors at each meeting; submit an annual financial statement to the Board of Directors; and submit a proposed budget to the Board of Directors. ** Secretary/Treasurer: Whether to combine or separate these two positions can be decided by the majority of the voting membership. ** AT-LARGE: The At-Large Members shall consist of six four persons. The Board of Directors term of office shall be for one year, each may serve an unlimited number of consecutive terms. Vacancies occurring on the Board of Directors shall be filled by the Board of Directors until the next election.
5 Support: Membership Director: The Membership Director shall be responsible for keeping track of club visitors, future member application and of new members being voted into the club. The Membership Director will be responsible for maintaining an up to date roster, of TCCC membership, and provide that roster to the Board of Directors once a quarter. and the club Webmaster, once per quarter, to be updated on the TCCC website. Newsletter Editor: The Newsletter Editor shall be responsible for reporting news and events to each member during the month by means of an newsletter and shall make every attempt to have the Club Newsletter to the membership as soon as possible after the monthly meeting Webmaster: The Webmaster shall be responsible for maintaining the club website and shall update the website on an as needed basis, but no less than once a month. National Corvette Museum Ambassador: The National Corvette Museum (NCM) Ambassador shall promote the NCM, provide the Club a two way communication link to the NCM and encourage participation and involvement in the functions of the NCM. ARTICLE VI COMMITTEES Committees shall be determined by the Board of Directors as required. ARTICLE VII DUES (A) The majority of the membership as specified in the by-laws will approve dues. (B) In order to vote in the June election dues must be paid by May meeting. (C) If dues are not paid by the August business meeting. The non-paying will be dropped from the roll of the Club. The nonpaying member must re-apply for membership in the club. However such member does not have to meet the attendance requirements as set forth in the by-laws. The dues of any nonpaying member re-applying for membership, after being dropped, will not be prorated. (D) New members will pay a reduced rate if they join after the December meeting. If a member joins July December the dues are to be paid in full. If a member joins January June the dues are half. (E) Payment of dues entitles all membership privileges. Couples (2 votes (1 each)) Singles ( 1 vote ) At no time will dues be refunded.
6 ARTICLE VIII MEMBERSHIP A Full Member must be a Corvette owner or principle driver at the time of enrollment. Acceptance of each new prospective member must be after the prospective member has attended two (2) formally planned Club Functions, with their Corvette, and two (2) Club Business Meetings. At the next business meeting, after requirements have been met and an application has been received, the prospective new member will be asked to excuse themselves from the meeting so that there may be an open discussion and a vote taken by a majority of those present. The President will then call in the prospective member to inform him/her of the decision of the club. In this vote majority shall rule. If any member loses ownership of or sells their Corvette, membership will be reduced to a non-voting membership status until the end of that fiscal year. The member must, at the beginning of the next fiscal year, meet the Full Membership requirements to continue membership in the club unless the member request Conditional Membership status. Application for Full Membership must be made on a Tri-City Corvette Club (Texas) Application for Membership Form, must be signed by a Full Member Sponsor, and be submitted to the Secretary/Treasurer along with the along with the first year s dues. A Conditional Membership is available to former Full Members who plan on re-purchasing a Corvette. Conditional Members receive the monthly Tri-City Corvette Club (Texas) Newsletter and can attend monthly Business Meetings and Tri-City Corvette Club (Texas) functions. Conditional Membership dues are not prorated. The Associate Membership is available to persons who are not in the local area and desire to maintain contact with the Club activities. Associate Members receive the monthly Tri-City Corvette Club (Texas) Newsletter and can attend Tri-City Corvette Club (Texas) Meetings and Functions. Associate Member must be a voting member in good standing with a Corvette Club in the area in which they live, with letter of recommendation from club officers of current club. Must submit membership application and be voted in. Associate Membership does not carry the privilege of the vote. The Corporate Membership is available to companies who are interested in our Club. Corporate Membership must be voted on by the general membership at a business meeting and require a majority vote of the members present. Corporate Membership carries the privilege of having a business card size ad in our monthly newsletter. The content of the ad must be approved by the Officers and can change month to month as long as the Corporate Member get the camera-ready ad to the Editor by the monthly meeting each month. Corporate Members receive the monthly newsletter and can designate a person or persons to attend Tri-City Corvette Club (Texas) Meetings and functions. A Corporate Member at a cost to be determined by the Officers can purchase additional advertising in the newsletter. A Corporate Member does not have the privilege of the Vote.
7 The Honorary Membership is available to anyone or any company who has demonstrated an interest in the Tri-City Corvette Club (Texas) and who has, through their actions, shown support for the goals and purposes of the Tri-City Corvette Club (Texas). Honorary Membership is by invitation only, is on a year to year basis, and requires a unanimous vote of the members present at a normal business meeting. The Officers review the Honorary Membership each year, and can renew the membership without a vote by the General Membership. Honorary Membership does not have the privilege of the Vote. The period of membership for all members will run from June to May. First year dues are prorated from date of acceptance, with the exception of Conditional Membership. ARTICLE IX VOTING MAJORITY An attending majority, at a Club meeting, shall be deemed a majority and shall have the right to pass Club Business and decide about club activities, excluded is voting on Club Officers, as explained in ARTICLE IV, paragraph C. ARTICLE X IMPEACHMENT Motions to impeach or expel any Club Office, or Full Member will be presented to the Officers in writhing. The Officers shall appoint a committee within 30 days to investigate the motion and make recommendations to the members of the Club. Impeachment or expulsion will be accomplished by a simple majority vote of the members present at a Business Meeting after hearing the recommendations of the committee within 60 days of their appointment. At the conclusion of the investigating committee s recommendations report to the members, the committee shall be deemed disbanded. ARTICLE XI MEETINGS The meeting time and place will be discussed at each meeting, for the next month. Each meeting place will be reported in the Club Newsletter and on the Club Website ARTICLE XII GENERAL (A) All property of the Club shall be in the Club s name. (B) If the Club disbands, the property of the Club shall be disposed of in accordance with wishes of a majority of the in good standing. (C) All funds belonging to the Club shall be deposited in an institution of the Secretary/Treasurer s choice, with Officer Approval.
8 (D) The Secretary/Treasurer or the President shall sign checks and other orders for payments of money in the name of the club. (E) The Secretary/Treasurer shall make a written summary of finances to the Club at every Business and Officer Meeting; the Secretary/Treasurer must also submit the current bank statement at each meeting. Each Officer present at such meeting must initial this statement. (F) The Secretary/Treasurer, as mentioned in this article should be Treasurer if the offices are split. (G) Inventory of property belonging to the Club and where located shall be made available upon request and will be kept by the Vice President. ARTICLE XIII AMENDMENTS The By-Laws may be amended, at any time, by an attending majority vote of the club members present at a Club meeting.
