3 Art. 1 Denomination and Venue In accordance with the Italian Civil Code, art. 36 and following, the Association named: Nobilis Academia Sancti Ambrosii Martyris With venue in via Alfonso Bartoli 25, Ferentino (FR). Any venue s transfer does not imply any modification of this constitution, only the obligation of communication to the Italian competent bureau. Art. 2 - Aims 1. The Association is nonpartisan, does not have any lucrative aim. It prosecutes solidarity and social goals inspired to the highest valours of the Christian culture. 2. In particular, its aims are as follows: To promote and enrich the development of the Association itself, stimulating the actuation of philanthropic, religious and cultural goals and everything is in accordance with the constitution; To promote meetings, conferences, debates and studies, movies projections and presentation of documents, formation courses, updating theoretic and practical courses and other social activities involving all the volunteers area of interest; To promote missions, tours and events with cultural aims in Italy and abroad; To confer meritorious awards, merit commendations, prizes and recognition letters, medals and other kind of academic distinctions; To reward merits of members and scholars; To reunite scholars in history, heraldry, genealogy, nobiliary law and chivalry orders in order to promote the flowing of ideas, information, studies and cooperation amongst members; To promote studies on history, ancient history, heraldry, nobiliary law and chivalry orders; to promote the publishing of monographies, books and articles on the matters of interest; To preserve in its own archive the inheritance of books, information and studies on history, heraldry, genealogy, nobiliary law, chivalry orders, history of noble and notable Italian families (with particular regards on the Frosinone s area) and foreigner ones; To promote periodic meetings of members, public debates, conferences, on history, heraldry, genealogy, nobiliary law and chivalry orders; Maintain correspondence with similar organization in order to let them know what the Association does on the subjects of interest. To join, affiliate, twin with associations, public and private organizations in order to prosecute the above mentioned aims; To take care of all the complementary aspects inherent to the above mentioned aims; To be a place of meeting, aggregation and socialization for members, familiars and friends; To provide social assistance; To provide healthcare assistance; To do charity; To promote and valorise cultural goods; To preserve civil rights; To promote art and culture; To preserve and valorise the environment.

4 Art. 3 - Emblem 1. The association has its own emblem, illustrated in table 1. and described as follow: Oval Escutcheon or charged of Saint Ambrose, armour and helm proper, on argent horse, holding a spear with standard gules charged with lily argent. On the beading nobilis acadademiae sancti ambrosii martyris. Supporters: palm leaves proper crossed, bounded with gules lace. Crest: gemmed ring. Art. 4 - Members 1. All the fellows who share the association s aims and accept this constitution and the internal rules can enter the organization; 2. The only competent unit in judging on the admission of a member is the Directive counsel. The refusal must be motivated. The admitting person must specify all the required personal data and must pledge himself to pay the annual fee (four) categories of members are provided: Ordinary members: members who pay the annual fee decreed by the Assembly of members. The first time they shall pay 150,00. Supporters: ordinary members who, in addition to the annual fee, donate extraordinary contribution to the association; Meritorious members: members, without right to vote, who are admitted by the Assembly due to their merit towards the Association; Members of honour: eminent personalities on the subject of literature, law, history, heraldry, genealogy, or organizations, institutions, public or private societies etc who, in many ways, operate to the common good, and share the same goals of the Association. They are nominated and admitted with unanimous voting by the directive counsel. They shall not participate the Assembly of members and shall not have right to vote in it. They shall not pay the annual fee; The admission is on indefinitely term, apart the right of quitting the Association; The annual fee cannot be transmitted to another member, apart case of death, and, once versed, shall not be refunded. Art. 5 Rights and duties of the members 1. Members with legal age can elect the directive board and be elected. 2. They shall have the right to be informed on the activities of the association and being refunded of the expenses occurred during the institutional activities. 3. Members shall verse the annual fee in accordance to the above-mentioned terms and shall accept the constitution and the internal regulation, if existing. 4. Members shall do their activities on volunteering base and for free, without any lucrative aim, direct or indirect, in accordance with their own availability. Art. 6 - Quitting and removal of members 1. A member can quit the Association by communication in writing to the directive counsel. 2. A member who acts against the constitution or the internal regulation can be removed from the association. 3. The exclusion is decreed by the directive counsel with possibility of appeal in 30 days to the assembly. Appeal to the Italian Civil Judge is admitted anyhow.

5 Art. 7 Directive board 1. They directive board is composed by: Assembly of members; Directive counsel; President; All the charges shall not provide payment of any salary et similia. Art. 8 Assembly of members 1. The Assembly of members is composed by all the members of the association and it is its main organ. 2. It is summoned at least once per year by the President or his substitute. A written advise shall be published at least 10 days prior the appointed day and it shall contain the agenda of the meeting. 3. The assembly can be also summoned by the 10% of members or whenever the Directive counsel foresees the necessity. 4. The meeting can be Ordinary or Extraordinary. It shall be extraordinary when a modification of the constitution or the closure of the association will be voted. It shall be ordinary in any other case. Art. 9 Duties of the assembly 1. The assembly shall: Approve the final balance and the next year budget; Set the association annual fee; Determine the general guidelines for the activities of the association; Approve the internal regulation; Decide on the admission or removal of members; Elect the President and the Directive Counsel; Decide on anything else it is his competence by constitution or submitted by the Directive counsel. Art. 10 Validity of the Assembly 1. The Ordinary meetings shall be valid on the appointed day if the majority of members, with the right to vote, is present; if not, a second call shall be made, also on the same day, and it shall be valid regardless the number of members present at the moment; members can delegate another member to vote. 2. A member cannot represent more than 3 other members. 3. Decisions of the Assembly are undertaken if the majority of votes is reached; the voting shall be open unless there it concerns members or their quality (or when the Assembly decrees otherwise). 4. Extraordinary meetings approves constitution modifications if the 50 % plus one of the members, with right to vote, is present; modifications are approved also if the majority of votes, amongst participating members, is reached. The closure of the association is approved with positive voting of the 75% of members. If so, all the assets of the Association will be donated. 5. Only members in major age can vote

6 Art. 11 Verbalization 1. Discussions and decisions are recorded on a verbal written by the secretary. The President undersigns the mentioned record. 2. Every member has the right to consult the records and to receive, if requested, a copy of it. Art. 12 Directive counsel 1. The directive counsel is composed by 3 members elected amongst the Assembly of members. 2. Counsel meetings are valid if it is present the majority of members. Decisions are undertaken with the majority of members. 3. It fulfils all the ordinary and extraordinary duties not delegated to the Assembly; it publishes and present the annual report on the activities of the Association, the final balance and the next year budget. 4. Its members shall be in charge for 3 years and can be elected for a maximum of 100 mandates. Art. 13 President 1. The president is the legal representative of the association. He holds the directive counsel and the assembly; summons the assembly of members and the directive counsel either on ordinary or extraordinary calling. Art. 14 Economic resources 1. Economic resources can be composed by: Annual fees and contributions of members; Contribution of non-members; Inheritances and donations; Any other revenue in accordance with the current law. 2. The Association shall not distribute, directly or indirectly, revenues and unspent budget, if the association still exists, to administrative organizations, members, workers and co-operators and third parties, unless foregone by law; they can be distributed to other units foregone by the constitution or internal regulation. 3. The association is obliged to reinvest every revenue or unspent budget exclusively in activities related to the development of solidarity and sociality. Art. 15 Final balance 1. Final balance shall be annual and covers the period from the January the 1 st to December the 31 st of every year. It contains all the incomes and outcomes of the year of interest. Budget contains the prevision of incomes and outcomes of the successive year. 2. Final balance is written by directive counsel and approved by the Assembly of members in ordinary meeting. Final balance shall be registered at the association venue at least 20 days prior the Ordinary meeting of the assembly and can be consulted by every member. 3. Final balance must be approved by the April the 30 th of the successive year. Art. 16 Closure and donation of assets 1. The closure of the assembly can be decided only in accordance to the present constitution art. 9 -.

In case of closure, all the assets must be donated to another non-trading organization who pursue the same goals of the Association, unless differently foregone by current law and after approval by the control organization foregone by the law 662 of December the 23 th art. 3 comma 190. Art.17 Final dispositions 1. Everything not clearly forgone by this constitution is regulated by the current Italian civil law.
