1 COLORADO DUGOUT CLUB CONSTITUTION AND BYLAWS CONSTITUTION Article I. NAME Name of this organization shall be the Colorado Dugout Club. Article II. MISSION STATEMENT The purpose of the Colorado Dugout Club is to unify all baseball coaches in the state of Colorado to create communication platforms for coaches in Colorado to promote our players, coaches, and schools to maintain a good relationship with CHSCA and CHSAA to build and maintain a high standard for our baseball community to foster relationships with national, state, and local baseball organizations Article III. MEMBERSHIP There will be three levels of membership- active, associate, honorary. a. Active membership shall consist of individuals that are coaching high school baseball in the state of Colorado. Head coaches are encouraged to enlist the assistants on their staffs.
2 b. Associate membership shall consist of those individuals coaching in college programs and youth programs in the state and interested baseball persons. They may attend meetings serve in advisory and volunteer positions but may not hold executive positions. c. Honorary membership may be conferred upon any individual who has been a director in this club and is no longer coaching and upon any individual who, because of their contribution to the game of baseball, shall be nominated by either an Executive Board of Directors or member in good standing and elected by a two-thirds vote of the Board of Directors. Article IV. EXECUTIVE BOARD DIRECTORS The executive board of directors shall be the six (6) individuals who are the Executive Director, the President, the Vice President, the Business Director and the Advisory chair director, the Advisory committee director and Clinic director. The terms of office will be an indefinite period of time. Directors will serve until they determine their usefulness is done, they present a replacement of their position to the other members of the Executive Board or are terminated by the other Executive Board members due to unethical or immoral behavior calling for their replacement. No individual may be on the Executive Board who is not a member in good standing of the state of Colorado baseball community for the formation of its initial Board. New Executive Board members after year 2 of the Colorado Dugout Club organization must be a member in good standing of the Colorado Dugout Club for a minimum of 2 years. Article V. BOARD OF DIRECTORS
3 The board of Directors shall be the nine (9) chairpersons of the following committees: All-star Games and Senior Showcases, Dugout Club Membership, Showcases for Underclassman, Polls and Rankings, Players and Coaches of the Year, Fields of the Year, Youth Organizations, and College Representatives. The terms of office will be an indefinite period of time. Directors will serve until they determine their usefulness is done, they present a replacement of their position to the members of the Board of Directors or are terminated by the Executive Board due to unethical or immoral behavior calling for their replacement. No individual may be on the Board of Directors who is not a member in good standing of the state of Colorado baseball community for the formation of its initial Board. New Board of Directors members after year 2 of the Colorado Dugout Club organization must be a member in good standing of the Colorado Dugout Club for a minimum of 2 years. Article VI. REPRESENTATIVES The representatives shall be 8 individuals responsible for the following areas in the state: West Region, East Region, South Region South, South Region North, North Region South, North Region North, Metro Denver 1 Region and Metro Denver 2 Region. The terms of office will be an indefinite period of time. Representatives will serve until they determine their usefulness is done, they present a replacement of their position to the members of the Executive Board or are terminated by the other Executive Board members due to unethical or immoral behavior calling for their replacement. No individual may a Representative who is not a member in good standing of the state of Colorado baseball community for the formation of its initial Board. New representatives after year 2 of the Colorado Dugout Club organization must be a member in good standing of the Colorado Dugout Club for a minimum of 2 years.
4 Article VII. Limitations 1. The Colorado Dugout Club is not organized for profit. No part of its net earnings shall inure to the benefit of any private individual, except that the Club shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in Article II hereof. No substantial part of the activities of the Club shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the Club shall not participate in, or intervene in (including the publishing or distributing of statements) any political campaign on behalf of any candidate for public office. Not withstanding any other provision of this constitution, the Club shall not carry on any activities not permitted to be carried on by an organization exempt from federal income tax under Section 501(c) (3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or by an organization, contributions to which are deductible under 70 (c) (2) of the Internal Revenue Code, or such corresponding section of any future federal tax code. 2. Upon the dissolution of the Club and the winding up of its affairs, the assets of the Club shall be distributed to an educational organization or organizations which would then qualify under the provisions of Section 501 (c) (3)of the Internal Revenue Code and its Regulations as they now exist or as they may hereafter be amended. Article VII. MEETINGS The annual meeting shall be held in the winter for the purposes of hearing reports from the Executive Board, The Board of Directors, Committee Chairpersons, and Area Representatives, and to consider any other old or new business. The winter meeting shall also be held in conjunction with the coaching clinic and award banquet. Regular Meetings of the Executive Board, Board of Directors, Committee Chairpersons, and Area Representatives will be held quarterly.
5 Special meetings may be called by the Executive Director, the Executive Committee, or on application of twelve members of the Club. Section 4 Meeting agendas will be set by the executive director and distributed to other members in advance of the meetings. Meetings will follow Roberts Rules of Order with the Executive Director as the leader of the meetings. Article VIII. AMMENDMENTS This constitution may be amended by a majority vote of the Executive Board. Any proposed amendment must be delivered to the members of the Executive Board not later than three weeks prior to the meeting at which the amendment will be voted upon. BYLAWS Article I. MEMBERSHIP Each individual seeking membership in the Club shall make application on a form prepared by the Club. The application shall be accompanied by the applicable membership fee and shall be subject to the acceptance of the Club. All active members must also hold membership in the Colorado High School Coaches Association to continue the support of that organization.
6 All members shall pay an annual membership fee in U.S. funds. The amount of the annual membership fee shall be fixed by the Executive Board. The membership year and the Board's fiscal year shall be January 1 to December 31. Section 4 A meeting of the membership may be called by the Executive Director to be held during the annual convention. A simple majority vote of those Executive Board members present at any meeting shall be sufficient to transact business unless a different percentage is called for by the constitution or these bylaws. Section 5 Termination for cause of the membership of any member (other than for failure to pay fees) may be recommended by any member of the Executive Board. Upon the member having been advised of the reasons for the proposed termination, afforded an opportunity to be heard and just cause being shown, the membership may be cancelled by a twothirds vote of the Executive Board. Section 6 Any member delinquent for one year in payment of membership fees shall be dropped from the roll of membership. Article II. DUES The annual dues of active members shall be $40 for the entire staff of a school and $20.00 for an individual coach. Associate members shall pay a membership fee of $20.00.
7 Honorary member dues shall be waived. Section 4 Any member who fails to pay his annual dues for the period of one year shall have his name removed from the active file. Article III. DUTIES OF EXECUTIVE BOARD The Executive Board shall have the general direction and control of the affairs of the Club, and shall establish the dues structure for the baseball coaches Dugout Club. No matter, not previously acted upon and approved by the Executive Board, shall be acted upon by the general membership assembled at a regular meeting. The Executive Board shall meet at least three times a year, prior to the annual meeting. At these meetings, the Board shall approve or disapprove all matters presented by members for consideration. Special meetings of the Executive Board may be called by the Executive Director or upon written request of three members of this Board. Section 4 The Executive Board shall recommend to this Club one member of the board to serve on the Colorado High School Coaches Association board. The Executive Board shall present recommendations to be considered by the CHSCA. It is further recommended that the Executive Board attempt to get one of its directors to sit on the Colorado High School Activities Association, CHSAA, baseball
8 committee. The Executive Board shall present recommendations to be considered by the CHSAA baseball committee. Section 5 Responsibilities of Executive Director The Executive Director will be responsible for the following: He will be responsible for overall direction of the Board and Club and its activities. He will be responsible for securing the clinic venue. He will be responsible for overseeing the finances of the club. He will be responsible for directing the securing of sponsorships for the club and clinic. He will be responsible for the organization and direction of the committees through the committee chairpersons. He will also be responsible for the organization and direction of the Area representatives. Section 6 Responsibilities of President The President will be responsible for the following: He will be responsible for securing vendors for the clinic. He will be responsible for the Rockies top 20 and Futures game. This will include but not be limited to all items concerning this game. He will be responsible for Players of the Year selection process. He will be responsible for Communications with CHSAA, Colorado High School Activities Association and CHSCA Colorado High School Coaches Association. Section 7 Responsibilities of Vice President The Vice President will be responsible for the following: He will be responsible for Assisting the President with all his duties. He will be responsible for setting up Player Showcases for players in grades 10, 11, and 12. He will be responsible for College Involvement from coaches and college persons. He will be responsible for Fields of the Year selection process. He will be responsible for Players of the Month selection process. He will be responsible for Polls and Rankings for all classifications. Section 8
9 Responsibilities of Business Director The Business Director will be responsible for the following: He will be responsible for Dugout Club Expenses and Revenues and in so acting will make financial reports to the appropriate state and federal entities as well as the Board and Membership in a timely and responsible manner. He will be responsible for all Clinic Expenses and revenues. He will be responsible for all Sponsorship Revenues. He will be responsible for All-star Game Expenses and Revenues. He will be responsible for all Showcase Expenses and Revenues. He will be responsible for development of data bases and information centers for the Club. He will be responsible for the development and upkeep of the Website. He will be responsible for Senior All-State Games. This will include but not be limited to all items concerning this game from location, to coaches, to player selection process, etc. He will be responsible for acting as the Clinic Advisor for all items concerning the Clinic. Section 9 Responsibilities of Advisory Board Director The Advisory Board Director will be responsible for the following: He will be responsible for developing and producing the quarterly Newsletters and finding persons to do this if needed. He will be responsible for the technology aspects of the clinic to include all the audio visual items. He will be responsible for advice on all aspects of the Dugout Club with all other Executive Board Members. 0 Advisory Committee Director He will be responsible for Overall Direction and communication with committee chairpersons, their committees and Area Representatives and the areas that they represent. He will be responsible for advice on all aspects of the Dugout Club with all other Executive Board Members. He will be responsible for assisting with the CDC Junior and Sophomore Teams and aspects of this program.
10 He will be responsible for Coaches of the Year selection process. 1 Clinic Director The clinic director will be responsible for but not limited to all of the following: dates and times of clinic, assist in securing clinic location, securing speakers, securing vendor participation, setting the schedule, producing fliers, mailers, handouts, overall promotion of the clinic and all other items important to the success of the annual clinic. He will be responsible for advice on all aspects of the Dugout Club with all other Executive Board Members. Article IV. DUTIES OF BOARD OF DIRECTORS All Star Games and Senior Showcases Chairperson The chairperson is responsible for assisting the president and but not limited to the following, setting dates and sites, player selection, coaches selections, programs for the game, advertising of the game with media, and any other items essential and important to the success of these events. Dugout Club Membership Chairperson The chairperson is responsible for assisting the board and but not limited to the following, securing memberships from all coaches head and assistant in the state, promoting and securing membership from youth coaches and college coaches in the state and any other items essential and important to the success of building the size of the membership. Showcases for Underclassman Chairperson The chairperson is responsible for assisting the vice president and but not limited to the following, setting dates and sites, player selection, coaches selections, programs for the showcase, advertising of the showcase with media, and any other items essential and important to the success of these events.
11 Section 4 Polls and Rankings Chairperson The chairperson is responsible for assisting the vice president and but not limited to the following, establishing correspondence with coaches with forms and any other items essential and important to the success of these activities. Section 5 Players and Coaches of the Year Chairperson The chairperson is responsible for assisting the president and but not limited to the following, developing forms and system for nomination and selection and any other items essential and important to the success of these Awards. Section 6 Fields of the Year Chairperson The chairperson is responsible for assisting the vice president and but not limited to the following, developing forms and system for nomination and selection and any other items essential and important to the success of these Awards. Section 7 Youth Organization Chairperson The chairperson is responsible for but not limited to the following, developing data bases with all the data base information for the youth organizations in all areas of the state, opening and keeping the lines of communication open with statewide youth organizations and any other items essential and important to the success of this committee. Section 8 College Representative Chairperson The chairperson is responsible for assisting the Advisory Board Director and but not limited to the following, developing data bases with all the data base information for the college coaches in the state and surrounding area, opening and keeping the lines of communication open with all of these coaches and colleges and any other items essential and important to the success of this committee.
12 Article V. DUTIES OF REPRESENTATIVES The duties of the 9 Area Representatives will include but are not limited to the following. Assisting the business director in keeping data base information of the coaches in each area up to date, developing the lines of communication with all coaches in your respective area, making sure that you are the voice of the coaches of the respective area, assist all directors with making sure that your areas receive the recognition that is coming to them in respect to coaches, player and field awards, making sure that your area has full participation from all head and assistant coaches in the Dugout Club, and any other items essential and important to the success of the Colorado Dugout Club. Article VI. DUTIES OF MEMBERSHIP Duties of the membership will include but not be limited to the following. Help unify all baseball coaches in the state of Colorado, to help create communication platforms for coaches in the state of Colorado, to help promote our players, coaches, and schools, to help maintain a good relationship with other coaches and baseball people in the state, to help build and maintain a high standard for our baseball community, to help foster relationships with national, state, and local baseball organizations ARTICLE VII PAYMENT OF EXPENSES. The Club's policy regarding payment of expenses shall be: All expenditures shall be documented with written authorization forms. All expenses over $ shall be approved by a majority vote of the 5 members of the Executive Board of Directors and when requested have the approved authorization forms. All expenses under $ need the approval of the Business Director and or the executive director. National Convention: The Executive Board shall receive reimbursement of air fare and hotel accommodations up to $ for the National AABC convention.
13 Article VII. AFFILIATIONS This Club may be affiliated with the Colorado High School Coaches Association, CHSCA, The American Baseball Coaches Association, AABC, the National Baseball Coaches Association, BCA, or any other organization that the Executive Board determines will be beneficial to assisting with the purposes of this Club Article VIII. AMMENDMENTS These Bylaws may be amended by a majority vote of the Executive Board. Any proposed amendment must be delivered to the members of the Executive Board not later than three weeks prior to the meeting at which the amendment will be voted upon.
