1 I - ORDINANCE NO. / Ç: 9 AN ORDINANCE consenting to the assignment and transfer of the franchise granted by Ordinance No. l450 to Westinghouse Broõdcasting Company and acceptance of that company's unconditional acceptance of the franchise with waiver of objections. WHEREAS, Northwest Cablevision, Inc., a wholly owned subsidiary of Teleprompter Corporation is the franchise grantee under Issaquah Ordinance No. l450; and WHEREAS, Westinghouse Broadcasting Company, Inc., a wholly owned subsidiary of Westinghouse Electric Corporation, proposes to acquire the ownership of Northwest Cablevision, Inc., by merger and has applied for the City's consent to the assignment and transfer of said franchise to Westinghouse Broadcasting Company, Inc. subject to all of the rights and duties arising therefrom; and WHEREAS, Westinghouse Broadcasting Company, Inc. as its parent company, Westinghouse Electric Corporation, have furnished the City with a certified copy of said document of assignment and transfer, Exhibit A hereto incorporated herein by reference, together with the unconditional acceptance of the terms and conditions of Ordinance No with waiver of objections by Westinghouse Broadcasting Company, Inc., and Westinghouse Electric Corporation; now, therefore, THE CITY COUNCIL OF THE CITY OF ISSAQUAH, WAHSINGTON, DO ORDAIN AS FOLLOWS: Section l. That the City hereby consents to the assignment and transfer of that certain grant by the City of a cable communication system franchise under Ordinance No to Westinghouse Broadcasting Company, Inc., a subsidiary of Westinghouse Electric Corporation, and hereby accepts both companies' unconditional acceptance thereof and waiver of objections as the same are set forth in Exhibit B of this ordinance, incorporated herein by reference.
