1 MINUTXS FO&T TEND COUNTY MUNICIPAL UTILITY DISTRICT NO" 23 Septernber 28,2AI7 The Board of Directors (the "Board") o{ Fort Bend County Municipal Utility Diskiet N4.23 (the "Diskict") met in regular ses$ion, open to the public, on the 28th day of September,2Al7, at Allen Boone Humphries Robinson LLP, 32$0$cuthwest Ireeway, Suite 2400, Houstcn, Texas 77A27, outside the boundaries of the Disfrict, and the roll was called of the members of the Board: Williarn Thomas Anzilla Gilmore Ellen Hughes Chris Robinson Steven Gates President Vice President Secretary Assistant Vice President Assistant Secretary and all of the above \ rere present except Directors Cilmore and Gates, thus constituting a quorum. AGENDA The minutes o{ the Augustz4,}AIV, regular Board meeting, and August 17, 2AT7, special meeting, and consultant reports were provided in advance of the rneeting. After discussion, Director Hughes moved ter remove agenda item 2.e" from the consent agenda and to approve all remaining items on the consent agenda, and to direct that, where appropriate, items are filed and retained in the Diskict's official records, including the following: (1) the rninutes from the August 24, }AIV, regular Board meeting, and Ar.lgust17,2A17, special meeting; (2) the final arbilrage rebate study for the Series 2007 Unlimited Tax Bonds; (3) the tax assessor/cotriector's report and delinquent tax report; and (a) the operator's report. Director Thomas seconded the motion, which passed unanimously. Copies of all reports are attached

He injormed the Bcard that the Texas Commission on Environmental Quality ('TCEQ') has agreed that the Year 4 storm water management goals may be deferred to Year 5. He presented a Notice of Change (NOC) to an Authorization or Waiver for $tcrmwater Discharges frorn Smal1 Municipal Separate Storm Sewer Systerns MS4) under the TPDES Phase ii MS4 Ceneral Permit TXR ("Notice of Change") for execution by the Board, a cspy of which is attached. Following review and discussion, Director Hughes moired to authorize execution of the Notice of Change. Director Robinson seconded the motion, which passed unanimously. APMIhII$TRATIVE MANAGER MATTERS ADMINISTRATION BUILDING Ms" Kelly presented the Adminiskative Manager's report, a c$py of which is attached. She then presented and reviewed the Disfrict's updated website" The Board considered adding an events tab to the websi.te. Following review and discussion, Director Hughes moved to (1) terminate the services of The Texas Network, e{fective September 29, 2A17; and (2) authorize Off Cinco to go live with the Diskict's new website on September 29, 2A17" Directcr Robinson seconded the motion, which passed unanimously" RECYCLING Ms. Hayes updated the Baard r:n garbage and recycling rna*ers in the District. $he discussed the impact o{ Hurricane Harvey on Eco's services in the District. PARKS AND AL FACILITIES MATTERS Director Hughes reviewed correspondence received from Time and Seasnn updating the Board on park and recreaticnal facilities in the District n

3 Mr. Idwards updated the Board on the Winfield Lakes Tennis Courts/Andover Farms Park Improvements project (the "Park Project"). He injormed the Board that LIA is working with ASHR regarding closing out the Park Pro]ect" ON DAVHLOPMENT Mr. Corbett reported on development in the District. He requested the Board consider adding eosts asscciated with the c<lmpletion of Cambridge Falls Trail around the lake to the Disfrict's 2018 budget. Ue also requested" the Board consider adding seating areas around the lake. He added that the ccsts shouid be under $100,000. Discussion ensued. BUDGAT TOR FISCAL YEAR Ms. Scott presented and reviewed the bookkeeper's report, investment report, and the bil1s presented for payment {rom the Diskict's accounts. $he reported that she is closing the capital project accnunt for the parks. The Board reviewed and discussed a draft budget filr the fiscal year end December 31, 2018, ineluding adding an additional security ol{icer in the District and costs associated with Mr. Corbett's request for trail and park items. Following review and discussion, Director Hughes rnoved to approve the bookkeeper's report, investment report and payment of the bi1ls. Direct*r Robinson seconded the rnotion, which passed unanlmously. A eopy of the bookkeeper's report is attached. CONNUCT PUBLIC HEARING RECARD ING DISTRICT'S TAX RATE, ADOPT ORNtrR T,EVYTN r1- \JI AXES. AND AT]TXORTZE EXfiTI]TION OF AMENDMENT TO INTORMA ON FORM Ms. Humphries stated that Assessments of the Southwest published a Noti*e of Public Hearing statlng the District anticipates levying a $0.8? tax rale at this meeting. The Board opened the public hearing regarding the adoptiein of the District's 2017 tax rate. There being nn rnernbers of the public in attendance who wished to address the Board, the public hearing was closed" Ms. Hurnphries reviewed an Order Levying Taxes with a total tax rate of $0.82 per $L00 of assessed valuation, comprised of $0.Sf for debt service and $0.25 for rnaintenance and operations, and an Amendment to trn{ormation Form. $he stated that the Amendment to lnformation Form wiltr be {iled with the TCEQ and recorded in the O{ficial Public Reccrds of Fart Bend County ("FBC"). After review and discussion, Director Hughes moved ta take the following action: (1) adopt the Order Levying Taxes reflecting a tax rate of $0.82 per $1.00 of assessed valuation, consisting of $0"S7 {or

4 debt service and $0.25 for maintenance and operations expenditures, and direct that the Order be filed appropriately and retained in the District's official records; and (2) authorize execution of the Amendment to Information Forrn and direct that the Arnendment be filed appropriately and retained in the Diskict's o{ficia} records" Director Robinson seconded the rnotion, which passed by unanimous vote. The Board confirmed its intention that the 2017 tax levy includes a debt service component {or the calendar year ending December 31, 201"8, and a maintenance tax component for the fiscal year ending December 31, HNGINEXRINC MATJEBS, *INCLUDINC. HURRICANX HARVEY RELATUD MATTERS Mr" Edwards presented and reviewed the engineer's report, a copy of which is attached. Mr. Edwards gave an update on construction of the water plant no. 1 booster pump variai:le frequency drive. He requested the Board authorize LJA to design the project. Mr" Edwards gave an update on conskuction of water plant no. 1 ground storage tank no. 2. Discussion ensued regarding a comparison between a welded steel tank and a concrete tank. Following discussion, the Board concurred to have LJA provide a detailed cost breakdown comparing the two types of tanks, including ongoing maintenanee obligations. Mr. Xdwards gave an update or-l the Trarnmetr-Fresno Road Expansion Project. He reported that LIA sent a letter to the Texas Departrnent of Transporiation regarding the Trammel Fresno Road culvert crossing at Long Point Creek and the reinforcernent for the box culverts that have been {olded towards the middle of the culvert, significantly reducing the capacity of the culvert. Discussion ensued" Following discussion, the Board concurred to have LIA alsa forward the letter to FBC Comn"rissioners, Precinct 1 and 2. The Board discussed flooding on Hurricane Lane during Hurricane Harvey. Mr. Hdwards gave an update on water, sewer, and drainage facilities ta serve Cambridge Falls, Section L0. He recornmended the Board approve Pay Hstin:ate No. L in the amount of $456,581.65" klr. Idwards gave an update on rerating the District's wastewater keatment plant. He reported MDS will begin testing the influent to the wastewater treatment plant three times each week {or six months befeire submitting a rerating proposai. Xe added that in six months, sufficient data should be available to determine if rerating the Distriet's wastewater keatment plant is feasible. {r??584-4-

5 The Board discussed potential annexations in the District and Fort Bend County Municipal Utility Diskict No" 24 ("p324")" Discussion also ensued regarctring the regional wastewater treatment plant owned and operated by the District and the pclssibility that FB24 may need to l:uild a new wastewater treatment plant tn serve new kacts that may be annexed into F324. Discussion then ensued regarding the possibility of expanding the regional water supply system if fb24 annexes additional land and needs rnore than the L,100 connections allowed in the regional eontract. k1s. Humphries noted FB24 is considering annexing up to 750 additional acres. Mr. Edwards discussed that adding water plant or well capacity in the north wor.rld provide additianal pressure for the entire regional water suppiy system. The Board took no actian but eon-{irmed they were not opposed ta considering arr:ending the regional ccnkact to pravide for an expanded water supply system, i{ the expansion is deterrnined to be of benefit to the District. The Board discussed drainage issues in the Distriet and surrounding area. The Board requested that LJA compile an exhibit of area ditches that need drainage improvements, including those adjacent to Long Point Creek" The Board concurred to submit a letter to FBC identi{ying the needed drainage improvements. The Board discussed the unautheirized entry onto the District's stormwater pulrtp station during Hurricane Harvey and related damage. The Board reviewed a draft letter to Andover Farms Community Association, Inc. regarding this matter. The Board considered having a post Hurrieane Harvey neighborhood overyiew to discuss drainage in the community. Follcwing diseussion, the Board concurred to have the overview during the 2018 spring community meeting. Sollowing review and discussion, and based on the engineer's reeorunendation, Directov Hughes moved to (1) appror/e the engineer's report; (2) apprerve Pay Estimate No. 1 in the arnount of $456, payable to Crostex Ceinskuction, Inc. for water, sewer/ and drainage facilities to serve Cambridge Fal1s, Secticn 1"0; and (3) authorize LJA to design the water plant rro. t booster pump variable frequency drive project. Director Robinson seconded the motion, which passed unanimously. RATE ORDER The Board deferred this agenda item until the next Board m*eting" DXSTRICT MATTERS, INCLUDING APTROVE INTERLOCAL AGREEMENT TOR ADDITIONAL LAW XNFORCEMENT SHRVICES Ms. Humphries presented and reviewed a proposed Interlocal Agreement for Additional Law En{orcement Services between FBC, Fart Bend County Municipal Utility Diskict No" 24 and the District ("the Interlncal Agreement") for the period of 6W5&4-5-

6 October L, 2017, to Septernber 30, $he noted that the new Interlocal Agreement reflects the addition of a sixth security o#icer" Iollowing review and discussian, Director Hughes rnoved tei approve the Interlacal Agreement and direct that it be filed approprialely and retained in the District's o{ficial records. Director Robinson seconded the motion, which passed unanimously. TING MA Mr. Browne discussed the preparations that taok place prior to the arrival of and during Hurricane Harvey. Mr. Browne reported on the repair of two collapsed force main manholes due to Hurricane Harvey. He added that the {inal cost exceeded $100,000. He then reported on additional manholes in the District that need to be repaired. Mr. Brourne requested authorization to write off 9 uncoilectable aecounts totallng $ and send them to a collection agency. Ftlllowing review and discussion, Director Hughes moved to (L) authorize MDS to write off I uncollectabtre accounts totaling $S73.30 and send thern to a collection agency; and (2) approve the additional costs {or repair of two collapsed force main rnanhoies that exceeded $100,000. Direetor Robinson seconded the motion, which passed unanirnously" UPDA TE ON INSTALLATION OF SMART ]I,IETHRS IN THE NISTRICT There was no discussion on this agenda itern HEARING ON ATION OF WATER AND SXWER SERVICE Mr. Browne presented a list oi delinquent customers and reported the residents on the termination list were delinquent in payment of their water and sewer bills and were given written notifieation, in accordanee with the District's Rate Order, prior to the meeting o{ the opportunity to appear be{ore the Board of Directors to explain, contest, or correct their bills and to show why utility serviees should not be terminated {or reason of non-payrnent. Following review ancl discu$sion, the Soard de{erred action r:n this matter because of Flurricane Harvey and agreed not to assess penalties on delinquent accounts in August. REPCIRTS FROM I)IRTCTORS AND DISTRICT COI{SULT OPERATlON$ ON DI$TRICT Director Hughes presented and reviewed injormation on using contact accounts to communicate with District residents and to set up an *mergenclr communication system. Discussion ensued regarding whether the operator's database can be 67758'4-6-

7 used for the communication. Following discussion, the Board concurred to have ABHR confirm if addresses are considered to be private under Texas law. The Board also concurred to have MDS include a half sheet flyer in the District's water bills asking District customers if they are interested in a communication system to receive information. Discussion ensued regarding a request from Harris County Municipal Utitity District No. 278 ('HC278') to tour the District's facilities, including the new park project and administration building, to obtain ideas for park development in HC278.
