3 MINUTES OF THE REGULAR MEETING OF THE CITY COUNCIL CITY OF WASHINGTON, FRANKLIN COUNTY, MISSOURI MONDAY, MARCH 21,2016 INTRODUCTORY ITEMS: The Regular Meeting of the City of Washington, Missouri, City Council was held on Monday, March 21, 2016, at 7:00p.m. in the Council Chamber. Mayor Sandy Lucy opened the meeting with roll call and Pledge of Allegiance. 5 * Proposal for Services- Wash PC: March 15, 2016 Honorable Mayor and City Council 405 Jefferson Street Washington, MO Re: Proposal for Services Wash PC Honorable Mayor & Councilmembers, Attached you can find a letter from Robert Douglas regarding a proposal from Wash PC to enter into an agreement with them for their services. This contract will be on a monthly basis. It is recommended that City Council approves this request. Respectfully, Brian N. Boehmer Assistant City Administrator Robert Douglas explains that Wash PC will assist with several projects that he is working on. They have calculated 30 hours per week, but unused hours can rollover to future months and extra hours can be borrowed if needed. A motion to accept and approve the proposal was made by Councilmember Brinker, seconded by Councilmember Patke, passed without dissent. ORDINANCES/RESOLUTIONS Bill No , Ordinance No , an ordinance authorizing and directing the execution of a Lease Agreement by and between the City of Washington, Missouri and Riverfront Marketing Group, L.L.C. The ordinance was introduced by Councilmember Holtmeier. This is for the renewal of the lease of the freight building. Several repairs will need to be done to the building: ale, ceiling tiles, roof leak. After a brief discussion, the ordinance was read a second time and approved on the following vote; Patke-aye, Hidritch-aye, Skornia-aye, Meyer-aye, Brinker-aye, Sullentrup-aye, Mohesky -aye, Holtmeier-aye. Bill No , Ordinance No , an ordinance authorizing and directing the City of Washington, Missouri to accept the Bid Quote from Strictly Technology for the purchase and installation of an Uninterruptable Power Supply (UPS) System, and approve a 2016 Budget Amendment. The ordinance was introduced by Councilmember Patke. Ordinance was at Admin/Ops meeting a few months ago. Lisa Moffitt explains that since that she has been comparing two different vendors. The original vendor lowered his price since then. Number of batteries was reduced, still more than enough to keep everything up and running. The ordinance was introduced by Councilmember Skomia. This is the final plat for Riverbend Estates. Explains what was changed since the plat was presented the first time. Bill No , Ordinance No , an ordinance approving the Development Plan for Riverbend Estates in the City of Washington, Franldin County, Missouri. The ordinance was introduced by Councilmember Holtmeier. Sal Maniaci explains the development plan. This is for the adjustment of a lot line after a variance was approved on the setback of the front yard. This is contingent upon receiving the performance agreement. This is for a shooting range for the police department. This lot is now owned by the 353 Redevelopment Corporation, and will be sold to the City for $ This is a preliminary plan; has not been reviewed yet in great detail with police department. John Nilges explains briefly what the next steps are, this will be created in-house. 7 Dear Honorable Mayor & City Council, On November 16, 2015, the City Council referred the suggestion from the Missourian regarding the suggested name change to the Amtrak Passenger Depot. At the February 16, 2016 meeting of the Washington Historic Preservation Commission, the committee voted unanimously to not make any changes to the name of our train depot. The thought was that there currently is a Harry S. Truman Station in his home town of Independence, Missouri and a change to our name would only confuse people as there is no obvious connection to the former President. 21 EXHIBIT A CODE OF CONDUCT The City of Washington will see to it that all business transactions are conducted in an ethical manner. The City of Washington and all employees, council members, and mayor must, at all times, comply with all applicable laws and regulations. The City of Washington will not condone the activities of any employees, council members, or mayor who achieves results through violation of the law or unethical business dealings. This includes any payments for illegal acts, indirect contributions, rebates, and bribery. It is prohibited for officers, employees or agents of the City of Washington to solicit or accept gifts or gratuities for their personal benefit. The City of Washington does not permit any activity that fails to stand the closest possible public scrutiny. All business conduct should be well above the minimum standards required by law. Accordingly, The City of Washington and all employees, council members, and mayor must ensure that their actions cannot be interpreted as being, in any way, in contravention of the laws and regulations governing The City of Washington's operations. The City of Washington and all employees, council members, and mayor uncettain about the application or interpretation of any legal requirements should refer the matter to The City Administration, who, if necessary, will seek appropriate legal advice. The City of Washington expects that all employees, council members, and mayor will perform their duties conscientiously, honestly, and in accordance with the best interests of The City of Washington. City of Washington, MO Wednesday, March 30, 2016 [Ord. No , ] It shall be the duty of all employees to maintain high standards of conduct, cooperation, efficiency, and economy in their work for the City. Department heads shall organize and direct the work of their units in a manner calculated to achieve these objectives. Section Notification of deficiencies. [Ord. No , ] Whenever work habits, attitude, production, or personal conduct of an employee falls below a desirable standard, department heads shall point out the deficiencies at the time (or as soon as practicable) they are observed. Section Warnings. [Ord. No , ] A. Oral and written warnings may precede more severe discipline whenever, in the judgment of the department head, an infraction is readily correctable. When an oral warning is given, the department head should explain the infraction to the employee and indicate corrective measures. The department head should inform the employee that his conduct must improve or he will face more severe disciplinary action. The employee is required to sign an acknowledgment that the oral warning took place. A record of this warning will be placed in the employee's personnel file, and the employee will receive a copy. B. 24 City of Washington, MO m. An unsatisfactory attendance record. Reliable and regular attendance is an essential function for every job with the City. Each employee is expected to be on the job ready to work at the beginning of his scheduled shift. Unscheduled and extended periods of absence are irresponsible and/or very difficult to manage. This places an unnecessary burden on other employees, and impairs the efficient operation of the organization. For these reasons, records of absences, and late arrivals and early departures will be maintained. Appropriate disciplinary measures will be taken whenever an employee's unscheduled or extended absence or tardiness becomes excessive as determined by the City Administrator. Any employee unavailable to work for an extended or indefinite period of time shall be subject to employment termination unless such an absence is authorized under the City's FMLA policy or a leave of absence would be considered a reasonable accommodation under the ADA based upon the individualized circumstances. n. Gambling on City property. o. Theft or unauthorized removal of City or employee property. p. Unauthorized possession or use of any dangerous weapon. Dangerous weapons shall include, but not be limited to, handguns, firearms, explosives, knives, simulated firearms operated by gas or compressed air, slingshots, sand clubs, metal knuckles, dangerous chemicals and other weapons further defined by Missouri statute and/or City ordinance. Unauthorized possession or use of a dangerous weapon shall include specifically the wearing, transporting, storing, using, brandishing or carrying of a dangerous weapon of any type, concealed or unconcealed, upon the property of the City, regardless of whether the employee is licensed to carry the dangerous weapon. Unauthorized possession or use also includes carrying a dangerous weapon of any type outside of the City's property while acting within the course of employment, regardless of whether the employee is licensed to carry the weapon. Employees may not carry any dangerous weapon while performing any task on.behalf of the City or while attending any function on behalf of the City. No dangerous weapon shall be allowed on or within any City-owned vehicle or personal vehicle being used to conduct any business on behalf of the City. This prohibition against unauthorized possession or use of dangerous weapons is not applicable to the use or possession of weapons by the Fire Chief or by law enforcement personnel in accordance with the policies, procedures and directives of the City's Police Department or the use or possession of an object which may be a dangerous weapon, such as a knife or dangerous chemical, incident to performance of duties in the course and scope of an employee's employment with the City. q. Threatening or coercing any person employed with the City, citizens or any elected or other official of the City. r. Reasonable suspicion of the commission of a criminal act occurring on or off the job which relates to job performance or of such a nature that continuation of employment in the assigned position could affect job performance or could constitute negligence in regard to the Citys duty to the public. s. 27 EXHIBIT A PROJECT AGREEMENT This Agreement is made this day of, 2016 between the City of Washington (City) and Historic Washington Foundation (HWF); Witnesseth: I. Recitals 1. The City of Washington is applying for a HOPE VI Main Street Grant from the Department of Housing and Urban Development (HUD) for The Fifth Street School Affordable Housing Project; 2. For all housing units outlined in this Fifth Street School Affordable Housing Project, HWF shall act as the project manager and shall be the owner of said properties. In all future references in this contract the word City shall refer to the City of Washington and HWF shall refer to Historic Washington Foundation. 3. HWF will comply with all of the City's obligations and responsibilities as stated in the General Section, Notice of Funding Available (NOFA), and Grant Agreement for the HOPE VI Main Street Grant. Therefore, in consideration of the mutual promises stated below and other valuable consideration, the parties agree: II. Agreement 1. HWF will cooperate with the City and provide all documents necessary for the City to fulfill the conditions of the General Section, NOF A, and Grant Agreement for the HOPE VI Main Street Grant. HWF further binds itself to the City for all the City's obligations to HUD, contained in the HOPE VI Main Street NOF A and Grant Agreement. 2. The City does not assume any obligation to HWF to construct, operate, or maintain the housing units contemplated by the grant. All agreements with contractors, architects, etc. will be made between HWF and said persons. HWF will uphold all requirements of the NOF A and Grant Agreement when entering into these contracts. 3. Unless a claim by HUD arises out of the negligence or other wrongful act of the City, HWF shall be responsible to the City for any obligation as set out in the Hope VI Main Street NOF A and Grant Agreement in the same manner and extent as the City may be responsible to HUD. 4. HWF shall operate and maintain the housing improvements contemplated by the City of Washington's HOPE VI Main Street Grant Application, in accordance with all policies and procedures as set forth in the NOF A and Grant Agreement. 34 EXHIBIT I REAL ESTATE CONTRACT.This Agreement is entered into this day of, 2016, by and between the Washington, Missouri Redevelopment Corporation, a Missouri corporation, hereinafter referred to as 11 Seller," and the City of Washington, hereinafter referred to as "Buyer." The parties hereto agree as follows: 1. Agreement to Sell and Buy. For and in consideration of the mutual obligations of the parties hereto, Seller hereby agrees to sell and convey unto Buyer, and Buyer agrees to purchase from Seller, upon the terms and conditions hereinafter set forth, the real estate situated in the City of Washington, Franklin County, Missouri, consisting of 4.2 acres, more or less, said property described more fully in Exhibit A, attached hereto and incorporated herein by reference. Said property is sometimes hereinafter referred to as 11 the premises." 2. Purchase Price. The purchase price for said premises shall be the sum of One Hundred and No/100 Dollars ($100.00), to be paid by Buyer upon delivery ofthe deed as hereinafter provided, in cash. 3. Title. Seller agrees to convey to Buyer title to the premises, by general warranty deed, said title to be marketable in fact, subject to county and any city or local real estate taxes for the calendar year in which the closing occurs and subsequent years, zoning laws, and such restrictions and easements of record as are acceptable to Buyer. Notwithstanding anything in this section to the contrary, with regard to any deeds of trust or similar encumbrances or liens noted in said commitment or abstract, if these are to be released on the date of closing, then this Agreement shall remain in full force and effect so long as such encumbrances are removed upon the closing c

35 4. Seller's Contingencies. This Agreement is contingent upon each of the following events, each of which shall form a condition precedent to Seller's obligation to close on this Agreement: a. City of Washington Approval. The passage by the City of Washington, Missouri, City Council, of an ordinance authorizing and approving the closing of the transaction set out herein, as well as passage of an ordinance authorizing and approving the redevelopment plan submitted by the Washington, Missouri Redevelopment Corporation allowing for the sale of the premises. b. Washington, Missouri Redevelopment Corporation Approval. The passage of a resolution by the Washington, Missouri Redevelopment Corporation, authorizing and approving a plan providing for the transaction described herein, which plan will be developed in accordance with the provisions of Chapter 353 ofthe Missouri Revised Statutes, as well as the provisions of Ordinance Number 6157 ofthe City of Washington, Missouri, including any amendments thereto, which provisions are incorporated herein by this reference, and which provisions can neither be modified nor eliminated except by mutual agreement between the City of Washington and Seller. c. Effect if Contingencies Not Met. If the contingencies set out above have not been met or waived in writing within sixty (60) days of the effective date of this contract (the "Seller's Contingency Period"), then this Agreement shall be null and void at the sole option of Seller by delivery of a written notice of termination to Buyer on or before the expiration of the Seller's Contingency Period, and any earnest money deposited herein shall be returned to Buyer; provided, however, that this provision shall not preclude the parties from agreeing to extensions of the time within which all such contingencies shall be satisfied or waived. If no such notice of termination is delivered within said contingency period, all such contingencies shall be -4-6c

If Seller's contingencies have been met and/or waived by Seller prior to sixty (60) days from the effective date of this Agreement, Seller's Contingency Period shall be considered as terminated upon Seller's written notice to Buyer of the satisfaction or waiving of all such contingencies. 5. Buyer's Contingencies. This Agreement is contingent upon each of the following events, each of which shall form a condition precedent to Buyer's obligation to close on this Agreement: a. Inspection. Receipt and approval by Buyer of various inspection repmis, all to be obtained at Buyer's cost, including but not limited to: environmental reports or audits indicating the absence of environmental hazards, underground storage tanks, pollutants, contaminants or other harmful or hazardous substances; soils reports or test borings to determine the depth at which rock is located, or the type of rock; reports from qualified building inspectors, lead inspectors, contractors, engineers, architects, termite and other pest inspectors; archaeological surveys; and any other inspections or reports whatsoever which Buyer may care to obtain in order to determine the suitability of the physical aspects of the premises in order to allow Buyer to engage in Buyer's intended use of the premises. b. Title. Approval by Buyer of the title to the premises which shall include Buyer's receipt of a commitment for title insurance, at Buyer's cost, through a title insurance company of Buyer's choice, disclosing no matters which are unsatisfactory to Buyer or which would adversely affect (or increase the cost of) Buyer's intended use or development of the premises and specifically disclosing good and marketable title to the premises in Seller. 6. Access To Premises. During the pendency of this Agreement, Buyer, its employees, consultants, contractors and inspectors shall have the right to enter upon the premises, subject to the rights of tenants in possession, for the purposes of verifying compliance - 5-6c

37 with the terms ofthis Agreement and inspecting the premises and performing those tests reasonably related to the purchase of the premises. Buyer agrees to indemnify and hold Seller harmless from any and all damage to property or injury or death to persons, and from any and all claims, actions or liabilities, including claims based upon negligence, arising out of Buyer's inspections. Buyer shall have no liability hereunder for discovery of any pre-existing condition on the premises such as the presence of hazardous materials. 7. Seller's Warranties. In light of the purchase price described herein, Seller makes absolutely no warranties whatsoever. 8. Litigation And Attorney Fees. In the event either party to this Agreement shall bring suit to enforce any provision hereof (before or after closing) or to enforce its rights upon breach of this Agreement, the prevailing party shall be entitled to recover from the other, in addition to any damages or other relief granted as a result of such litigation, all costs and expenses of such litigation and reasonable attorneys' fees (including attorneys' fees and costs of appeals). 9. Miscellaneous. a. Taxes. Any city, county and local taxes for the calendar year in which the closing occurs are to be prorated to date of closing. Contingent upon the sale closing, Buyer hereby assumes and agrees to pay any special taxes and assessments that may become a lien against the premises after the date of this Agreement. b. Risk of Loss. Ifthere are any improvements on the premises, Seller shall have the responsibility of keeping such improvements fully insured until the date of the delivery of the warranty deed to Buyer. If the improvements on said premises are substantially damaged or destroyed by fire or other casualty prior to the closing of this sale, then Buyer shall receive any insurance proceeds..:. 6-6c

38 c. Brokerage. The parties hereto agree and warrant to one another that no brokerage commission, finder fee, or similar charge has been incurred in connection with this transaction. d. Closing. The closing of this sale shall take place at the offices of Zick, Voss, Politte & Richardson, P.C., 438 West Front Street, Washington, Missouri, 63090, on or before 5:00 o'clock p.m., the day of April, 2016, or at such other time and place as the parties may mutually agree. e. Terms. The words Buyer, Seller, Agent and deposit, where appearing in this Agreement, shall be construed in the plural if more than one is intended. Moreover, the masculine shall be construed as referring to the masculine, feminine and neuter, as appropriate. f. Applicable Law. This Agreement, and the application and interpretation hereof, shall be governed by the laws of the State of Missouri. g. Entire Agreement. This Agreement constitutes the entire agreement of the parties with respect to the matters contained herein. Neither Seller nor Buyer may change this Agreement unless any such change is in writing and signed by both parties. h. Time. Time is ofthe essence in the performance and closing of this Agreement. 1. Exhibits. Any and all exhibits attached hereto shall be deemed made a part hereof and incorporated herein by reference. J. Severability. The provisions of this Agreement shall be deemed independent and severable, and the invalidity or partial invalidity or unenforceability of any provision or provisions hereof shall not invalidate any other provisions hereof. -7-6c
