1 THE BOBBYS RUN HUNTING AND FISHING CLUB CONSTITUTION AND BYLAWS ARTICLE 1. NAME and PURPOSE: SECTION 1. NAME: SECTION 2. PURPOSE: This organization will be called The Bobbys Run Hunting and Fishing Club The purpose of this organization is to promote wildlife conservation, youth projects, and friendly relationships with landowners, safety, fellowship, and ethical hunting and fishing activities through club functions. ARTICLE 2. MEMBERSHIP: SECTION 1. NUMBER OF MEMBERS: Membership shall be limited to a number set forth by the Board of Directors each year, excluding Life members. Family members (of Family Memberships) who become 18 years of age will be eligible to join the club immediately. SECTION 2. DUES AND FEES: Members shall equally share expenses for lease fees, food plot plantings, and other expenses (usually $5.00-$10.00 of your dues is assigned for food and/or road maintenance) approved by the membership. Dues shall be payable annually by the 30 th of June. $ ~ Single Membership (18 years or older, counts as one member) $150.00~ Family Membership (18 years or older counts as one membership) $ ~ Senior Single (65 years of age or older)(10% discount, counts as one membership) $125.00~ Senior Family (65 years of age or older)(10% discount, counts as one membership) $35.00~ Youth Membership/ non-member of club (17 years or younger) sponsored by a member in good standing-counts as one $5.00~ no return of old keys FREE~ Current members who are on active military duty, including Family members that join active military service, until the conclusion of their service, at which time they will be eligible to join the club immediately ARTICLE 3. OFFICERS, ELECTIONS, VACANCIES, and ELIGABILITY: SECTION 1. OFFICERS AND THEIR DUTIES: The officers of the organization shall consist of: President- shall preside over meetings and conduct all official business. Vice-President- shall assist the president And preside over committee meetings Secretary- shall maintain the minutes of the meetings and publicity ~ free membership Treasurer- maintains the club financial matters and presents a report at each meeting ~ free membership Board of Directors- shall determine goals and policies for the club and shall include all of

2 The above officers and a minimum of nine (9) directors Sheriffs- shall report all findings to the officers and board members. SECTION 2. ELECTIONS: Elections of officers and board members shall be held every three (3) years at a regular meeting during the month of November (the Fall general meeting) SECTION 3. ELIGIBILTY OF VOTERS: Each member is entitled to one vote, except the President, who votes only in case of a tie. SECTION 4. TERM OF OFFICE: The term of office (elected officers/board members) is for three (3) years, which shall begin August 1, of an odd year and end on the last day of July of an even year. Attendance at all meetings is essential for conducting club business; two (2) consecutive un-excused absences may result in forfeiting your position. SECTION 5. QUORUM: For all regularly scheduled Board Meetings (4X per year) a quorum shall be defined as: at least ½ of all Board Members. Thus voting on regular business can occur SECTION 6. BOARD/OFFICER ATTENDANCE: This policy is intended to support full contribution of all Officers and Board members. A problem occurs if any of the following conditions exist in regard to attendance from Officer/ Board members. 1. The member has two (2) un-notified absences in a row ( un-notified meaning the members did not call ahead to a reasonable contact in the organization before the meeting to indicate that he/she would not be present) 2. The member has three (3) notified absences in a row 3. The member misses all of the meetings in a twelve )12) month period Termination of the member (from the Board or Office) is up to the discretion of the Board and must be voted on prior to the member s termination. SECTION 7. VACANCIES: In the event that an Officer/Board position becomes vacant, the President can appoint an individual to fill this position. The Board will approve/disapprove, by quorum majority vote, the appointee. At times it may become necessary to ask for volunteers. SECTION 8. ELIGIBILTY TO HOLD OFFICE: An individual must be a member in good standing, and have conducted themselves in a positive manner with the rules and regulations of the Club and the landowner policies. ARTICLE 4. COMMITTEES: Special Committees may be necessary to help with specific areas of Club interests. Examples include, but are not limited to Caretaker/Road and Sign Maintenance, Management/Stewardship (game feeding, food plots, land improvements, Social/Youth programs) 1. Members of a committee shall be members in good standing. The duties of a committee shall be delegated by the President and subject to approval by the Board of Directors. The formation of any Club Committee will originate with the Board or any member in good standing, and the formation of any committee will be subject to approval by quorum majority vote of the Board 2. A chairperson of a committee will be appointed by the President (subject to approval by the Board) 3. The Chairperson will be responsible for establishing the overall annual goals of the committee, in consultation with the Board/Officers/President

3 4. The Committee Chairperson will give a report at all Board meetings on the particular area of duties for that committee, and questions or findings will be reported to the Board for review. Committee Chairpersons may be required to give a brief review at the annual membership meeting. ARTICLE 5. METHODS OF COMMUNICATION: All complaints of issues regarding Bobbys Run Hunting and Fishing Club and the Land-Lease owners must be submitted in writing to any current Officer or Board Member for information and resolution if the person issuing the complaint expects any action. ARTICLE 6. REMOVAL OF MEMBERSHIP: SECTION 1: A member may be removed from membership roles for any of the following reasons: 1. Failure to pay membership dues by the 30 th day of June 2. Failure to return harvest report, whether you harvested game or not, the report must be files with the Secretary by the end of January (2 nd offense) (Harvest report forms will be available at the annual November meetings, or can be obtained at 3. Failure to abide by, and follow, all rules and regulations established by Pa., Federal, Pa. Game of Fish Commissions, Land- Lease property owners, and the Bobbys Run Hunting and Fishing Club 4. Any willing action which would reflect dishonor or disgrace upon the Club, and willing attempts to disrupt the organization or abilities of the Club to conduct business SECTION 2: POSSIBLE DISCIPLINARY OUTCOMES: Any and all disciplinary action must be approved by the Board of Directors by majority quorum vote. Once a member has been found to have violated one or more of the rules, he/she is considered as a member NOT in good standing and the following outcomes may occur: ARTICLE 7. GUESTS: 1. Removal of Membership 2. A monetary fine or retribution of damages 3. Probation, in which a member/members may not bring guests onto the club, cannot participate in voting, or cannot hold a seat on the Board or any Committee 4. Member subjected to a reasonable task, such as hanging signs, clear roads, help with Committee activities, etc. SECTION 1: AUTHORIZATION: 1. Members may bring guests onto Club property during NON-hunting season only. An EXHIBIT B form must be completed prior to any guest entering Club property. Exhibit B forms can be obtained by contacting a Board Member/Officer, or by logging onto the Club website ( and printing a copy from there. The appropriate portion of the form must be given to a Board Member or the Secretary. 2. No guests will be permitted on Club property during hunting season, except Sundays. Hunting Season, for this purpose, will be defines as Any day from the first day of Archery season until the last day of Muzzleloader and also including all of Spring Gobbler season. 3. The host member is responsible for the guest. Disciplinary action may be necessary upon the member due to inappropriate actions of the guest while on Club property. 4. Handicapped members may bring a guest throughout the hunting season. The member is responsible for this guest and the guest will not be allowed to hunt. An Exhibit B form must be completed prior to entering the Club. ARTICLE 8. METHOD OF AMENDING THE CONSTITUTION/ BYLAWS: The Constitution/Bylaws may be amended at any regular meeting by a majority vote of the members that are present, providing that written notice of the proposed amendment has been presented to the membership at least 30 days prior to the vote. ARTICLE 9. THE CLUB CLOSING:

4 In the event that the Bobbys Run Hunting and Fishing Club would close, cease to function as a hunting and fishing club, all monetary assets will be given to a charity or organization that is established to promote the future of hunting and fishing in Cameron County. An organization promoting youth involvement would be preferred. ARTICLE 10. INDEMNIFICATION: Each participant, director, officer, and committee person of the Bobbys Run Hunting and Fishing Club shall be indemnified by the club against all costs, expenses, and liabilities reasonably incurred by him/her in connection with, or resulting from, any action, suit or proceeding in which he/she may be made a party to by reason of his/her having been a participant, director, officer, and committee person of the Bobbys Run Hunting and Fishing Club, except in relation to matters which shall have been occasioned by the willful misconduct or dishonesty of such a participant, officer, director or committee person. The foregoing right indemnification shall cover amounts paid in settlement of any such action, suit, proceeding when such settlement appears to be in the interest of the Club and has been subject to approval by the Board. The foregoing rights shall be in addition to any other rights to which such participant, director, officer, and committee person of the Bobbys Run Hunting and Fishing Club may be entitled to as a matter of law. ARTICLE 11. LAND USE: SECTION 1: GATES ~ please close and lock all gates when entering or exiting the Club. During timber sale bidding process, the gates will remain unlocked to allow bidders to examine the property. The Club will be notified, by the landowner, of the successful bidder and approximate dates of timber harvest if known. Contractors on the property, for safety reasons, will not lock the gates while working. Contractors will be responsible for locking the gates during evenings and weekend. Please insure that all gates are double locked properly and the harvesting contractors have access at all times while the timber job is active. SECTION 2 TRAILERS ~ the management forester responsible for our parcel must approve all trailers. The management forester must approve the site location for placement of trailers. Trailers must be kept and maintained in a mobile condition at all times. They must be licensed and inspected according to State laws. Trailers must be removed completely from the property, once per year, for a minimum of three (3) weeks. This must be done beginning September 1, The beginning of the removal period for each year will be Labor Day Weekend SECTION 3: STRUCTURES~ NO permanent structures shall be erected or attached to trailers on the property at any time. Temporary structures may be erected only with prior written consent of the landowner and approval of the management forester. NO outhouses or port-opotties are allowed. Portable toilets must be taken to a legal dumping station for emptying. SECTION 4: CAMPSITES ~ all campsites shall be maintained in a neat and orderly manner. Lessees shall keep the property free of litter and debris at all times SECTION 5: TIMBER MANAGEMENT ACTIVITIES ~ growing and harvesting timber is the landowner s primary business. Please respect various contractor activities related to forest resource management and construction. These may include timber harvesting, road maintenance and construction, herbicide treatments, and other miscellaneous activities. These contractors have the authority to be on the lease to conduct their business and we ask that you avoid these areas of activity while the work is ongoing. a: respect the contractor s equipment b. do not drive on freshly graded or constructed roads c. be careful when traveling the roads when management activities are in progress, especially during heavy hauling d. activities may be occurring during the hunting season, however, contractors have been instructed to confine their activities to the work site and no hunting is permitted at any time e. once a timber harvest has been completed, please do not remove any trees (tops, etc.) from the harvest area. The tops are left to protect the young seedlings.

5 f. please coordinate all food plot locations with the forest manager responsible for your lease. There may be opportunities for food plot establishment during forest management activities. SECTION 6: TRESPASSING ~ Lessees shall be responsible for protecting the property from trespass. Lessees shall have the right to post signs along all lease boundaries and points of access. Such signs shall read as follows: Posted - Leased to Private Club. The Club name may also be included on such signs. Aluminum nails and/or staples are permissible for posting signs. Please avoid posting signs on large valuable trees when possible. SECTION 7: TREESTANDS ~ The driving of nails, spikes, screws, bolts, or any other metal object into any tree on the property to build deer stands or for any other purpose is strictly prohibited. Please use climbing tree stands or portable tree stands. SECTION 8: MISCELLANEOUS ~ Please report any and all incidents of dumping, timber theft, blowdown trees, insect defoliation, and any other potential problems or illegal activities SECTION 9: STANDING TREES ~ there is absolutely NO cutting of standing trees ARTICLE 12. ACCEPTANCE OF RULES/REGULATION: By becoming a member of the Bobbys Run Hunting and Fishing Club, you agree that you have read and understand the Constitution/Bylaws and agree to abide by the terms set forth. You also agree to abide by Land/Lease property owner s rules and also the laws and regulations set forth by the State of Pennsylvania. You agree that failure to do so may result in your immediate removal from membership of the Club and or disciplinary actions listed within.
