1 BYLAWS OF THE NOTRE DAME COUNCIL OF CATHOLIC WOMEN ARTICLE I. NAME AND AFFLIATION Section 1. The name of this Council shall be the Notre Dame Council of Catholic Women (NDCCW). Section2. The Council shall be affiliated with the Five Rivers Deanery, the Knoxville Diocesan Council of Catholic Women (KDCCW) and the National Council of Catholic Women (NCCW). ARTICLE II. INSIGNE The Insigne of the NDCCW will be changed by the Executive Board as needed. ARTICLE III. PURPOSE Section 1. To unite the Catholic Women of Notre Dame, to develop their spiritual growth and leadership potential, and to motivate and assist them to act upon current issues in the church and society. Section 2. To be a medium through which the Catholic women of Notre Dame may speak and act on current matters of common interest. Section 3. To establish relations with other civic and social agencies and interfaith groups in the endeavor to create interest in and to aid in the solution of present day religious, civic and educational concerns. Section 4. To support the Mission of the National Council of Catholic Women: The National Council of Catholic Women acts through its membership to support, empower, and educate all Catholic women in spirituality, leadership, and service. NCCW programs respond with Gospel values to the needs of the Church and society in the modern world.

2 ARTICLE IV. MEMBERSHIP AND DUES Section 1. All women of the Notre Dame Parish are members of the Notre Dame Council and are encouraged to attend meetings and activities. Annual Membership dues will be collected in the fall and is done on a donation basis. Section 2. The Pastor of the Notre Dame Parish is considered to be a member and shall be the Spiritual Advisor of the Council. Section 3. Annual NCCW membership dues shall be paid to the KDCCW and annual Deanery dues to the Five River Deanery each January. ARTICLES V. MEETINGS Section 1. Monthly meetings will be held from September through April on the third Sunday of the month, at 6pm in the church hall. A May meeting will depend on the church s calendar. There will be no monthly meetings in June, July, and August. Section 2. Robert s Rules of Order will be observed. ARTICLE VI. EXECUTIVE BOARD Section 1. The Executive Board shall consist of the officers: the President, the Vice President, the Secretary and the Treasurer; the Guild Chairpersons, any appointed Committee Chairpersons, and the NDCCW Spiritual Advisor. The outgoing President shall also serve on the Executive Board for one year as an advisor and shall have no vote in that capacity. Section 2. The duties of the Executive Board shall be to transact necessary business in intervals between meetings of the Council, to prepare an annual budget to be presented to the members at the October or November meeting, to approve plans of work of each Guild and Committee, to present a report at regular meetings when necessary, and to set an audit date for records. Section 3. The Executive Board shall meet as needed or at the special request of the President, or by a request of majority of the members of the Board. If needed, a simple majority of the Board shall constitute a quorum.

3 ARTICLE VII. ELECTED OFFICERS AND THEIR DUTIES Section 1. The officers of this Council shall be President, Vice-President, Secretary and Treasurer. Nominations for officers shall be made by a Nominating Committee of at least three members appointed by the President. Nominations may also be made by any member prior to the February general meeting. Consent of each candidate must be obtained before her name is placed in nomination. The Nominating Committee shall verify that all candidates are eligible and shall seek the Pastor s approval of the slate of candidates. The slate of candidates shall be presented at the March general meeting. Section 2. The officers shall be elected at the March meeting by a vote from the floor of all members present. Officers shall serve for a term of two years and remain in office until their successors are elected. No officer shall be eligible for the same office for more than two consecutive terms. The officers shall be installed by or before the April- May meeting. Section 3. Any officer who does not attend a minimum of one-half the meetings may be replaced at the discretion of the Executive Board. Vacancy occurring in any office shall be filled by appointment by the Executive Board. In case a vacancy occurs in the office of President, the Vice President shall assume the office of the Presidency. Section 4. AND THEIR DUTIES: A. The President shall preside at all meetings of the Council and of the Executive Committee, shall be a member ex-officio of all Guilds and Committees except the Nominating Committee and shall perform all duties pertaining to the office. B. The Vice -President shall act as aide to the President and shall perform the duties of the President in her absence. She shall serve as Program Coordinator. C. The Secretary shall keep the minutes of all meetings of the Council and Executive Board, shall keep accurate records of meeting attendance, shall serve as E-secretary, and shall perform other duties as may be delegated to her by the president. A copy of the minutes should be sent electronically to

4 all members following the meeting in order to be reviewed before the next meeting. D. The Treasurer shall keep an accurate account of all funds, shall keep a correct list of all due-paid members and shall keep an accurate record of receipts and expenditures authorized by the Council. The President will be the second signature on the bank account. The fiscal year will be the twelve calendar months period starting July 1 and ending June 30 with the end of year report presented at the October or November meeting with the annual budget report. The books must be reviewed yearly by the Audit Committee. ARTICLE VIII. CHAIRPERSONS AND THEIR DUTIES Section 1. The mission of the NDCCW shall be carried out through the works of individual women, Committees and Guilds as outlined in the Purpose of NDCCW. The mission statement of National Council will be used as guidelines for the formation of NDCCW Committees and Guilds. Section 2. Chairpersons of each Committee and Guild may give a report at each CCW meeting. Chairpersons will maintain a list of members and hours donated to the NDCCW as requested by KDCCW. Section 3. There are two standing Committees consisting of at least three members appointed by the President: 1) the Nominating Committee who complete their slate of candidates prior to February general meeting and 2) the Audit Committee who review the books at the end of the fiscal year and before the September meeting. Each committee will appoint their own chairperson. Other committees shall be formed on an as needed basis. Section 4. Currently there are five Guilds each with a chairperson appointed by the Guild s members on a voluntary basis. Additional Guilds may be added by a simple majority vote of the NDCCW members. A. St. Catherine Guild- Their commission is crafting B. St. Elizabeth Guild Their commission is caring C. St. Martha Guild- Their commission is cooking for bereaved families and church events

5 D. St. Veronica Guild- Their commission is caring for the altar and cleaning of the church E. St. Agnes Guild- Their commission is to help mothers and their children ARTICLE IX. AUTONOMY The NDCCW shall not in any way interfere with or violate the autonomy of any other group or organization of the Parish. ARTICLE X. CONVENTION Section 1. The President and Vice President of the NDCCW will be the voting delegates if attending the KDCCW Convention. If these delegates cannot attend, the Executive Board will appoint two delegates to proxy their voting privileges. Section 2. Reimbursement for the KDCCW convention will be determined by the Executive Board during the annual budget meeting prior to the October or November general meeting. Funds allowing, the President and Vice President s full conference registration fee and a shared hotel room will be paid for by the NDCCW. Subsidizing of the cost of registration fee for all other NDCCW members will also be determined during the annual budget meeting. ARTICLE XI. AMENDMENTS Section 1. These BYLAWS may be amended at any regular meeting of the NDCCW by 2/3 vote of members present, provided proposed amendments have been distributed at the previous meeting. Section 2. The BYLAWS for NDCCW shall be reviewed every three years or as necessary. Revised 2018
