(2) To consider the Resolutions proposed by the Managing Committee and if approved pass the Resolutions with or without amendments. Resolution No.1 : AMENDMENT TO RULES Existing Rule Proposed Rule Explanatory Note 5 MANAGEMENT: The Management of the Association shall be by a Managing Committee comprising of :- 5.1 The President, The Captain, The Honorary Secretary, The Honorary Treasurer and six members all of whom shall be elected by the General Body. 5.2 The outgoing President shall continue to be a member of the Committee in the ensuing term. 5.3 In addition the Committee shall comprise of Five Nominees of the Government of Karnataka. 7.DEFINITIONS 7.9"Committee" means the Managing Committee consisting of the President, Captain, Immediate Past President, Honorary Secretary, Honorary Treasurer, six elected members and five nominees of Government of Karnataka as follows: 5 MANAGEMENT: The Management of the Association shall be by a Managing Committee comprising of :- 5.1 The President, The Captain, The Honorary Secretary, The Honorary Treasurer and six members all of whom shall be elected by the General Body. 5.2 The outgoing President shall continue to be a member of the Committee in the ensuing term. 5.3 In addition the Committee shall comprise of Nine Nominees of the Government of Karnataka. 7. (4)Two other officers, not below the rank of Secretary to Government, who are Members of the Association Permanent Associate-Elect means an individual who has been interviewed by the Committee and who has been granted the status of Permanent Associate-Elect, pending confirmation as Permanent Associate. 8. CATEGORIES OF USERS The users shall consist of following categories: 8.1 Members 8.2 Associates 8.3 Others 8.2 Associates : Honorary Associates Permanent Associates Non Resident Indian Associates Corporate Associates- Category I Corporate Associates - Category II Temporary Associates Service Associates (1) Secretary, Finance (2) Secretary, Revenue (3) Secretary, Tourism (4) Secretary, Youth and Sports (5) Managing Director, Karnataka State Tourism Development Corporation. (6) Managing Director, Jungle Lodges and Resorts (7) Director, Tourism Department (8) Any two Secretary level officers, to be nominated by the Government Associate-Elect means an individual who has been interviewed by the Committee and who has been granted the status of Permanent Associate-Elect / Permanent Service Associate- Elect, pending confirmation as Permanent Associate / Permanent Service Associate. 8. LIMITS & RESTRICTIONS: 9.1 Members: The total number of members shall not exceed the following limits: Founder Life Members - Frozen Life Members Permanent Members Service Members Associates The total number of Associates shall not exceed the following limits: Honorary Associates Permanent Associates Non Resident Indian Associates Corporate Associates- Category I Corporate Associates - Category II Temporary Associates Service Associates Short Term Associates LIMITS & RESTRICTIONS: 9.1 Members: The total number of members shall not exceed the following limits: Founder Life Members - Frozen Life Members Permanent Members Service Members Associates The total number of Associates shall not exceed the following limits: Honorary Associates Permanent Associates Permanent Service Associates Non Resident Indian Associates Corporate Associates- Category I Corporate Associates - Category II Temporary Associates Service Associates It is proposed to increase the ceiling limit under Permanent Members to 2500 and Service Members to 500. The ceiling limit for the new category Permanent Service Associate is proposed to be 70. The existing limit under the Service Associate category is proposed to be increased to 100.

5 9.2.9 Student Associates Short Term Associates Student Associates 200 Both the above amendments are based on the recommendations of the Government There shall be no limit for Senior Dependant Associates, Dependant Associates, and Spouses of Deceased Associates (Member/Permanent Associate) The total number of Associates excluding Honorary Associates, Senior Dependant Associates, Dependant Associates, Spouses of Deceased Associates (Member/Permanent Associate) and Student Associates who can be admitted during an Annual year shall not exceed 240. New Rule may apply for Service Membership New Rule: Transitory Provision Notwithstanding anything contained in Rule above, any person who had applied for Service Membership as on under Rule 11.8, but has since retired from services shall continue to be eligible for Membership under this category. Since no membership has been granted under Service Member Category for the past 9 years, several officers who were otherwise eligible, have since retired. This proposal is based on the recommendations of the Government to accommodate such retired officers. New Rule may apply for Associateship under this category. New Rule : Notwithstanding anything contained in Rule 11.15, Service Associate present or past, whose application is pending under the waiting list for the Permanent Service Membership, at the time of retirement from Service, may be allowed to continue as Service Associate till the application is considered for Permanent Service Membership, subject to the applicant holding a valid handicap of the club. This provision has been recommended by the Government for the existing Service Associates who are active golfers to enable them to continue till Permanent Service Membership is considered Spouse of Deceased Associate(Member / Permanent Associate) Spouse of Deceased Associate (Member/ Permanent Associate) shall be invited by the Committee to become an Associate under Spouse of Deceased Associate Category. Such invitation may be accepted or declined with in a period of one year Spouse of Deceased Associate (Member / Permanent Associate / Permanent Service Associate) Spouse of Deceased Associate (Member/ Permanent Associate / Permanent Service Associate) shall be invited by the Committee to become an Associate under Spouse of Deceased Associate Category. Such invitation may be accepted or declined with in a period of one year. 9 In view of the proposed new category Permanent Service Associate, related amendment has been suggested.

10 In the event of change in marital status of the spouse of a deceased Member/ Permanent Associate, this Associateship shall stand restricted to him/ her only The onus of intimation of death of a Member/ Permanent Associate shall be that of the spouse or the family and such intimation shall be sent to the club within a period of 12 months from the date of death. MEMBER-ELECT / PERMANENT ASSOCIATE-ELECT 14.1 From the date of election and until the time of confirmation as Member /Permanent Associate the candidate shall be designated as Member Elect / Permanent Associate-Elect respectively The period of Member-Elect / Permanent Associate-Elect shall be for a minimum period of six months and a maximum period of 12 months. There shall be no extension beyond 12 months The confirmation of the Member-Elect / Permanent Associate-Elect shall be based on their proficiency in golfing and use of the Club facilities as stipulated by the Committee from time to time and suitability for Membership / Permanent Associateship The Committee may relax the requirement of Proficiency in golf if the Member-Elect / Permanent Associate-Elect / has a valid handicap. 14. 13 17.3 Minimum Charges : Life Member, Permanent/ Service Member, Permanent Associate, Nominees of Corporate Associate and Spouse of Deceased Associate (Member/Permanent Associate) shall spend a minimum amount of Rs.100/- per month over and above the prevailing Subscription/Course Maintenance fee Minimum Charges : Life Member, Permanent / Service Member, Permanent Associate / Permanent Service Associate, Nominees of Corporate Associate and Spouse of Deceased Associate (Member / Permanent Associate / Permanent Service Associate) shall spend a minimum amount of Rs.100/- per month over and above the prevailing Subscription/Course Maintenance fee. Consequential changes to accommodate the new category Permanent Service Associate. 22 MEETINGS OF THE COMMITTEE: 22.4 Seven members of the Committee shall be sufficient to form the quorum. The decisions of the Committee shall be by a simple majority. In case of making amending or repealing Bye laws the quorum shall be seen and shall be approved by a minimum of four members present and voting. 22 MEETINGS OF THE COMMITTEE: 22.4 Quorum for the Committee Meetings shall be Seven members, which shall include at least one Member from the Government nominees in attendance. In case the Government Nominee fails to turn-up for the meeting, then the Managing Committee will be at liberty to call for another meeting on the following day or any other day, duly informing the Government Nominees. If they still fail to attend the meeting, Managing Committee may proceed with the discussions & decisions. The Government desires to implement the proposed change in the quorum for the committee meetings. 13

15 Resolution 2 : Resolution Explanatory Note Resolved that the Managing Committee be authorized to offer Out-of-turn Permanent Membership from time to time to the Honourable Minister of Tourism, Government of Karnataka. In order to continue the promotion of the sport of golf, the Government has recommended for out-of-turn Permanent Membership to the Tourism Minister of Government of Karnataka from time to time. Resolution 3 : Resolution Explanatory Note Resolved that the Managing Committee be and hereby authorized to renovate the Reception Lobby at an estimated cost of Rs Lakhs (Rupees Fifty Three lakhs & Fifty Thousand Only). The Managing Committee is of the view that the Lobby / Reception area at the entrance of the Club House needs immediate renovation. The existing area was redone about 20 years ago and is currently requires renovation. It is therefore proposed to be renovated suitably in tune with the current needs, requirements and status of our club. Resolved that the Managing Committee be and hereby authorized to renovate the Ladies Locker Room at an estimated cost of Rs.53 Lakhs (Rupees Fifty Three Lakhs Only). The number of lady golfers have increased over the years, and we have received many requests for a suitable change room and locker facility which provides privacy and comfort, the current facilities at the Ladies Locker Room are inadequate and insufficient, Hence the proposal for renovation.
