1 SASKATCHEWAN CHORAL FEDERATION INC. CONSTITUTION I. Aim The Saskatchewan Choral Federation Inc. shall promote and assist in the elevation and enhancement of the state of choral music in the Province of Saskatchewan. II. Objectives 1. Increase the number of people of all ages who sing, and the number of choirs in Saskatchewan. 2. Foster ever-higher standards of artistic attainment among singers and directors of every kind of choir in Saskatchewan. 3. Foster the development of a larger and better-informed audience of all ages of choral music. 4. Facilitate communication between members of the choral community in Saskatchewan. 5. Cooperate with other provincial and national bodies recognized as having similar aims and objectives. 6. Solicit funds to carry on the work of the Saskatchewan Choral Federation Inc. 7. Make available grants to choirs and individuals for the promotion of the above objectives. III. Membership 1. 2 2. Choir Membership - Open to any choir. The choir shall appoint one representative who shall receive and send correspondence on behalf of the choir, and who shall enjoy all Individual membership privileges on behalf of the choir. The Choir Representative shall be required to provide the Federation a list of its member-singers who shall then be registered as associate members of the Federation. 3. Student Membership - Open to students in any educational institution. May vote at general and special meetings May hold office in the Federation May borrow multiple copies of music scores from the Federation May borrow Federation equipment including risers, sound shell, microphones, recorders, etc. (with deposit) May receive all public Federation correspondence (Bulletin, E- Notes, Member Updates) 4. Supporting Membership - Open to any person or organization who subscribes to and supports the objectives of the Federation, but who is not actively engaged in choral music. May observe, but not vote, at general and special meetings May request to receive all public Federation correspondence (Bulletin, E-Notes, Member Updates) May not hold office in the Federation 5. Associate Membership - Open to any person who is a member of a choir that holds a membership in the Federation. Honorary - Honorary membership shall be proposed after unanimous vote of the Board of Directors and ratified at an annual meeting. There is no membership fee. Membership Fees 1. Membership fees shall be payable by members as shall from time to time be fixed by a resolution of the Board of Directors, which resolution shall become effective only when confirmed by a vote of members in general or annual meeting. 2. V. Board of Directors 1. The affairs of the Federation shall be managed by a Board of Directors (hereafter called the Board) of at least eight (8) Directors, each of whom at the time of their election shall be a member of the Federation. 2. In any given year, the terms of office of only one-half of the members of the Board shall expire. 3. Nominations for any seat on the Board of Directors must be submitted by the membership in advance and will not be accepted from the floor of the Annual General Meeting 4. Each Director shall be elected by the membership to hold office for a term of two (2) years and may be eligible for reelection, but may not serve more than three (3) consecutive terms. 5. The President Elect shall be elected by the membership from a specific slate of candidates for a four (4) year term. 6. The office of President, every third year, shall be filled by the President- Elect of the preceding two (2) years. 4 7. The President shall be appointed Past-President upon expiration of his/her term of office. 8. If the office of the President becomes vacant, the President Elect shall become the President for the balance of President Elect s four (4) year term. 9. If the office of the President Elect becomes vacant, that office shall be filled temporarily by election from within, and by, the Board of Directors. This temporary appointment shall be in effect only until the next general election at which time the membership shall elect a new President Elect for a term dependent upon the current situation 10. Each Director shall be entitled to one vote. 11. Directors retiring from office shall be deemed to hold office until conclusion of the meeting at which they retire. 12. The Federation may, by special resolution, remove any Director before the expiration of their term of office and may elect another person in their stead; the person so elected shall retire from office at the same time as the Director who was replaced. 13. Notice of a Director s Meeting shall be given at least one week prior to the date of the meeting, provided, however, that Directors may meet on a regular dates without notice or may, by unanimous consent, meet at any time or place without notice. 14. Two-fifths of the Directors present shall constitute a quorum for the purpose of a meeting of the Directors provided two of the Directors present are officers of the Board. 15. Conference calls involving two-fifths of the Directors shall constitute a bona fide meeting of Directors provided that two of the Directors participating in the conference call are officers of the Board. 16. The Board shall meet not less than four (4) times each year. 17. Any member of the Board absent from three consecutive meetings of the Board shall vacate his or her office unless valid reason for non-attendance is presented to, and satisfies the Board. 18. The powers of the board shall consist of: a) The power to manage all the affairs of the Federation, between annual meetings, in accordance with the bylaws and to do all such things as are not specifically reserved to the Federation in general meeting by the bylaws. b) The power to engage, discharge and determine the duties of employees on such terms as it may direct, to meet the general wishes of the Federation Membership. c) The power to appoint standing or ad hoc committees as it deems necessary. d) The power to borrow, raise or secure payment of money in such manner as it sees fit, except in the form of debentures which may be issued only by express resolution of the Federation in general meeting. e) The power to conduct or to authorize the conduct of fund-raising, activities by public or private subscription or by approach to private or public bodies. 5 f) The power to adopt statements, which shall express the views and opinions of the Federation on matters of public interest. VI. Officers 1. There shall be a President, President Elect, Secretary and a Treasurer, or in lieu of a Secretary and a Treasurer, a Secretary-Treasurer, and any other officers as the Directors may determine from time to time by bylaw. The immediate Past President shall be a member of the Board. 2. The positions of Secretary, Treasurer (or Secretary-Treasurer) and any other Officers determined by the Directors shall be filled by an election process at the Board table. 3. The President, President Elect, Secretary, Treasurer, or Secretary- Treasurer, and the Past President shall constitute the executive officers of the Federation. a) The President shall preside at all general meetings of the Federation and at all meetings of the Board. The President shall be an ex-officio member of all committees. b) The President shall represent the Federation in making official public statements on behalf of the Federation and shall be authorized to delegate this authority. c) The President Elect shall undertake all the duties of the President in his or her absence and such other duties as from time to time may be delegated to him or her by the President, Board or the Executive. d) The Secretary shall be responsible for giving notice of, preparing agenda for and recording the minutes of all meetings of the Federation; the exercise of all legal duties required of the Secretary and such other duties as may be delegated from time to time by the Board. The Secretary may, with the approval of the Board or the executive, delegate one or more of these responsibilities. e) The Treasurer shall be responsible for all the financial transactions of the Federation and such other duties as from time to time may be delegated to him or her by the Board. Specifically, the Treasurer shall be responsible for the receipt of all monies on behalf of the Federation, their acknowledgment and deposit in such a chartered bank or credit union as the Board may decide. He or she shall pay all accounts by cheque written and signed by not less than two persons as the Board shall from time to time direct. He or she shall review and report on all financial matters to the Board, shall prepare an annual budget and shall present a financial statement audited by a chartered or certified general accountant, to the annual meeting of the Federation. The Treasurer may, with the approval of the Board or Executive, delegate one or more of these responsibilities. 6 f) The signing officers of the Federation shall consist of any two officers, or any one signing officer, signing with any employee designated as such by the Board. VII. Meetings 1. The annual general meeting of the Federation shall be held each year on a date to be fixed by the Board. 2. Notice of a general meeting shall be given to the members by means to be decided by the Federation in general meeting or by the Board. 3. The annual, or any other general meeting of the members shall be held in such a place as the Board may determine and on such a day as the Board may appoint. 4. Fifteen (15) members present shall constitute a quorum for the purpose of transacting business. VIII. Custody and Use of the Seal 1. The Seal of the Federation shall be in the custody of the Secretary or such other person as the Board may designate and all papers or documents required to be sealed on behalf of the Federation shall be sealed in the presence of the Secretary and the President or such other person as shall be designated by resolution of the Board. IX. Amendment of Constitution 1. The Constitution and Bylaws may be amended only in the manner provided in The Non-Profit Corporation Act of the Province of Saskatchewan. X. Winding Up 1. Subject to Division XVI of The Non-Profit Corporation Act, in the event of dissolution of the Federation, its property and assets shall, after payment of all debts and liabilities, be donated to one or more recognized charitable organizations in Canada as may be decided by the Federation in a general meeting. 2. In accordance with provisions of The Income Tax Act for the dissolution of a registered charity, the donee(s) must be recognized by the Canada Revenue Agency as a qualified donee under The Income Tax Act.
