1 2018 PROPOSED AMENDMENTS TO GSSA BYLAWS AMENDMENT NO. 1 (SECTION 2.5.9) Purpose of proposed amendment: To clarify that the provision sets the requirement for a quorum of board members to act at a meeting of the board of directors. Proposed Amendment No. 1: Procedure and Quorum Requirements The Board of Directors shall keep regular minutes of its proceedings. The Board of Directors will approve the minutes at the next scheduled meeting. The minutes shall be placed in the minute book of the Association. Eight (8) members of the Board of Directors are required to attend these meetings constitute a quorum at any meeting of the Board, of which no fewer than five (5) must be in physical attendance, in order to transact any business of the Association. AMENDMENT NO. 2 (SECTIONS and 2.7.1) Purpose of proposed amendment: To clarify that there are two separate board positions currently identified as Vice President/Registrar (one for recreational and one for competitive); to separate the two positions into separate sections; and to make other non-substantive grammatical changes. Proposed Amendment No. 2: Vice President/Registrar First Vice President/Registrar (Recreational) Vice President/Registrar (Recreational)/Communications The Vice President/Registrar Recreational/Communications First Vice President/Registrar (Recreational) shall succeed to the office of President in his the President s absence.the Vice President/Registrar Recreational First Vice President/Registrar (Recreational) shall also act as Parliamentarian using Robert s Rules of Order, Newly Revised as a guide. The Vice President/Registrar Recreational First Vice President/Registrar (Recreational) shall, after approval of the Board of Directors, appoint such members as he deems necessary to

2 carry out the functions of his office. He shall be responsible for seeing that an Association representative be available for assisting any group interested in affiliating with this Association. He shall have primary responsibility for the marketing, public relations, and publicity of the Association. The Vice-President/Registrar Recreational First Vice President/Registrar (Recreational) shall be responsible for the registration and eligibility of all recreational players and teams within the jurisdiction of the Association. In addition, and in the interest of association communications, this person will deal with the increasing demand for online, written and occasionally written communication with our GSSA families. The First Vice President/Registrar (Recreational) shall serve as the Association s Communications Director and shall be responsible for the Association s written, electronic, and social media communictions with our GSSA families. In order to be eligible to run as Vice-President/Registrar First Vice President/Registrar (Recreational), an individual must have previously served as a GSSA board member for a minimum of six (6) months. Vice President/Registrar Competitive The Vice President/Registrar Competitive shall succeed to the office of President in his absence, and the absence of the Vice President/Registrar Recreational. The Vice-President/Registrar Competitive shall be responsible for the registration and eligibility of all competitive and academy players and teams within the jurisdiction of the Association. He shall chair the Competitive Committee. In order to be eligible to run as Vice-President/Registrar, an individual must have previously served as a GSSA board member for a minimum of six (6) months Second Vice President/Registrar (Competitive) The Second Vice President/Registrar (Competitive) shall succeed to the office of President in the absence of both the President and the First Vice President/Registrar(Recreational). The Second Vice President/Registrar (Competitive) shall be responsible for the registration and eligibility of all competitive and academy players and teams within the jurisdiction of the Association and shall chair the Competitive Committee. In order to be eligible to run as Second Vice President/Registrar (Competitive), an individual must have previously served as a GSSA board member for a minimum of six (6) months.

3 2.7.1 Executive Officers The Board of Directors shall be elected for a term of two (2) years (with the exception for Age Group Commissioners who are elected for one (1) year terms) and may succeed themselves in office. Any Board of Directors that desires to seek election to another office must first resign the Office he is holding, prior to the election. A candidate may only run for one Board position per election. 4 Age Group Commissioner Adult (Elected each year) All officers shall be elected by the general membership. Executive Officers must be at least 18 years old. The Board shall have no more than two (2) Executive Officers at any time affiliated (board member, coach or staff) with any outside soccer club or team. President and vice-president cannot be affiliated (board member, coach, or staff) with any outside soccer club or team (excluding public or private school). Any person who desires to run for a Board position must declare their candidacy in writing to the GSSA nominating committee by the close of the April Board of Directors meeting. AMENDMENT NO. 3 (SECTION ) Purpose of proposed amendment: To reflect the prior change in name of the Association s competitive club from Grapevine-Southlake Soccer Club (GSSC) to Thunder FC. Proposed Amendment No. 3: Competitive Committee The Competitive Committee shall be comprised of five (5) or seven (7) members, which shall include the Vice President Competitive, who shall preside as committee chairman. The Chairman will appoint the remaining committee members, which shall consist of at least one, non-gssa board member, and shall not include the Grapevine-Southlake Soccer Club (GSSC) Thunder FC Director of Coaching (DOC). The committee shall be responsible for oversight of the competitive and academy programs or any non-recreational aspect of GSSA (collectively referred to herein as Competitive ) and providing general direction and making recommendations to the Board regarding Competitive. These areas should include, but not be limited to, working with the Grapevine-Southlake Soccer Club (GSSC) Thunder FC Director of Coaching for improvements to its competitive and academy program, help to review contracts and pricing models for club and academy programs, and recommend changes to the board for club and academy programs for the benefit of GSSA and GSSC, including Thunder FC. The Competitive Committee shall meet at the discretion of the committee chairman, but it is expected that this should occur on no less than a monthly basis. All findings and recommendations from the Competitive Committee, in the form of meeting minutes, shall be submitted to the GSSA board at its regular monthly meeting. Any change to the GSSC Thunder FC competitive or academy programs shall be approved by a majority vote of the GSSA board at its next scheduled monthly meeting.

5 AMENDMENT NO. 4 (SECTION and 2.7.1) Purpose of proposed amendment: To replace the position of Scheduler with the position of Secretary. Proposed Amendment No. 4: Scheduler Secretary The U4-U8 Scheduler will be responsible for the scheduling of games played by teams governed by this Association. This would include teams playing within an organization selected by the Executive Committee. The secretary shall attend meetings of the board of directors and of the membership and record all business transacted at such meetings in a minute book to be kept for that purpose and shall perform like duties for the standing committees when required.
