1 Baja SAE Constitution ARTICLE I. NAME The name of this organization shall be Clemson University Baja SAE. (CUBAJA) ARTICLE II. PURPOSE The purpose of the organization shall be: a. To function as a student organization for all students of Clemson University. b. To endorse participation in the organization. c. To enhance member s academic, intellectual development, cultural interaction, critical thinking, leadership, and social skills. d. To design, build, promote and race an off-road vehicle in the international Society of Automotive Engineers Student Design Competition called Baja SAE. ARTICLE III. MEMBERSHIP AND DUES Membership in this organization shall be open to all registered Clemson University students, faculty, and members of their families. Students are full members. Membership is free from any restriction based on age, color, disability, gender, national origin, race, religion, sexual orientation, veteran status, or educational major; other persons joining are associate members. Three tiers of membership will exist in the organization: 1. Executive Committee Member the main officers of the organization as defined in Article V, Section 1 sub-section a. 2. Divisional Leader the engineering and business group leaders 3. General Membership all members not in one of the above listed positions, and first year team members. Membership is obtained by completing all of the following requirements: 1. Full payment of dues, which shall be set at $20.00 per semester. 2. Completion of all forms and information as requested by the executive committee. The executive committee is responsible for publishing such forms before the beginning of the school year. 3. Satisfactory commitment to team activities as deemed by the executive committee. This clause is seldom used, but is retained in the constitution to

2 discourage members from completing the paper portion of membership in order to receive a resume booster Section 4. Section 5. Should a student member fail to complete full dues payment and make an unsatisfactory commitment to the team the executive committee reserves the right to remove the member from the membership or from his or her leadership role. The duration of membership is defined as the period from the completion of membership requirements to the first day of classes the following school year. ARTICLE IV. MEMBER CONDUCT All members, and students associated with, CUBAJA are expected to hold their self to the highest honor and to uphold the Clemson Honor Code during their time with CUBAJA. The executive committee reserves the right to remove, from membership, any student found in violation of Article IV, Section1. The executive leadership may decide to pursue further charges with the Office of Community and Ethical Standards (OCES) and/or law enforcement. The offending parties may be excluded from the member removal discussion per the discretion of the tier 1, non-offending members. ARTICLE V. OFFICERS The Executive Committee a. The Executive Committee (Tier 1) shall consist of the Team Captain (President), Chief Engineer (Vice President), Chief of Marketing (Secretary and Treasurer). b. The Executive Committee is responsible for overall policy and direction of the team, and delegation of duties for day-to-day operations to the team s group leaders. The Divisional groups (Tier 2) shall be defined as the group of members delegated to conduct the team s engineering and business divisions. The Divisions are as follows: Design, Manufacturing and Marketing. Tier 1 leaders may also serve as tier 2 leaders, although this is strongly discouraged in order to facilitate better team management practices. a. The Design team will consist of sub-systems that are as follows: Steering, Suspension, Chassis, Braking and Outboard, and Drivetrain. Each sub-system will have a sub-system lead that will lead their sub system in the design

3 process and keep the sub-system team on schedule. The design team reports directly to the Chief of Engineering. b. The Manufacturing team will consist of a Shop Foreman and a Manufacturing Engineer. Duties of this leader are to maintain an available and specific list of tasks that can be worked on around the shop, conduct all safety matters for the team, and teach proper safety principles in the shop. The Manufacturing Team reports directly to the Chief of Engineering. c. The Marketing Team will consist of a Sponsorship Coordinator and a Membership coordinator. The sponsorship coordinator must work towards getting sponsors for the team and work with the marketing team to discuss what different sponsors want in return. The Membership coordinator will plan all recruiting events also work the marketing team to plan events to better CUBAJA s image. The Marketing Team reports directly to the Chief of marketing. Duties and power: a. Role of the Team Captain (President) The duties of the team captain shall be to organize and maintain the team, preside at all board meetings, and appoint team leads. The team captain will be an aid for the marketing team in attracting new members and the membership process. It shall be the responsibility of the team captain to create and maintain the team structure conducive to the timely completion of the team s goals; along with being the chief of team communications as well as the chief purchasing agent for the team. Finally, the team captain shall be the official representative to the team. b. Role of the Chief Engineer (Vice-President) The duties of the chief engineer shall be to oversee the engineering design of the Baja SAE car. This includes planning meetings with the respective design team leads, setting testing and research objective and plans, and planning and coordinating the completion of the design of the Baja SAE car. The chief engineer is responsible for maintaining CUBAJA s data and computer resources. The Chief of Engineering shall be responsible for meeting with all design leads and submitting design report. c. Role of the Chief of Marketing (Treasurer and Secretary) The duties of the chief of marketing shall be to keep accurate and complete record of all monetary transactions and to collect the club dues, oversee any fundraising efforts. They will be designated the business team leader, and will oversee the marketing team in sponsor recruitment, sponsor and public relations, and marketing of the team. The chief

4 of marketing shall also be responsible for coordinating team reimbursement requests, approving all team purchases, and must disburse fund money in accordance with the regulations of the university. Also, their duties shall be to coordinate and oversee any amendments to the constitution, to be responsible for making sure minutes are taken at each meeting and are available to the team. The Chief of Marketing will monitor and record attendance and work alongside the marketing team to organize recruiting efforts. The Chief of Marketing shall be responsible for submitting cost reports and sales Presentation. Section 4. Role and positions of group leaders a. Suspension leader The duties of the suspension leader shall be to ensure that the group working on the suspension of the vehicle is working toward completion and is on schedule. b. Braking and Outboard leader The duties of the braking and outboard leader shall be to ensure that the group working on the braking and outboard of the vehicle is working toward completion and is on schedule. c. Steering leader The duties of the steering leader shall be to ensure that the group working on the steering of the vehicle is working toward completion and is on schedule. d. Drivetrain leader The duties of the drivetrain leader shall be to ensure that the group working on the drivetrain of the vehicle is working toward completion and is on schedule. e. Chassis leader The duties of the Chassis leader shall be to ensure that the group working on the chassis of the vehicle is working toward completion and is on schedule. Section 5. Officers Candidacy a. The board members shall be elected after completion of all competitions and before the beginning of the next school year.

5 b. Board members must be full-time students in good standing with the organization. c. The candidates shall be nominated by the nominations from the floor. d. Voting Shall be by ballot e. A majority (1/2) of all votes cast shall be necessary for election. f. If an office is left vacant, the remaining officers may appoint someone to fill the vacancy until the next election. ARTICLE VI. ADVISOR The selection of an advisor is at the discretion of the executive committee The advisor must be a full-time university employee. The advisor shall provide consultation for the team when requested. ARTICLE VII. MEETINGS The team captain is responsible for organizing team meetings. They shall decide the appropriate frequency of the meetings, but shall hold meetings at an interval of no longer than 1 month, bi-weekly is suggested. Divisional leaders are expected to hold weekly meetings with their divisional members. ARTICLE VIII. QUORUM Two-thirds of the membership of this organization shall constitute a quorum to transact business and for the swearing of amendments to this constitution. All team operations are to be conducted with the consent of the Tier 1 group as a whole. ARTICLE IX. AMENDMENTS Proposed amendments shall be submitted in writing and read at a regular meeting and shall be acted on at the following meeting. A quorum is required for voting to be conducted. A two-thirds (2/3) majority vote shall be required for amendments to be ratified. ARTICLE X. RATIFICATION A 2/3 majority of those present at the first meeting of the newly formed organization shall be necessary to ratify this constitution.
