An application fee amounting to Rs (Rupees one thousand )only in the form of Demand Draft in favour of Indian Institute of Management Calcutta and payable at Kolkata must be submitted along with the bid document. The Companies/Firms/Agencies/Contractors should have reputation with at least three years experience in providing similar services to Public Sector Companies/Government Departments/Research Organizations / Reputed Private Sector Companies etc. A list of present clients, to whom the vendors are providing/ have provided similar services in the last three years, should be enclosed with the tender document. Institute reserves the right to accept/reject any tender either in part or whole, without assigning the reasons thereof. In case of overwriting and non-clarity of figures, the tender is likely to be rejected. Earnest Money Deposit An amount of Rs.10,000/- (Rupees Ten thousand) only by Demand Draft in favour of the Indian Institute Management Calcutta, payable at Kolkata. The EMD of the successful bidder will be kept as Security Deposit during the period of contract and will be returned without any interest after completion of the contract period. The EMD of the remaining bidders will be retuned without any interest within 30 (thirty) days from the date of issuance of work order to the selected bidder. All the areas mentioned in the tender documents are to provide an overall idea of the work to be done. However, minor variations shall not entail the contractor to any additional claim thereof. This may also please noted that the surrounding places of the areas mentioned above, where water accumulates after rain, also need to be treated in the same manner. 7 7 GENERAL TERMS AND CONDITIONS 1. Evaluation of Lowest Tenderer: The Lowest Tenderer will be selected based on the rate quoted by the vendor for Sl. No.1. However, the L1 vendor thus selected will be required to carry out the works as mentioned in Sl. Nos. 2, 3 & 4 at the lowest rate quoted by the other vendors for the respective items. 2. Specified Pesticide/chemicals should be spread in and around the rooms, toilets, drains, high drains etc. of the above areas (as applicable) and properly trained persons should be deputed regularly for carrying out the entire job in a smooth and uninterrupted manner. Maintenance of proper register duly certified by the respective users, for keeping proper records, should be the Agency s responsibility. 3. Amendment of tender Document: At any time prior to the last date of receipt of bids, Institute may for any reasons, whether at its own initiative or in response to a clarification requested by prospective bidder, modify the Tender document by an amendment. 4. The Institute may, at its own discretion extend the last date for the receipt of bids. 4. If the Company/Firm/Agency/Contractor fails to carry out the job entrusted to him by the Institute, the Company/Firm/Agency/Contractor shall indemnify the Institute against any losses arising out of such failure, and will hold the Institute harmless. The decision of the Institute for determining penal amount, subject to a maximum of 10% of the bill value, will be treated as final and binding. 5. The monthly charges will become payable to the Company/Firm/Agency/Contractor within 30 working days after receipt of the bill to be paid by A/c Payee Cheque/ RTGS. 6. For any dispute arising out of this agreement shall be referred to the sole Arbitrator to be nominated by the Director of the Institute, whose decision shall be final. The venue of the arbitration shall be within the jurisdiction of Kolkata Court only. 7. Period of Contract: The Contract shall be valid initially for a period of two years from the date of commencement of contract, which may be extended for a further period of one year on satisfactory performance. However, IIMC reserves the right to terminate the Contract at any time during the currency of the Contract due to unsatisfactory performance of the Agency, by giving one month s notice, without any liability to IIMC.

8 8 TERMS & CONDITIONS OF CONTRACT 1. The Tenderer submitting his Tender would be deemed to have considered and accepted all the terms and conditions of Tender. No verbal or written enquiries shall be entertained in respect of acceptance or rejection of the Tender. 2. If the bidder gives deliberately wrong information to create conditions for acceptance of the tender, Director, IIMC reserves the right to reject such tenders without assigning any reason. Not more than one tender will be submitted by one bidder for the same work. Legal action will be taken for furnishing wrong information. 3. The successful Tenderer shall have to follow all the instruction given to him/them from time to time by the Competent Authority or person nominated by him. 4. The successful Tenderer shall maintain a register for the routine instructions. 5. The successful Tenderer will furnish the full particulars (Brief Resume) of the staff engaged by him for the Pest Control Services at IIMC within fifteen days from the award of tender. 6. The successful Tenderer shall provide uniform and identity cards to his workers within one month from the date of commencement of work. The worker shall always possess the identity card while at work and produce the same on demand. 7. The successful Tenderer shall be liable to pay compensation for any loss or damage caused to the property of the Institute under the contract. 8. The contractor is responsible for any illegal activity of the employee done by him during his work / presence in the Institute Campus Premises. 9. The successful Tenderer shall comply with all instructions/direction/rules and regulations of any statutory authority and discharge all obligations, imposed upon him by the statutory authorities or under any law and shall indemnify the Institute and officers/employees from any claim or consequences /damages for any lapse or non-compliance thereof. 10. The successful Tenderer will be responsible for any accident or mishap or death of workers engaged by the successful Tenderer and any claim made on this account will be paid by the successful Tenderer, who will also indemnify the Institute from any claim in this regards. 11. The successful Tenderer and his worker shall abide by the rules and regulations of the Institute as well as directions/instructions issued by the Director of Institute or on his behalf by the authorities from time to time and violation of which may result in cancellation of the contract.

In the event of infringement of any law by any of the workers engaged by the successful Tenderer, Tenderer shall be under obligation to change the worker immediately on the instruction of the Institute authorities. 13. DISPUTE:- (i) (ii) (iii) If any dispute or difference arises between the parties relating or concerning or to interpretation of the contract or any alleged breach thereof or any matter relating to the contract, the same shall be settled by the parties as far possible by mutual discussion and consultation between themselves, whether the same has arisen during the subsistence of the contract or thereafter. In the event of any dispute or differences arising in connection with the contract arising out of this Tender whether during the subsistence of the contract or there after not being settled in aforesaid manner, the matter shall be referred to the Director, IIMC or his nominee not below the rank of Deputy Director /CAO for arbitration whose decision shall be final and binding on both the parties. The proceedings before the arbitrator would be governed by the provision of the ARBITRATION AND CONCILIATION ACT, The courts of Kolkata shall have exclusive jurisdiction in all matters arising out of this Tender. 14. The workers of the successful Tenderer shall not be treated as employees of Institute in any case and successful Tenderer will be solely responsible for their affairs and will be under obligation to comply with the statutory obligation. These workers will have no claim whatsoever, to be treated as employees of the Institute. 15. The contractor shall have to ensure necessary payments on account of EPF, ESI and any other statutory liability as employer on behalf of persons deployed by him for this office to perform jobs, be made in time. 16. The successful Tenderer will have to abide by the Minimum Wages Act-1948 (as per Central Govt.) and other statutory Labour laws, rules and regulation as applicable in the Govt. Any liability arising on the Institute as principal employer shall be deducted from the bills of the successful Tenderer and the full amount shall be recovered from the security money and subsequent monthly bills of the successful Tenderer. 17. All necessary requirements under the Explosive Act, 1884, Explosive Substances Act, 1908 and Drugs (Control) Act, 1950 for the performance of the contract if required will have to be arranged by the successful Tenderer. The Institute in no way will be responsible for any violation of these acts in case the Tenderer has the required certificate, under the provision of said Acts he may enclose the copy of the same with the Tender. 18. The Tenderer are suggested to carefully go through the terms and conditions of the document before offering his/their rates. The Tenderer is also advised to take a round of the entire Institute during working hours to know existing setup. 19. The successful Tenderer will have to take over the entire Pest Control Services at IIM Calcutta including Residential Campus Area, as per requirement of the Institute.

10 PERIOD OF CONTRACT:- The Contract shall be valid initially for a period of two years from the date of commencement of contract, which may be extended for a further period of one year on satisfactory performance. However, IIMC reserves the right to terminate the Contract at any time during the currency of the Contract due to unsatisfactory performance of the Agency, by giving one month s notice, without any liability to IIMC. The satisfaction of the Institute in this regard shall be final. The successful Tenderer will have to continue the work even after the completion of contract till the time new arrangement is made by the Institute. In case of extension of contract, the contractor is bound to increase the validity and/or amount of the performance bank guarantee or submit a fresh one to the tune of the contract value, as required by the Institute. The Institute will forfeit the security deposit in the event of abandonment of contract by the Tenderer before the two years period from the date of execution of agreement. 21. TAXES AND DUTIES: - The total value of Comprehensive AMC charges should be inclusive of all taxes except Goods & Service Tax levied by the Central Government shall be paid on actual by the Institute subject to the production of documentary evidence/challan of deposit in the bank/statement of service tax account submitted to the service tax authorities against the receipts of payments received from the Institute by the successful Tenderer. 22. PLACE:-The place of Pest Control Services is IIM Calcutta including Residential Campus and Hostel areas. 23. PAYMENT:- (i) The payment will be made within a 30 days on monthly basis, subject to satisfactory performance during the month. (ii) No claim for any price escalation during contract shall be entertained. 24. PENALTY: - Penalty will be 200/- (Rupees Two Hundred) per day, if the service is not carried out satisfactorily. 25. STAMP DUTY: - Stamp duty leviable on agreement to be executed between the Institute and Successful Tenderer shall be born e by the successful Tenderer. 26. NOTICE PERIOD FOR ABANDONMENT OF CONTRACT: - Either party shall be entitled to abandon the contract after serving three month notice in writing to the other party regarding abandonment of contract. However, the successful Tenderer who is handling the contract shall have to continue the work even after expiry of the notice period of three months till an alternative arrangement is made by the Institute. No compensation of claim in the event of such abandonment shall be admissible to the successful Tenderer. 27. TERMINATION OF AGREEMENT:- (i) After giving opportunity of being heard to the successful Tenderer, Institute may terminate/cancel the agreement on the following grounds:- (a) Breach of any or all terms and conditions of agreement. (b) Non-performance or unsatisfactory performance of work executed by the successful Tenderer.

11 11 (c) At any time document or information furnished with Tender is found forged or fabricated during the subsistence of the contract. (ii) Notwithstanding to any provision of the contract, if the contract is terminated by the Institute, and the Institute has to award the work to other party on higher rate, the successful tenderer has to compensate the difference of cost for entire remaining period of contract to the Institute. SCOPE OF WORK:- To execute the integrated pest control measures at IIM Calcutta (including Residential Campus & hostels) including the surrounding areas within the boundary wall of IIM Calcutta Campus 1. The integrated pest control measures taken care off at your end shall be such that the entire IIMC Campus (All the Students Hostel side, Residential Programme Building side, TATA Hall, Administrative Building side, Residential Campus Quarter side, AC Plant Building, Sub-station Building and Medical Unit Building) shall be free from arthropods and insects like cockroaches, bedbugs, spiders, silver-fish, house-files, mosquitoes, rodents and snakes. In addition the total campus shall be free from any kind of termite. 2. The integrated pest control measures taken care off at your end shall be such that the entire IIMC Campus including Residential Campus) including the surrounding open area within the boundary wall shall be free of arthropods and insects like cockroaches, bedbugs, spiders, silver-fish, houseflies, mosquitoes, rodents and snakes. 3. The environment required in entire Campus specified at Para (1) & (2) above shall be strictly adhered from your end. All the necessary pest control measures/inputs required for the same are included in the total contract price. Any other integrated Pest Control Measures which is not specified but implied to this contract. 4. The Institute reserves the right of altering the specifications of works of adding to or omitting any items of work or of having portions of the same carried out departmentally or otherwise and such alterations and variations shall not violate this agreement. 5. Any personnel found misfit or including into indiscipline Act or found medically unfit shall be immediately removed and immediate replacement accordingly shall be made by the agency at the same time at no extra cost. 6. Representative of the agency shall meet authorised Officer on a regular basis to apprise the position and situation and or to discuss any matter concerning for personnel. 7. The service provider shall provide, manage and operate a comprehensive system of pest control management in accordance with the current industrial standards and the provision s of this service level specification. 8. To control mosquitoes (all type), agency has to fog with fogging machine or Power Spray Machine as and when requirement by the Institute. Fuel for the same will be borne by the Contractor. 9. Any other integrated measures which are not specified but required shall be part of the scope of work.

12 The agency shall be absolutely responsible for the payment of salary and all other statutory obligations for the workers employed on account of satiety/wages bonus, arrears, employment, termination benefit, compensation or other claim whatsoever and the IIMC has no connection in relation to such matters. 11. In case of any mishap sustained by employees of Contractor of whatsoever mature (minor/major) the responsibility of granting compensation, if any, on the count will be that of the Agency. 12. The Contractor shall furnish the names, permanent & local addresses and Police Verification Report, of the Pest Control Workers being posted at IIMC premises along with their latest Photographs. We assure the Institute that neither I / We nor any of my /our workers will do any act/s which are improper/illegal during the execution of the contract awarded to us. 2. Neither I / We nor anybody on my /our behalf will indulge in any corrupt activities/practices in my/our dealing with the Institute. 3.
