1 BEFORE THE PUBLIC SERVICE COMMISSION OF THE STATE OF MISSISSIPPI 4-COUNTY ELECTRIC DOCKET NO UA-028 POWER ASSOCIATION IN RE: PETITION OF 4-COUNTY ELECTRIC POWER ASSOCIATION FOR A CERTIFICATE OF PUBLIC CONVENIENCE AND NECESSITY AUTHORIZING IT TO CONSTRUCT A NEW SUBSTATION FACILITY IN CLAY COUNTY, MISSISSIPPI (TRIATHLON SUBSTATION) RECOMMENDED ORDER GRANTING CERTIFICATE OF PUBLIC CONVENIENCE AND NECESSITY THIS CAUSE came to be heard on the 24th day of March, 2014, before Northern District Public Service Commissioner Brandon Presley, upon the Petition of 4-County Electric Power Association ("4-County") for a Certificate of Public Convenience and Necessity authorizing construction of a new 161:12.47kV electric substation in its certificated area in Clay County, Mississippi. The Commission, having heard and considered the Petition and the proof offered thereon at the hearing as required by Miss. Code Ann (4), and finding that the public convenience and necessity requires, and will require, that 4-County be granted a permanent certificate to construct, operate and maintain the said substation facility, and upon the recommendation of the Public Utilities Staff ("Staff') does hereby find and orders as follows: 1. The Petition was filed with the Commission on February 3, 2014, and said cause was returnable to the next regular meeting of the Commission to be held on March 4, Notice of the matter was given as required by law by publication in, on February 7, 2014, in the Daily Times Leader, being a daily newspaper of general circulation and published in West Point, Clay

2 County, Mississippi; and by publication on February 9, 2014 in The Clarion Ledger, being a newspaper of statewide circulation; and by mailing such notices to each Interested person as defined in RP of the Mississippi Public Service Commission Public Utility Rules of Practice and Procedure to each public utility that may be affected by an Order resulting from the Petition and hearing, said notice having been in strict compliance with the law and having been, in the judgmentof the Commission, such reasonable notice of such hearing to all persons interested therein as is necessary under the law and under the rules and regulations of the Commission. 2. No objections or protests to the granting of a certificate to 4-County have been filed. No protestants appeared at the hearing on said cause, and no objections have been made to the granting and issuance of this Order County is a public utility as defined by Miss. Code Ann (d)(i) and is engaged in the distribution of electric energy to serve its members located in Clay, Lowndes, Noxubee, Oktibbeha, Monroe, Choctaw, Chickasaw and Webster counties, Mississippi. The Commission has jurisdictionover 4-County and the subject matter of this cause. 4. In order for 4-County to improve reliability and quality, the construction of the Triathlon 161:12.47kV Substation is necessary to provide dedicated electric service to the Yokohama Tire Plant presently under construction in Clay County and to accommodate its projected future needs for electric service.

The facility for which 4-County seeks a Certificate of Public Convenience and Necessity to construct in Clay County, Mississippi, is more particularly described as follows: TRIATHLON SUBSTATION: The Substation will be a three-phase, alternating current Substation, with a high side voltage of 161,000 volts and a low side of 12,470 volts nominal. The Substation will initially have one transformer rated 18/24/30 MVA, OA/FA/FA, with a lineup of three vacuum line circuit breakers. The Substation will be constructed with the necessary high side structures to connect to a second transformer of like size as needed to serve future loads. 6. The Triathlon 161:12.47kV Substation is necessary to provide dedicated electric service to the Yokohama Tire Plant presently under construction in Clay County and to accommodate its projected future needs for electric service. 7. The Triathlon Substation described herein is needed and required in order for 4-County electric to have the required supply of power to serve the Yokohama Tire Facilities and the immediately foreseeable requirements of its members within its certificated area in Clay County. In order for 4-County to adequately serve the Yokohama Tire Facility and the electric requirements of its members, it is necessary that 4-County be granted a Certificate of Public Convenience and Necessity authorizing it to construct, operate, and maintain the Triathlon Substation, and appurtenant equipment, all more specifically described herein, all of the same being necessary in order that 4-County shall be able to provide adequate, efficient and reliable electric service to the Yokohama Tire Facility and its members.

The construction and operation of the Triathlon Substation will not duplicate any similar facilities of any other public utility, nor will the operation thereof duplicate or interfere with the operation of services of any other public utility County is ready, willing, and able to construct, operate and maintain the Triathlon Substation that is the subject of the Petition. The Public convenience and necessity will require the issuance by the Commission of this Certificate of Public Convenience and Necessity authorizing the Construction, operation and maintenance of the Triathlon Substation as fully set out in the Petition. IT IS THEREFORE ORDERED that the Commission, having determined that public convenience and necessity requires the awarding of this certificate, orders that the Petition of 4- County for a Certificate of Public Convenience and Necessity in this proceeding is granted to 4- County to construct, operate and maintain the proposed Triathlon Electric Substation. IT IS FURTHER ORDERED that the Petition of 4-County for Filing of Confidential Document Under RP of the Utilities Rules ofpractice and Procedure and the same hereby is granted, and The Agreement filed separately with the Petition For Filing of Confidential Document shall be treated confidential under RP of the Public Utilities Rules ofpractice and Procedure. IT IS FURTHER ORDERED that this Order shall be deemed issued on the day it is served upon the parties herein by the Executive Secretary of the Commission, who shall note the service date in the file of this docket.

5 IT IS FURTHER ORDERED that the parties may within fifteen (15) days from the date of entry of this Recommended Order file exceptions to the Recommended Order for the review of the full Commission in accordance with Miss. Code Ann If no exceptions are filed, the Recommended Order shall become the Order of the Commission.
