3 To, All eligible tenderers NOTICE INVITING TENDER Sub: Invitation to bid for Printing & Supply of 6.00 Lakh (Six Lakh) books of Withdrawal Slips(100 leaves each) to Syndicate Bank, Stationery & Records Division, General Administration Department Head Office: Manipal Udupi Dist. Karnataka State. This is an invitation for bid from reputed printers on All India basis for printing & supply of 6.00 Lakh (Six Lakh) books of Withdrawal Slips ( 100 leaves each) to HO: SRD, Manipal Udupi Dist. Karnataka State and 23 Stationery Pools pan India as per Bank s requirement. The Bank may at its discretion, increase the requirement and place orders subsequently within the validity or the extended validity of the Bid up to 25%, or decrease the requirement up to 25%. The bidders are requested to go through the tender enquiry document carefully, and submit the tenders in sealed cover duly signed superscribed as follows: Technical Bid for printing and supply of 6.00 Lakh (Six Lakh) Books of Withdrawal Slips. The Technical Bids will be opened at 3 p.m. on at HO: SRD Building, Manipal , Karnataka State. Furnish all the information asked for, sign all the pages and submit the Technical Bid in a closed envelop, superscribing as Technical Bid for printing and supply of 6.00 Lakh (Six lakh) Books of Withdrawal Slips on the envelop. Tender enquiry document will be available on Bank s website from to up to 1.00 PM for downloading. The bids will be finalized through the process of Reverse Auction. Bidders are requested to go through the Rules for Reverse Auction as detailed in Annexure - IV. Mode of payment: 92% of the value of Books of Withdrawal Slips on submission of delivery confirmation letter signed by Head of the concerned Stationery Pools/ SRD and 8% after DLP. 15 Liquidated damages 0.25% per week or part thereof for the delayed quantum of supply for delayed supply 16 Performance Guarantee [in lieu of Security Deposit of 8% deductable on each Bill] subject to a maximum of 5% of the contract value. For 8% of the contract amount (Basic price of 6.00 Lakh Books of Withdrawal Slips) valid till completion of DLP period with the unconditional letter of acceptance within 15 days of the date of letter of intent. If the supplier fails to submit the Bank Guarantee along with the unconditional letter of acceptance within the stipulated period, the Bank reserves the right to invoke the Bank Guarantee for the Earnest Money Deposit and cancel the purchase contract. 4

5 17 Escalation of Price No escalation permitted. Prices shall be firm. 18 Tender Validity 6 months from the date of opening of Technical Bid 19 Delivery Period 1 lakh withdrawal books containing 100 slips each within 30 days from the date of test check/ final approval of proof by the Bank. Balance 5 Lakh withdrawal books to be supplied within next 5 months at the rate of 1 Lakh per month to HO:SRD and the identified stationery pools. Proof is to be submitted to HO:SRD within 10 days from the date of print order. 20 Sample Books of 5 specimen Books of Withdrawal Slips are required to be sent withdrawal slip along with Technical bid. Further, 5 specimen Books of Withdrawal Slips of our Bank to be supplied by L1 Bidder for approval of the proof and test check and there after bulk printing to be started after our confirmation only. 21 Quantity 6.00 ( Six Lakh) Books of Withdrawal Slips containing 100 leaves 22 Tax/VAT/Cess/other levy if any 23 Packing and Dispatch each. The offer must be in Indian Rupees only and the prices shall be inclusive of packing, door delivery charges, Transportation charges/transit Insurance etc. and excluding GST. The price shall be firm and binding without any escalation whatsoever, till the date of supply of entire lot of 6.00 Lakh (Six lakh) Books of Withdrawal Slips. Withdrawal slip books shall be packed and dispatched to Bank s 23 Stationery Pools and HO: SRD at Manipal. Please, refer to Part A Technical Bid in page No.19, for details. 24 Flexibility After the Bid is accepted, during the supply period the Bank has an option, either to enhance or reduce the requirements up to 25% of 6 lakh books of Withdrawal Slips on same Terms & Conditions. The repeat orders either in full or part may be placed with L1 bidder and/ or L2 bidder as the Bank decides to place, depending upon the performance / supply of the main order. In such case the Bank at its sole discretion may place the whole/ part of the repeat orders with L1 bidder or L2 bidder in the same proportion of original order. In case the L1 bidder or L2 bidder is not able to execute the original order satisfactorily, the Bank at its sole discretion may place the whole/ part of the repeat orders with L1 bidder or L2 bidder only. 6 TENDER DOCUMENT FOR PRINTING & SUPPLY OF BOOKS OF WITHDRAWAL SLIPS GENERAL INFORMATION AND INSTRUCTIONS TO BIDDERS 1. Syndicate Bank (hereinafter called the Bank ), having its Head Office at Manipal, (Karnataka State) invites sealed tenders from the printers who satisfy the Pre-Qualification Criteria specified below, to print & supply of 6 Lakh (Six Lakh) books of withdrawal slips as per the specification given in Technical Bids to Bank s HO SRD at Manipal and Stationery pools at various places. 2. Cost of Tender Document: Tender documents may be obtained from Syndicate Bank, Stationery & Records Division, Head Office, Manipal on payment of a nonrefundable Tender Document Fee of Rs. 5,000/-(Rupees Five thousand only) in the form of DD favoring Syndicate Bank, payable at Manipal/ Udupi from to Between 10 AM and 5 PM on all working days and between 10 AM and 1 PM on Payment by e mode is preferred. 3. Tender document can also be downloaded from our web site in which case, tender document fee in the form of DD, favouring Syndicate Bank payable at Manipal/ Udupi, shall be enclosed to the Technical Bid; otherwise the bid is liable for rejection. 4. Earnest Money Deposit (EMD): EMD for Printing & Supply of 6 Lakh (Six Lakh) Books of withdrawal Slips is Rs 3.00 Lakh ( Rupees Three Lakh only).the EMD shall be made by way of Demand Draft favouring Syndicate Bank, payable at Manipal / Udupi or by an irrevocable Bank Guarantee for equivalent amount. (as per Bank s format in Annexure), valid for a period of 12 months from the date of opening of Technical Bid, issued by any Scheduled Commercial Bank (other than Syndicate Bank) or Foreign Bank in India favouring Syndicate Bank. The EMD shall be enclosed in the cover containing the Technical Bid. Bids without EMD shall not be considered. 5. Performance Guarantee: BG to the extent of 8% of the contract amount (Total cost of the 6 Lakh) Books of withdrawal Slips, inclusive of all costs, proposed to be printed and supplied by the printer valid till completion of 12 months from the date of supply of last lot of Books of withdrawal Slips in lieu of deduction towards security Deposit/ Retention money. If the printer fails to submit the Bank Guarantee (as per Bank s format in Annexure) along with the unconditional letter of acceptance within the stipulated period, the Bank reserves the right to invoke the Bank Guarantee for the Earnest Money Deposit and cancel the purchase contract. 6. Authority to submit Bids: Only authorized personnel of the firm or organization shall sign the BID. The proposal must be accompanied with an undertaking letter duly signed by the designated personnel providing a Bid commitment. The letter should also indicate the 6

7 complete name and designation of the designated personnel. Necessary resolutions/ authority/ Power of Attorney available shall be enclosed. In case the principal bidders authorise their business partners or authorised distributors to bid on their behalf, a separate Authorisation letter as per format (Letter of Authorisation to bid) enclosed, along with a commitment to fulfill the terms of tender should be submitted. 7. Minimum Pre-Qualification Criteria: The bidder should be a profit making company/firm having registered profit in two out of the Immediate 3 preceding financial years ending a) The Bidders should have at least 5 years experience in printing and supplying to Banks/ State/ Central Govt. Departments, PSUs, other Corporate Bodies as on b) The bidder should be a profit making company/firm having registered profit in two out of the Immediate 3 preceding financial years ending c) The Bidder submitting the Bids should be a Company/ Firm owned by him for executing the printing job (duly licensed by the concerned authorities) and having an average Turnover of Rs. 200 Lakh from its operations in India in the immediate preceding 3 financial years ending d) The bidders should have printed and supplied a minimum of 4 Lakh Books of withdrawal Slips to Banks in a single order in the immediately preceding 3 years ending books of Specimens of withdrawal Slips printed by the printer are to be enclosed along with the Technical Bids. e) The Printer must not be blacklisted or debarred in any Public Sector Banks or other Govt. Departments/ Undertakings/ Institutions. Documentary evidence to confirm all the pre qualification criteria should be enclosed. Self attested copies of Audited Balance Sheets and P&L Accounts, Work Order copies, and satisfactory job completion reports for the last 3 financial years ending shall be submitted (For the year , if the Balance Sheet is not Audited, financial statements are to be submitted, duly certified by CA). Original documents have to be produced to the Bank after the technical bid is opened, in case it is needed for cross verification by the Bank, failing which the bids are liable to be rejected. The quality of the specimen Books of withdrawal Slips are to be enclosed in the Tender will be taken into account, while short listing the bidders for Pre qualification. Bidders should be capable of supplying 1 Lakh Passbooks per month. Tenders are invited from Bidders on All India basis. Submission of Bids: Bidders should submit the Technical Bid for supply of 6 Lakh Books of withdrawal Slips, conforming to the technical specifications. The Bidders should also give Indicative Price for 6 Lakh Books of withdrawal Slips in a separate sealed cover duly superscribed as Indicative Price Bid for printing & supply of 6 Lakh Books of withdrawal Slips. (Bidders who have down loaded the Tender Document from Website must enclose a DD for Rs. 5,000/-towards Tender Document Fee. Payment by e mode is preferred. Otherwise bid will be rejected) 7

8 All the above mentioned 2 covers shall be placed in a separate cover super scribed as BID FOR PRINTING & SUPPLY OF 6 LAKHS OF WITHDRAWAL BOOKS. The name and address of the bidder shall necessarily be written on the covers. The sealed covers should be addressed and delivered to the Chief Manager/ Senior Manager, Syndicate Bank, Stationery & Records Division, Head Office, Manipal, Karnataka, PIN so as to reach by 1 p.m. on Tenders received after the stipulated date and time shall not be entertained. To avoid any likely delay in delivery by postal authorities/ couriers, the bidders are advised to hand over the tenders personally. 8. Documents to be submitted with bids: Documents required in Technical Bid: Tender Document duly filled in DD towards the cost of tender document, if downloaded from website. DD/ Irrevocable Bank Guarantee in lieu of DD towards EMD Supporting documents in respect of P Q criteria as mentioned in the tender documents. Authorization letter. Last three years ( to ) Audited Balance Sheets and Profit & Loss A/c statement ( For the year , Audited by CA). 5 Specimen Books of withdrawal Slips printed by the bidder. Sealed Cover/s containing indicative price/s. 9. Bid Opening: The technical bids will be opened at 3.00 p.m. on , at Head Office, Manipal in the presence of intending bidders or their representatives who may be deputed to remain present at the time of tender opening. Only one Authorized Representative will be allowed to witness the tender opening upon submitting the authorization letter issued by the Bidder Company/ Firm. 10. Bid Validity: Tender validity period is 6 months from the last date for submission of filled in tenders. The tenders/ offers submitted by the Bidders including the rates quoted by them shall remain valid till the end of supply of all the books of withdrawal slips. 11. Bid Currency and Prices: The offer must be in Indian Rupees only and excluding GST, the price and the charges shall be firm and binding without any escalation whatsoever. 12. Cost of Bidding: The bidder shall bear all the costs associated with the preparation and submission of the bid and the Bank will in no case be responsible or liable for these costs, regardless of the conduct or outcome of the bidding process. 13. Bidders shall submit fully completed bids in respect of all relevant particulars with complete details. Incomplete bids are liable to be rejected. 14. Evaluation of Tender:The tenders received within the due date and time only will be considered for evaluation. 8

9 The Technical bids shall be opened and the qualifications of the bidders will be evaluated to ensure that it conforms to the minimum pre qualification criteria. Technical bids of the bidders who satisfy the prequalification criteria will be evaluated for compliance to the other terms and conditions and also compliance to the availability of the required Machine/ model as mentioned in terms of technical specifications. Any incomplete or Ambiguous terms/ conditions/ quotes will disqualify the offer and the decision of the Bank in this regard is final. 15. REVISED PRICE BID: During the technical evaluation, Bank reserves the right for seeking clarifications/ additional information/ details from the responsive vendors. Further, the Bank reserves the right for seeking revised/ supplementary price bid from the technically qualified vendors. However, unilateral submission/ revision of price bid or clarification/ information from the vendors without the Bank seeking for the same during the process will not be entertained. 16. No change whatsoever will be permitted in the technical bids after opening the quotes. 17. The tenderer shall agree that until a formal agreement on stamp paper is prepared and signed, this tender shall constitute a binding contract between the tenderer and the Bank. 18. The Technical Bids submitted in response to this tender and written clarification submitted and correspondence exchanged with the bidder till the date of acceptance of bid shall form part of the contract document. The successful bidder, on acceptance of his bid by the Bank, shall, within 7 days from the date of intimation of acceptance, sign an Agreement on required stamp paper in the format available as per Annexure 1 in the tender document. 19. Canvassing in connection with tenders is strictly prohibited. 20. Bank reserves the right to cancel this invitation to offer in part or full and also the entire procurement process at any stage without assigning any reason. 21. All the pages of tender document shall be sealed (stamped) and signed by Authorized Signatory as token of having read the entire tender document and understood the instructions, terms & conditions etc. No changes whatsoever be permitted in the tender document and the tender submitted by the bidder shall be strictly as per Bank s format. 22. The Bank at its discretion may split the order at 70% (approximate) to L-1 bidder and 30% (approximate) to L-2 bidder provided the L-2 bidder agrees to supply the books of Withdrawal slips at the same rates as quoted by L-1 bidder. However, if the L-2 bidder does not agree to the above condition or not interested, Bank at its discretion may give 30% to L-3 bidder provided the bidder agrees to supply the Pass books at the same rates as quoted by L-1 bidder and so on. The decision of splitting as above will be at the sole discretion of the Bank, and the Bank may or may not implement the splitting. 23. Notwithstanding anything contained herein above, in case of any dispute, claim and legal action arising out of this RFP, the parties shall be subject to the jurisdiction of courts at Udupi, Karnataka, only. 10 GENERAL TERMS & CONDITIONS INTERPRETATION: In construing these conditions, the specifications and Agreement, the following words shall have the meaning herein assigned to them except where the subject or context otherwise requires: Syndicate Bank or Bank or Purchaser : The term shall denote Syndicate Bank with its Head Office at Manipal and Corporate Office at Bangalore and any of its employees/ representative authorized on its behalf. i) Tenderer / Bidder / Printer :The term shall mean (Name & address of the tenderer) and their heirs, legal representatives, assigns and successors. ii) Supply / Work shall mean the work or works to be done under this contract, as detailed in the Scope of Work. iii) Books of Withdrawal Slips shall mean the Books of withdrawal Slips of the Bank, for printing & supply of which, this tender is floated under this contract. 2. SCOPE OF WORK: The work is for printing & supply of 6 Lakh Books of withdrawal Slips, to be supplied to Stationery Pools of the Bank and to HO :SRD: Manipal with the paper from the printer s stock. 3. EARNEST MONEY DEPOSIT: The tenderer will have to deposit earnest money to the extent and in the form detailed in the Notice Inviting Tender and General Information and Instructions to the Bidders. The earnest money will not bear any interest. In the case of the successful tenderer to whom the contract is awarded, the EMD will be adjusted against security deposit till the contract is performed satisfactorily in all respects. 4. SECURITY DEPOSIT: The security deposit shall be 8% (eight percent) of the contract value. This security deposit will be accumulated by way of retaining 8% from the running payments to ensure satisfactory performance of the obligation of the tenderer as per the contract. On satisfactory completion of the Warranty period, this security deposit shall be refunded without any interest. Alternately, the tenderer may furnish a suitable Performance Guarantee as per approved format from a Scheduled Bank (other than Syndicate Bank) in lieu of deduction towards Security Deposit. 5. The Bidder should have web printing/ other facilities necessary to complete the job within the time prescribed as per the terms and conditions of the tender. The printer shall maintain the specific serial numbers of the books and produce the same in orderly manner to HO:SRD and the relevant stationery pool where the supply is effected. 6. Final proof shall be submitted to the Bank for approval within 10 days from the date of Print order. 7. PRICE: The total price for printing & supply of 6 lakh books of withdrawal slips shall be in Indian rupees only and the prices shall be inclusive of all charges, Transportation charges/transit Insurance etc., excluding GST & Octroi. The price shall be firm and binding 10

11 without any escalation whatsoever, till the date of supply of entire lot the said withdrawal books. The prices quoted shall be deemed to include cost of paper, cost of printing, packing, transportation (door delivery), transit insurance etc, excluding GST from the factory/ press to the destination site. Price is not subject to fluctuation of the rupee against foreign currencies or for any other reason(s). The price shall remain firm throughout the period of this contract. i) In case there is a change in the Government norms, taxes etc before supply or presentation of invoices on the Bank, whichever is later, the same shall be borne by the printer. ii) Price quoted shall remain firm for acceptance for 6 months from the last date for submission of filled in tenders. 8. DELIVERY, LIQUIDATED DAMAGES: iii) On acceptance of tender, Bank shall issue a Letter of Intent (LOI) to the successful bidder and the bidder shall accept the same within one week of the date of issue of LOI. Firm purchase order will be placed by the Bank, only after the successful bidder accepts LOI and enter into the Agreement as per Bank s format.(enclosed as Annexure 1) iv) Time is the essence of this contract. The supply of entire lot of Withdrawal books shall be supplied within a maximum period of 6 months (as detailed in Data Sheet). v) In case, the printer fails to supply the said withdrawal books within the specified delivery period/ if the quality of the withdrawal books /paper used /design/ specification is not as per the tender terms / as per the specimen given for test check, (even if the defect is found in one of the withdrawals books) the Bank shall be at liberty to cancel the entire order for the undelivered number of withdrawal books if any, besides de-listing the printer from the empanelled list and also denying any future empanelment in the Bank. vi) If the printer fails to deliver the said books of withdrawal slips as above and in the event of such cancellation, the Security Deposit of the printer shall stand forfeited and the printer shall not be entitled to any compensation but the printer shall continue to carry out all his obligations under this contract, including warranty in respect of the said withdrawal books that may have already been supplied before cancellation. If the Bank, at its sole discretion, decides to accept the delayed supply of any lot of withdrawal books, liquidated damages will be at 0.25% per week or part thereof for the delayed quantum of supply subject to a maximum of 5% of the contract value. The amount of damages so calculated shall be deducted at the time of making any payment after successful completion of supply of the said Withdrawal books and the cost of transportation and other cost there on shall be borne by the printer. vii) The decision of the bank in regard to cancellation of the Print Order, levy of liquidated damages and forfeiting the Security Deposit shall be final. 11

12 9. In case of supply of Withdrawal books to States where Road Permit is required for transportation of goods, it is the responsibility of supplier to procure the same by making all arrangements required well in advance. However, Bank will provide any letter, if required by the bidders for getting the permits. The Bank shall not be responsible for any delay on this account. However, the Bank may consider, in exceptional circumstances and purely at its sole discretion, granting additional time for completion of supply, if it is satisfied that the delay was on account of delay in issuing road permits by the concerned authorities and not on account of any lapse on the part of the supplier. 10. WARRANTY viii) The Withdrawal books shall be under printer's comprehensive all inclusive warranty for a period of one year from the date of satisfactory supply. ix) During the warranty period the printer shall, at his own cost, replace any defective Withdrawal books free of cost to the Bank. x) Any defect or shortfall of the said Withdrawal books will be intimated to the printer by the Bank and printer shall rectify the defect or make good the short fall within 7 days of such reporting. xi) If the Withdrawal books cannot be made serviceable within the period stated above, the printer shall replace the same free of cost. Transportation and other costs in this regard, if any, shall be borne by the Printer. xii) Failure to attend the complaints within 7 days will attract penalty of 1% of awarded contract for each day s delay. The penalty shall be recovered from the printer s bills or from his Performance Guarantee. 11. PAYMENT The Bank will not pay any advance for supply of the said withdrawal slips. The bills and invoices shall be prepared by the printer and submitted to Head Office. 92% of the Invoice amount will be paid by the bank subject to compliance of the following: xiii)satisfactory quality & supply of the Withdrawal books as per the parameters mentioned in the Technical bid, general terms and conditions of the tender. xiv) Produce relevant documents pertaining to the delivery of Withdrawal books in original. xv) Various parameters set out by the Bank and duly committed by the printer, while participating in the tender process, must be complied with. If the Withdrawal books do not conform to the specifications as per technical bids, and specimen demonstrated by the Bank, the order stands automatically cancelled and the printer shall not be entitled for any payment and the said Withdrawal books shall be taken back at the cost, risk etc. of the printer. Further in such an event the EMD furnished by the printer while participating in the tender process shall be forfeited. 12

13 xvi) Balance 8% of the invoice amount will be paid after satisfactory completion of the warranty period of one year or against a Performance Bank Guarantee for equal amount issued by any Scheduled Bank (other than Syndicate Bank) to the satisfaction of the Bank. xvii) In the event of any breach of terms and conditions and/ or failure to supply the Withdrawal books by the printer as per the terms and conditions Bank shall have the right to invoke the Performance Bank Guarantee. xviii)tax deduction at source (TDS) as per relevant provisions of Finance Act from time to time. 12. DEDUCTION FROM PURCHASE PRICE The Printer shall reimburse the Bank all costs, charges, damages or expenses which the Bank may have paid or suffered and to the extent to which the Printer is obliged and responsible under this Contract to do so, within 30 days upon written request of the Bank failing which such costs, charges, damages or expenses including statutory payments, if any, shall be deducted by the Bank from any money due or becoming due to the Printer under this contract or any other Contract or may be recovered by encashment of bank guarantees or by arbitration/ action of law or otherwise from the Printer. 13. INSURANCE AND RISKS: The printer shall arrange insurance cover for all the Withdrawal books for all the risks (fire, burglary, natural calamities such as earth quake, flood etc.) including transit risk for the transit period at his/their own cost. The insurance shall be for an amount equal to 110% of the CIF value of the goods delivered ENFORCEABILITY: The decision of the Bank in arriving at the conclusion of breach of conditions and/ or default of printer will be accepted by the printer without any demur and the Bank will be at liberty to enforce these conditions/rights. 14. TERMINATION The Bank at its option without prejudice to its rights under the Contract, is entitled to terminate the Contract at any time by giving 30 days written notice to the Contractor in the following circumstance: a. in case the Bidder does not comply with any of his obligations/ undertakings under this Contract; b. if the design, specifications of the Withdrawal books supplied by the Bidder do not conform to the approved technical specifications and other requirements specified in this contract or agreed to by the bidder; 13

14 c. if the Bidder refrains from implementing any of the instructions received from the Bank within the stipulation of this Contract; d. in case of any breach of the terms and conditions of this contract by the printer. e. If the Printer becomes bankrupt or insolvent or causes or suffers, any receiver to be appointed for its business or any assets thereof, compounded with its Creditors, or being a corporation, commence to be wound up for the purpose of amalgamation or reconstruction, or carry on its business under a Receiver for the benefit of its Creditors, the Bank shall be at liberty to terminate the contract forthwith upon coming to know of the happening of any such event as aforesaid by notice in writing to the Printer or to the Receiver or Liquidator or to any person in whom the Contract may become vested or give such Receiver, Liquidator or other person the option of carrying out the Contract subject to his providing guarantee for amount to be specified by the Bank. In the event of such termination, the Security Deposit of the printer and the Bank Guarantee shall stand forfeited and the Bank shall have the right to terminate printer and deny any future empanelment. 15. ASSIGNMENT The whole of the works included in the contract shall be executed by the tenderer and shall not directly or indirectly transfer, assign or sublet the contract or any part, share or interest therein without written consent of the Bank. 16. INDEMNITY: The printer indemnifies to protect and save the Bank against all claims, losses, costs, damages, expenses, action suits and other proceeding resulting from infringement of any patent, trademarks, copyrights etc, or such other statutory infringements in respect of Withdrawal books supplied to the Bank. 17. FORCE MAJEURE The Bidder shall not be liable for forfeiture of its performance security, liquidated damages or termination for default, if and to the extent that it s delay in performance or other failure to perform its obligations under the contract as the result of an event of force Majeure. For purposes of this Clause, "Force Majeure" means an event beyond the control of the Bidder and not involving the Bidder's fault or negligence and not foreseeable. Such events may include, but are not limited to, Acts of God or of public enemy, acts of Government of India in their sovereign capacity, acts of war, and acts of the Bank either in fires, floods, strikes, lock-outs and freight embargoes. If a Force Majeure situation arises, the Bidder shall promptly notify the Bank in writing of such conditions and the cause thereof immediately. Unless otherwise directed by the Bank in writing, the Bidder shall continue to perform it s obligations under the Contract as far as it is reasonably practical, and shall seek all reasonable alternative means for performance not prevented by the Force Majeure event. 14

15 In such a case, the time for performance shall be extended by a period(s) not less than the duration of such delay. If the duration of delay continues beyond a period of three months, the Bank and the Bidder shall hold consultations with each other in an endeavor to find a solution to the problem. Notwithstanding the above, the decision of the Bank shall be final and binding on the Bidder. 18.INSPECTION: The Bank reserves the right to get the referred Withdrawal books printing press inspected by its own technical personnel and/ or by any other organization/ persons engaged for the purpose and the printer shall have no objection and shall cooperate and provide necessary details/ information required for such inspection. 19.SETTLEMENT OF DISPUTES: a. Should any dispute or difference of any kind whatsoever arise between the purchaser and the printer in connection with or arising out of the contract, the parties shall make every effort to resolve amicably such disputes or difference by mutual consultation. b. If after 30 days, the parties fail to resolve their disputes or difference by such mutual consultation, then either the purchaser or the printer may give notice to the other party of its intention to commence arbitration, as hereinafter provided, as to the matter in dispute. No arbitration in respect of this matter may be commenced unless such notice is given. c. Any dispute or difference in respect of which a notice of intention to commence arbitration has been given in accordance with this clause shall be settled in accordance with the Arbitration and Conciliation Act, d. The arbitral tribunal shall consist of 3 arbitrators one each to be appointed by the Purchaser and the Printer. The third Arbitrator shall be chosen by the two Arbitrators so appointed by the Parties and shall act as Presiding Arbitrator. In case of failure of the two arbitrators appointed by the parties to arrive at a consensus within a period of 30 days from the appointment of the Arbitrator appointed subsequently, the Presiding Arbitrator shall be appointed by the Indian Banks Association, which appointment shall be final and binding on the parties.if one of the parties fails to appoint its arbitrator within 30 days after receipt of the notice of the appointment of its Arbitrator by the other party, then the Indian Banks Association shall appoint the Arbitrator. e. Arbitration proceedings shall be held at Manipal, Udupi District Karnataka State, Pin Code India and the language of the arbitration proceedings and that of all documents and communications between the parties shall be English. 15

16 20. WAIVER: f. The decision of the majority of arbitrators shall be final and binding upon both parties. The cost and expenses of Arbitration proceedings will be paid as determined by the Arbitral Tribunal. However, the expenses incurred by each party in connection with the preparation, presentation etc. of its proceedings as also the fees and expenses paid to the arbitrator appointed by such party or on its behalf shall be borne by each party itself. g. Notwithstanding any reference to arbitration herein, i. The parties shall continue to perform their respective obligation under the contract unless they otherwise agree; and ii. The purchaser shall pay the printer any monies due to the printer unless the dispute is relating to such payment. Non-enforcement by either party of any of the provisions of this Contract shall not construe or constitute as a waiver of the provision itself or any subsequent breach thereof. The validity of the Contract shall not be affected, should one or more of its stipulations be or become legally invalid and such stipulation is severable from and not fundamental to the obligations of either party to this Contract. In such a case, the parties shall negotiate in good faith to replace the invalid clause by an agreed stipulation which is in accordance with the applicable Indian Law and which shall be as close as possible to the party s original intent. 21. STATUTORY AND OTHER REGULATIONS: The Printer shall comply with all the statutory obligations of the Government of India / State Governments and local authorities applicable and the Bank shall not be liable for any action under the statutes applicable due to non-compliance of statutory obligations by the Printer. 22. APPLICABLE LAW: The Contract shall be interpreted in accordance with the laws of India. Any dispute arising out of this contract will be under the jurisdiction of Courts of Law in Udupi. 23. JURISDICTION: This agreement shall be subject to the jurisdiction of the Courts in Udupi. 24. The Bank reserves the right to cancel the Bid without assigning any reasons. 24. The bidders shall inform the Bank in case of transfer of ownership of the Company. 16

17 T E N D E R - O F F E R We have read and examined the tender document for Printing & Supply of 6 lakhs books of withdrawal slips to HO: SRD: Manipal, Karnataka State and Bank s Stationery Pools as the case may be. We hereby tender for the execution of the work specified by the Bank within the time specified at the Reverse Auction Rates specified in accordance with the Technical Specifications, and instructions in writing referred to in the General Rules and Instructions, and in all respects and in accordance with, such conditions so far as applicable. We agree to keep the tender open for 4 months from the due date of submission thereof and not to make any modifications in its terms and conditions. Serial Numbers will be given to L1 & L2 printer. 6 Rate To be quoted for 6 Lakh books of withdrawal slips(excluding GST) 7 Total Cost Printing cost shall include all cost like paper cost, proofing, printing, packing, transportation, door delivery of withdrawal books to HO:SRD, Manipal and 23 stationery pools as per the annexure, Excluding GST. 8 Binding Side pinning at the centre of the spine with Kraft paper patti on spine. Clear cut perforation is to be provided for all the 100 leaves at 2 cm from the spine portion of the pad. 9 Proof To be approved by the Bank within 10 days of print order before bulk printing 10 Packing 30 pads each to be tied with thread and wrapped using polythene sheet packing. 5 of such bundles to be packed using good quality craft paper with serial numbers of the pads written in bold letters on the package and strapped using polythene straps at 4 places -2 vertically and 2 horizontally. Weight not to exceed 25 Kg per Box. 11 Supply 1,00,000(One lakh )books (100 slips each) per month to be supplied for 6 months in serial order of book, first of such delivery is within 30 days from the date of approval of proof. Serial numbers printed on the withdrawal slip pads shall be submitted to HO:SRD and to the respective Stationery Pools for recording the same. 12 Splitting of Order Bank reserves the right to split the order among L1 and L2 printers at L1 rate in the ratio of 70:30, to ensure timely supply. 13 Penalty for delayed delivery Liquidated damages for delay shall be 0.25% per week or part thereof for the delayed quantity of supply subject to a maximum of 5% of the contract value. 14. Payment Payment will be made through RTGS/NEFT subject to supply of withdrawal books as per the approved specification/ quality. 19
