1 NOTICE OF BID The City of Pigeon Forge is receiving bids on automotive replacement parts and supplies for the Fleet Maintenance Department. Specifications may be obtained from the Public Works Department in City Hall between the hours of 8:00 and 4:30 pm, Monday thru Friday. All bids must be in sealed envelope with bidders name and address on outside and marked Bid on Replacement Parts. Bids will be received until 2:20 p.m., March 27, 2013, at which time they will be opened and read aloud. The City reserves the right to reject any or all bids or to accept the bid most favorable to the City. This 20th day of February, Department of Public Works Pigeon Forge, Tennessee

2 PRICE AGREEMENT AUTOMOTIVE REPLACEMENT PARTS GENERAL CONDITIONS 1. Scope It is the intention of these specifications that the vendor hereunder shall furnish and the City of Pigeon Forge shall purchase automotive replacement parts covered by this agreement which the City may require during the period of the time specified. The city reserves the right to order such supplies as may be required during the said period, and it also reserves the right not to order any supplies bid upon by the vendor, if it is found that such supplies are not required by the City during the period covered by this agreement. 2. Price This agreement will allow price sheet fluctuation. The discount quoted shall remain firm for the life of this agreement. It shall be the vendor s responsibility to furnish the Public Works Department and user agencies any changes in the price sheets. The price sheet must be kept current. 3. Term of Agreement The term of this agreement shall be for one (1) year. City of Pigeon Forge reserves the right of renewing this agreement for one (1) additional year under the same terms and conditions. 4. Method of Award Award of this agreement may be in whole or in part. The City reserves the right to make awards on an individual item basis, combination item basis, or lump sum basis, whichever is in the best interest of the City. 5. Orders Orders will be placed by telephone from the City of Pigeon Forge Fleet Maintenance Facility or other City of Pigeon Forge Departments for such quantities as to satisfy normal requirements of the City. The City does not guarantee any specific quantities or number of deliveries that will be made during the term of this agreement. Orders may be completed by the use of a purchase order if required, or verbal agreement. 6. Item Pick-up Pigeon Forge, will at its discretion, arrange to pick-up these parts from the vendor instead of having the part delivered to one of the specified locations.

3 7. Deliveries Deliveries, as required, shall be made to: a. Pigeon Forge Fleet Maintenance Facility on Garland Harmon Drive in Pigeon Forge Delivery costs must be a part of the bid price. Deliveries shall be made promptly. If a request is called into the vendor by 12:00 p.m. the parts(s) are to be delivered within three (3) hours. If the order is called in after 2:00 p.m. the vendor has until the next noon to deliver the part. If deliveries are not made within the guidelines specified previously, the Purchaser reserves the right to procure the supplies elsewhere on the open market, in which event, the extra cost of procuring the supplies may be charged against the vendor and deducted from any monies due or which may become due him. If vendor is unable to supply requested material within the designated allowed time, due to factory delay, strike or any unforeseen circumstances, vendor must notify the buyer of delay and anticipated delivery date. Failure to comply with this requirement will result in a poor performance rating which is considered in subsequent awards. 8. Reservations If, in the opinion of the Purchaser the vendor fails to render prompt delivery or furnishes material of inferior quality, the City reserves the right to terminate this agreement by a thirty (30) day written notice. 9. Multi-Agency Procurement The City of Pigeon Forge reserves the right to extend the terms and conditions of this price agreement to any and all other agencies requiring these commodities and/or services. 10. Terminations Termination for Convenience: The City may terminate a contract, in whole or in part, without showing cause upon giving written notice to the Contractor. The City shall pay all reasonable costs incurred by the Contractor up to the date of termination. The Contractor will not be reimbursed for any anticipatory profits which have not been earned up to the date of termination. Termination for Default: When the contractor has not performed or has unsatisfactorily performed or has unsatisfactorily performed the contract, payment shall be withheld at the discretion of the City. Failure on the part of a Contractor to fulfill contractual obligations shall be considered just cause for termination of the contract and the Contractor is not entitled to any costs incurred by the Contractor up to the date of termination.

Additional 13. Ordering Procedures Bidding agency shall have a representative once a week physically take orders of in stock items at the Service Center on Garland Harmon Drive and deliver the same. All items will come with the price stamped or written on the box or carton for quick reference. A letter of Manufacturer origin may be required on brand names that are bid which are not specified in the agreement. Most current price sheets for each item bid for which bids are based must be included.
