File Ref. spisova znacka spisova znacka (hereinafter referred to as Client only) The client identification data is stated in Schedule No. 1 to this General-Frame Agreement. 1. Subject of Agreement 1.1. Citfin undertakes by this Agreement to provide the Client with the below-described performance and the Client undertakes to accept the agreed-upon performance and to pay the agreed-upon consideration, all under the conditions stated in this Agreement and in the General Business Terms Citfin will provide the Client with the following performance: a) Performance of exchange trades, i.e. the purchase or sale of a foreign currency for a local currency, purchase or sale of a foreign currency for a different foreign currency b) Execution of payments for the obligations of the Client in a local or foreign currency c) Execution of collections, that is receiving remittances from abroad 1.3. The integral part of this Agreement, such as Schedule No. 2 is formed by the General Business Terms, which contain a detailed stipulation of the terms of the contractual relationship, rights and duties of the parties and the conditions of agreement of the specific sub-contracts and trades between the parties (hereinafter referred to as GBT only). The Client represents, that it became familiar with GBT prior to the date of signature of this Agreement and undertakes to respect them fully and exclusively. 2. Means of Communication 2.1. The contractual parties undertake to perform all the communication between them only and exclusively in the manners stated for the specific case in GBT. Where GBT require a communication by mail, the parties are obliged to send their mutual correspondence to the delivery addresses stated in Art GBT or as applicable in Schedule No. 1 to this General Frame Agreement. Where GBT allow for a telephone and/or fax and/or communication, the parties undertake to use the telephone or fax numbers or e- mail addresses stated also in Art GBT or as applicable in Schedule No. 1 to this General-Frame Agreement The parties agreed that they may mutually communicate in special cases specified in GBT in an electronic manner utilizing the application NetLine, in accordance with Art. 7 of GBT. The order to administer the electronic communication forms Schedule No. 3 to this General Frame Agreement. 1

2 3. Bank Accounts The list of accounts of Citfin to which the Client is obliged to execute payments forms a schedule to GBT. The list of accounts of the Client is stated in Schedule No. 1 to this General Frame Agreement. 4. Authorized Representatives The list of persons authorized to act on behalf of the Client and their signature specimens form a part of Schedule No. 1 to this General-Frame Agreement. 5. Consideration 5.1. The performance consisting in execution of exchange trades (Article 3 of GBT) will be rendered by Citfin to the Client for no consideration The Parties agree on the Initial Deposit amount (as the term is defined in art of GTC) to % of the Exchange Amount (as the term is defined in art. 3.2 (i) (a) of GTC). At the same time, the Parties agree on the initial value of the Threshold Cover (according to the definition of the term in art of GTC) to. % of the current market value of transactions arranged but not yet settled The performance consisting in execution of payments for obligations of the Client in a local or a foreign currency (Art. 4 of GBT) will be rendered by Citfin to the Client for a consideration, the amount of which is dependent on the type of a bank fee and the type of payment, or as applicable the speed of the payment system determined by the Client. a) The price for the payment of obligations of the Client towards third parties in a foreign currency in the Czech Republic or for the payment in any currency to a foreign country shall be determined in case of application of an SHA type of fee in the amount of CZK... If an OUR type of fee is agreed-upon Client pay extra CZK, if speed payment is URGENT Client pay extra CZK. b) If an OUR type of fee is agreed-upon or if the Client has specific requirements regarding the speed of payment or the type of payment, the amount of the payment will be determined based on the current pricelist of Citfin valid on the date of arrangement of the trade and stated on the internet pages of Citfin. The parties agree on the type of fee separately for each individual case always in an offset agreement The performance consisting in executing the collection receiving remittances from abroad (Art. 5 GBT), will be rendered by Citfin for a consideration, the amount of which is CZK for every individual collection credited in favor of the Client to the account of Citfin. 6. Categorization As of the date of signature of the contract, the Client is categorized as a non-professional / professional Client. By signing the Contract, the Client confirms that it filled out the Investment Questionnaire, which forms Attachment No. 4 to this Contract. 7. Representation in Connection to the Forward Trades 7.1. The Client represents that: - it was informed comprehensively by Citfin in detail about the essence of the forward trades, their advantages and hazards, the system of trading, including the fact, that the forward trade is closed by the moment of a telephone agreement on the conditions of the forward trade, - takes notice of all the hazards resulting from the forward trades, in particular with regards to the possible unfavorable development of the rate (as opposed to the conditions agreed-upon at the moment of closing the forward trade), which Citfin cannot influence and for which it cannot bear any responsibility, - undertakes to respect fully and without any reservations all the duties resulting from arrangement of the forward trade and stipulated in Art. 3.4, 3.8., to of GBT. 2

3 7.2. The Client undertakes in the scope as provided in Art. 7.1 to instruct and to bind the persons stated in Attachment No. 1 hereto, which will be authorized to close the forward trades on behalf of the Client. 8. Other Specific Conditions The contractual parties didn t agree any changes, modifications and/or amendments of GBT. 9. Final Provisions 9.1. This Agreement comes into force and becomes effective on the date of its signature by both contractual parties This Agreement is made and signed in two counterparts, each one for either contractual party Should the parties be in a dispute, the parties agreed on an arbitrary clause in accordance with Art GBT All the changes and amendments to this Agreement as well as the acts leading to a termination of this Agreement must be made in writing and signed by both parties with the following exceptions: a) If either party changes its identification or other data specified in Schedule No. 1 of this General- Frame Agreement, the involved data will be automatically changed as of the date, when Citfin receives a notice of changes and these changes are supported and documented in accordance with Art GBT. b) According to art above, Citfin has a right to unilaterally adjust the amount of the Initial Deposit and the amount of the Threshold Cover using the method stipulated in the art of GTC, i.e. on the date of the corresponding request for payment of the Initial Deposit increase which also includes the notification of the adjustment to the Threshold Cover amount. c) Citfin is authorized to change, amend and modify GBT and their schedules including the pricelist. Citfin is obliged to inform the Client in writing of every new wording by sending an e- mail message to the Client with a reference to the respective web pages on which GBT will be published with the schedules (including the pricelist) or by sending a printed copy of the new GBT and their schedules. The Client expresses its exclusive and full consent to the new wording of GBT and the schedules and at the same time an undertaking to respect this new wording without any reservation, provided that after the validity of the new GBT it performs any act towards Citfin leading to a conclusion of a trade as per Art. 1.2., letter a) c) of this General- Frame Agreement The client herewith gives his express consent with the recording of telephone calls on the arrangement of exchange transactions under this Contract and the TC on the Citfin technical device, and with the subsequent use thereof for the purposes of documenting the existence of the contract on exchange transaction and the terms and conditions thereof. The telephone communication recording will be considered by both parties to constitute irrefutable evidence of the content and on the arrangement of an exchange transaction contract. The authorised persons give their consent to recording telephone calls in the sense of the by attaching their signature to Appendix 1 hereto All the rights and duties of the parties not addressed by this Agreement and/or GBT shall be governed by the applicable provisions of Act No. 513/1991 Coll. Commercial Code. In the event of a dispute between the provisions of GBT and this Agreement, the provisions of this General-Frame Agreement shall prevail In accordance with Act No. 101/2000 Coll., on Personal Data Protection and on Change of Some Laws, as amended ( Act ), the Client grants a consent to Citfin with the processing of its personal data to the extent of its name, surname, date of birth, address and Company Id. No. ( Personal Data ), within the frame of the business activities of Citfin and for the purpose of performance of this General-Frame Agreement, for the filing and controlling purposes, for the performance of the legitimate duties, all for a 3

4 period necessary to secure all the rights and duties resulting from this contractual relationship, however for a period of 10 years at most. Citfin is authorized to process the personal data systematically, in an automated manner or by other means through the information systems. The Client represents that it was duly informed in accordance with Section 11 and Section 12 of the Act of the processing of its personal data and of its rights, i.e. the right to access to its personal data, the right to a correction of the personal data, as well as of other rights set in Section 21 of the Act. The disclosure of the Personal Data by the Client is voluntary. The Client takes cognizance of the fact, that Citfin is authorized and at the same time obliged to communicate the Client s Personal Data to the third parties within the frame of performance of legal duties (including but not limited to the measures against the legalization of revenues resulting from the criminal activities) The following schedules form an integral part of this Agreement: Schedule No. 1: Client Identification Schedule No. 2: General Business Terms Schedule No. 3: Order to Administer the Electronic Communication Schedule No. 4: Investment Questionnaire of Adequacy In Prague on in, on Citfin Finanční trhy, a.s.
