5 Responsible Firearms Retailer Code of Practice The retail sale of firearms and ammunition is regulated by numerous federal, state and local laws and regulations. As a responsible retailer of firearms and ammunition, I pledge to fully comply with these laws and to also apply the following standards of responsible firearms and ammunition retailing. Before selling a firearm or ammunition to any individual, I will: Provide all manufacturer-supplied instruction manuals and related information on new firearms Offer instruction on the operation of new and pre -owned firearms Offer free safety literature Advise of the availability of local firearms safety or hunter safety instruction and urge first-time purchasers to attend an appropriate safety course I will not knowingly buy or sell: Stolen guns Firearms illegally altered in any way Firearms which are obviously in an unsafe operating condition Firearms which are being purchased for illegal delivery to an unauthorized individual ( straw purchase ) I will not knowingly sell firearms and ammunition to anyone who: Is underage Cannot produce adequate proof of residence Is obviously under influence of alcohol or drugs I will not knowingly misrepresent the condition of any gun I sell. I will keep all required records and fully cooperate with all law enforcement officials when requested to do so in the course of business. 6 GLOCK, INC. RANGE PROGRAM AGREEMENT 2013 This agreement ( Agreement ) is entered into by the parties, GLOCK, Inc., (hereafter referred to as GLOCK) and (hereinafter referred to as RANGE OPERATOR), respectively, as of the date that it is formally executed by both GLOCK and RANGE OPERATOR, for and in consideration of their mutual promises contained herein and which is hereby acknowledged, the parties agree to the following applicable terms and conditions: 1. Range Operator shall furnish information pertinent to his business to enter or continue participation in the GLOCK Public Shooting Range Program ( Program ). This information will consist of photographs of the Shooting Range (inside and out), copies of state tax licenses and resale certificates, and a copy of the Federal Firearms License with an original signature. GLOCK s duty to perform its obligations under this Agreement is conditioned on Range Operator providing GLOCK with complete business information. 2. Range Operator must order a minimum of five (5) pistols from the attached Public Shooting Range Pistol Order form. Range Operator warrants that all pistols purchased under this Agreement are for use by range patrons and not for sale. All pistols shall be properly maintained as public range pistols at the address of the Range Operator for a period of one (1) year. GLOCK will repair or replace pistols acquired under this Program for the full term of this Agreement. Range pistols shall not be modified or sold within this one-year period without GLOCK s written approval. The parties further agree that the failure by GLOCK to terminate this agreement based on the unauthorized sale of range pistols is not a waiver of this paragraph and Range Operator hereby agrees that laches will not be a defense to a termination under this paragraph. 3. All pistols purchased under this Agreement shall be prepaid with check, money order or credit card (VISA, MC or Discover) when the order is submitted. Range Operator understands and agrees that the Range Operator is responsible for any applicable state sales taxes due for the purchase and use of any GLOCK pistols purchased under this Program. 4. Trade-in. Range Operator may replace range pistols under the following conditions: a.) Range Operator may trade-in a minimum of five, and up to fifteen range pistols one-for-one, b.) Only pistols two years old or older are eligible for trade-in, c.) Trade in request must be submitted to GLOCK with this agreement, d.) Range Operator is responsible for shipping expenses of trade-in and replacement pistols to and from GLOCK, and e.) Replacement pistols are considered range pistols and as such, shall be properly maintained as public range pistols at the address of the Range Operator for a period of one (1) year. 5. Range Operator hereby agrees to send one person to GLOCK s Armorer s Course. GLOCK hereby agrees to waive tuition for said Armorer s Course. Range Operator agrees to make arrangements with GLOCK to send the designated Range Operator staff to the nearest available course. Range Operator is responsible for costs of travel and lodging for its employee attending a GLOCK Armorer s course. 6. Range Operator will not represent himself as a GLOCK entity in any agreement, either written or oral. Nothing in this Agreement may be construed to constitute any party as agent for any other party. No party has the right to bind any other party, transact any business in the name or on behalf of any other party in any manner or form, or to make any promise or representation on behalf of any other party. The relationship of GLOCK to Range Operator is that of an independent contractor. Range Operator will not represent itself as a GLOCK entity in any agreement either written or oral. Range Operator will under no circumstances commit GLOCK to the delivery of GLOCK products. 7. The GLOCK logo. The GLOCK logo is the registered trademark of GLOCK, Inc. GLOCK reserves the right to approve any and all use of the logo. GLOCK will provide Range Operator with the appropriate logo to be used. Any alteration, modification or substitution of this official logo is not permitted. Violation of this GLOCK logo provision will be grounds for immediate termination of this Agreement. 8. Range Operator will use only new commercial factory ammunition manufactured to North Atlantic Treaty Organization (NATO) or Sporting Arms and Ammunition Manufacturers Institute (SAAMI) specifications. Range Operator agrees to not use either reloaded or remanufactured ammunition in any GLOCK pistol. This paragraph is the essence of the contract. Violation of this paragraph will void the contract and the GLOCK warranty. The range Operator agrees to strictly adhere to the highest standards of firearm safety at all times. Range Operator agrees to be solely liable to the public for violation of this paragraph. No representative of GLOCK or the Range Operator can waive the provisions of this paragraph. The Range Operator agrees to ensure that users adhere to all commonly known firearm safety rules and regulations including but not limited to eye and ear protection. 9. Range Operator agrees to submit to random periodic inspections of GLOCK pistols used in the Public Shooting Range Pistol Program. Authorized GLOCK personnel will conduct said random periodic inspections. 10. Breach. If pistols purchased under this Agreement are sold within this one-year period without GLOCK s prior written approval, Range Operator agrees to pay GLOCK the full Dealer price in effect at the time of sale. Any pistol sold in violation of this paragraph will not be replaced by GLOCK. In the event that the Range Operator violates the provisions of paragraph seven (7), the Range Operator will be liable to GLOCK for the full Dealer price of the pistols. The Dealer price will be the printed GLOCK Law Enforcement Dealer price list at the time of the violation. Failure to maintain records and supply them to GLOCK when requested will result in a termination of this Agreement. FRM / Rev 22 / GLOCK, Inc of 8

7 11. The Range Operator holds GLOCK harmless and agrees to indemnify GLOCK for all legal action regarding the use and/or misuse of GLOCK pistols purchased under this Agreement. Use and/or misuse includes but is not limited to use of reloaded or remanufactured ammunition in GLOCK pistols, and/or operating an unsafe range. 12. Applicable Law, Venue. Range Operator agrees that the laws of the State of Georgia shall govern and construct this Range Pistol Program Agreement. Any additional or different terms and conditions contained in the Range Operator s purchase order and other documents shall not become part of this contract unless specifically accepted in writing by GLOCK and the Range Operator. Range Operator consents to the personal jurisdiction of the courts of the State of Georgia involving any matter arising out of, or related to this Agreement. Further, Range Operator agrees to pay all expenses incurred by GLOCK in attempting to enforce this Agreement or to collect amounts owed pursuant to this Agreement including all attorneys fees. 13. Failure to promptly pay balances due GLOCK, Inc. shall be cause for termination of this Agreement. Delinquent balances will be assessed a late fee of 1.5% per month not to exceed the maximum rate permitted by law. Range Operator is responsible for collection and attorney s fees incurred by GLOCK in enforcing this paragraph 13. In the event of bankruptcy or failed business, all GLOCK inventory subject to unpaid invoices shall be returned to GLOCK for full credit against said unpaid invoices. 14. This Agreement will be valid for twelve (12) months from the date it is formally executed by GLOCK and Range Operator. 15. Any party may terminate this Agreement with thirty (30) days written notice. A certified letter to this effect will suffice as notice of either s party s intent to terminate this Agreement. GLOCK may terminate this Agreement at any time due to Range Operator s breach of any of its obligations. Termination will be effective immediately upon delivery of written notice to such effect by certified mail. If Range Operator becomes bankrupt or has a receiver appointed for a substantial part of its assets, or fails to cure any material breach of this Agreement (including failure to make a payment when due) within thirty (30) days after written notice, GLOCK may suspend performance or terminate this Agreement and exercise any other legal rights or remedies. 16. Headings. The paragraph headings used in this Agreement are for convenience only and do not affect the meaning or interpretation of this Agreement. Should any portion of this Agreement be construed to be unenforceable or to violate public policy, all other portions shall remain valid and enforceable. The current GLOCK Range Program Pistol Order Form and Profile Form are attached hereto and their terms and conditions are incorporated into this Agreement by reference. 17. Attorneys Fees: In the event any legal action is necessary to enforce any of the terms and conditions of this Agreement, the prevailing party shall be entitled to all costs and fees incurred, including reasonable attorney s fees Electronic Signature Agreement. By typing your name, you are signing this Agreement electronically. You agree your electronic signature is the legal equivalent of your manual signature on this Agreement. By typing your name you consent to be legally bound by this Agreement's terms and conditions and it constitutes your signature, acceptance and agreement as if actually signed by you in writing. You also agree that no certification authority or other third party verification is necessary to validate your Electronic Signature and that the lack of such certification or third party verification will not in any way affect the enforceability of your Electronic Signature or any resulting contract between Range Operator and GLOCK. The parties acknowledge that a copy of any signature hereto sent by facsimile or transmitted electronically by Portable Document Format (PDF) shall be treated as originals, fully binding and with full legal force and effect, and the parties waive any rights they may have to object to such treatment. You also represent that you are authorized to enter into this Agreement and that Range Operator will be bound by the terms of this Agreement. It is recommended that you print a copy of this Agreement for future reference. IN WITNESS WHEREOF, the undersigned persons have executed this instrument with the understanding that it takes effect as of the date it is formally executed by both GLOCK and Range Operator ( Effective Date ).
