3 Page # 3 SECTION II: DEFINITIONS & ABBREVIATIONS In this RFP, the following word(s), unless repugnant to the context or meaning thereof, shall have the meaning(s) assigned to them herein below: 1. Bid means the proposals submitted by the Bidder(s) in response to this RFP along with all other documents forming part and in support thereof. 2. Bidder means an entity resident of India, engaged in the related field and who has submitted the bid for the work contained in this RFP. 3. Bid Security shall have the meaning ascribed to it in Section V, Instructions to Bidders. 4. Bid Process means the process of selection of the Successful Bidder through competitive bidding and includes submission of Bids, scrutiny and evaluation of such Bids. 5. "Contract" means and includes Letter of Acceptance, Bid Invitation Notice, Instructions to Bidders, General Conditions of Contract, and Requirements from the Vehicle Body Builder and Terms & Conditions. 6. Deadline for Submission of Bids shall mean the last date and time for receipt of Bids as set-forth in Section III of this RFP under the heading Key Details or such other date / time as may be decided by Mata Shri Chintpurni Temple Trust in its sole discretion. 7. First Party or MSCTT means the Mata Shri Chintpurni Temple Trust and its authorized functionaries and assignees at all times. 8. "Inspecting Officer" means the person(s), firm(s) or organisation nominated by Mata Shri Chintpurni Temple Trust for the purpose of inspection of quality of work under the contract and includes its/ their authorised representative; 9. "Letter of Acceptance" means the letter or memorandum communicating to the successful Bidder the acceptance of its Bid and includes an advance acceptance of its Bid. 10. RFP and / or RFP Document means this RFP document comprising of the sections namely Bid Invitation Notice (BIN) and Key Details, Definitions and Abbreviations, Instructions to Bidders (ITB), General Conditions of Contract (GCC). 11. "Signed includes stamped. 12. "Site" means the place specified in the Contract at which any work is required to be executed by the Vehicle Body Builder under the Contract for the purpose. 13. The term Successful Bidder and / or Vendor shall mean the Bidder who qualifies the proposal stage of this RFP and to whom a Letter of Acceptance is consequently issued by Chairman Mata Shri Chintpurni Temple Trust. 14. Any other term(s), not defined herein above but defined elsewhere in this RFP shall have the meaning(s) ascribed to such term(s) therein and shall be deemed to have been included in this Section.

4 Page # 4 SECTION III : INSTRUCTIONS TO BIDDERS (ITB) 1. GENERAL 1.1 Mata Shri Chintpurni Temple Trust (hereinafter referred to as MSCTT ), invites sealed bids for building the body over TATA 1613 (LPT) chassis for the fire tender and equipping it with various accessories. 1.2 Complete Bid should be submitted on or before the time and date fixed for submission of bid. Bid received after the stipulated time and date will not be entertained. Such bids will be, termed as late/delayed bid and will be liable to be rejected. 2. ELIGIBILITY 2.1 The Bidder eligible for participating in the Bid process shall be a resident of India. The bidder should be legally competent to enter into contract as per prevailing laws. 2.2 The Bidder shall be engaged in the Vehicle Body Building as per the details given in Section V. 3. COST OF BIDDING 3.1. The Bidder shall bear all costs associated with the preparation and submission of Bid and the MSCTT will in no case be responsible or liable for these costs, regardless of the conduct or outcome of the bidding process. 4. CLARIFICATION TO RFP DOCUMENT 4.1. In the event that any Bidder requires any clarification of the RFP document, such Bidders are expected to contact the person authorized for the same Nothing in this section shall be taken to mean or read as compelling or requiring MSCTT to respond to any questions or to provide any clarification to a query. MSCTT reserves the right to not to respond to the questions it perceives as non-relevant which may be raised by a Bidder or not to provide clarifications if MSCTT in its sole discretion considers that no reply is necessary. No extension of Deadline for Submission of Bids will be granted on the basis or grounds that MSCTT has not responded to any question or not provided any clarification to a query. 5. LOCAL CONDITIONS 5.1. It is imperative that each Bidder fully acquaints himself with all the local conditions and factors, which would have any effect on the performance/ completion of the contract. 6. RFP DOCUMENT 6.1. The RFP document consists of the documents as given in the Contents of RFP Document 6.2. The Bidder is required to examine carefully all the contents / pros & cons of the RFP Document including instructions, conditions, forms, terms, specifications and take them fully into account before submitting the bid. Failure to comply with the requirement(s) of RFP document will be at the Bidder s own risk & responsibility. 7. LANGUAGE OF BID 7.1. The bid prepared by the Bidder, as well as all correspondence and documents relating to the bid, exchanged by the Bidder and MSCTT shall be written in English. Supporting documents and printed literature furnished by the Bidder may be in another language provided they are accompanied by a self-authenticated accurate translation of the relevant passages in

5 Page # 5 English duly certified by the bidder, in which case, for purposes of interpretation of the Bid, the English translation shall govern. 8. DOCUMENTS/ITEMS COMPRISING THE BID 8.1. The proposal submitted by the Bidder shall consist of sealed Bid. 8.2 The Bidders shall provide drawings, photographs etc. on Free of Cost basis without charging any cost to the MSCTT, along with the Bid. 8.3 Incomplete bids are liable to be rejected. 9. SUBMISSION OF BIDS 9.1 The Bidders should quote their lowest possible prices. 9.2 The price quoted shall be firm and not subject to any upward variation for the period of contract. 10. BID VALIDITY The Bid shall remain valid and open for acceptance for a period of 60 days from the specified date of bid opening In exceptional circumstances prior to expiry of the original bid validity period, the MSCTT may request the Bidder for extension in the period of validity. The request and response thereto shall be made in writing by fax followed by confirmation copy by post. A Bidder may refuse the request without assigning any reason. Moreover, the Bidder agreeing to the request will not be permitted to modify his Bid. 11. FORMAT AND SIGNING OF BID The original copy of the bid shall be typed or written neatly in indelible ink and shall be signed by the Bidder or a person or persons duly authorized to bind the Bidder to the Contract The bid/bids shall contain no interlineations, erasures or overwriting except as necessary to correct errors made by the Bidder, in which case, such corrections shall be initialed by the person or persons signing the Bid All prices and other information having a bearing on the Price shall be written clearly. 12. DEADLINE FOR SUBMISSION OF BIDS Bids complete in all respects must be received by the MSCTT at the address given in the Bid Invitation Notice, not later than the time & date indicated therein. The MSCTT may, at his discretion, extend this deadline for the submission of bids by amending the Bid Documents and in that case all rights and obligations of the MSCTT and the Bidders previously subject to the original deadline shall thereafter be subject to the deadline as extended Bids may be submitted in person to the MSCTT or sent through Post or Courier Service. MSCTT shall not be responsible for and shall not take any cognizance of delay in transit. The bids should reach before the deadline time and date stipulated in the Bid Invitation Notice Bids sent through fax or through other means of transmission which cannot be delivered in a sealed envelope shall be rejected Any Bid received by MSCTT after the prescribed deadline will be liable to be rejected. 13. CLARIFICATION OF BIDS To assist in the examination, evaluation and comparison of Bids, the MSCTT may, if necessary, ask Bidders individually for clarification of their Bids, including break-up of prices. The request for clarification and the response shall be in writing or by fax only and no change in the price or substance of the Bid shall be sought, offered or permitted.

6 Page # The Bidders are required to provide all technical details, as these are required for evaluation purpose & also for quality assurance. Bids received without full & complete details are liable to be rejected. MSCTT will examine the Bid to determine whether they are complete, whether the documents have been properly signed, and whether the Bids are generally in order. 14. MSCTT RIGHT TO ACCEPT ANY BID AND TO REJECT ANY OR ALL BIDS MSCTT reserves the right to accept or reject any Bid, and to annul the Bid Process and reject all Bids without assigning any reason. SECTION IV: GENERAL CONDITIONS OF CONTRACT 1. PARTIES TO THE CONTRACT AND THEIR OBLIGATIONS 1.1 The parties to the contract are the Vehicle Body Builder and the MSCTT, as defined in Section IV of RFP Document. 1.2 A person signing the bid or any other document in respect of the contract on behalf of the Vehicle Body Builder without disclosing his authority to do so, shall be deemed to have the authority to bind the Vehicle Body Builder to fulfill his obligations as mentioned in such bid or document. If it is discovered at any time that the person so signing has no authority to do so, MSCTT may, without prejudice to any other right or remedy of MSCTT, cancel the contract and authorize the work to other Vehicle Body Builder at the risk and cost of such person and hold such person liable to MSCTT for all costs and damages arising from the cancellation of the contract including any loss which MSCTT may sustain on account of such purchase. 1.3 In case of any inter-se conflict between any provisions / stipulations in the Bid Document or in the Contract Document, the decision of the MSCTT for interpretation / application would be final and binding. 2. TERMINATION FOR DEFAULT 2.1. MSCTT may, without prejudice to any other remedy for breach of contract, by written notice of default sent to the Vehicle Body Builders, terminate the contract in whole or in part if the Vehicle Body Builder fails to perform any other obligation(s) under the contract In the event the MSCTT terminates the contract in whole or in part, the MSCTT may enter into fresh contract with any other Vehicle Body Builder for completing the unfulfilled portion of the contract and the Vehicle Body Builder(whose Contract is terminated) shall be liable to MSCTT for any excess costs for such services. 3. FORCE MAJEURE 3.1. For purposes of this contract, Force Majeure means an event beyond the control of the parties to the contract and not involving either party's fault or negligence and not foreseeable If, at any time during the existence of the contract, either party is unable to perform in whole or in part any obligation under this contract because of an event rendering performance of obligations impossible which include acts of God, war, revolutions, hostility, civil commotions, strikes, floods, earthquake, epidemics, quarantine restrictions, freight embargoes or explosions, then the date of fulfillment of contract shall be postponed during the period when such circumstances are operative The party which is unable to perform its obligations under the present contract shall, within seven (07) days of occurrence of the Force Majeure event, inform the other party with suitable documentary evidence. Non-availability of any component etc or any price escalation

7 Page # 7 or change in any duty, tax, levy, charge etc shall not be an excuse for the Vehicle Body Builder for not completing his obligations under this clause/contract Any waiver/extension of time in respect of the delivery of any work shall not be deemed to be a waiver/extension of time in respect of the remaining contract If such inability on account of force majeure to perform continues for a period of more than three (3) months, each party shall have the right to be released from further performance of the contract, in which case, neither party shall have the right to claim damages from the other. All prior work performed shall be subject to contract terms Notwithstanding the provision of other clauses, the Vehicle Body Builder shall not be liable for forfeiture of his pre-estimated liquidated damages or termination if and to the extent that delay in completion of work or other failure to perform its obligations under the contract is the result of Force Majeure. 4. INDEMNITY 4.1 The Vehicle Body Builder, shall at his own expense and responsibility, either settle any such dispute or conduct any litigation that may arise from the work of contract. 5. SAFETY MEASURES 5.1. The Vehicle Body Builder should ensure that while working in their premises, unauthorised, careless or inadvertent operation of installed equipment which may result in accident to staff and/or damage to equipment of MSCTT, does not occur The Vehicle Body Builder should indemnify and keep the MSCTT indemnified and harmless against all actions, suits, claims, demands, costs, charges or expenses arising in connection with any accident, death or injury, sustained by any person or persons within the premises of his work areas and any loss or damage to property of MSCTT sustained due to the acts or omissions of the Vehicle Body Builder irrespective of whether such liability arises under the Workman's Compensation Act or the Fatal Accidents Act or any other statute in force from time to time. 6. LAWS GOVERNING THE CONTRACT 6.1. This contract shall be governed and interpreted in accordance with the laws of India Irrespective of the place of delivery and the place of payment under the contract, the contract shall be deemed to have been made in Una District of Himachal Pradesh (India) from where the Letter of Acceptance of the bid has been issued and where the contract is to be finally delivered Jurisdiction of Courts. - The Courts of Himachal Pradesh (India), the place from where the Letter of Acceptance of the bid has been issued and where the Fire Tender is to be delivered, alone shall have exclusive jurisdiction to decide any dispute arising out of or in respect of the contract. 7. VEHICLE BODY BUILDER'S RESPONSIBILITY 7.1. The Vehicle Body Builder shall be entirely responsible for the execution of the contract strictly in accordance with the terms of the Specification and the General Conditions of Contract, Instruction to the Bidders and other conditions of contract Any approval that may be given by the MSCTT or Inspecting Officer or any agency on behalf of MSCTT shall only be deemed to be the approval in principle. Notwithstanding such approval the Vehicle Body Builder shall be fully and totally responsible for the satisfactory completion and compliance with the contract specifications and conditions.

8 Page # The Vehicle Body Builder shall be responsible for taking all the necessary approvals and permissions from the Government of India and liable for payment of all statutory and nonstatutory dues during the performance of its obligations under the contract. 8. PAYMENT TERMS 8.1 Payment in advance will be released as per the contract decided on acceptance of bid. 8.2 Payment will be made in Indian Rupees against bills raised by the Vehicle Body Builder by cheque or e-payment only. 9. DUTIES & TAXES 9.1 The Bidders are required to indicate the break-up of duties and taxes payable by them in their Price Schedule. 10. AMENDMENTS 10.1 MSCTT, without prejudice, can make amendments, and/or modifications in the Contract in writing.

9 Page # 9 SECTION V: REQUIREMENTS FROM THE VEHICLE BODY BUILDER AND TERMS & CONDITIONS 1. The vehicle body is to be prepared for TATA 1613 (LPT) chassis for storage capacity of 4500 liters of water. The vehicle body will be made to house and carry the most modern available equipment for fire-fighting (Advanced Fire Tender). All mandatory statutory requirements will be met by this vehicle. 2. High-low pressure pump will be provided in the vehicle along with other necessary attachments like multi-purpose nozzle (selectable flow nozzle) 3. The list of accessories and other equipment is given at Appendix A attached. In addition, details of suggested equipment to make the fire tender more effective may be given. 4. The vehicle so prepared should be able to operate in hilly terrain with steep and narrow roads as existing in areas around Chintpurniji Temple in Amb Tehsil of Una District of Himachal Pradesh. 5. The cabin of the vehicle should be spacious enough to accommodate 7 crew members comfortably. 6. The Vehicle Body Builder should have at least 10 years of operational experience since inception. 7. The Vehicle Body Builder will submit relevant valid certificates and documents as per details below along with the bids: a. If registered with the Registrar of Companies / Registrar of Firms, attach a copy of the registration certificate b. Service Tax Registration c. Incorporation letter /certificate d. Permanent Account Number & TAN registration e. Registration with any other statutory authority f. Documentary evidence in support of having completed at least 10 years in the industry along with complete profile. 8. The details of time required for completion of work and delivery will be provided in the Technical Bid.
