2 AIRPORTS AUTHORITY OF INDIA SOUTHERN REGION, VISAKHAPATNAM AIRPORT NOTICE INVITING E-TENDER E-Tenders in the prescribed form are hereby invited by Airport Director, Visakhapatnam Airport on behalf of Chairman, AAI, for grant of License for PRE-PAID TAXI SERVICES COUNTER at Visakhapatnam Airport. NAME OF FACILITY WITH ITS LOCATION PRE-PAID TAXI SERVICES COUNTER ARRIVAL HALL (1 st Floor): SQM PERIOD OF LICENSE EARNEST MONEY DEPOSIT MINIMUM RESERVE LICENSE FEE (IN RS.) 02 YEARS Rs. 10,000/- Rs. 50/- PER TRIP NOTE: a) Offers below MRLF will not be considered for award. Bidders are required to quote offer in the prescribed financial bid format (BoQ file). b) In addition to the quoted license fee per trip etc., the successful bidder would be required to pay applicable space rentals for the allotted area of 5.44 Sq m. Prevailing rate is Rs. 1,020/- per Sq m per month. Space rentals are subject to revision from time to time. c) Further, Utility Charges for the space allotted for PREPAID TAXI SERVICES COUNTER shall be 10% of normal notified space license fee. d) The successful bidder is liable to pay all Govt. Taxes including GST etc. at the rates declared by Govt. of India / State Govt/UT from time to time. e) Gestation period of 30 days from the issue of the award letter or actual commencement of commercial operation whichever is earlier, will be permitted. f) All the documents should be in the name of the Tenderer only. 3 / undergo proper diligence study and thereafter may bid in the Tender. No reduction in license fee will be entertained by AAI at any stage for whatever reasons. h) Only bare space of SQ M in the Visitors Concourse Area (Arrivals side) (Refer Location Map) shall be provided by AAI and installation, operation and maintenance of the PRE-PAID TAXI SERVICES COUNTER has to be done by the successful bidder at their own cost, after approval of design by AAI. 2. The period of license shall be TWO (02) YEARS. 3. The parties fulfilling the following criteria as per NIT are eligible to participate in the E-tender: RECOGNISED TAXI UNIONS/ASSOCIATIONS OPERATING PRE-PAID TAXI FACILITY. Note: The Recognised Taxi Unions/Associations shall have to obtain the support of the Police Department to run the facility. 4. Only one e-tender document shall be downloaded by a single party either a firm or an individual. The proprietor of more than one company or firm will be considered as single party and one legal entity. 5. Any party either a firm or an individual falling under the following category is NOT ELIGIBLE: (a) De-barred/blacklisted by CBI or AAI or Undertakings/Departments like; Railways, Defence, or any other Department of Govt. of India, State Govt. (b) Parties facing action under PPE Act, with AAI or under AAI Act 1994 as amended by Act 43 of (c) Parties either an individual or a business establishment, who has been ordered by a Court of Law to pay the outstanding dues of AAI at any of the airports as a whole and has not paid such dues to AAI, shall also not be eligible for the tender. (d) If the entity participating in any of the tenders is a Private or Public Limited Company, Partnership Firm or Sole Proprietor and any of the Directors/Partners/Sole Proprietor of such company is also a Director of any other Company or Partner of a concern or a Sole Proprietor having established business with AAI and has outstanding dues payable to the authority, then the said entity may not be allowed in AAI tenders. (e) Ex-Licensee(s)/Existing Licensee(s) of AAI having outstanding dues in respect of the airports under Northern, Southern, Western, Eastern and North-East Regions as well as Airports viz. Chennai and Kolkata Airports, except where the dues are pertaining to current month s license fee i.e. the month of October TENDER.NO.AAI/VZ/COMML/19/PPTS/2017 Page 3 of 37

4 The disputed dues referred to an arbitrator for adjudication as per terms and conditions of the license agreement shall not form a part of outstanding dues for the purpose of the acceptance of tender documents. (f) A declaration to the effect that the tenderer does not fall under the categories (a), (b) (c) (d) and (e) above has to be submitted in the Technical Bid. (Refer Annexure-B) 6. E-Tender documents indicating full details of the license can be seen in the e-tender documents uploaded on the NIC Central Public Procurement Portal The bids shall be submitted only on the NIC Central Public Procurement (CPP) Portal THE BIDS SHALL NOT BE ACCEPTED IN ANY OTHER FORM. Tenderers are requested / advised to get themselves acquainted for e-tendering participation requirement themselves at NIC Central Public Procurement Portal Clarification needed, if any may be sent through Central Public Procurement Portal only. 7. Cost of e-tender amounting to Rs. 1,000/- (Rupees One Thousand only), non-refundable, shall be paid online through NEFT/RTGS to AAI, Visakhapatnam Airport before opening of Technical Bids, as per following details. 6 GUIDELINES TO BIDDERS FOR PARTICIPATING IN E-TENDERING 1. CENTRAL PUBLIC PROCUREMENT (CPP) PORTAL 1.1 The tendering process is online at CPP portal and the URL address is Bidders are required to enroll on the e- Procurement module of the Central Public Procurement Portal (URL: by clicking on the link Online bidder Enrollment on the CPP Portal which is free of charge Bidders are advised to visit this website regularly to keep themselves updated as any change/ modification in the tender will be intimated through this website only. The bidders can visit and download the electronic bids (tenders) of AAI by visiting the CPP Portal. 1.2 The bidders are required to submit soft copies of their bids electronically on the CPP Portal, using valid Digital Signature Certificates. The instructions given below are meant to assist the bidders in registering on the CPP Portal, prepare their bids in accordance with the requirements and submitting their bids online on the CPP Portal. More information useful for submitting online bids on the CPP Portal may be obtained at: REGISTRATION 1) Bidders are required to enroll on the e Procurement module of the Central Public Procurement Portal (URL: by clicking on the link Online bidder Enrolment on the CPP Portal which is free of charge. 2) As part of the enrolment process, the bidders will be required to choose a unique username and assign a password for their accounts. 3) Bidders are advised to register their valid address and mobile numbers as part of the registration process. These would be used for any communication from the CPP Portal. 4) Upon enrolment, the bidders will be required to register their valid Digital Signature Certificate (Class II or Class III Certificates with signing key usage) issued by any Certifying Authority recognized by CCA India (e.g. Sify /ncode / emudra etc.), with their profile. 5) Only one valid DSC should be registered by a bidder. Please note that the bidders are responsible to ensure that they do not lend their DSC s to others which may lead to misuse. 6) Bidder then logs in to the site through the secured log in by entering their user ID / password and the password of the DSC / e Token. SEARCHING FOR TENDER DOCUMENTS 1) There are various search options built in the CPP Portal, to facilitate bidders to search active tenders by several parameters. These parameters could include Tender ID, Organization Name, Location, Date, Value, etc. There is also an option of advanced search for tenders, wherein the bidders may combine a number of search parameters such as Organization Name, Form of Contract, Location, Date, Other keywords etc. to search for a tender published on the CPP Portal. 7 2) Once the bidders have selected the tenders they are interested in, they may download the required documents / tender schedules. These tenders can be moved to the respective My Tenders folder. This would enable the CPP Portal to intimate the bidders through SMS / e mail in case there is any corrigendum issued to the tender document. 3) The bidder should make a note of the unique Tender ID assigned to each tender, in case they want to obtain any clarification / help from the Helpdesk. PREPARATION OF BIDS 1) Bidder should take into account any corrigendum published on the tender document before submitting their bids. 2) Please go through the tender advertisement and the tender document carefully to understand the documents required to be submitted as part of the bid. Please note the number of covers in which the bid documents have to be submitted, the number of documents including the names and content of each of the document that need to be submitted. Any deviations from these may lead to rejection of the bid. 3) Bidder, in advance, should get ready the bid documents to be submitted as indicated in the tender document / schedule and generally, they can be in PDF / XLS / RAR / DWF/JPG formats. Bid documents may be scanned with 100 dpi with black and white option which helps in reducing size of the scanned document. 4) To avoid the time and effort required in uploading the same set of standard documents which are required to be submitted as a part of every bid, a provision of uploading such standard documents (e.g. PAN card copy, annual reports, auditor certificates etc.) has been provided to the bidders. Bidders can use My Space or Other Important Documents area available to them to upload such documents and keep it as a repository. Note: My Documents space is only a repository given to the Bidders to ease the uploading process. If Bidder has uploaded his Documents in My Documents space, this does not automatically ensure these Documents being part of Technical Bid. SUBMISSION OF BID 1) Bidder should log into the site well in advance for bid submission so that they can upload the bid in time i.e. on or before the bid submission time. Bidder will be responsible for any delay due to other issues. 2) The bidder has to digitally sign and upload the required bid documents one by one as indicated in the tender document. 3) Bidder has to select the payment option as offline to pay the tender fee / EMD as applicable and enter details of the instrument. Bidder should prepare the EMD as per the instructions specified in the tender document. TENDER.NO.AAI/VZ/COMML/19/PPTS/2017 Page 7 of 37

8 The original should be posted/couriered/given in person to the concerned official as specified in the tender document. The details of the DD/any other accepted instrument, physically sent, should tally with the details available in the scanned copy and the data entered during bid submission time. Otherwise the uploaded bid will be rejected. 4) Bidders are requested to note that they should necessarily submit their financial bids in the format provided and no other format is acceptable. If the price bid has been given as a standard BOQ format with the tender document, then the same is to be downloaded and to be filled by all the bidders. Bidders are required to download the BoQ file, open it and complete the white coloured (unprotected) cells with their respective financial quotes and other details (such as name of the bidder). No other cells should be changed. Once the details have been completed, the bidder should save it and submit it online, without changing the filename. If the BoQ file is found to be modified by the bidder, the bid will be rejected. 5) The server time (which is displayed on the bidders dashboard) will be considered as the standard time for referencing the deadlines for submission of the bids by the bidders, opening of bids etc. The bidders should follow this time during bid submission. 6) All the documents being submitted by the bidders would be encrypted using PKI encryption techniques to ensure the secrecy of the data. The data entered cannot be viewed by unauthorized persons until the time of bid opening. The confidentiality of the bids is maintained using the secured Socket Layer 128-bit encryption technology. Data storage encryption of sensitive fields is done. Any bid document that is uploaded to the server is subjected to symmetric encryption using a system generated symmetric key. Further this key is subjected to asymmetric encryption using buyers/bid openers public keys. Overall, the uploaded tender documents become readable only after the tender opening by the authorized bid openers. 7) The uploaded tender documents become readable only after the tender opening by the authorized bid openers. 8) Upon the successful and timely submission of bids (i.e. after Clicking Freeze Bid Submission in the portal), the portal will give a successful bid submission message & a bid summary will be displayed with the bid no. and the date & time of submission of the bid with all other relevant details. 9) The bid summary has to be printed and kept as an acknowledgement of the submission of the bid. This acknowledgement may be used as an entry pass for any bid opening meetings. 10 GENERAL INFORMATION / GUIDELINES 1. Tender documents are not transferrable. Tender shall be submitted strictly as per the procedure available in the Central Public Procurement (CPP) Portal 2. Following bids shall be submitted through online only at CPP Portal by the bidder/tenderer: (i) Technical E-Bid- EMD and other documents as required under Clause 3 of General information and guidelines. (ii) Financial E-Bid to be submitted as required under clause 4 of General Information & guidelines 3. Technical E-Bid which will be opened first, shall contain the following documents specified as under (Bidders shall upload scanned copies of following documents in readable form at CPP Portal as part of Technical Bid). The hard copy of documents shall be submitted as and when required. a) Details of the Concern and legal status, that is, whether it is Sole Proprietor, Partnership Firm or a Company under the Companies Act etc. b) Self-Attested copies of the PAN Card, VAT/Service Tax or GST Registration Certificate etc. In case, any or all the provisions mentioned above are not applicable, the party should give a declaration to that effect. Non-submission will not be considered as exemption. AAI reserves the right to confirm the legal applicability of the provisions before accepting the declaration of non-applicability as submitted by the party. c) Copies of Profit and Loss Account/Balance Sheet (duly audited and certified by a Chartered Accountant) of the Sole Proprietor concern or a Partnership Firm, Certificate of Incorporation, Annual Report (s) in case of a Company as per the Companies Act. d) Self-attested copies of Memorandum and Articles of Association in case of Companies and Partnership Deed in case of firms and approved bylaws in case of Co-operative Societies. e) Earnest Money Deposit (EMD): EMD of Rs. 10,000/- (Rupees Ten Thousand only) shall be paid online through NEFT/RTGS to Airports Authority of India, Visakhapatnam Airport before opening of Technical Bids ( /1530 HRS) as per following details. 11 Note: The proof / documents (scanned copy) towards making such payment through NEFT/RTGS mode has to be submitted by the bidder(s) as part of technical bids / documents. The tenders of the bidders who fail to submit the EMD before the stipulated time shall be rejected outright. REFUND OF EMD: The refund of EMD to bidders (other than H1 bidder) shall be processed for refund within 15 days of opening of Financial Bid. f) NO DUES CERTIFICATE i) SELF DECLARATION OF DUES The party should submit the details of contracts held (current and past) at all AAI controlled airports and offices and the details of disputed and undisputed dues there on along with the details of Security Deposit and mode of Security Deposit (Refer Annexure D). ii) NO DUES CERTIFICATE FROM AAI. The party should also enclose the No Dues Certificate issued by AAI in respect of all airports under its control. Only signed certificate will be valid. Photocopy of the signed certificate to be attested by the party at the time of tender submission. iii) If the entity participating in the e-tender is a private or public limited company, Partnership Firm or Sole Proprietor and any of the Directors / Partners / Sole Proprietor of such company is also a director of any other company or partner of a concern or a Sole Proprietor having established business with AAI and has outstanding dues payable to the Authority, then the said entity shall not be allowed in AAI e-tenders. A declaration to this effect has to be submitted by the party / tenderer. (Refer Annexure D). g) Form of unconditional Acceptance duly signed (Annexure-B) h) Declaration to the effect that No raid / seizure / search has been carried out and / or pending by a regulatory authority in respect of the Licence granted by AAI in any of the airport premises either against me and / or any member of the consortium or against our / its associates or against any of the Directors / Managers/employees. i) Declaration giving the details of blacklisting or debarring by AAI, or any Government of India department, any Central or State Public Sector Undertakings (NIL statement also to be filed) (Refer Annexure D). j) Declaration of cases/action under PPE Act initiated by AAI. (Nil statement also to be filed). (Refer Annexure D) k) Documentary evidence in support of meeting Experience Criteria [(Refer Clause 3 of NIT (Page 3)]. 12 IMPORTANT: AAI reserves the right to verify, refer any document to the concerned authority for confirmation from case to case basis. Mere submission will not bind AAI to accept the documents as valid for opening of financial bid. Note: One set of scanned copy of complete technical documentation comprising of documents at Clause 3 (a to l) above shall be uploaded in the Technical Bid. 4. Financial Bid a) The Financial E-Bid should be in the prescribed format provided / available at CPP Portal and the following shall also form part and parcel of financial e-bide to be submitted by the tenderer: - I / We have carefully read and understood the terms and conditions of the license as contained in Tender Document issued by the Airports Authority of India (AAI) including the following: - (i) Earnest Money Deposit of Rs. 10,000/- is liable to be forfeited by AAI, if on award of licence, I/We do not accept the award or do not fulfil any of the conditions stipulated in tender documents, within prescribed time. The party will also be debarred from participating in any tender of AAI for a period of one (01) year (ii) In case the documents submitted by my/our firm along with tender are false / incorrect/ Concealment of information/ document affecting eligibility criteria of the facility in such case, the tender of my/our firm will be liable to be rejected by giving reasons. In addition, AAI reserves its right to forfeit the EMD of my/our firm and debar my/our firm for three (03) years from participation in the further tenders of AAI. (iii) If the licensee does not operate the license up to 50 % of the contract period then the party is liable to be debarred for next one (01) year. b) AAI reserves itself the right to reject the conditional offer without assigning any reason thereto. c) AAI does not bind itself to accept the highest or any tender and reserves to itself the right of accepting the whole or any part of the tender and the tenderer shall be bound to provide the service at the rate quoted. d) The amount of license fee should be conspicuously written both in figures as well as in words. e) In case of discrepancy between the amount offered in figures and words, the offer written in words will only be considered. 5. a) A Sole Proprietor having concerns under different names will be considered as a single legal entity. 13 b) In case of partnership firms, as it does not have any legal entity on its own, hence if two or more firms are having common partners then all these firms will be considered as single entity. The principle of implied agency of partner as per the Partnership Act of India has been taken as the guiding principle. Since the provisions are different in Tax laws hence different PAN card will not entitle the firms having common to be treated as separate entity for the purpose of commercial contracts in AAI. c) In case of Companies, if the holding company and its subsidiary are participating in the same tender then a disclosure to this effect to be made at the time of application for tender form. Also, it will be mandatory for them to submit the basis and proof of the relationship during the technical bid stage. d) In case of foreign Company and its wholly owned Indian subsidiary (WOS) Company are participating in the same tender then a disclosure to be made during the application stage. Also, it will be mandatory for them to submit the basis and proof of the relationship during the technical bid stage. Note: In case of (c) & (d) above, as the consolidated balance sheet is the accounting relationship between the holding company and the subsidiary company, showing the combined assets and liabilities of both companies, the experience submitted by a subsidiary company of its parent company and vice versa shall be considered for experience purpose. Hence, the consolidated Balance Sheet should be submitted in the cases where the experience of a subsidiary/ holding company is to be considered. 6. It may be noted that the Earnest Money deposit of the successful bidder may be forfeited and the bidder may be debarred for further participation in AAI/s tender(s) for a period of one (01) year on account of non completion of the following: (a) (b) Acceptance of the offer within 10 days from the date of the award letter addressed to the party. Payment of Advance License Fee for one month within 15 days from the date of the Award Letter. (c) (i) Payment of Security Deposit for Rs. 30,000/- in the form of Demand Draft / Banker s Cheque from a Nationalised / Schedule Bank favouring Airports Authority of India, Visakhapatnam Airport within Fifteen (15) days from the date of the award letter. (ii) Payment of Security deposit equal to an amount of Rs. 10,000/- towards electricity charges etc. (d) (e) Execution of the Agreement within 15 days from date of award letter. Commencement of the facility within gestation period of 30 days. 7. E-Tender(s) will remain valid for a period of 180 days from the date of opening of the Technical Bid. If any tenderer withdraws during the validity period, his Earnest Money Deposit will be forfeited. However, the tenderer(s) can withdraw their Earnest Money Deposit after the validity is over or may extend the validity of their tender(s) with the consent of AAI. 14 8. The tenderer(s) shall give the list of his near relatives* employed in AAI. 9. The successful bidder shall intimate the names of the persons employed by him or going to employ, who are near relatives* of AAI employees. 10. Any breach of the conditions above by the successful tenderer(s) shall be dealt as follows: - a) If a party after the award letter is issued does not complete the formalities of acceptance or does not commence the operation of the facility on the commencement date specified or does not sign the agreement within the prescribed date then the contract is liable to be terminated by AAI and the EMD received will be forfeited. The party will also be debarred from participating in any tender of AAI for a period of one (01) year. b) If any contract is terminated due to any illegal activity which is punishable under any of the Laws of the Land then the party will be debarred till the case is cleared by the concerned legal authority of the land. In case any penalty of fine is imposed by the concerned authority then the party will be debarred till he obtains a clearance from the concerned authority. c) If at any stage, AAI finds that the party had submitted any false / wrong / concealment of information/document affecting eligibility criteria of the facility in such case, EMD shall be forfeited and party is liable to be debarred for three (03) years for participation in AAI tenders. d) If the licensee does not operate the license up to 50% of the contract period then the party is liable to be debarred for next one (01) year. 11. Exit Clause in this contract shall be as follows: - a) Normal termination: - The contract will deem to be terminated on the last date as given in the agreement provided the extension or renewal is approved by the competent authority on or before the last date and communicated to the party in writing and duly accepted. The liability of the party will continue to be payable along with the delayed interest (at the rate mentioned in the contract) till the same is settled. The contractor cannot claim the dues to be time barred or ultra vires even if after the contract is deemed to have terminated by operation of this clause. b) Termination for cause: - If the party or AAI has invoked the internal dispute resolution clause (as per which the dispute referred to the DRC is to be completed within a period of 45 days) and the same remains unresolved after the specified time period, it will be deemed that the notice period for the termination has commenced from the next date within which the dispute should have been resolved. No extra notice need to be served by either party and the contract will terminate after the expiry of the notice period. If such termination happens to fall within 50% of the contract period then the party is liable to pay AAI the value of license fee equal to the amount of current license fee for the six (6) months as demurrage charges. The agreement should also provide for invocation of arbitration clause only after the internal dispute TENDER.NO.AAI/VZ/COMML/19/PPTS/2017 Page 14 of 37

15 mechanism has been exhausted. However, the notice for termination will deem to have commenced irrespective of the arbitration proceedings. c) Termination for convenience: - Either part, AAI on one part and the contractor on the other part can serve the notice for termination by giving the requisite notice period. The notice given by the party should be approved by the acceptance Authority. However, the date on which notice was received at AAI will be the commencement of the notice period and administrative time required for the approval will not be added. If the party has served the notice, then the party is liable to pay demurrage charges. The demurrage charges will be equal to the amount of six (06) months current license fee if the termination occurs before the 50% period of the original contract. The period of six (06) months will be reduced to four (04) months if the contract period served exceeds the 50% period but is less than 75%. If the period served exceeds 75% and the period remaining is more than the required notice period of normal termination the demurrage will be equivalent to three (03) months license fee. 12. All the above guidelines will form part & parcel of the Notice Inviting E- Tenders (NIET). 13. AAI reserves itself the right to extend the date of receiving/opening of the e-bids as well as to extend the validity of the e-tender. 14. 16 DRAFT LICENSE AGREEMENT Annexure A Sub: License for Operation of Pre-paid Taxi Services Counter at Visakhapatnam Airport This AGREEMENT made this day of two thousand between the Airports Authority of India, a body corporate constituted by the Central Government under the Airports Authority of India Act (Act 55of 1994) and having its Corporate Office at New Delhi and Offices at all the Airports in India represented by Airport Director hereinafter called the Authority (which term shall unless excluded by or is repugnant to the context, be deemed to include its Chairman, or Member, Executive Directors, Airport Directors, Officers or any of them specified by the Chairman in this behalf, and shall also include its successors and assigns) of the one part, and represented by of the other part, hereinafter called the Licensee (which term shall unless excluded by or is repugnant to the context, be deemed to include its heirs, representatives, successors and assigns of the Licensee). WHEREAS the Authority is entitled in Law to grant Licence at its Visakhapatnam Airport for the purpose of so as to provide amenities and facilities to the passengers and visitors at airport and is in possession of space, more fully described in the schedule hereunder and in the Plan annexed to this Agreement, hereinafter referred to as the premises. WHEREAS the Licensee is desirous to render the services to the Authority on the Terms and Conditions mentioned hereunder: AND WHEREAS the Authority is agreeable to grant the License. NOW, THEREFORE, this indenture witnesseth: 1. That the License for the said facility shall be valid for the period of years from to unless terminated earlier on account of following: a) By giving days notice in writing from either side without assigning any reason; b) Terminated by AAI on a short notice on account of un-satisfactory performance; c) Termination of expiry of the specified time period allotted for unresolved internal dispute resolution. 2. That in consideration, Licensee shall pay the Authority every month in advance by way of license fees on or before 10th day of English Calendar Month as under: Years Amount of Monthly License Fee Service Tax 1 st Year 2 nd Year TENDER.NO.AAI/VZ/COMML/19/PPTS/2017 Page 16 of 37

17 3. That in addition to the above said License Fee, the Licensee shall pay all charges towards Consumption of electricity and water as may be due as determined by the Authority and at the rate(s) fixed by it from time to time. Such charges shall be paid within the date(s) specified in the Bill(s). The Licensee shall have to provide his own meter(s) for the purpose, failing which Licensee shall be billed on assessed consumption. In default of payment of said charges, the Authority may without prejudice to its other rights disconnect or cause to be disconnected the water and electricity to the said premises without any notice and the Licensee shall not be entitled to any compensation whatsoever on account of any such disconnection. 4. That the Licensee shall pay all rates, assessments, outgoings and other taxes as leviable on the Licensee in Laws. 5. That the Licensee shall make payment of license fee etc., by demand drafts drawn on local banks. No outstation cheque shall be accepted in payment of license fee etc. 6. That in the event of failure to pay the license fee and other charges by due dates, simple 12 % per annum be payable, as per AAI credit policy, on all delayed payments without prejudice to the Authority s other rights and remedies. 7. That the Licensee shall deposit a sum of Rs. /- (Rupees only) i.e., an amount equal to months license fee as Security Deposit in the form of Demand Draft/Pay Order/Bank Guarantee from a Nationalised / Scheduled Bank in favour of Airports Authority of India, payable at Visakhapatnam. In the event of the Licensee committing any breach of the terms & conditions of the licence agreement, the Authority may without prejudice to other rights and remedies be entitled to forfeit/adjust the total amount of Security Deposit or any part thereof. In such an event, he shall pay in the same manner as stated above such additional sum immediately as he may be called upon by the authority to pay, so that the Security Deposit shall at all times during the continuance of these presents, be for the same amount. On the expiration or earlier determination of the license the Authority shall return the Security Deposit or part thereof which has not been forfeited as aforesaid, to him, without interest. 8. That the Licensee shall deposit in cash/dd/pay Order Rs /- (Rupees ) as Security Deposit towards Electricity Charges. 9. That the Licensee shall equip himself with all necessary permits, licenses and such other permissions as may be required under the law in force at any time with regard to the operation of the subject license. 10. That the Licensee shall maintain such regular and proper account books along with other supporting documents regarding sales affected by the Licensee in the said premises and said accounts/documents shall all the times be kept open for inspection by authority in such manner as may be prescribed. The Licensee shall provide to the Authority, if so required by the Authority, statements of audited Accounts in such manner and within such period as the Authority may prescribe. That the Licensee shall have no right to object as and when the Authority decides to grant additional License for similar Facility at the airport premises where the Licensee is rendering such services. 12. That Authority shall provide bare space for the subject services and other expenses of any kind for establishment and rendering of the services shall be incurred by the Licensee. However, provisions of electricity, water and drainage connections, as the case may be, if so required, for the smooth operation of the services shall be provided by the Authority. 13. All the times during the currency of the license agreement, it shall be the responsibility of the licensee to obtain proper fire insurance coverage including theft and burglary in respect of all the movable and immovable assets stored or used in the licensed premises and authority shall not be responsible for any loss or damage caused to the Licensee on any account whatsoever. 14. That licensee shall operate the subject facility by charging the rate from users, as may be approved in advance by the Authority. Licensee shall exhibit the said approved charges at a conspicuous place inside the licensed premises. 15. That the authority reserves to itself the right to change the location of the premises at any time and may at its discretion to call upon the Licensee to vacate the site and may give him alternative premises for the purpose of this license. In such a case, the Licensee shall be bound to vacate the premises immediately and accept the said alternate premises. The entire expenditure on such shifting shall be borne by him and the Licensee shall not be entitled to claim any compensation or revision in the license fee on that score. 16. The Licensee shall use the premises for the bonafide purpose as provided in the Agreement, more particularly described in the enclosed schedule, for the use of all passengers and bonafide visitors to the Airport and Officers of the Authority and the staff of various Airlines using the Airport and for no other purpose. 17. The Licensee shall not erect or display any advertisement or signboards except after obtaining the prior approval in writing of the Authority. 18. The Licensee shall not terminate the License before the expiry of the period of the License except by giving 30 days notice in writing, otherwise the Licensee shall be liable to pay to the Authority (without any demur or question) such amount of money as the Authority may decide as due to it by the Licensee. The license can be terminated by the Authority by giving 120 days notice in writing without assigning any reason there to. 19. In the event of any default, failure, negligence or breach in the opinion of the Authority on the part of the Licensee in complying with all or any of the conditions of the Licence agreement, the Authority will be entitled and be at liberty to determine the Licence forthwith and resume possession of the premises without payment of any compensation or damages and also forfeit TENDER.NO.AAI/VZ/COMML/19/PPTS/2017 Page 18 of 37

19 in full or in part the amount deposited by the Licensee for due performance of Agreement. 20. The Authority and the Licensee further agree that they are bound by the General Terms & Conditions and the Exit Clause shall form part and parcel of the license agreement. 21. The award letter / letter of intent to be issued to the successful bidder shall also form part and parcel of the license agreement. 22 E-TENDER FOR PREPAID TAXI SERVICES COUNTER GENERAL TERMS & CONDITIONS The Authority hereby covenants with the Licensee as follows: 1. The Licensee, his servants and agents shall be entitled to use all ways, paths and passages as may from time to time be maintained on the said Airport ground subject to such rules and regulations and may be imposed by the lawful authorities of the airport ground. 2. The Licensee paying the license fee and performing the covenants herein contained and on his part to be performed shall and may peacefully possess and enjoy the premises with use of the ways, paths and passages as aforesaid during the said term without any unlawful interruption from or by the Authority or any person claming under the Authority. 3. Any notice required to be served on the Licensee under this Agreement shall be deemed to have been served if delivered at or sent by registered post to his last known address or to his authorized representative or agent, similarly, any notice to be given to the Authority under this agreement shall be deemed to have been served if delivered at or sent by Registered post to the Authority who should invariably acknowledge the notice. a) The period of notice given under this Agreement will count from the date of receipt of notice by either side. 4. Subject as herein before otherwise provided, all notice to be given on behalf of the Authority and all other actions to be taken on behalf of the Authority, may be given or taken on behalf of the Authority by the Airport Director of the Airport or by any other officer for the time being authorized by or entrusted with the functions, duties and power of the said Airport Director in respect of the airport under his charge. 5. a) The Licensee shall not, unless with the written consent of the Authority create a subcontract of any description with regard to this license or any part thereof, nor shall be without such written consent as aforesaid, assign or transfer his license or any part thereof. b) The Licensee shall use the premises only for the purpose indicated in this Agreement and for no other purpose whatsoever. 6. The Licensee his agents and servants shall observe, perform and comply with all rules and regulation of the Shops and Establishments Act, Factories Act, Industrial Disputes Act, Minimum wages Act and provisions of any statutory law applicable to the licensee including any rules and regulations made by the Authority, Civil Aviation Department or any other Department of Government and or local body or Administration in force from time to time and to the business which the Licensee is allowed to carry on under this Agreement and to the area in which the said premises are located. 7. a) The Licensee shall Indemnify the Authority from/against any claims made or damages suffered by the Authority by reason of any default on the part of the Licensee in the due observance and performance of the provisions TENDER.NO.VZ/COMML/19/PPTS/2017 Page 22 of 37

23 E-TENDER FOR PREPAID TAXI SERVICES COUNTER of any law which may be related to the purpose of this Agreement and to the area in which premises are located. b) The Authority shall not be responsible in any way for loss or damage by any means caused to the Licensee s stock or property 8. The Licensee shall at his own cost maintain the premises in a proper state of cleanliness and abide by such directions as may be given by the Authority and such other departments as may be entrusted by the rules and regulation with the works of inspection and enforcement about the conditions of sanitation, cleanliness and hygiene. If the premises is not maintained in reasonably clean condition by the Licensee, the Airport Director shall have powers to get the premises cleared at the risk & cost of the Licensee and recover liquidated damages at the rate of Rs. 500/- per day for each default up to 7 days and thereafter Rs.1000/- per day and can take other actions including termination of the License. The name boards of the facility shall be made in trilingual form (i.e. Telugu, Hindi and English), with yellow back ground and black lettering. 9. The Licensee shall comply with the requirements of all standard heath clauses including those given below: a) The Airport Health Officer/Medical Officer of AAI or persons authorized by them may without notice, enter the premises any time and inspect the premises, materials, instruments and implements etc, used by the Licensee. b) All the instructions given by the Airport Health Officer/Medical Health Officer of AAI or any persons authorized by them in the maintenance of public health of the Airport including sanitation control prevention of infectious diseases, control and prevention of nuisance from insects, rodents, or any other source, shall be carried out them and his agent and servants. c) The Licensee shall notify to the Airport health Officer whenever any person working under him is suffering or suspected to be suspected to be suffering or convalescing from any infectious disease. The Airport Health Officer may medically inspect the said person or any person who is suspected to have been in contact with the person and take any precautionary and preventive measures considered necessary. d) The Licensee or his agents and servants shall not without consent of the Airport Health Officer, interfere with, injure, destroy or render useless any work executed or any materials or things placed in, under or upon any land or building by or under the order of the Airport Health Officer with the object of preventing the breeding or entry of mosquitoes or maintenance of sanitation. e) The Licensee, his agents and servants shall not abuse the water source and drainage facilities in the airport area so as to create a nuisance or in sanitary situation prejudicial to public health. f) In the event of any default, failure, negligence or breach in the opinion of the Authority, on the part of Licensee in complying with either of these TENDER.NO.VZ/COMML/19/PPTS/2017 Page 23 of 37
