CLARKSON, THE OFFICE OF THE UNITED 2 STATES TRUSTEE, THE DEBTOR IN POSSESSION, AND ALL OTHER PARTIES IN 3 INTEREST: 4 The Official Committee of Unsecured Creditors (the "Committee") of American Suzuki 5 Motor Corporation (the "Debtor") hereby withdraws the Omnibus Objection to Notices of Setting 6 Insider Compensation of Takashi Iwatsuki, Seiichi Maruyama, Koichi Kato, Yoshihide Haruta, 7 Toru Muraki, Micahel Ozawa, R. Todd Neilson, Hisashi Takayanagi, Koji Sata, and Yusuke 8 Tomita, and Request for Hearing Pursuant to Local Bankruptcy Rule (a)(4) (the 9 "Objection") [Docket No. 479] The Committee filed the Objection to the Insider Compensation Notices on the basis that 11 the Debtor did not provide adequate information for the Committee to assess whether the Insiders 12 were entitled to the compensation sought therein and whether the Debtor's estate should bear the 13 costs of that compensation (as opposed to SMC, Nounco or someone else). After considering the 14 additional information provided yesterday in the Debtor's Reply to the Objection (the "Reply") 15 and by Freddie Reiss, the Debtor's Chief Restructuring Officer, the Committee has determined that 16 the continued employment of the Insiders is necessary to the Debtor's management. Although all 17 of the Insiders have significant connections to SMC, disqualification on this basis would result in 18 the Debtor having no remaining management. Moreover, Mr. Reiss has assured counsel to the 19 Committee that the Insiders' ties to SMC will not be problematic because the Insiders have been 20 made aware that their obligations are to the Debtor and not to SMC, and that the independent 21 directors are responsible for all material SMC-ASMC decisions. In addition, the Reply also 22 confirms that the Insiders no longer receive payment from SMC. 23 With respect to the statements in the Debtor's reply concerning the Committee's 24 motivations in filing the Objection, such statements are demonstrably inaccurate and reflect no 25 more than the Debtor's frustration with being asked questions regarding insider compensation 26 after waiting six weeks to even serve the required insider compensation forms.
