How To Enter. The Contest will begin at 12:01 a.m. (EST) on May 10th, 2015 and end at 11:59 (EST) p.m. on June 30, 2015 (the Contest Period ). There is a maximum of one (1) entry per person per entry method. BYOU Magazine, Wooky Entertainment, or Tween Stars Live will not be responsible for incomplete, lost, late, misdirected or illegible or for failure to receive entries due to transmission failures or technical failures of any kind, including, without limitation, malfunctioning of any network, hardware or software, whether originating with sender or BYOU Magazine, Wooky Entertainment, or Tween Stars Live. In the event of a dispute, all online entries will be deemed to have been submitted by the owner of the ISP account from which they were sent. For these purposes, an ISP account holder shall mean the natural person assigned to such ISP account by the Internet access provider, online service provider or other organization responsible for assigning ISP addresses for the domain associated with such ISP account. All entries become property of BYOU Magazine, Wooky Entertainment, or Tween Stars Live and none will be returned. Any questions regarding the number of entries submitted or the owner of an ISP account shall be determined by BYOU Magazine, Wooky Entertainment, or Tween Stars Live in its sole discretion, and BYOU Magazine, Wooky Entertainment, or Tween Stars Live reserves the right to disqualify any entries by persons determined to be tampering with or abusing any aspect of the Contest. 5. Winners Selection. Four (4) Grand Prize Winners will be selected by Wooky Entertainment as sponsor on all entries received on or about June 30, Ten (10) runner up winners will be selected by Wooky Entertainment as sponsor on all entries received on or about July 30, Prizes and Odds. Four (4) grand prize winners have the chance to Win a Charmazing party with Skai Jackson or Piper Curda that includes; 1.) a single 1 to 3 hour visit to the winners home or designated place ( by Skai Jackson or Piper Curda; 2.) Charmazing gift bags; 3.) Pizza for winner and 20 guests (BYOU Magazine, Wooky Entertainment, or Tween Stars Live are not responsible for any expenses accrued by guests or winner for travel and accommodations to be at the location of the prize ; and 4.) recognition in BYOU Magazine print and digital. And, ten (10) winners will be selected for: 1) a 5 to 15 minute phone call with Skai Jackson or Piper Curda. (The Contest ) ($300 maximum attributable to Prize Winner for party (pizza and Charmazing gift bags). All Celebrity fees, travel, accommodations, and per diem are the responsibility of BYOU Magazine, Wooky Entertainment, and Tween Stars Live). Any other expenses not specified above as part of the Prize are the sole responsibility of winner. In order to redeem Prize, for consideration, Winner and Winner s parent or guardian must agree to be video-taped and/or photographed for inclusion BYOU Magazine and on the Websites of BYOU Magazine, Wooky Entertainment, and Tween Stars Live. Winner and Winner s parent or guardian (on behalf of the Winner) agree to sign a standard video, name and likeness release for these purposes. Odds of winning depend on the number of eligible entries received. Contest may be presented in multiple presentations and in other media, and the odds of winning may depend on the number of eligible participants who enter the Contest through such multiple presentations. 7. Winner Notification and Acceptance. Winners will be notified on or about July 30, 2015, at the telephone number, address and/or U.S. Mail address provided on winner s entry form. Representative from BYOU Magazine, Wooky Entertainment, or Tween Stars Live will call during regular business hours at number provided on entry form and will leave no messages. Failure to reach winner by phone may result in disqualification of winner, forfeiture of his or her interest in all prizes, and selection of a substitute winner from among all remaining eligible entries. Prizes are nonassignable and nontransferable. No substitutions allowed by winner. Prizes and individual 2

3 components of prize packages are subject to availability and BYOU Magazine, Wooky Entertainment, or Tween Stars Live reserves the right to substitute prizes of equal or greater value. Winners are solely responsible for reporting and payment of any taxes on prizes. Winners must complete, sign and deliver IRS form W-9 before receiving the prize. Winners may be required to complete an affidavit of eligibility/liability and publicity release (except where prohibited by law) which must be returned within ten (10) days of date of personal delivery or date of postmark. Failure to sign and return the affidavit or release within ten (10) days, or to comply with any term or condition of these Official Rules, may result in a winner s disqualification, the forfeiture of his or her interest in the prize, and the award of the prize to a substitute winner. Persons traveling as guest of the Grand Prize Winner must also sign any affidavit or release that BYOU Magazine, Wooky Entertainment, or Tween Stars Live may require. Except where prohibited, acceptance of any prize constitutes winner s consent to the publication of his or her name, biographical information and likeness in any media for any commercial or promotional purpose, without limitation the Internet, or further compensation. Prizes not won and claimed by eligible winners in accordance with these Official Rules will not be awarded and will remain the property of BYOU Magazine, Wooky Entertainment, or Tween Stars Live. The Winner and Winner s parent or guardian will be required to coordinate with BYOU Magazine, Wooky Entertainment, or Tween Stars Live representatives for scheduled day/time of visit and/or phone call with/from Skai Jackson or Piper Curda and is subject to change and/or to be rescheduled. The Prizes will at all times be subject to force majeure or Acts of God that may out of control of BYOU Magazine, Wooky Entertainment, or Tween Stars Live to prohibit the visit or phone call of Skai Jackson or Piper Curda or equivalent. 8. Participation. By participating, entrants agree to be bound by these Official Rules and the decisions of BYOU Magazine, Wooky Entertainment, or Tween Stars Live. BYOU Magazine, Wooky Entertainment, or Tween Stars Live reserves the right to disqualify persons found tampering with or otherwise abusing any aspect of this Contest as solely determined by BYOU Magazine, Wooky Entertainment, or Tween Stars Live. In the event the Contest is compromised by a virus, non-authorized human intervention, tampering or other causes beyond the reasonable control of BYOU Magazine, Wooky Entertainment, or Tween Stars Live which corrupts or impairs the administration, security, fairness or proper operation of the Contest, BYOU Magazine, Wooky Entertainment, or Tween Stars Live reserves the right in its sole discretion to suspend, modify or terminate the Contest. Should the Contest be terminated prior to the stated expiration date, BYOU Magazine, Wooky Entertainment, or Tween Stars Live reserves the right to award prizes based on the entries received before the termination date. 9. Construction. The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision. In the event that any such provision is determined to be invalid or otherwise unenforceable, these rules shall be construed in accordance with their terms as if the invalid or unenforceable provision was not contained therein. 10. CONDITIONS: : By entering this Contest and/or accepting any Prize you may win, you agree that: [1] you have all rights, permissions and consents necessary to grant the rights to BYOU Magazine and BYOU Magazine, Wooky Entertainment, and/or Tween Stars Live as expressed herein; [2] you will abide by and be bound by the Rules and BYOU Magazine, Wooky Entertainment, and/or Tween Stars Live s decisions and BYOU Magazine s Privacy Policy; [3] the Entry becomes solely BYOU Magazine, Wooky Entertainment, and/or Tween Stars Live s property and will not be acknowledged or returned; [4] you release and hold harmless the Releasees, supporting submission outlets, and other promoters from any and all liability for claims, injuries, losses or damages of any kind, including without limitation, death and bodily injury, resulting, in whole or in part, directly or indirectly, from the awarding, delivery, acceptance, use, misuse, possession, loss or misdirection of the Prize; participation in the Contest or any Contest-related activity or from any interaction with, or downloading of, computer Contest information; [5] Prize is awarded AS IS and WITHOUT WARRANTY OF ANY KIND, express or implied (including, without limitation, any implied warranty of merchantability or fitness for a 3

4 particular purpose) and the Releasees do not make any representation, warranty or guarantee, express or implied, relating to the Contest or Prize; [6] a Winner s acceptance of the Prize constitutes the grant to BYOU Magazine, Wooky Entertainment, or Tween Stars Live and assigns of an unconditional right to use Winner's name, address (city and state only), voice, likeness, photograph, biographical and Prize information and/or statements about the Contest for any programming, publicity, advertising and promotional purposes without additional compensation, except where prohibited by law; [7] in the event viruses, bugs, unauthorized human intervention, Acts of God, acts or regulations of any governmental or supra-national authority, war, national emergency, accident, fire, riot, strikes, lock-outs, industrial disputes, acts of terrorism or other matters beyond the BYOU Magazine s reasonable control, corrupt, prevent or impair the administration, security, fairness or proper play of the Contest, so that it cannot be conducted as originally planned, except where prohibited by law, BYOU Magazine has the right, in its sole discretion, to modify the Rules or to cancel, modify, terminate or suspend the Contest; and in such event, to select Winner by such method as BYOU Magazine in its sole discretion shall consider equitable; [8] the Releasees are not responsible for typographical or other errors in the offer or administration of this Contest, including but not limited to: errors in the advertising, Rules, selection and announcement of the Winner, and distribution of the Prize; [9] any portion of the Prize not accepted or used by a Winner will be forfeited; [10] the Releasees are not responsible for any inability of a Winner to accept or use a Prize (or any portion thereof) for any reason; [11] the BYOU Magazine has the right, at any time and at its sole discretion, to disqualify any individual it suspects to be doing any of the following: (a) tampering or attempting to tamper with the entry process or the operation of the Contest or the Website; (b) violating the Rules; (c) violating the terms of service, privacy policy or other terms, conditions of use and/or general rules or guidelines of any Contest property or service; (d) acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person or (e) for any other good cause as determined solely by the BYOU Magazine; [12] BYOU Magazine has the right to lock out an entrant whose eligibility is in question or who has been disqualified or is otherwise ineligible to enter the Contest; [13] since any attempt by any individual to damage the Website or undermine the legitimate operation of this Contest or the Website is a violation of these Rules as well as criminal and civil laws, and should BYOU Magazine believe or become aware that such an attempt has been, is being, or will be made, it has the right to seek remedies and damages from any responsible individuals to the fullest extent permitted by law, including without limitation criminal prosecution; [14] all disputes, claims and causes of action at law or in equity (individually, Claim ) arising out of or relating to this Contest, the meaning or interpretation of the Rules or any Prize awarded shall be resolved by applying the laws of Colorado, without regard to conflict of laws provisions therein, and shall be solely and exclusively brought in the state or federal courts within that state; [15] all Claims shall be resolved individually, without resort to any form of class action; [16] all Claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, but in no event include attorneys fees, and under no circumstances will any entrant be permitted to obtain awards for, and hereby waives all rights to claim, punitive, incidental, special, consequential damages and any other damages, other than for actual out-of-pocket expenses and waives all rights to have damages multiplied or otherwise increased; [17] BYOU Magazine has the right to modify Prize award procedures at its sole discretion; [18] the Releasees are not responsible for the cancellation, postponement or unavailability of the Prize, and if such occurs, the Prize will be substituted with a Prize of equal or greater value; [19] any Winner s acceptance of the Prize constitutes the grant of an unconditional right to BYOU Magazine, Wooky Entertainment, and/or Tween Stars Live and assigns to photograph, film, or otherwise capture the fulfillment of the Prize (( Fulfillment Film ), and BYOU Magazine, Wooky Entertainment, and/or Tween Stars Live shall have the unconditional right to reproduce, distribute, display, exhibit, transmit, broadcast, stream, synchronize with visual material, modify, amend, create derivative works, and otherwise use and permit others to use the Fulfillment Film throughout the universe in any and all media now known or hereafter devised, in all languages and in all versions, in perpetuity, without compensation, except where prohibited by law; [20] BYOU Magazine, Wooky Entertainment, and/or Tween Stars Live s use of the Fulfillment Film will not give rise to any claims of infringement, invasion of privacy, defamation or claims for performance or payment of any kind, including but not limited to payment of re-use fees, residuals or license fees, and [21] 4

5 BYOU Magazine, Wooky Entertainment, and/or Tween Stars Live shall have the right to make such changes to the Fulfillment Film and make such uses thereof as it deems necessary or desirable, including but not limited to the right to use, edit, and reproduce and/or alter said Fulfillment Film in perpetuity, in its entirety or in part, for any commercial and promotional purposes worldwide without any consultation or additional permission, or compensation, credit or attribution; [22] Releasees are not responsible for any failure of delivery of Winner notification, and [23] you or your Parent is solely responsible for all fees incurred through your wireless phone service for text messages, fees accrued to upload or submit charged by your internet provider associated with participation in this Contest. 11. BYOU Magazine, Wooky Entertainment, or Tween Stars Live Decisions. The decisions of BYOU Magazine, Wooky Entertainment, or Tween Stars Live regarding the selection of winners and all other aspects of the Contest shall be final and binding in all respects to include which of either Skai Jackson or Piper Curda will make the appearance at the home or the phone calls of the winners.
