Eligibility: This Giveaway is open only to current dues paying members of Oxford Athletic Club during the entirety of the contest from December 15, 2017 January 15, 2017, who are 21 years of age or older as of the date of the Giveaway, are legal residents of the United States and is void where prohibited by law. Employees of Oxford Club of Wexford GP, LLC doing business for or with Oxford Athletic Club ( Oxford Athletic Club ), its affiliates, subsidiaries, advertising and promotion agencies, and suppliers, (collectively the Employees ), and immediate family members and/or those living in the same household of Employees are not eligible to participate in this promotion. The Giveaway is subject to all applicable federal, state, and local laws and regulations. Void where prohibited. 2. Agreement to Rules: By participating, the Giveaway participant ( You ) agree to be fully and unconditionally bound by these Rules, and You represent and warrant that You meet the eligibility requirements. In addition, You agree to accept the decisions of Oxford Athletic Club as final and binding as it relates to the content of this Giveaway. If requested by Oxford Athletic Club, and if You win the Giveaway, You agree to complete an affidavit of eligibility. 3. Giveaway Period: Entries will be accepted online through the Oxford Athletic Club s website contest page ( The entry period

2 for this contest is 12:00 PM EST Friday, December 15, 2017 through 12:00PM EST Monday, January 15, How to Enter: The Giveaway must be entered by submitting your current membership information in full and the required information of three persons you are referring to the Oxford Athletic Club during the entry period for this event. Should a person You refer sign a membership agreement with Oxford Athletic Club during the contest entry period You will receive one (1) additional contest entry for each membership agreement completed by your referrals. The entry must fulfill all Giveaway requirements, as specified, to be eligible to win the prize. Entries that are incomplete or do not adhere to the rules or specifications may be disqualified at the sole discretion of Oxford Athletic Club. You may enter only once. You must provide the information requested and Oxford Athletic Club reserves the right to require a waiver to be signed by You to accept the prize. You may not enter more times than indicated by using multiple addresses, identities, or the like in an attempt to circumvent the rules. If You use fraudulent methods or otherwise attempt to circumvent the rules, your submission may be removed from eligibility at the sole discretion of Oxford Athletic Club. 5. Prizes: The Winner of the Giveaway (the Winner ) will receive a Samsung 55 SmartTV Flat Screen TV. Actual value is the value at time of prize award. The specifics of the prize shall be solely determined by Oxford Athletic Club. No cash or other prize substitution shall be permitted. The prize is nontransferable. Any and all prize-related expenses, including without limitation any and all federal, state, and/or local taxes, shall be the sole responsibility of Winner. No substitution of prize or transfer/assignment of prize to others or request for the cash equivalent by Winner is permitted. You agree to sign any necessary form or statement of the Internal Revenue Service, such as a Form Odds: The odds of winning depend on the number of eligible entries received. 7. Winner Selection and Notification: The Winner will be contacted immediately following the selection of the Winner. If the Winner does not respond and claim the prize within 48 hours a new Winner will be selected. Any Winner who does not claim the prize within 48 hours of contact forfeits the prize in its entirety. Winner will be selected by a random drawing under

3 the supervision of Oxford Athletic Club. Oxford Athletic Club shall have no liability for Winner s failure to receive notices due to spam, junk or other security settings or for Winner s provision of incorrect or otherwise non-functioning contact information. If Winner cannot be contacted, is ineligible, fails to claim the prize at the time of the announcement notification, or fails to timely return a completed and executed declaration and release as required, the prize may be forfeited. Receipt by Winner of the prize offered in this Giveaway is conditioned upon compliance with any and all federal, state, and local laws and regulations. ANY VIOLATION OF THESE OFFICIAL RULES BY WINNER (AT OXFORD ATHLETIC CLUB S SOLE DISCRETION) WILL RESULT IN WINNER S DISQUALIFICATION AS WINNER OF THE Giveaway, AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED. 8. By entering this content (e.g., photo, video, text, etc.), You understand and agree that Oxford Athletic Club, anyone acting on behalf of Oxford Athletic Club, and Oxford Athletic Club s licensees, successors, and assigns, shall have the right, where permitted by law, to print, publish, broadcast, distribute, and use in any media now known or hereafter developed, in perpetuity and throughout the World, without limitation, your entry, name, portrait, picture, voice, likeness, image, statements about the Giveaway, and biographical information for news, publicity, information, trade, advertising, public relations, and promotional purposes, without any further compensation, notice, review, or consent. By entering this contest, You agree to accept all responsibilities associated with the prize should you be selected as the winner. This includes but is not limited to the packaging and transportation of the prize physically and monetarily. Once the prize is claimed You forfeit any rights to legal action against Oxford Athletic Club for any damages or problems with transportation that may occur. Terms & Conditions: Oxford Athletic Club reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Giveaway should non-authorized human intervention, fraud, act of God, terrorism or other cause beyond Oxford Athletic Club s control corrupt or affect the administration, security, fairness, or proper conduct of the Giveaway. In such case, Oxford Athletic Club may select the Winner from all eligible entries received during the event. Oxford Athletic Club reserves the right, in its sole discretion, to disqualify any individual who tampers or attempts to tamper with the entry process or the operation of the Giveaway or website or violates these Terms & Conditions. Oxford Athletic Club has the right, in its sole discretion, to maintain the integrity of the Giveaway, to void an entry for any reason, including, but not limited to: multiple entries from the same person; multiple entries from the same household more than allowed by Giveaway rules. Any attempt by an entrant to deliberately manipulate selection of the tickets to be drawn for the prize or undermine the legitimate operation of the Giveaway may be a violation of criminal and civil laws. Limitation of Liability: By entering, You agree to release and hold harmless Oxford Athletic Club its subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers, and directors from any liability, illness, injury, death, loss, litigation, claim, or damage that may occur, directly or indirectly, whether caused by negligence or not, from: (i) such entrant s participation in the Giveaway and/or his/her acceptance, possession, use, or misuse of any prize or any portion thereof; (ii) technical failures of any kind, including but not limited to the malfunction of any computer, cable, network, hardware, or software, or other mechanical equipment; (iii) the unavailability or inaccessibility of any transmissions, telephone, or Internet service; (iv) unauthorized human intervention in any part of the entry process or the Promotion; (v) electronic or human error in the administration of the Promotion or the processing of entries; and (vi) the use of or in any way connected to the prize or any portion thereof. 11.
