3 Page1 THE CORPORATION OF THE CITY OF THOROLD BY-LAW NO A BY-LAW TO AMEND BY-LAW NO , BEING A BY-LAW REGULATING TRAFFIC AND PARKING ON CITY STREETS (Stop Signs on Winterberry Boulevard) WHEREAS the Council of the City of Thorold approved the recommendations of Report DOR at a Special Council meeting held on February 17, NOW THEREFORE THE COUNCIL OF THE CORPORATION OF THE CITY OF THOROLD HEREBY ENACTS AS FOLLOWS: 1. THAT Schedule K Section 5,2 to By-law No is amended by adding the following provision: Column 1 Column 2 Column 3 Highway At the Intersection of Facing Traffic Winterberry Blvd Juneberry Rd All Way Winterberry Blvd Silver Maple Rd All Way Winterberry Blvd Sugar Maple Rd All Way 2. AND ASSOCIATED BROWNFIELDS INC. WHEREAS the council of rhe corporation of the city of rhorold approved the recommendation of Report PBS at a special council meeting held on February 21,2012 and entered into a Tax lncrement Based orañt lrtao Agreementwith Thorold Park Redevelopment lnc. and Associated Brownfields lnc. authorized by By-law No ; AND WHEREAS the unpredictability of the subdivision approvals process for Artisan Ridge associated with the said Agreement has created the necessity to consider amending the original trigger dates for the grant commencement yeâr; AND WHEREAS the Council of The Corporation of the City of Thorold is desirous of entering into a Tax lncrement Based Grant Program Agreement Amendment with Thorold Park Redevelopment lnc. and Associated Brownfields lnc.; AN D WHEREAS section 28 of the Planning Act, R.s.o , c. p. 1 3 provides that a municipality may enter into an agreement concerning a grant or loan; AND WHEREAS the councilof the city of rhorold approved the recommendation of Report PBs at a specialcouncilmeeting held on February 17,2015. NOW THEREFORE THE COUNCIL OF THE CORPORATION OF THE CITY OF THOROLD HEREBY ENACTS AS FOLLOWS: '1, THAT entry by The corporation of the city of rhorold into a Tax lncrement Based Grant Program Agreement Amendment with Thorold park Redevelopment lnc. and Associated Brownfields lnc. substantially in the form annexed to this By-law be and the same is hereby approved and authorized. 2. THAT the Mayor and the clerk are hereby authorized to execute under corporate seal a Tax lncrement Based Grant program Agreement Amendment substantially in the form annexed to this Byllaw witñ Thorold Park Redevelopment lnc. and Associated Brownfields-lnc. and to effect registration of the same on tifle, if such be required, and to deliverthe same. 5 Page3 AMENDING AGREEMENT TO THE TAX INCREMENT BASED GRANT PROGRAM AGREEMENT THIS AGREEMENT made this By-law No. _ and _ of the City of Thorold; day of February, 2015, and authorized by BETWEEN: THE CORPORATION OF THE CITY OF THOROLD (hereinafter refened to as the "City") -and- OF THE FIRST PART THOROLD PARK REDEVELOPMENT INC. -and- ASSOCIATED BROWNFIELDS INC. (hereinafter collectively referred to as the "Applicant") OF THE SECOND PART. WHEREAS on February 1, 1983, the Council for the City enacted By-law No. 698(83), being a By-law to designate Community lmprovement Project Areas; AND WHEREAS on September 13, 2005 the Council for City passed By-law No , being a by-law to provide for the adoption of a Gommunity lmprovement Plan for the Downtown Thorold and Thorold Centre Community lmprovement Areas; AND WHEREAS the Applicant assembled properties within the Thorold Centre Community lmprovement Area under the CIP municipally known as 181 Queen Street and 1686 Beaverdams Road, for purposes of Rehabilitation and Redevelopment in phases of the resulting Lands for the Applicant, as the registered owner thereof; AND WHEREAS the Applicant made an application for financial assistance under the ClP, received on April 15,2010 in connection with a request for financial assistance for the Redevelopment of the Lands, including grant assistance under the Tax lncrement Based Grant Program as contained within the Community lmprovement Plan;and AND WHEREAS Council approved financial assistance under the Tax lncrement Based Grant Program on February 12, 2012 on the condition that the Applicant enter into this Agreement for the Redevelopment.
6 Page4-2- AND WHEREAS the Applicant and the City entered into a Tax lncrement Based Grant Program Agreement dated as of February 21,2012 (the "OriginalTlG Agreement") AND WHEREAS the Applicant and the City have agreed to amend the Original TIG Agreement subject to the terms set out herein. NOW THEREFORE ln CONSIDERATION of the sum of Ten Dollars ($10.00) and other good and valuable consideration now paid by each party hereto to the other (the receipt and sufficiency of which are hereby acknowledged), the parties agree as follows: ARTICLE 1 AMENDMENTS 1.1 Section 2.3 of the Original TIG Agreement is hereby deleted in its entirety and replaced with the following: "2.3 Determlnation of Phases and Calculatìon of TIG (a) ln order to determine the TIG payable, the Applicant is permitted to choose a maximum of three (3) Phases during the term of this Agreement. The location and area of the Phases are sef out in Schedule "C" hereto, provided that the City acknowledges that the boundary limits of the Phases sef ouf herein are estimates. The Applicant confirms its understanding that any changes to the boundaries of the Phases that are set out in Schedule'C" will be approved by the City, acting reasonably. lf requested by the City, the Applicant will deposit on title a Reference Plan which depicts the precise boundary of each Phase. The Applicant hereby requesfg and the City hereby grants its approvalto said request, that the TIG Commencement Year for Phase I and Phase ll will be 2017 and 2018, respectively. The Applicant is entitled to choose a TIG Commencement year for Phase lll at any time on or prior to (b) The TIG payable to the Applicant shall be based on eighty percent (80%) of the Tax lncrement for a particular Phase, which, in turn, will be based on the difference between the Taxes received by the City for that particular Phase in a period of one (1) year and the Taxes received by the City for that particular Phase in the Tax Base Year. For greater certainty, the Applicant acknowledges that this program does not exempt the Applicant or any other property owner from increase and decreases in municipal taxes due to municipal tax rate changes, or relating to Provincial legislation, or from changes ln assessment for any other reason." 1.2 Section 5.1 of the Original TIG Agreement is hereby amended by deleting the first sentence therein, which states as follows: "The Applicant shall select the TIG
7 Page5 -J- Commencement Year for each Phase, which taxation year shall commence before the third (3rd) anniversary of the date the Phase rs cf osen by the Applicant." 1.3 Schedule C of the OriginalTlG Agreement is hereby deleted and replaced with Schedule "C" attached to this Agreement. ARTICLE 2 GENERAL This Agreement may be executed in counterparts, each of which shall be deemed to be an original and all of which taken together shall be deemed to constitute one and the same instrument. Counterparts may be executed either in original or telecopied or other electronic form and the parties to this Agreement adopt any signatures received by receiving telecopier machine or electronically with electronic mail as original signatures of the parties. All other terms of the Original TIG Agreement remain in full force and effect and time shall remain of the essence. [next page is signature page]
