1 MEMORANDUM OF UNDERSTANDING BETWEEN THE SEYCHELLES QUALIFICATIONS AU'THORITY (SQA) AND THE SOUTH AFRICAN QUALIFICATIONS AUTHORITY (SAQA)

2 1. Introduction 1.I The Seychelles Qualifications Authority (SQA) and the South African Qualifications Authority (SAQA) have agreed to enter into a cooperative relationship that is formalised by this Memorandum of Understanding. 2. Parties to the Memorandum I 2.1 'The parties to this Memorandum of Understanding are the Seychelles Qualifications Authority (SQA) and the South African Qualifications Authority (SAQA). 3. Purpose of the Memorandum 3.1 Both parties agree to cooperate and support each other in the following areas: Sharing knowledge, experience and expertise in regard to NQF development and systems issues (e.g. quality assurance, standards setting and generating, administrative, legal, financial and governance). Provision of advice and consultancy support on specific issues and exchange of staff in areas of mutual interest where funding is available; Assistance in the identification and selection of expertise to carry out specific tasks and projects; Assistance in the planning, development and execution of projects to do with National Qualifications Framework and education and training in general; Provision of placements1 attachments for staff to gain knowledge of a particular area in the work of the authority concerned; Exchange and sharing of ideas, experiences and expertise in NQF development; Assistance in the provision of NQF related training; Engaging in collaborative projects in areas of mutual interest including, infer alia, (a) Collaborating on mutu,ally beneficial projects at regional and international levels; (b) Development and implementation of collaborative endeavours to assist other members of the AU in the setting up of their NQFs; (c) Research into NQF development and education and training in general; Provision of access (online or otherwise) to resources, (e.g. online publications, academic literature, qualifications and standards).

3 4.1 This agreement shall commence upon signature of the appropriate officers of the respective authorities and is effective for a period of five years or may be terminated by either party on 60 (sixty) days written notice. During the final year both parties will review the agreement. Neither party shall have any claim against the other party for cancellation of the Agreement in terms of this clause. 5. Obligations of parties 5.1 Parties to this Agreement shall provide ready access to one another's representative as may be necessary to enable him/herto fulfil the purposes contemplated in this agreement. 5.2Each party shall comply at its own expense with any national, provincial and/or municipal enactments, regulations, bylaws, notices, directions, orders for, requirements, or demands of any Government, municipal and/or any other authority affecting this agreement from time to time provided that if one party is prejudicially affected by any amendment subsequent to the effective date, such party shall be entitled to terminate the agreement with 60 (sixty) days written notice. 5.3This Memorandum does not in any way limit the statutory powers and functions of the said parties to this memorandum. 5.4Neither party shall be bound by any express, tacit or implied term, representation, warranty, promise or the like not recorded herein. This agreement supersedes and replaces all prior commitments, undertakings or representations, whether oral or written, between the parties in respect of the subject matter hereof. 6. Implementation mechanisms 6.1 The parties agree to develop appropriate mechanisms and procedures for implementing and monitoring this Memorandum and shall determine appropriate time schedules for this purpose., 7. Financial Terms 7. I The funding of activities related to this agreement will be determined at the time a specific project is approved by both parties to this agreement. Both parties understand that all financial arrangements negotiated will depend on the availability of funds.

4 8. Extension of the Agreement 8.1 The agreement may be extended to other areas of cooperation between the parties to this agreement. The extensions will take the form of an annex to the agreement. 9. Amendments to this memorandum 9.1 This agreement constitutes the sole record of the agreement between the parties in relation to the subject matter hereof. 9.2 No addition to, variation, novation or agreed cancellation of any provision of this agreement shall be binding upon the parties unless reduced to writing and signed by or on behalf of the parties by adding annexure duly signed by both parties to this existing document. 10. New parties to memorandum 10.1 The parties may agree to introduce a new party to this Memorandum following agreement in writing as an annexure-to this agreement. The Memorandum shall become binding on the new party upon signature. 11. Dispute resolution The parties must make reasonable efforts to settle any dispute that may arise.
