The Tenderers are required to submit the tender in the prescribed format as per the details appearing in the Tender C While submitting the tender, it may be noted that the entire tender document i.e, General instructions to Tenderers, Tender Conditions, Scope of Security Services incl. specifications, General Conditions and Information about Tenderer ( S. No. 2 to 6 as aforesaid of this letter) are to be signed at each and every page by the tenderer and they must be enclosed with the Technical Bid as an unconditional acceptance of the terms and conditions laid down by NABARD, Arunachal Pradesh RO, Itanagar as a part of this tender. D The bids which are not accompanied with documents as specified from SI. No. 1 to 7 as mentioned above as well as the various documents including earnest money, Income-Tax Return Assessment, Copies of registration with appropriate authorities of DGR, EPF,ESI, Central Excise Department (for service Tax ) PAN No. etc., are liable for rejection forthwith and no further correspondence in the matter shall be entertained.. E The Technical Bid will consist of all documents from ' Document A' to 'F' of serial I above and shall be submitted in a separate sealed cover along with EMD super scribing" Technical Bid for Security Tender". The price Bid ( Document 'G' ) shall be submitted in a separate sealed cover superscribed as "Price Bid for Security Tender" and will be opened on a prefixed date after scrutiny of the Technical Bids. F. Security contract will be for a period of two years subject to satisfactory performance. Contract will be reviewed on completion of One Year.

4 Document 'B' GENERAL INSTRUCTIONS TO TENDERERS 1.Please examine each and every clause carefully 2.The last date for submission of the completed Tender documents (Technical bid and Price bid in separate envelopes) is 3. PM,23 rd March 2018 by when the documents must reach this office. Tenders would be opened on a pre-fixed date and tenderers may attend the same. At the first instance, only Technical Bid will be opened on... The price bids would be opened at a later date, only for those tenderes who satisfy all necessary technical parameters, for which information will be sent separately. 3.Tenderer may deposit the Tender and the Price Bid in sealed envelope superscribed as "Tender for Security Services" in the Tender Box especially kept for the purpose in the office of NABARD Arunachal Pradesh Regional Office, NABARD Tower, Bank Tinali, Itanagar. Incomplete tenders will be rejected outright, without assignmeing any reason. 4.SIGNING OF TENDER (i)the Tender shall contain the name, place of business and other prescribed details of the person(s) making the Tender and shall be signed by the Tenderer with his usual signature. (ii)partnership firms shall furnish the full names of all the partners in the Tender, and shall annex a copy of the Partnership Deed with the Tender. It shall be signed in the partnership name by all the partners or by duly authorized representative followed by the name and designation of the person signing. (iii)tender by Corporation shall be signed in the name of the Corporation by a person duly authorized to do so.

5 Document 'C' TENDER CONDITIONS 1. INTRODUCTION The tender is for providing Security Services as per scope of work prescribed in Document 'D' 2. SCOPE OF SERVICES Scope of Services is detailed in Document 'D'. 3. CAPABILITY ASSESSMENT Only the tenderers who after evaluation of the Technical Bid are found to be competent and capable enough to handle the NABARD, Arunachal Pradesh Regional Office assignment shall be considered for the award of contract. The Tenderer(s) may also refer to Clause 3 of Document 'B' in this regard. 4. PRICE Price shall be quoted in Indian Rupees as required in Document 'G' (Price Bid form) and will be submitted in a separate sealed cover. The prices as quoted shall be valid up to three months from the last date of submission of tender. The Bidder shall take into account all the amount and dues which may be payable by the contractor pursuant to statutory rules, guidelines or other provisions of Law (e.g. The Minimum Wages Act, 1948, The Employees Provident Funds and Miscellaneous provisions Act 1952, The Employee State Insurance Act 1948 etc.) In case any default occurs, in this regard on the part of the contractor and NABARD as a principal employer is called upon to comply with such requirements with or without penalty, the contractor shall be liable to make good and pay to NABARD the said amount paid by NABARD. It shall also be open to NABARD to recover such amount from security deposit or any other amount payable by NABARD to the contractor. 5. PAYMENf TERMS Security Agency to whom the contract is assigned shall forward its monthly bill to NABARD, Arunachal Pradesh Regional Office in the first week of the current month in respect of the services rendered during the preceding month. The bill shall be paid within 10 working days. The agency will have to first make the payment to its guards through account payee cheques in their respective accounts and adhere to all the statutory/regulatory requirement in force at that time. After that, they may submit the monthly bill along with the proof of payment, statement of EPF & ESI deposits and the attendance sheet. 6. ACCEPTACE OF SERVIC S The tenderer shall render the Security Services, as per the scope of Work prescribed in Document 'D' in terms of the quality standards, round the clock Security Services as per terms of instant tender. The quality of service shall be outstanding and any deviation on account of quality of services shall make the contract voidable at the option of NABARD, Arunachal Pradesh Regional Office. The NABARD, Arunachal Pradesh Regional Office shall reserve the absolute right to terminate the contract by giving 30 days notice in writing and upon expiry of such period, the Tenderer shall remove his men from the site forthwith. NABARD, Arunachal Pradesh Regional Office may at its discretion also accept such service from alternate security service/agency by giving due caution

6 notice and levying penalty as deemed appropriate in this regard. EARNEST MONEY DEPOSIT 7.The Tenderer shall be required to deposit and keep deposited along with the tender document a sum as may be determined in terms of provision of Clause 1 of this part with NABARD, Arunachal Pradesh Regional Office as earnest money, which is to be submitted by way of demand draft/banker's cheque drawn in favour of NABARD, Arunachal Pradesh Regional Office, payable at Itanagar. No interest will be paid by NABARD, Arunachal Pradesh Regional Office on Earnest Money Deposit. Earnest Money Deposit shall be refunded to those tenderers whose offers have not been accepted within 30 days of opening of tender and in case of successful bidder it shall be retained as interest free security deposit for due performance of the obligations by the firm in terms of contract and statutory compliance of applicable labour laws by the tenderer during the tenure of the contract. 8. Income tax and any other tax will be deducted at source as per government instructions in force. All guards employed by the agency shall be medically as well as physically fit. The agency will employ the guards at various points by rotation. 10. The deployment and working of guards will be supervised by ACT/CT under the directions of Protocol & Security Officer of NABARD. The agency will have to recall security guard, if he is found unfit for duty by NABARD, Arunachal Pradesh Regional Office. 11. The agency will give all benefits such as leave, gratuity etc. as per applicable labour laws in force from time to time. No extra payment shall be made on this account. 12. The agency will provide uniform and other implements required for performance of effective duty. The agency will also submit the photograph, address and proof of services rendered as well as police verification report in respect of deployed personnel. 13. The agency will ensure that the personnel are ex-servicemen preferably from fighting arms cadre of the armed forces. 14. OTHER IMPORTANT CONDITIONS (a) The successful Bidder shall, for all intents and purposes, be the 'Employer' within the meaning of different labour legislations in respect of manpower so employed and deployed in NABARD and the man power so employed and deployed in NABARD shall remain under the overall control and supervision of the successful Bider.The persons deployed by the successful Bider in NABARD shall not have claims of Master and servent relationship (implicitly or explicitly) between him/her/them and NABARD nor have any principal and agent relationship with or against the NABARD. The Successful Bidder's personnel shall not claim any benefit/ compensation/absortion/regularisation of sevices under the provision of the Industrial Disputes Act, 1947 or Contract Labour (Regularisation & Abolition) Act, The Tenderer shall promptly and timely obtain all such consents, permissions, approvals, licences etc. as may be necessary or required for carrying out the said works in said premises in accordance with this Agreement. The Tenderer shall also inform and assist NABARD in procuring any registration, permissions or approvals, which may be at any time during the currency of this Agreement or the extended period be statutorily required to be obtained by NABARD for availing the services under the Agreement. The Tenderer shall obtain appropriate licence under the contract labour ( Regulation and Abolition) Act 1970 and the Rules/ has obtained licence No under the Contract Labour (Regulation and Abolition) Act 1970 and the Rules (as amended up to date) and shall comply with all terms and conditions thereof strictly, and shall keep such licence duly validated and/or renewed from time to time throughout the currency of this Agreement. The successful Bidder shall be solely responsible for the redressal of grievances /resolution of disputes relating to person deployed. NABARD shall, in no way be

7 responstble for settlement of such issues. It shall be the responsibility of the successful Bidder to meet transportation, food, medical and any other requirements in respect of the persons deployed by it in NABARD. The successful Bidder shall provide suitable uniforms consisting of Shoes, Dress, and Sweater to the persons employed by it for carrying out the work. (b) NABARD will not be liable for any loss, damage, theft, burglary or robbery of any personal belongings, equipment or vehicles of the personnel of the successful Bidder. NABARD will not be under any liability to pay any compensation to the persons deployed by the successful Bidder if they sustain any injury etc., while discharging the duties in the said premises. The successful Bidder shall get them insured against any liability under the Employee Compensation Act or any accident at its own cost. (c) The successful Bidder shall ensure proper conduct of its personnel in the office premises, and enforce prohibition of consumption of alcoholic drinks, paan, smoking, loitering without work. (d) The successful Bidder shall depute a co-ordinator who would be responsible for immediate interaction with Officerin-charge of NABARD's Arunachal Pradesh Regional Office so that optimal services of the persons deployed by the successful Bidder could be availed without any disruption. (e) The successful Bidder, upon receiving a notice from NABARD, shall replace immediately any of its personnel who is found unacceptable to NABARD because of security risks, incompetence or any other reason whatsoever. In case, the manpower deployed by the successful Bidder commits any act of omission/commission that amounts to misconduct/indiscipline/incompetence, the successful Bidder will be liable to take appropriate disciplinary action against such persons, and if so required by NABARD remove him/them. (f) The Successful Bidder shall pay the manpower deployed in NABARD their wages in accordance with the Minimum Wages Act, 1948 as applicable in the state of Arunachal Pradesh on a monthly basis. The Successful Bidder shall also make PF contribution, ESI Contribution and or any other statutory contribution in respect of the manpower deployed in NABARD. The Successful Bidder shall also pay service tax, wherever applicable. NABARD shall reimburse the amounts paid by the Successful Bidder towards wages, PF contribution, ESI contribution and or any other statutory contribution in respect of the manpower deployed in NABARD, and the service tax against submission of proof of payment. (g) The Successful Bidder, as a taxable service provider, must have registered with Central Excise. The Tax Deduction at source (TDS) shall be deducted as per the provisions of the Income Tax Act, as amended from time to time and a certificate to this effect shall be provided to the Successful Bidder by NABARD. Successful Bidder will be responsible for timely payment to the suplied manpower and statutory authorities and compliance of all statutory provisions relating to minimum wages, Provident Fund and Employees State Insurance etc. in respect of the persons deployed by it in NABARD. (h) The Successful Bidder shall maintain all statutory registers under the applicable law. The Successful Bidder shall produce the same, on demand, to NABARD or any other authority under law. In case, the Successful Bidder fails to comply with any statutory /taxation liability under appropriate law, and as a result thereof, NABARD is put to any loss/obligation, NABARD will be entitled to get itself reimbursed out of the outstanding bills of the Successful Bidder, to the extent of the loss or obligation. In case, any of the documents furnished by the Successful Bidder is found to be false at any stage, it would be deemed to be a breach of terms of contract marking it liable for legal action besides termination. NABARD reserves the right to withraw/relax any of the terms and conditions mentioned above so as to overcome the prolem encountered by the contracting parties. (i) If the Successful Bidder becomes insolvent or found to have offered any bribe in connection with the contract or the contractor fails to observe or perform any condition of this contract then not withstanding any previous waiver of such default or action being taken under any other clause hereof NABARD may terminate.

8 the contract and forfeit the said performance security deposit and recover from the contractor any loss suffered by NABARD on account of the contract being terminated. (j) The Successful Bidder shall not transfer, assign, pledge or sub-contract its rights and liabilities under the contract to any other agency without the prior written consent of NABARD. On the expiry of the Agreement, the Successful Bidder will withdraw all its personnel and clear their accounts by paying them all their legal dues. (k) On expiry of or early termination of this Agreement, the persons deployed by the Successful Bidder shall vacate the said premises, without in anyway causing any damage to the said premises.

9 DOCUMENT 'D' SCOPE OF WORK Area where Security services are to be rendered: National Bank for Agriculture and Rural Development Office & Staff Quarter Premises Bank Tinali, (Opp. Legi Complex), Itanagar Scope of Work: The scope of services to be rendered under this contract includes : (a) To ensure security of the assets against theft, pilferage & misappropriation and to implement anti-theft measures at the above mentioned premises. (b) To prevent unauthorised persons and vehicles gaining entry in the above mentioned premises. To ensure that entry to the above mentioned premises is free from any encumbrances. (c) To maintain visitors and staff movement records as may be directed by NABARD Official from time to time. (d) To ensue that no hawkers or vendors are allowed into the premises. (e) To prevent entry of stray animals in the premises. (f) To maintain law and order, discipline and check all diturbances/nuisances in the premises. (g) To bring to the notice of authorised NABARD Officials any suspicious person/s activity noticed during or after office hours in and around the above mentioned premises. (h) To lodge complaints with police authorities regarding any unwarranted occurrence in and around the premises in consultation with and as per the instructions of the competent authority of NABARD. (i) To conduct any internal investigation required in the interest of the Security of the NABARD. (j) To attend to fire-fighting and assist in disaster evacuation in case of emergencies. (k) To switch on/off electrical points and AHU's etc. before/after office hours in the premises. (I) To open /lock all the doors of buildings before/after office hours and as per directions of NABARD officials whenever required. (m) A CCTV camera system will be installed in our office. The DVR and monitor of the system will be located at main gate.the scope of work also includes the basic operation, for keeping surveillance, of such a device by the guards at no extra cost. The Guards shall be adequately trained for this purpose by the successful Bidder at no extra cost.

10 DOCUMENT 'E' GENERAL CONDITIONS OF CONTRACT 1. PRICE The term price shall include all sums for rendering security services by guards. 2. RENDERING OF SERVICES If delay and I or deficiency occurs in rendering of security services at NABARD Premises as mentioned above and also detailed in clause 6 of Document 'C", NABARD may, at its option, and without prejudice to any other rights: (a) Terminate in whole or part the contract order and NABARD at its discretion, outsource the services of Security Services at Premises as mentioned above at risk and costs of the firm and realise the difference in amount between the amounts spent and the amount to be paid as per the contract. 3. TERMINATION OF CONTRACT 3.1 In addition to any other rights or remedy of the NABARD Arunachal Pradesh Regional Office and any other event entitling the NABARD Arunachal Pradesh Regional Office to terminate the contract, the NABARD Arunachal Pradesh Regional Office may at its option terminate in whole or part the Contract so far as it remains unfulfilled by written notice if, (A) the firm refuses to render all or any of the Security Services at the premises mentioned above which the firm is required to render under the Contract, or refuse to render the same within the time or in the manner or otherwise according to the Contract. (B) the firm becomes incapable of or unable to perform the Contract. (C) death of proprietor of firm (if, an individual) or dissolution of Vendor (if a firm) or commencement of liquidation or winding up(whether voluntary or compulsory) of the firm(if a company) or appointment of a Receiver or Manager of the firm assets or insolvency of the firm(if a sole proprietorship or of any partner of the firm(if a firm): (D) distress execution or other legal process being levied on or upon any of the firm's assets 3.2 If the Tenderer, during the tenure of contract, becomes insolvent or fails to observe or perform any condition of this Agreement then notwithstanding any previous waiver of such default or action being taken under any other clause hereof NABARD may terminate the contract and forfeit the said performance security deposit and recover from the Tenderer any loss suffered by NABARD on account of the Agreement being terminated. 3.3 Upon termination of the contract in whole or in part, the firm shall be entitled only to receive payment in accordance with the contract for the security services at the premises mentionesd above rendered under the contract till the date of termination of contract, and shall not be entitled to any other payment or compensation. 4. LIQUIDATED DAMAGES The amount of pre-estimated agreed liquidated damages triple the wage rate of a guard day on account of delay, if any, in providing a suitable substitute for the period beyond three working days by the Tenderer shall be deducted from the monthly bills of the service providing Agency in the following month.

11 5. ARBITRATION CLAUSE This Agreement shall be governed by and construed in accordance with the laws of India. Disputes or differences whatsoever, arising between NABARD and the Successful Bidder shall be resolved amicably between NABARD's representative and the Successful Bidder's representative. In case of failure to resolve the disputes and differences amicably within 30 days of the receipt of notice by the other party, then the same shall be resolved as follows: "Any dispute or difference whatsoever arising between the parties out of or relating to the construction, meaning, scope, operation or effect of this contract or the validity or the breach thereof shall be settled by arbitration in accordance with the Rules of Arbitration of the Indian Council of Arbitration and the award made in pursuance thereof shall be binding on the parties". The venue of the arbitration shall be at Itanagar. The language of arbitrationshall be English. Work under the contract shall be continued by the successful Bidder during the arbitration proceedings unless otherwise directed in writing by NABARD, unless the matter is such that the work cannot possibly be continued until the decision of the arbitrator is obtained. Save as those which are otherwise especially provided in the Tender, no payment due, or payable by NABARD to the successful Bidder shall be withheld on account of the ongoing arbitration proceedings, if any, unless it is the subject matter, or one of the subject matters thereof. 6. INDEMNITY (a) NABARD shall not be responsible for any damage, losses, claims -financial or other injury to any person deployed by Successful Bidder in the course of their performing the functions/duties or to a third party because of acts or om missions of the persons deployed by the Successful Bidder. The person deployed by the Successful Bidder shall not have any claim or be entitled to pay, perks and other facilities admissible to casual, ad-hoc, regular/confirmed employees of NABARD. In case of termination of the contract on its expiry or otherwise, the persons deployed by the Successful Bidder shall not be entitled to and will have no claim for any absorption nor for any relaxation for absortion in the regular/otherwise capacity in NABARD. In case of any employee of the Successful Bidder so deployed enters in dispute of any nature whatsoever, it will be the primary responsibility of the successful Bidder to contest the same. In case NABARD or its employee is made party and is supposed to contest the case, NABARD will be reimbursed for the actual expenses incurred towards Counsel Fee and other expenses which shall be paid in advance by the Successful Bidder to NABARD or any person authorised by NABARD, on demand. Further, the Successful Bidder will ensure that no financial or any other liability comes to NABARD or its employee in this respect of any nature whatsoever and shall keep NABARD or any employee of NABARD indemnified in this respect. (b) The Successful Bidder on its part and through its own resources shall ensure that the goods, materials and equipments etc. of NABARD are not damaged in the process of carrying out the services undertaken by it and shall be responsible for acts of commission and ommission on the part of its staff and its employees etc. If NABARD suffers any loss or damage on account of negligence, default or theft on the part of the employees /agents of the Successful Bidder, then the Successful Bidder shall be liable to compensate for the same. The Successful Bidder shall fully indemnify NABARD against any such loss or damage. NABARD shall have further right to adjust and/ or deduct any of the amounts as aforesaid from the payments due to the Successful Bidder. (c) The Successful Bidder shall also be liable for depositing all taxes, levies, cess etc. on account of service rendered by it to NABARD to the concerned tax collection authorities from time to time as per extant rules and regulations on the matter and keep NABARD indemnified against any such claims or cost. Further in case any default occurs on the part of Successful Bidder in this regard or default of the conditions mentioned in the Ducument 'C', clause 14(f) and (g) and NABARD as a principal employer is called upon to comply with such requirements or make payment of any amount with or without penalty, by any statutory Authority/Court, the Successful Bidder shall be liable to make good and pay to NABARD the said amount paid by NABARD.

12 It shall also be open to NABARD to recover such amount from security deposit or any other amount payable by NABARD to nthe contractor.
