Telles Gina Marie Lindsey Executive Director WHEREAS, Los Angeles World Airports (LAWA) conducted a study in 2008 to determine the condition of the elevators, escalators, and moving walkways in Terminals 1-8, the Parking Structures and other LAWA buildings at Los Angeles International Airport (LAX). The study found 98 elevators, 92 escalators, and 4 moving walkways (194 total units) to be operating beyond their useful life. In addition, the study found that LAWA had to maintain and keep replacement parts for equipment provided by 13 different manufacturers; and WHEREAS, in response to this study, LAWA embarked on a program to replace these existing elevators, escalators, and moving walkways with modern, standardized, transit-rated equipment. The program is being implemented in phases, and under different contracts, to replace the most critically deficient units first and to maintain passenger access throughout; and WHEREAS, the following summarizes the scope of Schindler's contract and related site modification work: Equipment Procurement and Installation - The contract with Schindler (DA-4424) is for procurement and installation of 70 units in Terminals 1, 2, 4, 5, 6, 7 and the curbside units at Tom Bradley International Terminal. The contract, in the amount of $40,832,719, has a duration of 1,404 calendar days, expiring on February 24,2014. Site modifications to accommodate the installation of these Schindler-provided 70 units are being done by W.E. O'Neil (WEO). As Schindler's portion of the work (units manufacturing and installation) cannot be completed without the site modifications portion, the WEO contract is a concurrently run, complimentary contract to Schindler's. Contract Extension - The First Amendment will extend contract time by an additional 586 days (approximately 18 months) that are necessary to complete the replacement program for the remaining equipment in Terminals 1, 2, 4, 5, and 7. There are no impacts to the concurrent WEO contract which already covers this duration. This extension is mainly caused by delays due to tenant terminal renovations that were not contemplated when the contract with Schindler was awarded. Progress - To date, Schindler has completed fabrication on approximately 70% of the equipment covered under their contract and finished 33% of the installation work. Approximately $15,000,000 of the contract value has been expended, representing the cost of the installed equipment to date. Contract Administration - All construction administration, daily construction inspection, as well as program management, is being performed by LAWA's program staff and professional support services. The same team already providing these services will continue to cover this contract extension without increasing overhead. Resolution No. 25268-2- WHEREAS. the overall elevator/escalator program involves several phases and contracts. including those for site modifications necessary to allow for the installation of new units. In its bid. Schindler proposed an average cost of $557.690 per transit-rated escalator and $230.714 per transit-rated hydraulic elevator for this group. This is below the national average cost for similar applications. which are $679.000 for transit-rated escalator and $287.300 for transit-rated hydraulic elevator; and WHEREAS. "Elevators and Escalators Systems Upgrades" is an approved Capital project. The approval to extend Schindler's contract by an additional 586 days will not add additional funding to the contract. Funds for the contract have previously been appropriated and staff requests that funds be allocated from the LAX Airport Revenue Fund to Work Breakdown Structure Element 1.09.11-700 (Elevators and Escalators Systems Upgrades) as may be required; and WHEREAS. restoration or rehabilitation of deteriorated or damaged structures. facilities or mechanical equipment and systems to meet current standards of public health. safety and environmental protection is exempt from the requirements of the California Environmental Quality Act (CEQA) pursuant to Article III Class 1(4) of the Los Angeles City CEQA Guidelines; and WHEREAS. Schindler is required by contract to comply with the provisions of the Living Wage Ordinance; and WHEREAS. Contract Services Division has reviewed this item (File # 4026). No specific MinoritylWomen Business Enterprise levels of participation were set for the project. as no subcontracting opportunities were identified; and WHEREAS. Schindler is required by contract to comply with the provisions of the Affirmative Action Program; and WHEREAS. Schindler has been assigned Business Tax Registration Certificate No. 0002546467-0001-1; and WHEREAS. Schindler is required by contract to comply with the provisions of the Child Support Obligations Ordinance; and WHEREAS. Schindler has approved insurance documents. in the terms and amounts required. on file with LAWA; and WHEREAS. Schindler has submitted the Contractor Responsibility Program Pledge of Compliance. and will comply with the provisions of said program; and WHEREAS. Schindler has been determined by the Public Works. Office of Contract Compliance. to be in compliance with the provisions of the Equal Benefits Ordinance; and WHEREAS. Schindler will be required to comply with the provisions of the First Source Hiring Program for all non-trade LAX jobs; and WHEREAS. Schindler has submitted the Bidder Contributions City Ethics Commission Form 55. and will comply with its provisions; and WHEREAS. actions taken on this item by the Board of Airport Commissioners will become final pursuant to the provisions of the Los Angeles City Charter Section 373;

DA-4424, is made and entered into this day of, 2013, between the City of Los Angeles (hereinafter referred to as "City"), a municipal corporation, acting by order of and through its Board of Airport Commissioners (herein referred to as "Board") and SCIDNDLER ELEVATOR CORPORATION, (hereinafter referred to as "Consultant"). RECITALS WHEREAS, City and Consultant entered into Contract No. DA-4424, (the Contract") for the Elevators, Escalators, and Moving Walks Upgrades, Procurement and Installation Project at Los Angeles World Airports (hereinafter referred to as "Project"); WHEREAS, the original term of the Contract was for One-Thousand Four Hundred Four (1,404) calendar days from the date of the Construction Notice to Proceed which was issued on April 19, 2010; WHEREAS the original contract was approved by the Los Angeles City Council on February 26, 2010 by Council File No. 10-0196; WHEREAS the Parties both agree to extend the term of the Contract for a period of 586 additional days, for a total of 1,990 days which will require the approval of both the Board and City Council; NOW, THEREFORE, in consideration of the promises and of the terms and covenants and conditions hereinafter contained to be kept and performed by the respective parties hereto, do mutually agree that the Contract is HEREBY AMENDED AS FOLLOWS: Amendment Section 1.
