Introduction 1. Overview The St. James Ringette Association is a local Ringette association registered as a member of the Manitoba Ringette Association and has agreed to abide by the by-laws, policies, procedures and rules and regulations established by the Manitoba Ringette Association. The St. James Ringette Association is governed by a board of elected representatives and representatives from the participating community centres in St. James. 2. Boundaries The boundaries of the St. James Ringette Association, as defined by the Manitoba Ringette Association, are currently defined as: East Boundary: Brookside Blvd., Route 90, King Edward to the Assiniboine River West Boundary: Perminiter Hwy. to include the area within Hwy. 425 (Saskatchewan Ave.) to Hwy. 334 (Dodds Rod.) to Hwy. 427 (Wilkes Ave.) South Boundary: North side of the Assiniboine River North Boundary: Perimeter Hwy. A map of these boundaries can be found in Appendix I St. James Ringette Boundaries. 3. Definition 3.01 Constitution The constitution of the St. James Ringette Association outlines the following: Name of the Association Mission Statement and Goals 3.02 By-Laws The By-laws of the St. James Ringette Association relate to the conduct and governance of the affairs of the St. James Ringette Association, referred to as SJRA in these By-laws. 3.03 Policy Guide The Policy Guide of the St. James Ringette Association is a separate document containing the approach under which the St. James Ringette Association is delivering on its mission statement and goals. Constitution of the St. James Ringette Association 1. Name of the Association The name of the Association will be the St. James Ringette Association (hereinafter referred to as SJRA). 2. Mission Statement and Goals The Mission Statement and Goals of SJRA will be: To provide guidance and assistance to all players, coaches, administrators and officials at all skill levels and across all age groups, who currently play or wish to play within SJRA. To ensure all participants have fun while learning and developing their skills to enjoy the sport of Ringette for as long as they wish to play. To develop and promote sportsmanship, friendships, and a strong sense of community within a safe, bully-free and encouraging environment. Page 3 of 20

St. James Ringette Association By-Laws 1. General 1.01 Purpose These By-laws relate to the general conduct of the affairs of the St. James Ringette Association, a member of the Manitoba Ringette Association and referred to as SJRA in these By-laws. 1.02 Definitions The following terms have these meanings for the purpose of these by-laws: (a) Auditor an individual appointed by the Members at the Annual General Meeting to audit the books, accounts and records of SJRA to report to the Members at the following Annual General Meeting. (b) Board all Executive Officers, Directors and Club Convenors currently holding office under the SJRA By-laws. (c) Board Member an individual Executive Officer, Director or Club Convenor of the SJRA Board. (d) Club Convenor an individual appointed to the Board by the participating Community Centres within SJRA. (e) Constitution A statement comprising SJRA s purpose. (f) Director an individual elected or appointed to the Board to serve pursuant to these By-laws. Each Director is responsible for a specific area of SJRA program delivery. (g) Executive Officer an individual elected or appointed to the Board to serve pursuant to these By-laws. Collectively the Executive Officers are responsible for the administrative tasks of SJRA as well as their specific duties and responsibilities of their office. (h) Member player, or parent of a player under the age of eighteen (18), registered with SJRA. 1.03 Interpretation Words stating the singular shall include the plural and vice-versa, and words stating the male gender shall include the female gender as well. 1.04 Ruling on By-Laws The Executive Officers of the SJRA Board shall have the authority to interpret any provision of these By-laws which is contradictory, ambiguous or unclear. 1.05 No Gain for Members SJRA will be carried on without the purpose of gain for its Members and any profits or other accreditations to the SJRA will be used in promoting its objects. 1.06 Conduct of Meetings Unless otherwise specified in these By-laws, meetings of the Members and meetings of the Board will be conducted according to the Roberts Rules of Order (current edition). 2. Annual General Meeting 2.01 Annual General Meeting Schedule SJRA will hold an Annual General Meeting (AGM) on such a date and at such a time and place as determined by the Board provided the AGM is held by May 31 st each year which is the SJRA fiscal year end. 2.02 Notice Written notice of the AGM will be given to all Members at least thirty (30) days prior to the date of the meeting. Notice will contain a proposed agenda and reasonable information to permit Members to make informed decisions. Notice can be through standard or electronic mail formats. 2.03 Agenda Agenda for the AGM will at least include: a) Call to Order b) Establishment of Quorum c) Appointment of Scrutineers d) Approval of Agenda e) Adoption of Minutes from previous AGM f) Board and Committee Reports g) Approval of Auditors Report and Financial Statements h) Appointment of Auditors i) Business as specified in the meeting notice j) Election of new Board Members k) Adjournment 2.04 New Business Any Member who wishes to have new business placed on the agenda of the AGM will give written notice to the Secretary and the President at least twenty one (21) days prior to the AGM. 2.05 Quorum Quorum at the AGM will be fifty percent (50) plus one (1) of the Board Members currently holding office. 2.06 Voting Privileges Voting privileges at the AGM shall be one vote for every SJRA Member of legal voting age in attendance. 2.07 Scrutineers At the beginning of each meeting, the Board may appoint one or more scrutineers who will be responsible for ensuring votes are properly cast and counted. Scrutineers should not be voting at this AGM as they are auditing the process. 2.08 Proxy Voting There will be no proxy voting. 2.09 Determination of Votes on Issues Votes will be determined by a show of hands or orally unless a secret or recorded ballot is requested by the majority of those Members voting. 2.10 Majority of Votes The voting Members present will decide each issue by simple majority. In the case of a tie the issue is decided by the President. Page 7 of 20

3. Governance 3.01 Composition of the Board (a) Executive Officers: President Vice-President Past President Secretary Treasurer Registrar (b) Directors: Minor Officials Ice Convenor Technology Coach Development Player Development WRL Representative AA Convenor (c) Club Convenors: Assiniboia West Recreation Association Heritage Victoria Community Centre Kirkfield Westwood Community Centre Sturgeon Heights Community Centre Woodhaven Community Club 3.02 Eligibility Any individual who is eighteen (18) years of age or older, who is a resident within the boundaries of SJRA, who has the power under law to contract, who has not been declared incapable by a court in Canada or in another country may be nominated for election as an Executive Officer or Director of SJRA. The eligibility requirement of residency within the boundaries of the SJRA may be waived at the discretion of the Board. 3.03 Nominations Nominations may be made for any vacant or expiring position during the AGM by any Member present. Nomination must be seconded and accepted by the nominee. If the nominee is not present they must have presented a written statement of agreement to the Board prior to the AGM to be considered a valid nomination. Page 8 of 20

3.04 Incumbents Individuals currently on the Board wishing to be re-elected are not subject to nomination but must declare their desire to remain in their position for another term at the AGM. Their name will then be included in the list of candidates for election. 3.05 Election The election of Executive Officers and Directors will take place annually at the AGM as follows: (a) AGM Held in Odd Calendar Years President Vice-President Treasurer Minor Officials Player Development AA Convenor (b) AGM Held in Even Calendar Years Secretary Registrar Ice Convenor Technology Coach Development WRL Representative 3.06 Decision Elections will be decided by a majority vote of the Members in accordance with the following: (a) One valid nomination Winner declared by acclamation. (b) Two or more valid nominations Winner is the nominee receiving the greatest number of votes. In the case of a tie, the nominee receiving the fewest votes will be deleted from the list of nominees and a second vote will be conducted. If there continues to be a tie and more than two nominees, the process will be repeated until only two nominees remain. If there continues to be a tie, the decision will be made between the remaining two nominees by the Board. 3.07 Terms Elected Executive Officers and Directors will serve terms of two years to a maximum of two consecutive terms or until their successors have been duly elected or appointed in accordance with these By-laws, unless they resign, are removed from or vacate their office. are no other candidates, then the incumbent may hold that position for another full term or until such time as another person is found. 3.08 Club Convenors Club Convenors from the participating Community Centres shall be appointed by their respective Community Centres and shall hold office until their successors are installed. 3.09 Resignation A member of the Board may resign at any time by presenting their notice of resignation to the Board. This resignation will become effective upon approval of the Board. 3.10 Vacate Office The office of any member of the Board will be vacated automatically if: The Board Member, without approval, fails to attend three (3) consecutive regular Board meetings; The Board Member ceases to meet the eligibility requirements in section 3.02 3.11 Removal An elected Board Member may be removed before the expiration of their term provided the Board Member has been given written notice of and the opportunity to be present at a special meeting of the Board. Decision for removal will be based on ordinary resolution of the Board. 3.12 Vacancy Where the position of an elected Board Member becomes vacant for whatever reason the Board may appoint a qualified individual to fill the vacancy until the following AGM. 3.13 Call of Meeting The meetings of the Board will be held at any time and place as determined by the Board or the President. Any Board Member may request a meeting, but it is the responsibility of the President to call the meeting in accordance with the conditions of these By-laws. 3.14 Notice Written notice, with proposed agenda, served other than by mail, of Board meetings will be given to all Board Members at least five (5) days prior to the scheduled meeting. No notice of a meeting of the Board is required if all Board Members waive notice, or if those absent consent to the meeting being held in their absence. Agenda and meeting date will be posted on the www.sjra.ca website allowing all SJRA Members to peruse a minimum of five (5) days prior to the scheduled meeting. 3.15 Number of Meetings The Board will hold a minimum of (8) meetings per year. 3.16 Quorum At any Board meeting, quorum shall be 50% plus one (1) of the voting Board Members currently holding office. 3.17 Chair The chair for a meeting of the Board will be the President, and in the President s absence, the Vice-President. If both the President and Vice-President are absent from the meeting and a quorum is achieved, the Board will appoint a Chair from among the Board Members present to preside over the meeting. 3.18 Voting Each Board Member will receive one vote. No individual may hold two (2) voting positions on the Board at the same time. If vacant positions force a situation where an individual is performing the duties of more than one voting position they will have only one vote. The President (or meeting Chair) shall not move nor second any motion or amendment, nor shall he vote unless there is a tie, then he may cast the deciding vote. The President is not allowed to vote even if he holds another voting position. 3.19 Open Meetings Meetings of the Board are open to all SJRA Members unless otherwise determined by the Board. 3.20 Electronic Meetings The President may initiate an electronic meeting when a decision is required prior to the next scheduled Board Meeting. For electronic meetings, motions require 2/3 of the voting Board Members currently holding office to vote in favour for the motion to pass. 3.21 Decisions in Lieu of Meetings If all voting members agree to and sign a resolution, it will be as valid as one passed at a meeting. It is not necessary to give notice for a decision in lieu of meeting. 3.22 Powers of the Board Except as otherwise provided in these By-laws, the Board has the powers of the SJRA and may delegate any of its powers, duties and functions. The Board shall be vested with the charge and control of SJRA and of its affairs, funds and properties. 3.23 Managing the Affairs of SJRA The Board may make policies, procedures, and manage the affairs of SJRA in accordance with these By-laws. 3.24 Discipline The Board may make policies and procedures relating to discipline of Members, and will have the authority to discipline Members in accordance with such policies and procedures. Page 12 of 20

4. Duties and Expectations for Board Positions 4.01 All Board Members Responsible for abiding by the Constitution, By-Laws, Policy Guide of the SJRA. Attend the meetings of the Board. Submit a written or verbal report outlining the activities under their responsibility at all Board meetings. Provide inputs to the annual budget for the activities under their responsibility. Promote a positive image of SJRA and Ringette in the community. Objectively represent the decisions made by the Board. Other duties as outlined in the By-laws of the Board. 4.02 Executive Officers (a) President Preside at all meetings of the Board Call the meetings of the Board Serve as tie breaking vote for all Board meetings as required Sign as the signing officer of the SJRA for contractual items Be the official representative of SJRA to the MRA Ensure SJRA is represented at all applicable MRA and WRL meetings Oversee and approve the development of the annual report Represent SJRA to the media when opportunities exist Be an ex officio member of all committees (b) Vice-President Assist the President and perform the duties of the President in his absence (c) Past President Serve as mentor and advisor to the Executive Officers Chair the election of Executive Officers at the AGM o If the Past President is not able to fulfill this role the Board will appoint an alternate (d) Secretary Keep record of the proceedings at all meetings of the Board Distribute minutes from the Board meetings to all Board members within seven (7) days of the meeting Keep record of electronic meetings Give notice of meetings Conduct general correspondence on behalf of SJRA Page 13 of 20

(e) Treasurer Perform all duties associated with the office of Treasurer Keep the accounts, receive and deposit all funds in an approved chartered financial institution Make disbursements with Executive approval by cheque, signed by the Treasurer and President, or one other appointed Executive Officer Provide financial statements for the annual report Prepare the draft annual budget Provide current financial position at each Board meeting including projected cash position at end of season Responsible for proposing fee schedule for the following season to the Board for approval (f) Registrar Provide statistical information for the annual report on registration levels Oversee the SJRA registration process Oversee the evaluation process Oversee the team formation process Prepare rosters for submission to governing bodies for all SJRA teams Oversee requests for age advancement and releases Protect the privacy of Member information collected through evaluations and registration Oversee an annual Come Try Ringette (CTR) event 4.03 Directors (a) Minor Officials Oversee conduct of all timekeepers Act as a contact with the WRL for matters related to Minor Officials Recruit timekeepers Prepare and submit Official s billing as required Ensure shot clocks are available and in good working order for all games as required (b) Ice Convenor Responsible to submit SJRA s request for ice to the Department of Parks and Recreation Represent SJRA at all ice user meetings Distribute ice to SJRA teams in a fair and equitable manner Prepare ice billings as required (c) Technology Source technology solutions for use by SJRA and its Members for team communications Maintain the www.sjra.ca website, posting relevant content as provided by SJRA Members Create team sites as required for each season Provide support, pertaining to technology solutions offered through SJRA, for all Members Page 14 of 20

(d) Coach Development Design and administer plans to improve the skill of coaching within SJRA Communicate certification requirements and SJRA expectations to all bench staff Coordinate coaching clinics as required by MRA Support new coaches by directing them to appropriate resources as required (e) Player Development Design and administer plans to improve the skill level of SJRA players Oversee the Ringette 4 U program for players registered with SJRA (f) WRL Represtative Represent SJRA at WRL meetings Report to the Board any pertinent information from WRL meetings (a) AA Convenor Represent SJRA at the AA Board Meetings Report to the Board any pertinent information from AA meetings Promote the AA program to age appropriate SJRA players 4.04 Club Convenors Positively represent and promote the sport of Ringette and SJRA in their respective community centres Participate in registration process Participate in team formation process Participate in coach recruitment/selection Act as a liaison for the Members in their community to the Board Provide support to all teams hosted by their respective community centre ensuring: o Teams are supplied with jerseys of appropriate size, in good repair and compliant with MRA and WRL standards o Teams are assigned appropriate outdoor ice times o Act as a liason between parents and team management when required Support Directors and Committees as required 4.05 Committees The Board may appoint ad-hoc committees as it deems necessary for managing the affairs of SJRA and may appoint members of committees, may prescribe the duties of committees and may delegate to any committee any of its powers, duties and functions except where prohibited by the Constitution or these By-laws. (a) Committee Members Any individual may be appointed to any committee by the Board. Each committee will contain a minimum of one Board Member. Page 15 of 20

(b) Terms of Reference The Board will establish the operating procedures, scope, function, duration and authority for all committees. (c) Reporting All committees are required to provide status updates to regular Board meetings that will be presented to the Board by the Board Member participating in the committee. (d) Removal The Board may remove any member of any committee at any time. 4.06 No Remuneration All Board Members will serve their term of office without remuneration except reimbursement of expenses as approved by the Board. 4.07 Conflict of Interest Any Board or committee member who has an interest, or who may be perceived as having an interest, in a proposed contract or transaction with SJRA will disclose fully and promptly the nature and extent of such interest to the Board and will refrain from voting, speaking in debate, or otherwise influence the decision on such contract or transaction. 5. Finance and Management 5.01 Fiscal year The fiscal year for SJRA will be June 1 st to May 31 st, or such a period as the Board may from time to time determine. 5.02 Bank The banking business of SJRA will be conducted at any financial institution as the Board may designate. 5.03 Deposits and Withdrawals All cheques will be made out to St. James Ringette Association and all securities, monies and cheques of SJRA will be deposited for safe keeping in one of SJRA s bank accounts and may be withdrawn by ordinary resolution of the Board. 5.04 Expenditures Over Five Thousand Expenditures over five thousand dollars ($5,000), that were not part of the annual budget, will be decided by the Board by an in-person Board meeting. 5.05 Signing Authority All written agreements and financial transactions entered into in the name of SJRA will be signed by any two signing officers as agreed to by the Board. 5.06 Annual Budget The Treasurer and the President will produce a formal fiscal year budget proposal for discussion and approval by the Board. All Board Members are responsible for providing input into the budget for known expenditures under their responsibility. 5.07 Auditors The Executive Officers are responsible for ensuring that SJRA is fiscally responsible to its Members by reviewing the accounting practices of SJRA. The financial books, accounts, and records of SJRA shall be audited at least once a year by two (2) Members, outside of the Board, duly elected at the AGM for that purpose. In the event that no Auditors are elected at the AGM, or those elected are unable to complete the audit, the Board is responsible to appoint Auditors. If Auditor appointed is a qualified accountant then only one (1) auditor will be required. Non Members may be appointed for this role. 5.08 Books and Records The necessary books and records of SJRA required by these By-laws or by applicable law will be necessarily and properly kept. All the financial books, accounts and records of SJRA may be inspected by any Member at any time upon giving reasonable notice and arranging a time and place satisfactory to the Treasurer. Each Executive Officer shall at all times have access to such books and records. Page 17 of 20

5.09 Borrowing The SJRA may not borrow funds. 5.10 Dissolution Upon dissolution of the SJRA, and after payment of all debts and liabilities, its remaining property will be distributed to other youth sport organizations within the boundaries of St. James. 5.11 Indemnification (a) Will Indemnify SJRA will indemnify and hold harmless out of SJRA funds each member of the Board, their heirs, executors and administrators from and against all claims, demands or costs which may arise or be incurred as a result of occupying the position or performing the duties of the Board Member. (b) Will Not Indemnify SJRA will not indemnify a Board Member or any other person for acts of fraud, dishonesty, or bad faith. Page 18 of 20

6. Amendment to the Constitution and By-Laws 6.01 Member Amendment Any Member of SJRA may propose an amendment to the Constitution or By-laws. Proposals must be submitted in writing to the President and the Secretary. Proposal will be included as an agenda item at the next Board meeting with discussion and resolution included in the minutes. Member submitting the proposal shall be notified of the Board meeting date where the proposal will be included. No amendment proposal to the SJRA Constitution or By-laws shall be accepted from the floor at any meeting. 6.02 Voting on Amendments (a) Amendments to the Constitution Amendments to the Constitution may be made at the AGM. Approval of amendments to the Constitution shall require a 2/3 majority of the voting Members in attendance at the AGM. (b) Amendments to the By-Laws Amendments to the By-laws may be made at the AGM. Approval of amendments to the By-laws shall require a simple majority of the voting members in attendance at the AGM. Note: Changes to policies and procedures of the SJRA will be managed through regular meetings of the SJRA Board and not the AGM. Page 19 of 20
