A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. 1. Eligibility: The Houston Dynamo and CenterPoint Energy Power Alert Service Sweepstakes ( Sweepstakes ) is open to all legal residents who live within seventy-five (75) miles of Houston, Texas, who are 18 years of age or older. Employees, contractors, directors, or officers of CenterPoint Energy, Dynamo Soccer, LLC (the Houston Dynamo ), Major League Soccer, L.L.C. ( MLS ) and Soccer United Marketing, LLC ( SUM and collectively with Houston Dynamo and MLS, the MLS Entities ) and any participating retail outlets, or any of their respective affiliates, radio sponsors, or advertising agencies, and members of their immediate families (spouse, grandparents, parents, siblings, children, and grandchildren) or persons residing in the same household of such employee are not eligible to participate. This Sweepstakes is void where prohibited or restricted by law and is subject to all federal, state and local laws and regulations. No purchase is required to enter or receive a prize. 2. Sweepstakes Entry Period: The Sweepstakes runs from 8:00:00 a.m. CT on Monday, August 8, 2016 to 5:00:00 p.m. CT on Monday, September 5, 2016 ( Sweepstakes Period ). 3. Sponsor: The Sweepstakes Sponsor and Administrator is CenterPoint Energy Houston Electric, LLC, 1111 Louisiana, Floor 3353D, Houston, Texas 77002. 4. How To Enter: To enter the Sweepstakes, visit www.centerpointenergy.com/dynamo and fill out the online form. You will only receive one (1) entry regardless of how many times you fill out and submit the online form. To enter the Sweepstakes without enrolling online, handprint your name, mailing address, date of birth, daytime telephone number (including area code), and e-mail address on a 3 x 5 card and mail it in an envelope with proper postage affixed to Houston Dynamo and CenterPoint Energy Power Alert Service Sweepstakes, c/o CenterPoint Energy Marketing Communications, 1111 Louisiana St., FL 3353D, Houston, Texas 77002. Mail-in entrants will only receive one (1) entry per qualifying post card. Each postcard entry must be mailed individually or placed in a separate postmarked outer envelope. Each mail-in entry must be postmarked by September 5, 2016 and received by 5:00:00 P.M. CT on September 7, 2016. Mechanical or facsimile reproductions, entries using macro, script or other forms of automatic entry and entries which subvert the entry process will be disqualified. Valid entries must contain all information requested. All entries become the property of Sponsor and will not be acknowledged or returned. Any other form of entry is void. Sponsor is not responsible for lost, late, illegible, misdirected, mutilated, incomplete, or postage-due or incomplete mail/entries. Limit: One (1) entry in the Sweepstakes per person/email address/household, regardless of the method of entry. Limit one (1) online registrant per household account.
Should multiple users of the same e-mail account enter the Sweepstakes and a dispute thereafter arise regarding the identity of the entrant, the authorized account holder of said e-mail account at the time of entry will be considered the entrant. Authorized account holder is defined as the natural person who is assigned an e-mail address by an Internet access provider, online service provider or other organization which is responsible for assigning e-mail addresses or the domain associated with the submitted e-mail address. If you are selected as a winner, your information may also be included in a publicly-available winner s list. Automated entries are prohibited, and any use of automated devices will cause disqualification. Sponsor reserves the right at its sole discretion, to disqualify any individual (and all of his or her entries) who tampers with the entry process. Participants may not register with multiple email addresses nor may entrants use any other device or artifice to register multiple times or as multiple registrants. Any Participant who attempts to enter with multiple email addresses under multiple identities or uses any device or artifice to register/play multiple times will be disqualified and forfeits any and all prizes won, in Sponsor's discretion. 5. Winner Selection: Six (6) winners will be selected via a random drawing conducted by Sponsor at Sponsor s headquarters in Houston, Texas on or about September 8, 2016, from all eligible entries received. Odds of winning depend on the number of eligible entries received. Potential winners will be notified by phone and/or email from CenterPoint Energy Marketing Communications using the contact information provided with their Sweepstakes entry. Potential winners will be required to complete and return an affidavit of eligibility, a liability release, and, where lawful, a publicity release within two days of notification, or an alternate finalist may be selected. Potential winners are subject to verification, including verification of age. If a potential winner is found not to be eligible or not in compliance with these Official Rules, or if prize notification or any prize is returned as undeliverable, the potential winner will be disqualified. In the event that a potential winner is disqualified for any reason, Sponsor reserves the right to award the prize to an alternate entrant who will also be selected randomly. Sponsor is not responsible for any change of email address, mailing address and/or telephone number of entrants. 6. Prize (6): Six (6) winners will each receive one (1) ticket each for the winner and a guest ( Guest ) to the September 30, 2016 Houston Dynamo soccer game at BBVA Compass Stadium. Each prize includes: (i) one (1) Houston Dynamo jersey for each winner and Guest and (ii) a chance for the winner and Guest to meet a Dynamo player, to be selected in the sole discretion of the Houston Dynamo, at the post-game meet and greet and (iii) One (1) $100.00 MasterCard or Visa Prepaid Gift Card. Approximate Retail Value ( ARV ) of Prize: $28.00 each ticket, $100.00 each jersey, $200.00 each person at the Dynamo player post-game meet and greet, and $100.00 each MasterCard or Visa Prepaid Gift Card. Prize(s) are taxable income to the winners and taxes are the sole responsibility of each winner. ARV of all Sweepstakes Prizes: $4,536.00. All prize details not specified in the Official Rules will be determined in Sponsor s sole and absolute discretion. Winners are solely responsible for any and all expenses and incidental travel
costs, including but not limited to transportation to/from the game and, if applicable, parking at BBVA Compass Stadium. Decisions of Sponsor are final in all respects. Prizes cannot be transferred, redeemed for cash or substituted except at the sole discretion of Sponsor. The Sponsor is not responsible for the cancellation or rescheduling of any event and no substitution or compensation shall be awarded. Provided tickets are subject to certain terms and conditions specified thereon. Location of seats and tickets are in Sponsor s sole discretion or may be predetermined as supplied by the Sponsor. Each winner and his/her guest(s) agree to comply with all applicable stadium regulations in connection with the prize. Sponsor and the Houston Dynamo reserve the right to remove or to deny entry to any finalist and/or his/her guest(s) who engage(s) in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person at the game, event or exhibition. 7. Release: By entering this sweepstakes, each entrant and winner agrees (and agree to confirm in writing) (i) to be bound by these rules and all decisions of the Sponsor, which shall be final in all matters relating to this Sweepstakes; (ii) to hold Sponsor, the Houston Dynamo, the other MLS Entities and their affiliates, subsidiaries, advertising and promotion agencies, and each of their respective directors, officers, employees, agents and assignees ( Promotional Parties ) harmless from and against any and all claims, damages and liability of any kind arising from or in connection with the awarding, receipt, acceptance, possession or use/misuse of any prize, or participation in the Sweepstakes or in any award-related activities thereunder, (iii) to assume all risk and liability in connection with the forgoing; (iv) to waive all rights to claim, punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses; (v) all causes of action arising out of or connected with this sweepstakes, or any prize awarded, shall be resolved individually, without resort to any form of class action; and (vi) any and all claims, judgments, and award shall be limited to actual out-of-pocket costs incurred, excluding attorneys fees and court costs. Winners consent to and grant permission to the use of his/her name, voice, likeness, photographic or video image, and hometown without additional compensation, for any and all publicity or advertising purposes in any media or format(s) now known or hereafter devised, worldwide, in perpetuity, by CenterPoint Energy, Houston Dynamo, and the other MLS Entities and each of their respective designees, unless prohibited by law. If a participant is found in violation of these rules he/she may be required to forfeit his/her prize. All entrants and winners agree and understand that the eligibility and opportunity to win are further conditioned upon Sponsor s determination as to eligibility and compliance with all contest rules and requirements. Sponsor reserves the right to make rule or other changes without notice at any time. 8. Binding Arbitration: Any controversy or claim arising out of or relating to the Sponsor s Sweepstakes shall be settled by binding arbitration in a location determined by the arbitrator as set forth herein (provided that such location is reasonably convenient for claimant), or at such other location as may be mutually agreed upon by the parties, in accordance with the procedural rules for commercial disputes set forth in the Comprehensive Arbitration Rules and Procedures of JAMS ( JAMS Rules and Procedures ) then prevailing, and judgment upon the award
rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. The arbitrator shall be selected pursuant to the JAMS Rules and Procedures. The arbitrator shall apply Texas law consistent with the Federal Arbitration Act and applicable statutes of limitations, and shall honor claims of privilege recognized at law. In the event that the claimant is able to demonstrate that the costs of arbitration will be prohibitive as compared to the costs of litigation, Sponsor will pay as much of the claimant s filing and hearing fees in connection with the arbitration as the arbitrator deems necessary to prevent the arbitration from being costprohibitive. If any part of this arbitration provision is deemed to be invalid, unenforceable or illegal (other than that claims will not be arbitrated on a class or representative basis), or otherwise conflicts with the rules and procedures established by JAMS, then the balance of this arbitration provision shall remain in effect and shall be construed in accordance with its terms as if the invalid, unenforceable, illegal or conflicting provision were not contained herein. If, however, the portion that is deemed invalid, unenforceable or illegal is that claims will not be arbitrated on a class or representative basis, then the entirety of this arbitration provision shall be null and void, and neither claimant nor Sponsor shall be entitled to arbitrate their dispute. Upon filing a demand for arbitration, all parties to such arbitration shall have the right of discovery, which discovery shall be completed within sixty days after the demand for arbitration is made, unless further extended by mutual agreement of the parties. THE ARBITRATION OF DISPUTES PURSUANT TO THIS PARAGRAPH SHALL BE IN THE ENTRANT S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN THE CLAIMS OF OTHER PERSONS OR PARTIES WHO MAY BE SIMILARLY SITUATED. DO NOT ENTER THIS CONTEST IF YOU DO NOT AGREE TO HAVE ANY CLAIM OR CONTROVERSY ARBITRATED IN ACCORDANCE WITH THESE OFFICIAL RULES. BY PARTICIPATING IN THE SPONSOR S SWEEPSTAKES, EACH ENTRANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE SWEEPSTAKES, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY THROUGH BINDING ARBITRATION AS SET FORTH ABOVE, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (2) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF- POCKET COSTS INCURRED (IF ANY), BUT IN NO EVENT WILL ATTORNEYS' FEES BE AWARDED OR RECOVERABLE; (3) UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT OF POCKET EXPENSES), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (4) ENTRANT'S REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND ENTRANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO EVERY ENTRANT.
9. Governing Law & Jurisdiction: The Sweepstakes and Official Rules are governed by US law and are subject to all applicable federal, state and local laws and regulations. All issues and questions concerning the construction, validity, interpretation and enforceability of the Sweepstakes Official Rules, or the rights and obligations of Entrant and Sponsor in connection with the Houston Dynamo and CenterPoint Energy Power Alert Service Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Texas, U.S.A., without giving effect to the conflict of laws rules thereof, and any matters or proceedings which are not subject to arbitration as set forth in Section 8 of these Official Rules and/or for entering any judgment on an arbitration award, shall take place in the State of Texas, in the City of Houston. 10. General Conditions: CenterPoint Energy, the Houston Dynamo and MLS are not responsible for any errors or omissions in the text or for printing or typographical errors in any Sweepstakes related materials or for online transactions that are processed late or incorrectly or are lost due to computer or electronic malfunction. Sponsor reserves the right to cancel or modify the Sweepstakes if fraud, virus, bugs, or technical failure compromises the integrity of the promotion as determined by Sponsor in its sole discretion. Sponsor is not responsible for technical, computer system, program malfunction, hardware, software or telephone failures of any kind, including without limitation incomplete, garbled or delayed computer transmission, whether caused by Sponsor, the user, or by any of the equipment or programming associated with or utilized in the promotion, or by any technical or human error which may occur in the process of submissions which may limit a participant s ability to participate in this Sweepstakes. 11.
