PIRATE TOUCHDOWN CLUB BY-LAWS Adopted 1993 Edited 2009 2012
Article 1 Name and meetings Section 1. This organization is organized exclusively for charitable purposes under section 501(c)3 of the Internal Revenue Code, or corresponding section of any future federal tax code. Section 2. The name of the organization shall be the Pike County Pirate Touchdown Club, sometimes referred to as the Pirate Touchdown Club, Touchdown Club, Booster Club, or Pirate Nation. Section 3. The meeting place of the Touchdown Club will be an appropriate location at the high school campus, large enough to accommodate the attendees. Section 4. The Touchdown Club fiscal year shall run from July 1 -June 30 of the following year. Section 5. The regular business meetings of the Officers and general membership shall be held the second Tuesday of each month, July through May. Other meeting may be called when events dictate a need to conduct the business of the Touchdown Club. All meetings are open to the full membership of the club. Section 6. Special Called meetings may be called by the President with a 24 hour notice. Notice shall be by e-mail, telephone or calling post. Section 7. Upon the dissolution of the organization, assets shall be distributed to one or more exempt purposes within the meaning of section 501(c)3 of the Internal Revenue Code, or corresponding section of any future federal tax
code, or shall be distributed to the federal government, or to a state or narrative description of activities. Article 2 Purpose Section 1. Cooperate with the athletic department, administration, and students of Pike County High School and Pike County Middle School and to support the respective football programs. Section 2. Increase school spirit and sportsmanship among students, faculty, staff, administration, parents, and the community at large. Section 3. Foster and promote the general welfare of student athletes. Section 4. Raise money and promote the general welfare through various activities deemed proper to support the purpose of the Touchdown Club. Section 5. Do nothing to violate the rules of the Georgia High School Association or any other scholastic organization or association which Pike County High School or Pike County Middle School is a member. Section 6. The Touchdown Club shall operate in the full support of the principal, athletic director, and coaches at Pike County High School and Pike County Middle School. At no time will it be the organizations purpose to interfere with the policies, methods, eligibility requirements, or other practices of the athletic departments or administration. Article 3 Membership Section 1. A Pirate Touchdown Club member is anyone who pays annual dues to support the Clubs purposes.
Section 2. Annual dues will be determined by the officers and general membership and will cover the period between January 1 and December 30. Article 4 Officers and Voting Section 1. The governing body of the Touchdown Club shall be the officers and general membership. The Principals, Athletic Directors and Head Coaches shall serve as ex-officio, non-voting members. Section 2. The Officers of the Touchdown Club shall consist of the following: President, Vice-President, Secretary, and Treasurer. Officers shall be elected annually at the February meeting of the club unless such an election may be moved to an earlier or later date by majority approval from the membership. Officers shall be elected no later than March 31 of any year. Section 3. At all meetings individual members holding valid current memberships shall be entitled to cast one vote on any and all issues called up for a vote by the President or presiding officer. Section 4. At all meetings of the Members, a majority of the members attending shall constitute a quorum for the transaction of business, and no resolution or business shall be transacted without the favorable vote of the majority of members represented at the meeting and entitled to vote and all questions shall be determined by such majority unless another majority is required by law. Section 5. The President will preside at all regular and special called meetings of the Club. The President shall provide leadership, organization, and direction to the Club. The President shall be the liaison with the Athletic Director, Coaches and administration for all Touchdown Club matters. The President shall sign all contracts. The president shall be the official spokesperson for the Touchdown club.
Section 6. The immediate past president shall serve as a member in good standing and advisor to the President for a period of one year after leaving office unless circumstances prevent it. Section 7. The Vice-president shall serve in the absence of the President and have such duties as delegated by the officers or the president. Section 8. The Secretary shall keep the minutes of all meetings of the members and officers and shall have charge of the Membership Books and shall perform such duties and have such powers as may from time to time be delegated by the officers or the President. Section 9. The Treasurer shall have such duties as shall be delegated by the Officers or the President and shall present the financial reports and statements to the membership and the Athletic Directors. Section 10. The Touchdown Club may appoint such additional officers and prescribe their duties as the membership sees fit. The President may also delegate duties and authority to other officers and members. Article 5 Finances Section 1. Financial reports and financial statements shall be presented to the membership and the Athletic Directors on a monthly basis. An annual financial report shall be presented to the membership and the Athletic Director at the end of each fiscal year.
Article 6 Attendance Section 1. The presence of a member at any meeting without objection thereto shall be a waiver of all formalities of the meeting including call, notice, time and place of meeting. Article 7 By-Laws Section 1. These By-laws may be altered, amended or repealed and new By- Laws may be adopted by a majority vote of the members present at any meeting or special meeting. The text of the proposed amendment shall be provided to the membership and displayed on the Clubs web site for at least 15 days prior to the meeting at which By-Law change may be considered. Section 2. The By-Laws of the Pirate Touchdown club were first adopted by the initial Directors and membership on January 5, 1993. Section 3 The By-Laws of the Pirate Touchdown Club were updated and edited July 24, 2009. Section 4. The By-Laws of the Pirate Touchdown Club were update and edited October 23, 2012.
