SCHOOL BUSINESS ADMINISTRATOR/BOARD SECRETARY AGREEMENT This Agreement, made and entered into this 28 th day of September, 2010 between Mrs. Teresa E. Barna, hereinafter Mrs. Barna, and the Lopatcong Township Board of Education, with its principal offices located at 321 Stonehenge Drive, Phillipsburg, New Jersey, 08865, hereinafter called the Board or District. WITNESSETH: WHEREAS, the Board desires to retain the services of Mrs. Barna to serve as School Business Administrator/Board Secretary of the Lopatcong Township School District and Mrs. Barna has agreed to provide said services; and WHEREAS, the Board and Mrs. Barna desire to embody in the Contract the terms and conditions of their Agreement; NOW, THEREFORE, Mrs. Barna and the Board, for the mutual promises and consideration herein specified, do mutually covenant and agree as follows: 1. Employment: The Board hereby agrees to retain Mrs. Barna as Business Administrator/Board Secretary of the Lopatcong Township School District with such duties and responsibilities in said positions as are specified in Title 18A of the New Jersey Revised Statutes and all other applicable laws and regulations, as well as in accordance with all Board policies, administrative regulations and job descriptions pertaining to the functions, responsibilities, powers and authority of School Business Administrator/Board Secretary. Mrs. Barna accepts said appointment as School Business Administrator/Board Secretary of the Lopatcong Township School District and represents that she will faithfully and fully perform and carry out the duties and responsibilities of said office throughout the term of the Contract including attendance at any and all Board meetings and any other meetings which the Board and/or Superintendent deems necessary. 2. Term: The term of the Contract shall be from July 1, 2010 through June 30, 2011. 3. Certification: Mrs. Barna represents that she possesses the appropriate Business Administrator Certification prescribed by the New Jersey State Board of Education and will continue to hold the appropriate Business Administrator Certification in full force and effect throughout the entire term of this Agreement. Mrs. Barna agrees that if at any time during the term of this Agreement she is without the required certification, that she shall be deemed unqualified for the said positions and that she will no longer be employed with the District. Mrs. Barna agrees that she shall produce, if necessary, such certificates and documents as may be required and exhibit same on request. 4. Evaluation: Mrs. Barna shall be evaluated by the Superintendent in accordance with Board policy and the provisions of N.J.A.C.6:3-2.2. 5. Compensation: The Board shall pay Mrs. Barna the annual salary of $91,242 (ninety one thousand, two hundred forty two dollars) for the full academic year (July 1, 2010-June 30, Page 1 of 5
2011) for the above services. Payment will be made in 24 equal semi-monthly installments per the policies of the Board governing payment of administrators in the District. 6. Merit Pay: a. Mrs. Barna be entitled to an additional ½ % merit pay in the amount of $443 for investigating and implementing a plan to invest the district surplus funds that will earn an additional 20% more than the prior fiscal year in interest income. b. Mrs. Barna shall be entitled to an additional ½ % merit pay in the amount of $443 for receiving no audit recommendations for fiscal year 2009-2010. Goals shall be met and reviewed by June 30, 2011. If the Board has determined that Mrs. Barna has met the goals, the additional compensation will be earned on July 1, 2011 and paid in a lump sum. 7. Health Benefits and Insurance: Mrs. Barna shall receive the same full family medical, dental, prescription coverage as offered to other members of the professional staff. Mrs. Barna shall contribute 1.5% of her salary, as stated in #5 above, towards the premium costs of such coverage on a pre-tax basis, which shall not exceed the cost of the benefits to which she subscribes. 8. Graduate Credit Reimbursement: The School Business Administrator/Board Secretary will be entitled to tuition and expense reimbursement for graduate level courses taken within the scope of her job responsibilities and provided she achieves a B average or better. Courses must receive prior approval by the Superintendent, be taken at an accredited college or university, and shall be reimbursed to the School Business Administrator/Board Secretary at no more than two thousand dollars ($2,000) per school year. In the event that the School Business Administrator/Board Secretary does not use the entire allocation, the amount remaining shall roll over to the subsequent school year. The total allocation for tuition reimbursement in any subsequent school year shall never exceed $5,000. 9. Family and Medical Leave Act: Mrs. Barna will have rights to leave under State and Federal family leave laws. 10. Vacation Days: Mrs. Barna shall earn twenty (20) days vacation for the full school year, exclusive of school and legal holidays. She may take any of her vacation days, upon proper notice to, and with the approval of, the Superintendent. Up to ten (10) days of her vacation entitlement may be carried over into the next year for use during that year after which they will be forfeited without compensation; this is consistent with NJSA 18:A 30. In determining vacation entitlement, Saturdays, Sundays and legal holidays shall not be counted. If Mrs. Barna retires or resigns during the year, vacation days shall be considered to have been earned on the first day of the contract. Unused vacation days shall be paid to Mrs. Barna upon separation from the school district at the rate of 1/260 of her annual salary. 11. Holidays, Recess Periods and Work Year: Mrs. Barna shall be required to follow the same twelve (12) month work schedule as that established by the Board for Central Office and Administrative Staff. The Business Administrator/Board Secretary shall be entitled to the following fifteen (15) holidays: Independence Day, Labor Day, Friday of Teacher s Convention, Thanksgiving Day, the day after Thanksgiving, Christmas Eve, Page 2 of 5
Christmas Day, the day before New Year s Day, New Year s Day, Martin Luther King Day, Friday of President s Day, President s Day, Good Friday, the Monday after Easter, Memorial Day, with no loss of pay and any other days determined by the Superintendent. If any of these Holidays (e.g., Independence Day, Christmas, New Year s) fall on a weekend, then the nationally recognized date (e.g., July 5, 2010 for Independence Day) for that Holiday will be observed. The Superintendent and the Board reserve the sole right to substitute a Floating Holiday for the Holidays listed above, if the school district calendar calls for school to be in session on that date. Such Floating Holiday may be taken at any time with the approval of the Superintendent but will not accrue to the following academic year and will be forfeited, without compensation, if not taken by the end of the academic year in which it is given. 12. Sick Leave: a. The Business Administrator/Board Secretary shall receive twelve (12) sick days annually. Unused sick leave days shall be cumulative in accordance with the provisions of Title 18A. Upon retirement, the Business Administrator/Board Secretary may be eligible to be compensated for unused sick leave, at the daily rate of 1/260 th of her annual salary times the number of unused sick days. Said payment shall not exceed Fifteen Thousand Dollars ($15,000.00), and said payment shall not be payable to the Business Administrator/Board Secretary s estate or beneficiaries. N.J.S.A. 18A:30-3.5. b. Seven (7) of these days may be taken in any one school year, due to illness of an immediate family member including parent, spouse, child, brother, sister or any member residing in the household. These days would be subtracted from the sick days. c. She shall give notice in a timely manner to the Superintendent for use of sick days. 13. Personal Leave: Mrs. Barna shall be entitled to three (3) paid personal days annually. She may take any of her personal days upon proper notice to, and with the approval of the Superintendent. Unused personal days shall convert and accumulate to sick days and be governed by the section entitled Sick Leave. 14. Bereavement Days: a. In the event of the death of a parent, spouse, mother-in-law, father-in-law, child, grandparent, great grandparent or grandchild, time will be granted without loss of pay, which shall commence on or after the day of death and be completed within two (2) calendar weeks after the day of the funeral, but in no event to exceed five (5) work days. b. In the event of the death of a brother, sister, son-in-law, daughter-in-law, brother-in-law, sister-in-law, time shall be granted without loss of pay, which shall commence on or after the day of death and be completed within two (2) calendar weeks after the day of the funeral, but in no event to exceed three (3) consecutive work days. c. One (1) day shall be granted in the event of the death of a relative outside the immediate family defined above. d. Upon prior notice to and approval by the Superintendent, funeral leave other than outlined above may be permitted. 15. Legal Days: With the exception of a tenure hearing or other matters adverse to the employee, time shall be granted for appearances in legal proceedings connected with the employee s employment with the school district or in any other legal proceeding if the employee is required to attend by law. Days that the employee receives a subpoena are considered to be legal days. Page 3 of 5
16. Good Cause: Other leaves of absence with or without pay may be considered by the Board. 17. Professional Development: Mrs. Barna shall be entitled to attend the Annual Conference of the New Jersey Association of School Business Officials and the New Jersey School Boards Association Annual Workshop. In addition, the Board agrees that the School Business Administrator/ Board Secretary may attend professional development programs sponsored by New Jersey Association of School Business Officials and New Jersey School Boards Association subject to prior written approval by the Superintendent, and the availability of funds. All fees and related travel costs shall be consistent with current New Jersey code and regulation. 18. Professional Dues: The Board agrees to pay dues and fees on behalf of the School Business Administrator/Board Secretary for membership in the New Jersey Association of School Business Officials, Hunterdon/Warren Association of School Business Officials and the Association of School Business Administrators International. 19. Expense Reimbursement: Mrs. Barna shall be reimbursed for mileage at the current rate as determined by the state travel regulations and other business related expenses approved by the Superintendent upon receipt of appropriate documentation. These expenses must be in line with the Accountability Regulations of the State of New Jersey. 20. Termination of Employment: This Contract may be terminated under the following conditions: a. By Mrs. Barna upon sixty (60) days written notification, unless the Board agrees to accept shorter notice; b. By mutual agreement of the parties. 21. Amendments or Modifications: This Agreement may not be modified or amended except by mutual agreement of the parties incorporated in a writing signed by both parties and ratified by the Board. 22. New Jersey Law: This Agreement shall be construed in accordance with the provisions of the laws of New Jersey. 23. Severability: In the event that any provision of this Contract is deemed to be illegal by a court or agency of competent jurisdiction then the remaining provisions shall remain in full force and effect. 24. Indemnification: Anything contained herein to the contrary notwithstanding, the Board agrees that in Mrs. Barna s provision of services to the Board under this Agreement, she is entitled to the protection of the indemnification provisions of N.J.S.A.18A:16-6 and N.J.S.A. 18A:16-6.1 and any other applicable New Jersey Statutes. Mrs. Barna agrees to cooperate fully and to assist the Board with its defense of any actions against her and/or the Board. This Agreement incorporates the parties entire agreement and complete understanding concerning the terms and conditions of Mrs. Barna s retention by the Board. Page 4 of 5
