NAME The name of the institution is St. Monica's Child and Youth Care Centre and shall be situated at any place in the Diocese of Natal as the Committee may from time to time decide. 2. AREA OF OPERATION The area of operation shall be the Diocese of Natal. 3. OBJECTS 3.1. Providing residential care for children, according to the provisions of the Child Care Act, as amended from time to time, as a temporary measure until rehabilitation or alternative care is found. 3.1.1. such children shall be girls up to the age of eighteen years and boys up to the age of twelve years. Where necessary such age limits may be exceeded for children already in the Home's care. 3.1.2. such children may be from any race group, cultural background and religion. 3.2. Providing a range of non-residential services for children and families within the Home's geographical location in order to minimise the need for residential child care. 4. VESTING OF IMMOVABLE PROPERTY All immovable property owned or acquired by the Home shall be vested in, transferred to, and controlled by THE TRUSTEES APPOINTED TO HOLD PROPERTY FOR AND ON BEHALF OF THE CHURCH OF THE PROVINCE OF SOUTHERN AFRICA, which is the Church of the Anglican Communion in these parts, IN THE DIOCESE OF NATAL. 5. CONSTITUTION OF THE COMMITTEE 5.1. Membership is restricted to the members of the Committee as appointed in terms of this clause. 5.2. The Committee shall be elected, by the members, (or who may offer themselves as members) at every alternate Annual General Meeting and from time to time, may co-opt persons to be members of the Committee for such period or periods which it may determine, provided that the Committee shall not at any one time consist of more that 12 persons nor less than 7 persons. 5.3. Two thirds of the Committee must be communicant members of the Church of the Province of Southern Africa, and four members of the Committee shall be appointed by the Diocesan Bishop. Page 2/ 5.4. St. Monica s Child and Youth Care Centre Page 2 of 6 5.4. Each elected member shall serve a term of office of two years subject, however, to the provisions of Clause 7. 9. of this Constitution. 5.5. The State Department may nominate at least one, but not more than two members of the Committee. Such member/s may participate in discussion but may not be an office-bearer nor have the right to vote. 5.6. All retiring members may be eligible for re-election. 5.7. No proceedings of the Committee shall be invalidated by reason of the fact that some person who has taken part in such proceedings has ceased to be a member thereof. 6. POWERS AND PRIVILEGES OF THE COMMITTEE The Home shall be managed and controlled by the Committee which shall have, inter alia, the following powers: 6.1. To negotiate on behalf of the Trustees as defined in Clause 4 hereof for the purchase of immovable property and to sell any land or immovable property no longer necessary for the objects of the Home after having first obtained the authority of the said Trustees. 6.2. To build on any land acquired for the Home and to maintain or alter any buildings on such land. 6.3. To acquire movable property by purchase or otherwise and to let, sell, or otherwise dispose of such property. 6.4. To appoint a Principal/Warden for the Home provided: 6.4.1. that each such appointment shall be made only in full consultation with the Visitor, whose consent shall be necessary before any such appointment may be made; 6.4.2. the Visitor, or his/her deputy, shall be a member of any sub-committee constituted for the purpose of considering such appointment; 6.4.3. the appointed Principal/Warden shall be a communicant member of the Church of the Province of Southern Africa or a Church in full Communion or in a formal covenanted relationship with the Church of the Province of Southern Africa: and 6.4.4. such Principal/Warden so appointed shall faithfully observe and abide by the rules of the Home and as the Committee may direct from time to time. 6.5. To appoint, upon such terms and conditions and for such period of office as the Committee may from time to time decide, an Auditor, a Secretary, a Treasurer, and such other officials of the Home as may be required. 6.6. To consult or employ architects, attorneys, medical practitioners, engineers, builders or any other persons, professional or otherwise; to enter into contracts with any person or company. To appoint from time to time from its members such standing or ad hoc committees as may be necessary or desirable for the proper and efficient conduct of the Home provided always that the decisions of any sub-committee shall, unless specially authorised to the contrary by the full Committee, be submitted to the latter for approval before being put into effect. 6.8. To receive and disburse funds of the Home. 6.9. To open and operate upon bank and building society accounts and to delegate to any member of the Committee or to any person employed in the running of the Home the power and authority to operate thereon. 6.10. To raise and borrow money for the needs of the Home whether by way of private loan, bank overdraft or otherwise and with the approval and authority of the Diocesan Trustees to arrange for the registration of mortgage bonds over the properties held by the said Trustees on behalf of the Home as security for any loan. Should the services of a fund-raiser be made use of for the collection of contributions, the expenses (remuneration and/or commission included) may not exceed 40% of the total turnover of the collection. No competition, contest, game, scheme, arrangement or system in connection with which any prize may be won shall be conducted or caused to be conducted by the organisation unless an authority in terms of any other Act has been obtained beforehand. 6.11. Funds available for investment may be invested only with registered financial institutions as defined in section 1 of the Financial Institutions (Investment of Funds) Act, 1984 or in the acquisition of securities listed on a licensed stock exchange as defined in the Stock Exchange Control Act, 1985. 6.12. To cause to be kept proper books of accounts dealing with the affairs of the Home and to have prepared, each year up to the end of March and duly audited, a Revenue and Expenditure account and a Balance Sheet. 6.13. To institute, defend, compromise, or abandon, any legal proceedings, whether civil or criminal, instituted by or against the Home, or any one of its officers, and to refer to arbitration any dispute or legal action. 6.14. To make donations in money or kind to any person or institution; to waive or reduce charges in the case of any person or group of persons. Donations shall be made only to organisations registered in terms of the NPO Act 71, 1997. 6.15. To make contributions to any pension, provident, medical or benefit funds or schemes calculated to benefit employees or ex employees of the Home or the dependants or connections of such persons; to grant pensions, bonuses and allowances and to make payments towards insurance. 6.16. To insure any of the assets, property, or employees of the Home, including all buildings erected or acquired for the Home, against any risk or contingency whatsoever; to insure the Home against any claims or contingencies. To make such alterations to this Constitution as may from time to time in the opinion of the Committee be necessary or desirable, subject to the provisions contained in Clause 8 and Clause 11. 6.19. The Committee may not carry on any business including inter alia, ordinary trading operations in the commercial sense, speculative transactions, dividend stripping activities as well as the letting of property on a systematic or regular basis. 6.20. To do all such other things as may be necessary or desirable for carrying out the objects of the Home. 7. MEETINGS OF THE COMMITTEE 7.1. The members of the Committee shall elect one of their number to be their Chairperson at the first meeting after each alternate Annual General Meeting. A retiring Chairperson shall be eligible for re-election as Chairperson. 7.2. The Committee may from time to time elect one of their number to be Deputy Chairperson. The Deputy Chairperson shall exercise the powers of the Chairperson in the event of the latter's absence or temporary incapacity, or pending the election of a Chairperson. If both the Chairperson and the Deputy Chairperson shall be absent from any meeting, the members present may then elect a Chairperson to preside at such meeting. 7.3. Ordinary meetings of the Committee shall be held once a month in each year or on such other dates as the members may from time to time by resolution determine. At least seven days notice shall be given of such meetings and an agenda shall accompany every such notice. 7.4. The Chairperson may at any time convene a special meeting of the Committee to consider any matter which he/she may regard as being urgent, or any matter specified in a letter addressed to the Chairperson and signed by three members of the Committee for consideration of which the signatories request the Chairperson to convene a special meeting. 7.5. At all meetings of the Committee, not less than one half of its members shall form a quorum. 7.6. Minutes shall be kept of all meetings of the Committee, and a copy thereof shall be transmitted to every member of the Committee before its next meeting. 7.7. A member of the Committee who receives remuneration from the Home, either on a fulltime or part-time basis, shall have the right to vote but shall recuse him/herself from any matter in which he/she has or might have a vested interest. 7.8. All questions arising at any meeting of the Committee shall be decided by a majority of votes, subject to the provision of Clause 7.7. and Clause 11. The Chairperson of such meeting shall have a deliberative vote, and, in the case of an equality of votes, shall have a casting vote. Page 5/ 7.9. If

If any member of the Committee shall fail to attend four successive ordinary meetings of the Committee, without leave of absence having first been obtained from the Committee, such member's place may be declared to be vacant. 7.10. Any member of the Committee may be called upon, for good and sufficient reason, to resign by a two-thirds majority of the remaining members of the Committee, or by the Visitor, and if he/she shall fail so to resign within seven days after being called upon so to do, his/her place may be declared by the Committee or by the Visitor (as the case may be) to be vacant, save that no nominee appointed by the State Department shall be so removed without the concurrence of that Department. 8. VISITOR The Diocesan Bishop of Natal shall be the Visitor of the Home. The Principal/Warden shall be directly responsible to him/her in all matters which concern the spiritual welfare and religious observance of the children under his or her control. It shall be the duty of the Committee to receive with serious attention any representations which the Visitor may make with a view to the efficiency of the Home as a religious foundation, and as a place of liberal education. The Bishop, as Visitor, shall be entitled to receive the agenda and minutes of all meetings of the Committee and to attend such meetings whenever he/she may desire to do so for the purposes of consultation. During the absence of the Bishop from the Diocese, and whenever the See shall be vacant, the duly appointed Vicar-General shall exercise all rights of the Visitor. No change which affects the rights of the Visitor as laid down in this Constitution shall be effected without the written consent of the Visitor. Without prejudice to his/her rights as Visitor, the Bishop of Natal may be co-opted and serve as a member of the Committee. Without prejudice to his/her rights as Visitor, the Bishop of Natal may delegate some or all of his/her functions to the Area Bishop in whose Episcopal Area the Home is situated. 9. POWERS AND DUTIES OF THE PRINCIPAL/WARDEN The Principal/Warden shall have under his/her control the whole of the internal organisation, management and discipline of the Home. Subject to the general directions of the Committee the Principal/Warden shall have the power to engage employees for the Home or to dismiss the same. The Principal/Warden shall present to every monthly meeting of the Committee a written report dealing with the progress and problems of the Home. The Principal/Warden shall attend any meeting of the full Committee or of any standing or ad hoc Committee at which his/her presence is requested by the Chairperson thereof. 10. APPOINTMENT OF CHAPLAIN The Visitor at his/her discretion shall appoint a Chaplain to the Home, and shall, in consultation with the Principal/Warden, arrange the duties connected with the post. AMENDMENT OF CONSTITUTION St. Monica s Child and Youth Care Centre Page 6 of 6 This Constitution shall not be added to or amended except by the vote of two-thirds majority of members of the Committee and without the sanction and approval of the Diocesan Trustees of the Diocese of Natal being received in writing. Amendments to the constitution must be submitted to the Director of Fund-raising for approval 12. ANNUAL GENERAL MEETING 12.1. An Annual General meeting shall be held not later than six months after the end of each financial year of the Home. Subject to the foregoing, Annual General Meetings shall be held at such place and at such time as the Committee shall determine. 12.2. Annual General Meetings of the Home may be attended by the Committee and such persons as the Chairperson shall notify. Such matters as the Committee may decide shall be placed before such meetings, including the Annual Report and an audited statement in relation to the Accounts and Balance Sheet of the Home; provided, however, that such meetings shall have no executive power in relation to the affairs of the Home. 13. WINDING UP The Committee may, with the consent and approval of the VISITOR and the TRUSTEES APPOINTED TO HOLD PROPERTY FOR AND ON BEHALF OF THE CHURCH OF THE PROVINCE OF SOUTHERN AFRICA, which is the Church of the Anglican Communion in these parts, IN THE DIOCESE OF NATAL, discontinue the provisions of the Home and/or education facilities provided therein. On dissolution of the Home, the assets remaining after the satisfaction of its liabilities, excluding any immovable property referred to in Clause 4 above which shall remain vested in the Trustees, shall not be paid to or distributed among its members but shall be given to other similar religious, educational and/or charitable institutions in the Diocese of Natal which are exempt from income tax in terms of the relevant sub-paragraph of the Income Tax Act and are registered in terms of the NPO Act 71, 1997 to collect contributions, as may be decided either by the members at the general meeting at which it was decided to dissolve the Home or, in default of such decision, as may be decided by the Director of Non-profit Organisations. 14. ADOPTION OF THE CONSTITUTION This Constitution was approved and accepted by members of the Committee at a meeting held on 23 May 2000.
