LIST OF DOCUMENTS TO BE SUBMITTED The signed and stamped copies of following documents should be sent as part of the technical/commercial bid submission a. Power of Attorney/ Authorised Letter, authorizing the person who has signed the tender to act and sign on behalf of the company. b. Certificate of registration/incorporation in the case of Pvt Ltd/Public Ltd Company /certified copy of / partnership deed or equivalent in the case of LLP/Partnership firm/ any document under the relevant rules/laws if the firm is a proprietorship firm. c. Non-refundable Tender Fee of Rs. 1500/- Note: - EMD and Tender Fee can be waived off for NSIC and MSME registered vendors. 2. VERIFICATION OF DOCUMENTS / SUBMISSION OF BIDS / CANCELLATION OF BIDS a. If Balmer Lawrie wants to verify all the submitted documents, then the bidder should bring all original documents. b. Failure on part of the tenderer to report on specified date and time for paper verification may result in rejection of the tender submitted by them without further communication. c. Tenderer should be in a position to produce all the original documents and/or any other information on dates as intimated or as and when required by Balmer Lawrie. d. Incomplete Tenders are liable for rejection without any reference to the tenderer and decision of Balmer Lawrie in this respect will be final. 3

e. If at any stage it transpires that any party submitted false or forged documents may be Blacklisted and the EMD would be forfeited, contract could be cancelled, criminal prosecution or any other action as deemed fit may be initiated. f. Balmer Lawrie reserves the right to reject any or all tenders without assigning any reasons whatsoever. g. All the bids will be evaluated based on the criteria as mentioned in this NIT. Tenders of those bidders who are not meeting the criteria as specified in the NIT, may not be considered for commercial evaluation. h. Tenders, if submitted through e-mail or fax, shall be summarily rejected. BID SUBMISSION Tenderers are advised to download Notice Inviting Tenders along with other tender documents from our website www.balmerlawrie.com. Interested parties are required to pay a non-refundable Tender Fee of Rs.1,500/- (Rupees One Thousand and Five hundred only) and submit an interest-free EMD of Rs.3,000/- (Rupees three thousand only) by two separate Demand Drafts/Pay Orders of any scheduled bank drawn in favour of BALMER LAWRIE & CO. LTD., payable at Kolkata. Offer submitted without Tender Fee and EMD will be rejected. However, submission of Tender Fee and EMD is exempted for NSIC / MSME registered parties on submission of copy of valid registration certificate. The physical original instruments/drafts should reach our address of communication prior to due date and time. In case the Bidders intend to submit any additional supporting documents, the same can be submitted in physical form at our above address. Bidders are requested to provide correct e- Mail address and Mobile No. for receiving updates related to tender from time to time. 1.2 The bidders have to keep track of any changes by viewing the Addendum/Corrigendum issued by the Tender Inviting Authority on time-to-time basis in the balmer lawrie website. The Company calling for tenders shall not be responsible for any claims/problems arising out of this. 2. Filling of Tender Documents 2.1 The tenderers are requested to carefully study all the tender documents and tender conditions before quoting their rates. 2.2 The tender must be strictly in accordance with the terms and conditions and specifications laid out in the tender. 2.3 Any terms and conditions given by the tenderer in their offers will not be binding on Balmer Lawrie. 2.4 The sole proprietor or authorised representative shall sign all documents that needs to be submitted. When the person signing the documents is not the sole proprietor / authorised representative of the 4

company, the Power of Attorney authorizing such person to act and sign on behalf of the company must be scanned and uploaded and produced later on for verification by Balmer Lawrie. SCOPE OF WORK The scope of work shall be as mentioned in BOQ (Bill of Quantities) attached as Annexure -2. The scope of work shall also cover the safe transportation from either the workshop or from their warehouse to the address of delivery. If during transportation any material found to be damaged then it should be the responsibility of the supplier to replace the same without any additional cost. The contractor should also bring sufficient manpower, tools and tackles to do the installation to the satisfaction of BL officials. Electricity connection shall be provided at one point and further connections shall be the responsibility of the contractor. 1. Eligibility Criteria For Techno-Commercial Bid GENERAL TERMS AND CONDITIONS a) Payment of non-refundable Tender Fees of Rs.1, 500/- (Rupees one thousand five hundred only). b) Payment of Interest-Free EMD of Rs. 3, 000/- (Rupees three thousand only). c) Should have executed 3 similar jobs of providing and fixing signage in the last one year. The bidder should submit Bills/WO/PO/Letter from Customer etc for doing the said job. d) The bidder should have an Office/Establishment in Hyderabad and relevant document to be submitted for the same. 2. Submission Of Bids Bidders are requested to submit their offer in a sealed envelope super scribing the Tender Reference No., Due Date and Subject of Tender and the same shall be sent to the address as mentioned under BID SUBMISSION so as to reach on or before the Due Date and Time. For Price Bid, only the rates are to be submitted in the given format as per Annexure-2. Bids, if submitted by Fax / e-mail, shall be summarily rejected. 3. Tender Opening Bids will be opened as per the Tender Calendar and in presence of tender committee officials of Balmer Lawrie. 4. Rates/ Taxes and Duties The bidder should quote their rates (inclusive of taxes, duties etc.) as mentioned in the Price Bid (Annexure- 2). 5 Acceptance of offers 5.1 Balmer Lawrie reserves the right to accept any tender in whole or in part or reject any tender or all tenders or place order for any quantity, less than or more than the tendered quantity, without assigning any reason thereof. 5.2 Bids of any tenderer may be rejected if a conflict of interest is detected between the bidders and Balmer Lawrie at any stage. 5

5.3 Balmer Lawrie reserves the right to accept the lowest rate for any tender. Balmer Lawrie also reserves its right to allow Public Enterprises (Central / State) price / purchase / contract / service preference as admissible under the existing Government policy. The decision of Balmer Lawrie in this connection will be final. 5.4 Incomplete tenders, conditional tenders, tenders received late or tender not conforming to the terms and conditions mentioned in the Tender documents or not accompanied by the requisite Earnest Money Deposit (unless exempted under the terms of this Tender) will be rejected. 5.5 Generally, order will be placed on the lowest bidder. But Balmer Lawrie is not bound to accept the lowest bid and the decision in this regard shall be final and binding on all bidders. 5.6 Mere submission of bid / offer does not necessary qualify for consideration of offer. 6 Negotiations 6.1 Balmer Lawrie reserves the right to negotiate with the Tenderer. Tenderer will have to attend the concerned office of Balmer Lawrie as informed by BL official for negotiations/clarifications required from them, in respect of their quotations, without any commitment on the part of Balmer Lawrie. 6.2 In case of negotiation, the Tenderer should send the confirmation of outcome of such negotiation in writing so as to reach the concerned office of Balmer Lawrie within 3 days from the date of negotiation/ the time stipulated. If the Tenderer fails to comply with this requirement Balmer Lawrie reserves its right to ignore their quotation at its discretion with the attendant remedies available to them. 7 Price Variation 7.1 The price should be firm and irrevocable and not subject to any change whatsoever even due to increase in cost of materials, components and labour cost till the validity of the contract period. 7.2 The offer shall be valid for a period of minimum 60 days from the date of opening the price Bid. 8 Notification Of Award Prior to the expiration of the period of Bid validity, BL will place purchase order or letter of intent on the successful bidder(s). 9 Site Visit The bidder, at the bidder s own cost/responsibility is advised to visit the site and obtain all information and satisfy themselves that may be necessary for preparation and quoting the Tender. 10 Validity of Offer Your offer should be valid for acceptance for 60 days from the date of opening the price bid. 11 Earnest Money Deposit (EMD) / Security Deposit Before the last date and time of bid opening, the bidder is required to submit at the above mentioned address (please refer Notice Inviting Tender) the EMD of Rs.3,000/- (Rupees three thousand only) by way of a bank draft / pay order payable at Kolkata favoring Balmer Lawrie& Co Ltd. The EMD will be interest-free. EMD of the successful bidder(s) will be adjusted against Security Deposit and EMD of unsuccessful bidders will be returned after placement of LoI/Order. The SD shall be refunded after completion of the WORK. In the event of breach of contract, the SD is liable for forfeiture. 6

12 Payment Terms a. 90%of the Invoice Value shall be paid after completion of work to BL satisfaction. b. 10%shall be retained as retention money for a period of defect liability period which is 12 Months from the date of completion of work to BL Satisfaction. 13 Sub-letting of Work No part of the contract or any share or interest therein shall in any manner or degree be transferred, assigned or sublet by the contractor directly or indirectly to any person, firm or corporation without the consent in writing from Balmer Lawrie. In the event of contractor flouting the conditions, Balmer Lawrie shall be entitled to get the supply from any other firm at the Risk & Cost of the contract. 14 Addition/alteration of Tender Document The Company reserves the right to add/alter terms and conditions of tender documents including cancellation of the tender at any time without assigning any reason whatsoever. The Company also reserves the right to accept/reject a tender without assigning any reasons. 15 Termination of Contract. In case of serious breach of contract by the supplier the Company reserves the right to terminate the contract forthwith without notice. 16 Force Majeure Conditions: If at any time during the continuance of this contract, the performance in whole or part by either party of any obligation under this contract shall be prevented or delayed by reasons of any war, hostility, acts of public enemy, civil commotion sabotage, fire, floods, explosions, epidemics, quarantine restrictions, strikes, lock outs or acts of God (hereinafter referred as "events") provided notice of the happening of any such events is given by either party to the other within twenty one days from the date of occurrence thereof, neither party shall by reasons of such event, be entitled to terminate this contract nor shall either party have any claim for damages against the other in respect of such non-performance or delay in performance. Deliveries under the contract shall be resumed as soon as practicable. 17 Defect Liability During defect liability of 12 Months, there should not be any defects in the supplied and installed signage other than any physical damages from any external things. In case if the same is found to be damaged then it is the responsibility of the contractor to make it good at their cost. 18 Safety to Company's Property The contractor should ensure that during the time of operation there is no damage to the property, personnel of the company. 19 Acceptance of Tender The company reserves the right to accept or reject the offer in part or in full without assigning any reasons whatsoever and /Or to negotiate with tenderer(s) in the manner it considers suitable. 20 Arbitration Any dispute or difference arising under this Contract shall be referred under jurisdiction of Kolkata to a sole arbitrator to be appointed by the Chairman & Managing Director, Balmer Lawrie & Co. Limited and the provisions of Arbitration and Conciliation Act, 1996 including any statutory modifications or enactment 7

thereof shall apply to the Arbitration proceedings. The fees of the arbitrator, if any, shall be shared equally by both the parties.
