The History of the Indian Riders The first mention of an Indian Riders Group (IRG) dates back to 1907, when a group of motorcyclists loosely banded together to go riding. The founding fathers of Indian Motorcycle recognized this loyalty, and wanted their dealers to help promote this feeling by urging them to help form local Riders Groups. They felt that the association of like-minded individuals would increase the overall experience of riding the motorcycle, foster camaraderie among owners, give hands-on feedback to the dealer on the good and bad points of the bike and, of course, sell more motorcycles. In the 1920s, the motorcycles had ceased to be pure transportation, and became a sport. Motorcycling was fun, and riding a motorcycle was an experience that one could share with family and friends. The brand of motorcycle gave bragging rights over others, and good-natured (most of the time) competition only made riding better. A Riders Group reinforces the strong loyalty among its family of riders and can better plan and promote activities for all of its participants. The Riders Group can plan and organize rallies, and as the organization grows, it can offer more benefits to members, enhancing the motorcycling experience. ARTICLE I Group Name This Riders Group shall be know as, Indian Arrowhead Riders Parent Group, Inc., Twin Cities, Minnesota Disclaimer - Section 1.1 Other groups may have access to the name, IARG, however, the parent group is not responsible for actions of any other group. ARTICLE II Group Vision and Mission Statement Section 2.1 Vision The Vision of this group is to be an all-inclusive Motorcycle Group to promote friendship and goodwill and to enhance the lives of its members and all motorcycle riders, to encourage safe riding for all members and riding enthusiasts, and to contribute to, and reflect a positive image in our communities. We encourage motorcycle enthusiasts to experience the freedom of the open road through lawful and safe motorcycle riding activities and to provide a means for individuals to participate with others that share a like-minded interest in promoting Motorcycling. Section 2.2 Mission The Mission of the Indian Arrowhead Riders Group is to bring together a group of people who enjoy similar philosophies and riding styles with a focus on community spirit. The Riders Group will focus on giving to those in need through charity events and community service activities while promoting a positive self-image. The Riders Group will promote fellowship among motorcycle riders and improve relations between the general public and motorcycle riders through discussion and social events. The Riders Group will not discriminate against any race, religion, or ethnicity. In addition, the club will welcome all riders, regardless of their choice of manufacturer. The Riders Group will promote motorcycle safety and education through motorcycle safety courses, seminars, and rallies; and through newsletters and discussion among members. This Riders Group will provide educational information on mechanical improvements, safety gear, riding techniques, motorcycle history, and restoration of vintage motorcycles and motorcycle maintenance and repair with the Rider Group members. ARTICLE III Principal Office The principal office of the Indian Arrowhead Riders Group is located at: Twin Cities Indian Motorcycle Company, 2967 Hudson Road, Saint Paul, MN 55128. Section 4.1 Membership 1. A Charter Member of the Indian Arrowhead Riders Group, Inc. shall also be known as an Original. 2. A Charter Member is a member who paid annual dues at any time during the period of January 1, 2009 to December 31, 2012. 3. All members are required to pay annual dues. If, after paying dues for any period of time, a member fails to pay subsequent dues, membership is suspended pending payment of dues. Members choosing to suspend or terminate their membership will not be asked to return their patch. 4. Any motorcyclist is eligible to join the Indian Arrowhead Riders Group, Inc. Eligible person shall be admitted to the Indian Arrowhead Riders Group, Inc. upon payment of current dues. 5. Annual Dues are due and payable in December upon notice from the IARG. 6. Members in the Indian Arrowhead Riders Group, Inc. agree to the terms and conditions of the Constitution and Bylaws, as well as the Article of Incorporation and Bylaws of Indian Arrowhead Riders Group, Inc. and any then adopted Rules of the Road. Without limiting the foregoing, each member agrees to fully indemnify, defend, and old harmless the Indian Arrowhead Riders Group, Inc., its officers, employees, agents, and other members in the event of any claim or lawsuit based on the act or omission of such members. Section 4.2 Termination of Membership 1. The Riders Group may terminate membership of any member upon any of the following events: A. Failure of the member to pay dues within the times set forth by the Indian Arrowhead Riders Group, Inc. or as otherwise provided in these Bylaws, failure to the member to otherwise comply with the provisions of these Bylaws, or any membership rules adopted hereunder. B. Any Member or Officer who does not comply with the principles set forth by this organization may, by two-thirds majority vote of a Special Meetings (section 5.3) & Quorum and Voting (section 5.4), be expelled and shall lose all rights granted a member in good standing. C. Termination of a membership shall not relieve the member from any obligation for charges incurred, services or benefits actually received, dues, assessments, or fees for which the member is obligated to the Indian Arrowhead Riders Group, Inc. D. Suspension: Any member delinquent in payment of his or her annual dues shall be placed on indefinite suspension and said member shall lose voting privileges until such time restitution or remedy is made of said delinquent dues. Section 4.3 Transfer of Memberships Indian Arrowhead Riders Group memberships are non-transferable. Section 4.3 Affiliation Group All bylaws must be followed by affiliated IARG groups. Any changes to the bylaws must be approved by the IARG parent group. If changes are made the name must be changed. Article V Meetings of Members Section 5.1 Place of Meetings Indian Arrowhead Riders Meetings shall be held at Twin Cities Indian Motorcycle Dealership building or at such place generally convenient as designated by the Officers of the Group. Members shall meet on the 2 nd Saturday of each month at 10:00 a.m. Officers of the Indian Arrowhead Riders Group, Inc. shall be elected in December at the scheduled Annual Christmas Potluck Dinner. Section 5.3 Special Meetings A special meeting of the Indian Arrowhead Riders Group may be called at any time by the Board or by majority vote of a quorum of members. All Special meetings shall be announced by email or newsletter at least thirty days prior to the proposed meeting date with a specific purpose. This notification will be sent out to last known email address via email or newsletter. It is the sole responsibility of the member to keep the secretary up to date of any changes to their email address. The notice shall be sent by the secretary of the organization to only the general members in good standing of record. Section 5.4 Quorum and Voting One-third (1/3) of the total membership or ten members, whichever is less, and at least three Board Members shall be a quorum for all meetings of the Indian Arrowhead Riders Group, Inc. All matters shall be decided by a majority vote of members at the meeting at which a quorum is present, unless a greater number is required by law. Voting shall be by show of hands or paper ballot. A paper ballot vote shall be used by the request of any members. Roberts Rules of Order shall govern meetings; as such rules may be revised from time to time, insofar as such rules are not in conflict with these Bylaws. 1. Absentee Voting is permitted during December election of Officers only. An Absentee Ballot will be Drafted and signed by two Board Officers and shall be provided to all members in good standing before any election is held. Absentee ballots must be returned to a designated Board Member within the time period permitted. Only members in good standing may vote Absentee during current voting year. ARTICLE VI Officers Section 5.5 Officers The officers of the Indian Arrowhead Riders Group, Inc. Shall be known as the Board of Officers and consist of a President, Vice President, Secretary, Treasurer, and Sergeant-at-Arms. Officers shall be elected by a majority of votes cast at the December meeting. Each officer shall serve for a term of one (1) year and until his or her successor is elected. If required, the board may appoint additional officers. If necessitated by vacancies caused by departure of an officer, the board will appoint a replacement officer for the remainder of the term. Transition of officers: Officers elected at the annual election shall take office at the scheduled February meeting. It is the responsibility of the Board of Officers to appoint a Road Captain, Tail Gunner, and three Advisory Board Members. Section 5.6 Duties of the President The President shall be the general manager and chief executive officer of the Indian Arrowhead Riders Group, Inc. and shall perform all the duties customary to that office. The President shall preside at all meetings of the Riders, and will appoint members to assume temporary duties for any officer absent at a scheduled meeting. The President shall represent the Indian Arrowhead Riders Group at local and national motorcycle functions and activities. If a board vote should ever end in a tie it will be the President s vote that will act as the tiebreaker. Section 5.7 Duties of the Vice President The Vice President shall aid and assist the president in conducting meetings, and in the absence of the President, shall have the full powers of the President. Should the office of the President become vacant during the elective term, the Vice President will assume the officer of the President, with all responsibilities. The Vice President shall oversee the Treasurer and the Sergeantat-Arms, set procedures for group rides and assist in all planning. 7 of 10 September 5, 2016 Int.

Section 5.8 Duties of the Secretary The Secretary shall prepare minutes at all Indian Arrowhead Riders Group, Inc. meetings. The Secretary shall maintain a record of minutes and the proceedings of annual, special and general meetings. The Secretary shall provide members with all notices required by these bylaws, as well as the group newsletter. The Secretary shall also present the minutes of the previous meeting at each monthly meeting. Section 5.9 Duties of the Treasurer A. The Treasurer shall maintain and secure accurate accounts of the properties and business transactions of the Indian Arrowhead Riders Group. The Treasurer shall deposit all dues, monies, and other valuables in the name and to the credit of the Indian Arrowhead Riders Group. The Treasurer shall disburse the funds of the Indian Arrowhead Riders Group as may be ordered by the Board. The Treasurer shall also give an accounting of all funds at each monthly meeting. The Treasurer is responsible for paying the MN Secretary of State all renewal fees. The Treasurer is also responsible for any and all income tax filings. B. The duties of the Treasurer shall also include the preparation and presentation of annual financial income or sales tax reports for IARG, maintain an inventory of all property of the organization, prepare financial summaries of all fundraising events within thirty days of the completion of the event, ensure that all records required by the MN Secretary of State remain current, any other financial duties assigned by the board. Section 6.0 Duties of the Sergeant-at-Arms The Sergeant-at-Arms shall call the meeting of Indian Arrowhead Riders Group, Inc. to order and adjournment. The Sergeantat-Arms is also responsible for keeping time on timed discussions. The Sergeant-at-Arms shall maintain order and determine the existence of a quorum. Additionally the Sergeant-at-Arms will manage group ride safety concerns and appoint additional Road Captains or Tail Gunners as needed for each ride. 6.0 a. Road Captain The Road Captain will be appointed by the sitting board members for a term of one year. Duties of the Road Captain Maintain a Safe speed for conditions and riders capabilities Signal riders of intended lane changes and stops Signal riders of road conditions and formation changes Maintain control and integrity of the group Establish rest areas Other duties as assigned by the board Assess and ensure all new riders are in front of the group 6.0 b. Tail Gunner The Tail Gunner will be appointed by the board for a term of one year. Duties of the Tail Gunner Be the eyes and ears of the ride leader at the back of the pack Keep the ride leader informed of what is happening in the group Stop and assist any disabled motorcycle Secure the lane at the request of the rider leader Secure the lane when the group has all cleared an intersection after a controlled stop Secure the lane when the group has all made the turn at a change of highways Secure the lane if there are other motor vehicles mixed within the group Inform the ride leaders of any potential traffic problems Inform the ride leader of the group s progress Inform the rider leader when the drop-off bike is recovered or back in formation Perform other duties as assigned 4 of 10 September 5, 2016 Int.

Section 6.1 Advisory Board and Special Committee 6.1 The Advisory Board will be appointed by the Board of Officers. The Advisory Board will be for a term of one year. This board will consist of three Advisory Board Members and will be under the direction of the Board of Officers. 6.2 Special committees may be created and their members shall be appointed by the Board of Officers. These committees may be eliminated by the board. As with standing appointments, all special committees shall be subject to the general control and direction of the Board of Officers. ARTICLE VII Execution of Corporate Instruments and Notes The Officers shall determine the method and designate and officer or officers or other person or persons to execute any corporate instrument or document, or to sign the corporate name, except where otherwise provided by law, and such execution or signature shall be binding upon the Indian Arrowhead Riders Group. Unless otherwise required by law, promissory notes and other instruments of indebtedness of the Indian Arrowhead Riders Group must be signed by the President and the Vice President or Treasurer. ARTICLE VIII Restrictions Section 8.1 Wearing Indian Arrowhead Riders Group Rockers No Member of the Indian Arrowhead Riders Group will wear a rocker patch in addition to the Indian Arrowhead Rider Group Patch. The definition of a Rocker is a complimentary patch on the back of a jacket or vest, usually under the main patch, which contains Chapter ID s City or State text information. This is a serious issue in many state where the 1% Motorcycle Clubs are very territorial. The Indian Arrowhead Riders Group is a Motorcycle Riding Group, not a Motorcycle Club. Appendix A Indian Arrowhead Riders Group, Inc. Etiquette The Indian Arrowhead Riders Group will be sponsoring and attending rides for the enjoyment of the membership and guest. For the sake of uniformity, and to avoid possible future disputes or claims of liability, the following rules and regulations have been established and are subject to change at any time. The Indian Arrowhead Riders Group, Inc. (and the sponsoring Indian Motorcycle Dealership) assume no responsibility or liability for loss or damage to personal property, or injury to any person who participates in Indian Arrowhead Riders Group sponsored activities and functions. All members and guests participate at their own risk. Alcohol Highly encouraged - no drinking on our rides. If you want to have a beverage Indian Arrowhead Riders Group, Inc. sponsored activities shall conform at all times to federal, state, and local laws. All complaints and/or suggestions for improvements should be made in private to the Sergeant-at-Arms or to an Indian Arrowhead Riders Group, Inc. officer for resolution and should not be made the subject of general discussion and possible dispute. Members are requested to cooperate by avoiding and refraining from angry disputes, altercations and discussion of personal problems, which would impair the fulfillment of our mission and mission statement. Any unruly, intoxicated persons at an Indian Arrowhead Riders Group event may be requested to leave. 7 of 10 September 5, 2016 Int.

All members are responsible for the conduct and behavior of their guests, families, and themselves and are liable for any damages incurred. Each member agrees to fully indemnify, defend and hold harmless the Indian Arrowhead Riders Group, its officers, employees, agents and other members in the event of any claim or lawsuit based on the act or omission of such member. No member is to sit on, or move another member s motorcycle without the owner s approval, barring an emergency situation. While wearing an Indian Arrowhead Rider Patch, a member may not wear other patches that identify City, State, M/C, 1%. Disclaimers The formation of an Indian Arrowhead Riders Group, Inc. is at the sole risk of the members, and Indian Arrowhead Riders Group, Inc. assumes no liability. Indian Arrowhead Riders Group, Inc. will adopt such rules of the road as they deem advisable and will research and follow motorcycle safety rules as well as all applicable laws. However, the Indian Arrowhead Riders Group, Inc. does not guarantee safeties if such rules and laws are not followed and does not guarantee compliance with such rules.
