Bylaws of the Solivita Smashers Pickleball Club Revision date:9/19/2017 ARTICLE 1: Name of Organization The name of the organization shall be the Solivita Smashers Pickleball Club ( Solivita Smashers ). ARTICLE 2: Organization The Solivita Smashers is a not-for-profit organization established by and for the benefit of its members to support the goals and objectives identified in Article 3. Any monies or dues received shall be used for administering and funding the activities of the Solivita Smashers. ARTICLE 3: Goals and Objectives The goals and objectives of the Solivita Smashers are to: promote the playing and enjoyment of Pickleball in the Community of Solivita; develop and promulgate rules of play to maximized use of available Pickleball facilities; encourage members to participate in, as well as to host, Pickleball matches or tournaments with other Pickleball enthusiasts from other locations; distribute donated funds to a charity at the Board of Directors direction; co-operate with the Solivita Fitness Director by assisting in the management and operation of Pickleball facilities at Solivita. ARTICLE 4: Membership Any resident of Solivita may become a member of the Solivita Smashers by paying annual dues and thereby become eligible for all membership privileges. Section A: Members in Good Standing Members must remain current in their dues to be considered in good standing. They must not have voluntarily withdrawn, nor have been expelled or suspended from membership during the year. Members in good standing shall have the following privileges: access to all Solivita Smashers events and other functions as defined by the Board of Directors, based on availability; email notification of Solivita Smashers events and meetings when the member provides a valid email address; Page 1

a listing in the Solivita Smashers Roster; eligible for a member rate on Solivita Smashers sponsored events. Section B: Suspension or Termination of Membership Membership shall be terminated if a member moves out of the community or becomes delinquent in dues or any other funds owed (see Article 5). Membership may be suspended or terminated for cause and the Directors approval after the member has been issued two letters of reprimand. A member has the right to appeal any disciplinary action within ten (10) days of notification date. ARTICLE 5: Dues and Fees Section A: Annual Dues Dues for the calendar year of January 1 to December 31 shall be collected starting November 1. First-time members joining on or after November 1 shall pay the annual dues rate and shall have full membership privileges for the remainder of the current year and through the following year. Changes in the dues are determined by the Directors and approved by a simple majority of those attending the meeting following any proposed change. Any member who has not paid the annual dues by January 31 shall be deemed delinquent and membership shall be terminated until renewed. Section B: Fees Additional fees may be levied for specific purposes to administer the affairs of the Solivita Smashers at the discretion of the Directors. ARTICLE 6: Board of Directors Section A: Powers and Duties The Board of Directors shall have the powers and duties necessary for the administration of the affairs of the Solivita Smashers and may perform all acts and do all things necessary thereto, subject to these bylaws. Directors shall serve without compensation. Section B: Number and Qualification of Directors The Board of Directors ( Directors ) shall consist of seven (7) individuals, four (4) officers and three (3) additional board members. All Directors must be full-time Solivita residents and all of whom must be members of the Solivita Smashers. Page 2

Section C: Term of Office The term of office for each elected Director shall be a two-year term beginning on January 1 after election. An elected Director may serve one additional term for a maximum of two (2) consecutive elected terms. Section D: Nominating Committee A nominating committee shall be appointed annually by the Directors for the purpose of identifying candidates for the Board of Directors. Members may submit names to the committee prior to the deadline and no additional nominations shall be accepted thereafter. The committee shall confirm eligibility of the candidates according to the bylaws and guidelines. The slate of candidates shall be presented to the Directors within ten (10) days of the vote. Section E: Election of Directors The Election of Directors for the Solivita Smashers Board shall be held during the November General Membership meeting. Under special circumstances, a Director may be elected to a term less than 2 years. Every Solivita Smashers member in good standing present, shall have one vote. Directors shall be elected by a plurality of the votes cast by secret ballot. Section F: Vacancies Vacancies on the Board of Directors which occur at any time shall be filled by a majority vote of the remaining Directors. Each person appointed shall serve out the remainder of the vacated term. Section G: Meetings of the Board of Directors Regular meetings of the Board of Directors may be held at such times and places as shall be determined from time to time by a majority of the Directors. Special meetings may be called by the President on three (3) days notice stating the time, place, and purpose of the meeting. At all meetings of the Board of Directors, a majority of the Directors shall constitute a quorum for the transaction of business. ARTICLE 7: Officers Section A: Officers of the Solivita Smashers The Officers of the Solivita Smashers shall be elected by the incoming Board of Directors no later than December 31 after the election in November. The Officers of the Solivita Smashers shall be members of the Board of Directors and consist of a President, Vice President, Treasurer, and Secretary. Page 3

Section B: Duties of the President The President shall: have general and active control of the business and affairs of the Solivita Smashers; preside at all meetings; execute all instruments and documents on behalf of the Solivita Smashers; appoint any individuals or committees deemed necessary to conduct efficiently the operations of the Solivita Smashers. These may include tournament directors, league managers, liaisons with external organizations, social event chairpersons, etc. Such appointments may be for a single event or specific term or be open-ended; interact with the Solivita Fitness Director in all matters pertaining to the operation of the Pickleball courts; negotiate the responsibilities the Solivita Smashers may assume with respect to Pickleball facilities and their equitable usage; advocate for the members and all Pickleball playing residents. Section C: Duties of the Vice President The Vice President shall: perform the duties of the President in the absence or incapacity of the President or if the position of President becomes vacant; assist the President with the duties of the office as requested; chair the Nominating Committee; perform any other duties assigned by the President and approved by the Directors. Such duties shall not violate any other provision of these bylaws. Section D: Duties of the Treasurer The Treasurer shall: keep all books of account relating to the business of the Solivita Smashers; keep records of members whose dues are paid; pay all legitimate bills properly submitted; have the care and custody of all monies of the Solivita Smashers and shall deposit such monies in a duly established account in a registered bank. Multiple signatories shall be maintained on any and all accounts so that bills may be paid in the absence of any particular signatory. The Solivita Smashers books shall at all times be open for inspection by any member upon written request at a time and place agreed upon; report the condition of the Solivita Smashers finances at every General Membership meeting and every amount received, paid or owed; be responsible for preparation and filing of any and all required tax documents; perform any other duties assigned by the President and approved by the Directors. Such duties shall not violate any other provision of these bylaws. Page 4

Section E: Duties of the Secretary The Secretary shall: notify members of all Solivita Smashers meetings as specified in the bylaws; record minutes at all meetings of the Solivita Smashers; bring the bylaws to all meetings; manage the general correspondence of the Board of Directors except for such correspondence assigned to others; perform any other duties assigned by the President and approved by the Directors. Such duties shall not violate any other provision of these bylaws. Section F: Duties of Other Directors Duties of the remaining Directors, not Officers, shall be assigned at the time of their first Directors meeting. Such duties shall not violate any other provision of these bylaws and shall not usurp the duties specifically conveyed to Officers unless specifically delegated. ARTICLE 8: Bylaws Section A: Acceptance These bylaws shall be voted on and accepted by the membership at an open meeting, and shall be published and available to all members upon request. Section B: Amendments Amendments (changes, deletions, or additions) may be proposed by the Directors. A member may submit an amendment in writing, with ten (10%) percent of the membership concurring and joining in writing by petition. The proposed amendment shall be submitted to the Directors. All properly submitted amendments shall be presented at a Membership meeting with the recommendations of the Directors. Section C: Review and Notice A proposed amendment shall be posted or published and made available to members for review at least thirty (30) days prior to a vote. Notice shall be given to members of time and place of said vote. Section D: Quorum and Vote A two-thirds (2/3) vote of those members present shall be required for approval of any addition, deletion, or change to these bylaws. Page 5

ARTICLE 9: Standing Rules of the Solivita Smashers The Directors may create Standing Rules ( Rules ) as necessary. Rules may be amended by a majority vote of the Directors and reported to the membership. The current version of any such Rules shall be available to all members upon request. ARTICLE 10: Meetings Section A: General Membership Meetings General Membership meetings of the Solivita Smashers shall be held on a regular bi-monthly basis on a day agreed upon by the Directors. Notice shall be given seven (7) days prior to the meeting. Such meetings may be suspended with concurrence of the membership. Section B: Special Meetings The Directors may call special meetings in addition to General Membership meetings to discuss important issues or bylaw changes. The membership shall be notified of such meetings by email, telephone, posting of notices at the courts or announcements. Section C: Quorum A quorum for any meeting of the Solivita Smashers shall consist of the members present at the duly called meeting. Except for amending the bylaws (See Article 8, Section D), a majority vote of the quorum shall be sufficient for approval of all considerations raised to vote. In the event of a tie, the President shall cast the deciding vote. Section D: Rules of Order Robert s Rules of Order Newly Revised shall apply to all meetings unless superseded by the terms of these bylaws. Page 6
