Constitution Lee County Farmers Market ARTICLE I OBJECTIVE The name of this organization shall be Lee County Farmers Market. ARTICLE II OBJECTIVE To improve the production and marketing of local farm products in Lee and surrounding counties and to stimulate public interest in the consumption of local farm products. ARTICLE III MEMBERSHIP Any person engaged in the growing of farm products, who agrees to abide by the rules of the Association, may become a member, upon approval of the Board of Directors. ARTICLE IV OFFICERS The government of the Association shall be vested in an elected majority of the members present at the annual meeting that takes place the first meeting of the calendar year. Elected positions will include President, Vice-President, and Secretary / Treasurer. These positions will serve for a one year term, calendar year. The officers will constitute the Executive Committee. The Executive Committee will be responsible for formulating rules and regulations guiding the operations of the market. ARTICLE V MEETINGS Members in good standing shall have the privilege of voting at all meetings. A majority of members present shall constitute a quorum. The President shall appoint an Election Committee which shall count the votes, and announce the persons receiving the greatest number of votes. ARTICLE VI RECORDS Every member shall have the right to examine, for any reasonable purpose, the books, records, roster of membership, and other appropriate records of the Association. ARTICLE VII FISCAL YEAR The fiscal year shall begin the first day of January in each year.

ARTICLE VIII MONEYS The Association will not collect membership dues. However, all members will need to fill out an application at the Lee County Extension Service and their farm inspected by the Market Manager to determine if they are producing before they are to become a member. ARTICLE IX AMENDMENTS The Constitution and Bylaws may be amended at any meeting by a two-thirds vote of the members present, provided due notice of such proposed amendments be mailed by the Secretary to the members not less than 14 days prior to the said meeting.

Bylaws Lee County Farmers Market 1. The duties of the Board of Directors shall be to transact all business of the Association: to establish the policy of said Association regarding program of activities; to authorize all contracts for services and supplies; to prepare a budget for each operating period (space cost, insurance, market master, advertising, other) and recommend daily, monthly, or seasonal rental rates per stall. 2. The President shall call a meeting of the Board of Directors at any time when, in his judgement, there is business to be transacted. He shall appoint all committees from the Board of Directors and the Association membership, and delegate authority to the committees to assist the Board of Directors in performing any duties necessary to promote the interests of the Association. Special meetings shall be held upon call of the President. 3. The Vice-President shall perform all duties of the President in his absence. 4. The Treasurer shall hold all Association money, pay all bills upon order of the Board of Directors and present his books and records for auditing on demand by the Board of Directors. He shall execute a guarantee bond to such amount as the Directors shall determine, the premium to be paid by the Association. 5. The Secretary shall keep a record of the proceedings of all meetings, send a written notice to the members days prior to each meeting, attend all correspondence of the Association, and perform any duties for the Association assigned to him by the Board of Directors. 6. In the event of any vacancy on the Board of Directors, the remaining members of the Board shall select any member of the Association in good standing to fill the vacancy until the election meeting of the Association in January when the appointment shall expire and the Association shall elect a member to fill the unexpired term. 7. Robert s Rules of Order shall be followed at all times. 8. It shall further be the duty of the Board of Directors to promote, by regulation and management, a farmers market. In pursuance thereof, the following rules and regulations are hereby adopted.

Rules & Regulations Lee County Farmers Market 1. Open to producers in Lee and adjoining counties to sell produce grown by producer. No other products may be sold except with Board approval at a regular Board Meeting. Sellers may include family members and employees of the producer. These people must be listed on the membership application before selling. 2. Products include plants, fruit, vegetables, herbs, and crafts produced from plants (Indian corn, gourd arrangements, ribbons or bows may be added to arrangements, no flea market items). At least 40% of items sold must be grown by the member. The Market Manager will visit the farm to determine this. All products sold must be Kentucky Proud produce, and Kentucky grown definition follows the Kentucky Department of Agriculture s definition, 50 miles beyond the state line. 3. All products must be produced within guidelines of the U.K. Cooperative Extension Service. No produce may be sold that is not considered a regular Kentucky crop (by UKCES) unless the seller receives prior approval from the Board. 4. Sellers may only advertise prices at their sale area and may only do it with signs. GROWER MUST DISPLAY HIS / HER NAME AND COUNTY WHERE GROWN. 5. Produce sold by weight must be weighed on accurate scales (no bathroom or fishing scales). All scales subject to spot inspection by the Kentucky Department of Agriculture. 6. Sellers are responsible for all applicable taxes. 7. Each seller must be a market member before selling. Sellers must have their membership set up. Persons (who are not members) desiring to sell must make arrangements with their local Extension Service to fill out an application before selling. 8. You must keep your area clean. Sellers leaving trash may be suspended from the Market. Sellers must bring their own trash cans or bags. Sellers are, also, responsible for all customer trash in their sale area. Violation of this rule can result in revocation of membership. 9. The Market Manager must visit the producer s farm to verify their products meet market standards. (If a question arises the Market Manager will re-visit the vendor s farm.) 10. The Market Manager may inspect produce on the market or at the farm at any time. ONLY HIGH QUALITY PRODUCE WILL BE OFFERED FOR SALE! 11. Days of operation: Wednesdays, 8:30 a.m. to 1:30 p.m.; and Saturdays, 8:30 a.m. to 1:30 p.m. Subject to revision by the Board.

12. The market will be located at the Shelter at the Lee County Senior Citizens Center. 13. Vendors are expected to be clean and present a clean appearance with shirt and shoes at all times.
