BYLAWS OF SHPE University of Michigan - Dearborn STUDENT CHAPTER UNIVERSITY OF MICHIGAN - DEARBORN ARTICLE I NAME OF ORGANIZATION The name of this organization shall be SHPE University of Michigan - Dearborn ARTICLE II PURPOSE/OBJECTIVE The purpose of this student chapter is to focus on the betterment of the Hispanic/Latino Community. To outreach to youth and create a network for students to reach out to people of Industry. All while being a place of growth in our University. 1. Increase the number of Hispanic engineering students at the University of Michigan- Dearborn (UM-Dearborn). 2. Promote the advancement of Hispanic engineers and scientists in employment and education. 3. Develop and participate in programs with industry and the university, which benefit students seeking technical degrees 4. Improve the retention of Hispanic students enrolled in college. 5. Provide a forum for the exchange of information pertinent for Hispanic engineering/science students enrolled in UM-Dearborn. 6. Foster a place for growth and understanding 7. Increase knowledge and people of Science Technology Engineering Art and Mathematics (STEAM) SECTION 1. AFFILIATION ARTICLE II ASSOCIATION The SHPE University of Michigan Dearborn student chapter will be an affiliated chapter of Society of Hispanic Professional Engineers anticipated in fall 2016. The organization possesses the right to adopt its own rules and procedures within the framework of SHPE University of Michigan - Dearborn s rules and regulations and the UM-Dearborn s rules and regulations. This student chapter will be part of the local as defined by the Regional Vice- President and the local professional chapter presidents. SECTION 2. NON-DISCRIMINATION

No person shall be denied membership in this organization because of race, color, sex, handicap, nationality, religious affiliation, sexuality, or belief, etc even though the name SHPE University of Michigan - Dearborn was chosen. SECTION 3. UNIVERSITY POLICY The SHPE University of Michigan - Dearborn Student Chapter is committed to a policy of equal opportunity for all persons and does not discriminate on the basis of race, color, national origin, age, marital status, sex, sexual orientation, gender identity, gender expression, disability, religion, height, weight, or veteran status. SECTION 1. REGULAR MEMBERSHIP ARTICLE III MEMBERSHIP Regular members shall be 1. Students in any interdisciplinary studies program within the University of Michigan - Dearborn. 2. Members must pay $10 Dollars to SHPE for National Dues. 3. Members must pay $5 Dollars each Semester for Local Dues. 4. Note that National dues should be paid first before paying local dues. 5. Must have attended 2 SHPE University of Michigan - Dearborn sponsored or cosponsored events per semester. SECTION 1. ARTICLE VI OFFICERS/EXECUTIVE BOARD Officers shall consist of a President, Vice President, Secretary, Treasurer, Internal Representative, Regional Committee Representative and Freshman Representative. The term of office is one calendar year. Each Board member must submit a committee budget for their committees. The GPA requirement to be a Board member is 2.85 or higher. SECTION 2. Advisor Membership: a) Advisor will be appointed by the board members. b) May attend all SHPE University of Michigan - Dearborn sponsored or co-sponsored events. c) At least one Advisor Member will be invited to oversee the voting of Executive Board members. d) In the event that an advisor is removed or resigns, a new advisor shall be appointed within 30 number of academic days. f) A new advisor will be appointed by the board if he is no longer affiliated with UM-Dearborn. SECTION 3. President

The President shall represent the chapter and be responsible for all business concerning the chapter. The President shall have full power in the management and business of the chapter and shall set and establish all policy of the chapter and/or other functions or activities under the direction of this chapter. The President shall also be the official spokesperson for the chapter, manage the other operation officers and manage the day-to-day affairs of the chapter. The President shall also - along with the treasurer - register the organization with the university each academic year. Lastly, they will be responsible for coordinating communication with other SHPE University of Michigan - Dearborn student chapters. SECTION 4. Vice President The Vice President shall assist the President in all business concerning the chapter and shall act as a President Pro Tem in the latter s absence. The Vice President will also be in charge of the external affairs of the chapter (industrial relations, company tours, etc.) along with handling internal affairs of the chapter (campus relations, social activities, etc.). Along with this they will be responsible for correspondence with regional bodies, representing the chapter at regional meetings and functions. SECTION 5. Secretary The Secretary will take the minutes of the meeting and post them. The Secretary will also be in charge of the bulletin board. They will be responsible for the calendar, keep track of attendance. The Secretary shall be responsible for all external and internal correspondence. SECTION 6. Treasurer The Treasurer will keep books and records on money received and disbursed. The Treasurer will make meeting financial reports listing all liabilities and assets of the organization to the Executive Board and the general membership. It will be the Treasurer s responsibility to present an annual budget and complete financial report to the Executive Board. They will also as stated above, assist the President will registering the organization with the university each academic year. SECTION 7. Professional Representative The Professional Representative will assist the Vice President with internal and external affairs. SECTION 8. Freshman Representative The Freshman Representative will be in charge of the recruitment events and scheduling. SECTION 1. NOMINATIONS ARTICLE V ELECTIONS/VOTING

1.1 The chapter shall hold elections annually during the last general membership meeting in March. Nominations of the officers shall be submitted at the general meeting two weeks before finals begin. 1.2 Chapter members who have been active for at least one year at the end of the semester are eligible for nomination. 1.3 Newly elected officers shall hold office for the period of one year unless unable to comply with general membership guidelines. In which case, the E-Board shall deliberate whom shall become the interim Board member. 1.4 Members may run for multiple E-Board positions unless the chapter membership falls below the number needed for E-Board. SECTION 2. VOTING 2.1 In order to be eligible to vote, you must be a recognized SHPE University of Michigan Dearborn member. 2.2 Elections will be conducted by using a secret ballot and majority wins. 2.3 The procedure for absentee voting, will be conducted via google polls. 2.4 Votes shall be counted by the Secretary and overseen by an Advisor. 2.5 If a tie were to occur then the advisor will have the last vote to break the tie. 2.6 Winning candidates assume office in May. Section 3. Appointed 3.1 The Freshman Representative is not an elected position, but rather an appointed position during the Fall term 3.2 The President shall appoint the Freshman Representative 3.3 It will take effect immediately 3.4 The term will be until the following fall semester SECTION 1. DEFINITION OF QUORUM ARTICLE VI MEETINGS A quorum shall consist of five active members and 4 officers. SECTION 2. GENERAL MEETINGS school year. General membership meetings shall be held every two weeks during the academic SECTION 3. EVENT MEETINGS Event meetings take place outside of general meetings to discuss in detail SHPE University of Michigan - Dearborn sponsored or co-sponsored events. They can be done with any number of general members or invited guests.

SECTION 4. EXECUTIVE BOARD MEETINGS E-Board meetings shall take place weekly. Only E-Board and newly elected E-Board members may attend. SECTION 1. RESIGNATIONS ARTICLE VII RESIGNATION AND IMPEACHMENT 1.1 Any person willing to resign from office at least a week before the next chapter meeting shall submit a letter of resignation to the President and Vice President. In which case, the E-Board shall deliberate whom shall become the interim Board member. SECTION 2. IMPEACHMENT 2.1 When any member feels than an officer is not fulfilling their duties, any may call upon the rest of the officers to meet within the next week to discuss/resolve the matter. 2.2 During the impeachment proceedings, the case will be presented. The officer under investigation will be given the opportunity to present their defense before the officers vote. 2.3 At least 50 percent of the E-Board will decide whether the impeachment will be carried out. A new officer will be appointed as described under Article V Section 1.3. ARTICLE VIII AMENDMENTS TO BYLAWS SECTION 1.
