The President, Mr. Moberg, called the special meeting to order at 4:42 P.M. CONSENT AGENDA Items 2a and 2b Res. #2009-88 Mr. Gault moved and Mr. Love seconded the motion to accept the consent agenda. 2a BE IT RESOLVED, by the Marietta City School District Board of Education, that upon the recommendation of the Superintendent of Schools, the employment of the following professional personnel (pending receipt of proper certification from the State Department of Education, BCII and FBI approval), and classified personnel be approved, effective at the date and terms shown. Res. #2009-89 The Board of Education of the Marietta City School District (the "School District", County of Washington, Ohio, met in special session on the 10th day of August, 2009, at 111 Academy Drive, Marietta, Ohio, with the following members present: Mr. Gault, Mr. Love, Mr. Moberg. Mr. Love introduced the following resolution and moved its adoption. MARIETTA CITY SCHOOL DISTRICT RESOLUTION NO. 2009-89 RESOLUTION DETERMINING TO PROCEED WITH BOND ISSUES AND TAX LEVY WHEREAS, pursuant to an agreement between the Ohio School Facilities Commission ( OSFC ) and the Board of Education under Section 3318.36 of the Ohio Revised Code, the Board of Education intends to proceed with new construction or major repairs of a part of the School District s classroom facilities needs, as determined under Sections 3318.01 to 3318.20 of the Ohio Revised Code, through the expenditure of local resources prior to the School District s eligibility for State assistance under Sections 3318.01 to 3318.20 of the Ohio Revised Code and may apply that expenditure toward meeting the School District s portion of the basic project (the Project ) cost of the total of the School District s classroom facilities needs. WHEREAS, this board of education by resolution duly adopted determined the necessity of issuing bonds in the principal amount $48,000,000 to finance the construction, additions, renovations and improvements to school facilities, site acquisition and providing equipment, furnishings and site improvements therefore, and the necessity of levying an annual direct tax on all the taxable property in this School District, outside of the ten-mill limitation to pay the interest on and to retire said bonds and provided that the question of issuing said bonds and of levying said direct tax shall be submitted to the electors of said School District at the election to be held on the 3rd day of November, 2009 as a single proposition together with the question of levying an additional one-half mill tax, outside of the ten mill limitation; and WHEREAS, the board of education has determined that the maximum maturity of said bonds is thirty-seven (37) years; and WHEREAS, the county auditor has certified that the estimated average annual levy throughout the life of said $48,000,000 school improvement bonds which will be required to pay the interest on and retire said bonds, is six and four hundredths (6.04) mills, for each one dollar ($1.00) of valuation which amounts to sixty and four-tenths cents ($0.604) for each one hundred dollars ($100.00) of valuation; and 2

WHEREAS, the county auditor has certified the total tax valuation of the School District as $429,135,870. NOW, THEREFORE, BE IT RESOLVED by the Board of Education of the Marietta City School District (hereinafter called the "Board of Education"), County of Washington, Ohio: SECTION 1. That it is hereby determined to proceed with the issuance of bonds of this Board of Education to finance the construction, additions, renovations and improvements to school facilities, site acquisition and providing equipment, furnishings and site improvements therefor, and to levy an annual direct tax on all the taxable property in said school district outside of the limitation imposed by Section 2 of Article XII of the Constitution of the State of Ohio and that the question of issuing said bonds and of levying said direct tax shall be submitted to the electors of said School District at the election to be held on the 3rd day of November, 2009. SECTION 2. That it is hereby determined to proceed with a levy of taxes in addition to the annual levy of taxes required to repay the bonds, at a rate of one-half mill for each one dollar of valuation for a period of twenty-three years to be used to pay the cost of maintaining school facilities included in the project pursuant to Section 3318.06 of the Ohio Revised Code (the "Code") and that the question of issuing bonds of the District shall be combined in a single proposal with the question of such tax levy pursuant to Section 3318.056 of the Code. SECTION 3. That the form of the ballot to be used at said election shall be substantially as follows: A majority affirmative vote is necessary for passage. Shall bonds be issued by the Marietta City School District TO PAY FOR THE CONSTRUCTION, ADDITIONS, RENOVATIONS AND IMPROVMENTS TO SCHOOL FACILITIES, SITE ACQUISITION AND PROVIDING, EQUIPMENT, FURNISHINGS AND SITE IMPROVEMENTS THEREFOR in the principal amount of $48,000,000, to be repaid annually over a maximum period of thirty-seven years and an annual levy of property taxes to be made outside the ten-mill limitation, estimated by the county auditor to average over the repayment period of the bond issue six and four-hundredths (6.04) mills for each one dollar of tax valuation, which amounts to sixty and four-tenths cents ($0.604) for each one hundred dollars of tax valuation, commencing in 2009, first due in calendar year 2010, to pay the annual debt charges on the bonds and to pay debt charges on any notes issued in anticipation of the bonds? and Shall the an additional levy of taxes be made for a period of twenty-three (23) years, commencing in 2009, first due calendar year 2010, to benefit the Marietta City School District, the proceeds of which shall be used TO PAY THE COST OF MAINTAINING CLASSROOM FACILITIES 3

INCLUDED IN THE PROJECT at the rate of one-half (0.50) mill for each one dollar of valuation? FOR THE BOND ISSUE AND TAX LEVY AGAINST THE BOND ISSUE AND TAX LEVY SECTION 4. That the treasurer of this Board of Education be and is hereby directed to certify to the Ohio Department of Education, the Ohio Department of Taxation and to the Board of Elections a true and correct copy of the resolution of this Board of Education determining the necessity of said bonds, said direct taxes and said election and a true and correct copy of this resolution, together with the amount of the average tax levy, expressed in dollars and cents for each one hundred dollars ($100.00) of valuation, as well as in mills for each one dollar ($1.00) of valuation, estimated by the county auditor to be required to pay the debt charges on such bonds, and the maximum number of years required to retire said bonds and to notify said board of elections to cause notice of such election to be given as required by law. SECTION 5. That it is found and determined that all formal actions of this Board of Education concerning and relating to the adoption of this resolution were adopted in an open meeting of this Board of Education; and that all deliberations of this Board of Education and of any of its committees that resulted in such formal action, were in meetings open to the public, in compliance with the law, including Section 121.22 of the Ohio Revised Code. Suggested Form of Notice of Election NOTICE OF ELECTION Notice is hereby given that pursuant to a resolution adopted by the Board of Education of the Marietta City School District, County of Washington, Ohio, on the 10th day of August, 2009, there will be submitted to the qualified electors of said school district at the election to be held on the 3rd day of November, 2009, at the regular places of voting therein, the question of issuing bonds of said board of education to pay for the construction, additions, renovations and improvements to school facilities, including equipment, furnishings and site improvements therefor, and all necessary appurtenances thereto, in the principal amount of $48,000,000, and of levying a tax to pay the principal and interest of said bonds outside of the ten-mill constitutional tax limitation imposed by Section 2 of Article XII of the Constitution of the State of Ohio. The maximum number of years during which the bonds will run is thirty-seven (37) years and the estimated average additional tax rate, outside of the ten-mill limitation, to pay the interest thereon and to retire the same, as certified by the county auditor, will be six and four- hundredths (6.04) mills per dollar ($1.00) of tax valuation, which amounts to sixty and four-tenths cents ($0.604) for each one hundred dollars ($100.00) of tax valuation, commencing in 2009, first due in calendar year 2010. There shall be submitted in conjunction therewith, as a single proposition, an additional question: Shall an additional levy of taxes be made for a period of twentythree years, commencing in 2009, first due in calendar year 2010, to benefit the Marietta City School District outside of the ten-mill limitation, for the purpose of maintaining classroom facilities included in the project for said school district not less than for a period of twenty-three (23) years?
