IV. SUBMISSIO TO JURISDICTIO OF COURT AD ACKOWLEDGMETS I submit this Claim and Release under the terms of the Stipulation of Settlement described in the otice. I also submit to the jurisdiction of the United States District Court for the District of Connecticut with respect to my claim as a Class Member and for purposes of enforcing the release set forth herein. I further acknowledge that I am bound by and subject to the terms of any judgment that may be entered in the Action. I agree to furnish additional information to the Claims Administrator to support this claim if requested to do so. I have not submitted any other claim covering the same purchases, acquisitions or sales of United Rentals publicly traded securities during the Class Period and know of no other person having done so on my behalf. V. RELEASE 1. Defined terms used herein shall have the meaning ascribed to them in the Stipulation of Settlement dated January 22, 2009. 2. I (We hereby acknowledge full and complete satisfaction of, and do hereby fully, finally and forever settle, release and discharge from the Released Claims each and all of the Released Persons, defined as Defendants and the immediate family members, heirs, executors, administrators, successors, assigns, present and former employees, insurers and reinsurers, officers, directors, attorneys, legal representatives, and agents of each of them, and any person or entity which is or was related to or affiliated with any Defendant, or in which any Defendant has or had a controlling interest and the present and former parents, subsidiaries, divisions, affiliates, predecessors, successors, employees, officers, directors, attorneys, assigns, and agents of each of them. 3. Released Claims means all claims (including Unknown Claims and causes of action of every nature and description, whether known or unknown, whether arising under federal, state, common or foreign law, including any claims under the Securities Exchange Act of 1934 and regulations promulgated thereunder, that Lead Plaintiff or any member of the Class asserted, or could have asserted, in the CAC as a result of purchasing, acquiring, selling, exercising, holding or voting, during the Class Period, any security issued by United Rentals (including, without limitation, all claims arising out of or related to any disclosures, public filings, registration statements, proxy statements or other statements by United Rentals or any other Defendant, based upon or arising out of any facts, allegations or claims set forth in, or that could have been set forth in, the CAC. 4. Unknown Claims means any and all claims, demands, rights, liabilities, and causes of action of every nature and description which Lead Plaintiff, any member of the Class or any Defendant does not know or suspect to exist in his, her or its favor at or after the time of the execution of the Stipulation which, if known by him, her or it, might have affected any decision by him, her or it with respect to the Settlement. 5. With respect to any and all Released Claims, Lead Plaintiff and the members of the Class stipulate and agree that, upon the Effective Date, Lead Plaintiff shall waive, and each member of the Class shall be deemed to have waived, and by operation of the Judgment shall have expressly waived, the provisions, rights and benefits of 1542 of the California Civil Code, which provides as follows: A general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially affected his or her settlement with the debtor. Lead Plaintiff shall expressly waive, and each member of the Class shall be deemed to have waived, and by operation of the Judgment shall have expressly waived, any and all provisions, rights and benefits conferred by the law of any state or territory of the United States, or principle of common law, which is similar, comparable or equivalent to California Civil Code 1542. 6. Lead Plaintiff and the members of the Class may hereafter discover facts in addition to or different from those which they or any of them now know or believe to be true with respect to the subject matter of the Released Claims, but Lead Plaintiff and the members of the Class shall have expressly fully, finally and forever settled and released any and all Released Claims, known or unknown, suspected or unsuspected, contingent or non-contingent, whether or not concealed or hidden, which now exist, or heretofore have existed, upon any theory of law or equity now existing or coming into existence in the future, including, but not limited to, conduct which is negligent, intentional, with or without malice, or a breach of any duty, law or rule, without regard to the subsequent discovery or existence of such different or additional facts. 7. Lead Plaintiff acknowledges, and the members of the Class shall be deemed by operation of the Judgment to have acknowledged, that the inclusion of Unknown Claims in the definition of Released Claims, and the waivers and releases set forth in paragraphs 5 and 6 hereof, were separately bargained for and are key elements of the Settlement. 8. This release shall be of no force or effect unless and until the Court approves the Stipulation of Settlement and the Stipulation becomes effective on the Effective Date. 9.
