SAMPLE COPY ASSOCIATION FOR COMPREHENSIVE ENERGY PSYCHOLOGY Certified Practitioner of EFT Agreement WHEREAS, the Association for Comprehensive Energy Psychology ( ACEP ) is an international nonprofit membership organization comprised of licensed mental health professionals and allied energy health practitioners who are dedicated to applying energy psychology methods for the treatment and relief of those suffering from emotional challenges; and WHEREAS, ACEP seeks to establish the credibility and effectiveness of emotional freedom techniques (EFT) through its certification program (the Certification Program ) aimed at helping practitioners to amplify their credibility, upgrade their skills in Emotional Freedom Techniques and rise to their peak potential; and WHEREAS, as part of the Certification Program, ACEP has established a specific track designed for licensed mental health professionals, allied health and human service practitioners, non-licensed mental health professionals and academics identifying them as a Certified Practitioner of EFT ( sometimes hereinafter referred to as ACP-EFT ); and WHEREAS, in the spirit of mutual respect and partnership, ACEP commits to: (1) providing and maintaining professional and ethical standards for the practice of energy psychology and EFT; (2) providing initial education and training and continuing education and training in energy psychology and EFT and (3) supporting and protecting the integrity of ACEP and its purpose to increase the professionalism of EFT in the field of energy psychology; and WHEREAS, those practitioners participating in the Certification Program want to amplify their credibility, upgrade their EFT skills, and present to the public a level of professional expertise in EFT; and WHEREAS, ACEP expects that a ACP-EFT will: (1) conduct him/herself in an honest, courteous, and ethical manner; (2) present ACEP products and services in an accurate and professional manner; (3) not misrepresent EFT by making misleading or inaccurate healing and/or curing claims or statements and (4) support and protect the integrity of ACEP, its Ethics Code, and the Certification Program. Now therefore, the parties agree to the following terms and conditions: 1. Rights Granted ACEP ACP-EFT Certification Agreement December 2011 1

ACEP hereby grants to certification as a Certified Practitioner of EFT ( Practitioner ). Such certification grants Practitioner a non-exclusive right upon the terms and conditions contained herein and in ACEP s ACP-EFT Certification Program, policies and procedures, and other documentation to (i) identify her/ himself as a Certified Practitioner of EFT and/or ACP-EFT and to use such identification in Practitioner s business, including business cards, letterhead, websites, and marketing materials, (ii) to participate in continuing education and training opportunities, and (iii) to be listed on ACEP s website as a Certified Practitioner of EFT. A Certified Practitioner of EFT has demonstrated and has been evaluated for their skill in practicing EFT with individual clients. A Certified Practitioner has not been certified to teach EFT or apply EFT in groups. Any use of the ACP-EFT or ACEP logo, etc in connection with this certification must be related to practicing EFT with individual clients, and must not be used to suggest any level of skill as an instructor, workshop presenter or group facilitator. If you choose to teach EFT to individuals or groups, and you refer to your ACP-EFT, you must be clear in your advertising that your ACEP Certification is for your skill in practicing EFT, and does not represent a certification to teach EFT. 2. Independent Business Relationship The parties agree and understand that Practitioner is an independent contractor. This Agreement between ACEP and Practitioner does not create an employee/employer relationship, agency, partnership, or joint venture between ACEP and Practitioner. Practitioner has no authority (expressed or implied) to bind ACEP to any obligation. 3. Compliance Practitioner agrees to abide by and comply with ACEP s Code of Ethics, Standards of Care, Standards of Professional Practice, Resolution of Practice Dilemmas, and/or any other policies and procedures adopted by ACEP in connection with the Certification Program when using energy psychology in Practitioner s business or in any other therapeutic applications. In addition, Practitioner agrees to complete any renewal requirements set forth solely by ACEP in order to maintain certification as a ACP-EFT, including without limitation, taking additional training or continuing education courses, and paying any renewal fees. If Practitioner does not comply with the foregoing, ACEP shall have the option, in its sole discretion, to invoke disciplinary sanctions, as set forth in Paragraph 12 below, including but not limited to, suspending or revoking Practitioner s certification as a ACP-EFT and/or membership in ACEP, if applicable. 4. Indemnification and Release Practitioner is fully responsible for conducting Practitioner s business as an ACP- ACEP ACP-EFT Certification Agreement December 2011 2

EFT and for all of her/his verbal and written statements, actions, and representations made to any individual or entity regarding ACEP and energy psychology. Practitioner shall indemnify ACEP and hold ACEP s board of directors, officers, directors, committee chairs, employees, independent contractors, consultants, volunteers, agents, and others associated with ACEP harmless from any and all liability, including but not limited to, judgments, civil penalties, refunds, attorneys fees, court costs, and/or lost business incurred by ACEP as a result of Practitioner s representations or actions. In addition, Practitioner agrees to fully release and hold harmless ACEP, ACEP s board of directors, officers, directors, committee chairs, employees, independent contractors, consultants, volunteers, agents, and others associated with ACEP from any and all claims or liability, whatsoever, and for any damage or injury, including but not limited to, financial, personal, physical, emotional, or otherwise, which Practitioner may incur as a result of entering into this Agreement. The foregoing shall survive and remain in effect following the termination of this Agreement. 5. ACEP Products and Ancillary Materials If ACEP produces any products or ancillary materials, Practitioner agrees to purchase such products or ancillary materials directly from ACEP. Except as provided in Paragraphs 8 and 9 below, Practitioner shall not produce, promote, duplicate or use materials of any kind that include ACEP s names, logos, designs, symbols, programs, products, trademarks, or copyrighted, or otherwise protected materials, including written, audio, and video materials, without prior written approval from ACEP. All material supplied or created by ACEP must be used in their original form and cannot be changed, amended, or altered without prior written approval by ACEP. 6. Internet/Websites Subject to Paragraph 8 below, Practitioner may not use or attempt to register ACEP s name, or any derivative thereof, trademarks, service names, service marks, product names, advertising phrases, or words, phrases, and/or brand names associated with ACEP, including but not limited to, ACEP and Association for Comprehensive Energy Psychology and/or phrases or headlines that ACEP may consider to be proprietary or necessary for business now or in the future for any Internet domain name (URL), third party website, web page or electronic mail address unless Practitioner enters into a written license agreement with ACEP. 7. Laws and Regulations Practitioner shall comply with all federal, state, and local laws and regulations applicable to the conduct of Practitioner s business. Practitioner shall notify ACEP in writing in the event Practitioner has been notified of any allegation or other proceeding pending in regards to the foregoing sentence. does not comply with the foregoing, ACEP shall have the option, in its sole discretion to invoke disciplinary sanctions as set forth in Paragraph 12 below, including but not limited to suspending or revoking Practitioner s certification as a ACP-EFT and/or membership in ACEP. 8. Trade Names/Logo The ACEP logo and other logos as may be adopted by ACEP are the propriety property of ACEP. The names Association for Comprehensive Energy Psychology and ACEP, and other names as may be adopted by ACEP are proprietary trade names of ACEP ( Trade Names ). As such, the ACEP logo and Trade Names are of great value and use of them on any item not produced by ACEP is prohibited except as provided below. Notwithstanding anything to the contrary contained in the Agreement, Practitioner may include ACEP s logo and Trade Names on Practitioner s business cards and other printed marketing materials and/or on any website developed by Practitioner to represent that Practitioner has completed the Certification Program and is a Certified Practitioner of EFT and or/ ACP-EFT. If Practitioner is a member of ACEP, ACEP encourages Practitioner to use ACEP s membership badge currently available on any of Practitioner s printed materials and/or website. It is also ACEP s intention to create a ACP-EFT badge that Practitioner may use on any of Practitioner s printed materials and/or website. 9. Copyrights The parties acknowledge that ACEP owns all right, title, and interest in and to all materials produced by ACEP and the copyrights therein, including all materials produced for the Certification Program; provided however, Practitioner has the right to use ACEP s logo on Practitioner s business cards and other printed marketing materials and/or on any website developed by Practitioner to represent that Practitioner has completed the Certification Program and is a Certified Practitioner of EFT and or/ ACP-EFT. Practitioner agrees to safeguard and promote the good reputation of ACEP and its products and services. Practitioner agrees that the marketing and promotion of ACEP, and it products and services shall be consistent with the public interest, and must avoid all discourteous, deceptive, misleading, unethical, or immoral conduct or practices. 10. Voluntary Termination Practitioner may voluntarily terminate this Agreement and resign her/his identification as a CEHP by providing ACEP with written notice of Practitioner s intent to terminate this Agreement. ACEP may voluntarily terminate this Agreement and cease operating ACEP s Certification Program by providing Practitioner with written notice of ACEP s intent to terminate this Agreement and cease operating ACEP s Certification Program. In the event Practitioner voluntarily terminates this Agreement or in the event ACEP voluntarily terminates this Agreement and ceases operating ACEP s Certification Program, then ACEP ACP-EFT Certification Agreement December 2011 4

Practitioner agrees to immediately cease representing him/herself as a CEHP or using any other identification as being approved or certified by ACEP and shall remove any reference to such certification, including without limitation, the Trade Names and/or the ACEP logo from any and all materials. 11. Involuntary Termination Practitioner s violation of any terms of this Agreement, including any amendments or policies and procedures adopted by ACEP, in its sole discretion, may result in sanctions such as those described in paragraph 12 below, up to and including the involuntary termination of this Agreement and the revocation of Practitioner s certification as a ACP-EFT and/or membership in ACEP, if applicable. In the event of an involuntary termination, ACEP will notify Practitioner in writing at the address last known for Practitioner and such writing shall include ACEP s intent to terminate this Agreement and the reasons therefore. Practitioner shall have a period of ten (10) business days as of the date of the written notification to respond in writing to the allegations or claims constituting cause for termination as set forth in the notice. ACEP will have thirty (30) days from the date of its receipt of Practitioner s response to render a final decision as to the issue of termination. In the event a final decision is made by ACEP to terminate this Agreement, ACEP shall inform Practitioner in writing that this Agreement is terminated and that the certification of Practitioner as a ACP-EFT is revoked, as of the date of the written notification. Practitioner shall have fifteen (15) business days from the date of mailing of the notification in which to appeal the termination in writing. If the written appeal is not received within this time period, the termination shall be final. In said event, Practitioner agrees to immediately cease representing him/herself as a ACP-EFT or using any other identification as being approved or certified by ACEP and shall remove any reference to such certification, including without limitation, the Trade Names and/or the ACEP logo from any and all materials. If Practitioner files a timely appeal of termination, ACEP will review and reconsider the termination, consider any other appropriate action, and notify Practitioner of its decision within thirty (30) days of receiving Practitioner s written appeal. The decision of ACEP will then be final and not subject to further review. In the event the termination is not rescinded, the termination will be effective as of the date of ACEP s original termination notice. Immediately upon termination of this Agreement, Practitioner agrees to immediately cease representing him/herself as a ACP-EFT or using any other identification as being approved or certified by ACEP and shall remove any reference to such certification, including without limitation, the Trade Names and/or the ACEP logo from any and all materials. 12. Disciplinary Sanctions ACEP ACP-EFT Certification Agreement December 2011 5

It is the spirit of ACEP that integrity and fairness pervade in the Certification Program thereby providing every Certified Practitioner of EFT with the equal opportunity to build a successful practice/business. Therefore, ACEP reserves the right to impose disciplinary sanctions at any time for cause when it is determined that Practitioner has violated the provisions of this Agreement and/or ACEP s Code of Ethics, Standards of Care, Standards of Professional Practice, and/or the Certification Program requirements, policies and procedures. In addition, ACEP may impose disciplinary sanctions at any time for cause when it is determined Practitioner has (i) violated any applicable federal, state, or local law, regulation or rule; (ii) violated standards of fair dealing; (iii) committed any unfair or deceptive trade practices; or (iv) performed in any unfair or unethical manner. Disciplinary action may include one or more of the following: a. Issuance of a written warning or admonition; b. Requiring Practitioner to take immediate corrective action; c. Requiring Practitioner to seek consultation with an ACEP approved consultant, the costs of such consultation shall be the sole responsibility of Practitioner; d. Instituting a probationary period requiring Practitioner to take remedial steps to come into compliance; e. Suspension of this Agreement, Practitioner s ACEP membership, if applicable, and/or Practitioner s right to be identified as a ACP-EFT; f. Involuntary termination of this Agreement and revocation of Practitioner s ACEP membership, if applicable, and/or Practitioner s right to be identified as a ACP-EFT; g. Any other measures expressly allowed within any provision of this Agreement or which ACEP deems practicable to implement and appropriate to equitably resolve injuries caused partially or exclusively by Practitioner s policy violations or contractual breach; h. In situations deemed appropriate by ACEP, ACEP may institute legal proceeding for monetary and/or equitable relief. 13. Notice All notices required hereunder shall be in writing and shall be given either by personal delivery, facsimile, recognized delivery service or by registered or certified mail, and shall be deemed given hereunder on the date delivered, faxed or a date forty-eight (48) hours after the date mailed if mailed in the United States, and five (5) business days if mailed outside of the United States, except notice of change of address which shall be effective only upon actual receipt thereof. Notices shall be sent to the address as set forth below, or any other address designated by Practitioner. Notices to ACEP shall be sent to 233 E. any other address designated by ACEP. 14. Assignment This Agreement may not be assigned by Practitioner, in whole or part. ACEP may assign this Agreement and any of its rights hereunder or delegate any of its obligations hereunder, in whole or in part, to any subsidiary, affiliated, controlling or other related organization. 15. Miscellaneous This Agreement sets forth the sole and entire understanding of the parties hereto relating to the subject matter hereof. This Agreement shall be governed and construed under the laws of the State of Pennsylvania applicable to agreements wholly performed therein. This Agreement may not be amended except in writing signed by both parties. No waiver by any party of any right under this Agreement will be construed as a waiver of any other right. If a court finds any provision of this Agreement is invalid or unenforceable as applied to any circumstance, then the remainder of this Agreement will be interpreted to best carry out the intent of the parties. The provisions of this Agreement are binding on the successors and assigns of the parties. In the event of any action, suit, or proceeding arising from or based upon this Agreement, the prevailing party shall be entitled to attorney fees. The parties agree to the foregoing terms and conditions and have executed this Agreement on.
