Congress of Chiropractic State Associations Annual Business Meeting Minutes November 04, 2017 I. Call to order Don Cross, DC, President, called to order the 2017 Annual COCSA Business Meeting at 1:00 pm EST on Saturday, November 04, 2017 via GoToWebinar virtual meeting held due to cancellation of COCSA 2017 Puerto Rico Convention. II. Review of Antitrust Dr. Cross read the following anti-trust guidelines printed on the Business Meeting Agenda distributed to all state association members into the record. Board members are reminded that various state and federal laws prohibit the exchange of information among competitors regarding matters pertaining to prices, refusals to deal, market division, tying relationships and other topics which might infringe upon antitrust regulations, and that no such exchange or discussion will be tolerated during this meeting. These guidelines apply not only to formal meeting sessions, but to informal discussions during breaks. III. Roll call Dr. Dan Spencer, 1 st Vice President, conducted a roll call. Dr. Dan Spencer reported that a quorum is established. IV. Approval of Minutes Minutes from 11/12/2016 - Minutes were distributed to all state association members via email for review prior to meeting. Dr. Arthur LeVine from the Florida Chiropractic Association motioned to accept the minutes as submitted. Marc Abla with the Illinois Chiropractic Society seconded. All in favor. Motion to approve minutes from 11/12/2016 Annual Business meeting as submitted passes unanimously. V. Treasurer's Report Dr. Kendall Payne, Treasurer reported COCSA is financially secure. $228K in checking and $25K in savings. VI. President's Report Dr. Don Cross, President gave the following report: He reported that COCSA has 52 state associations as members, 49 Regular Members and 3 Associate members. Dr. Cross thanked the COCSA Board and the task force for their efforts in hiring a new Executive Director, and commented a new person should be hired following in-person interviews on 11/11/17. He also thanked Lisa Love-Smith and Sheri Ryan for all their work over the past 6 months. He reported that due to Amy Hardin s departure, and the hurricane in Puerto Rico, it has been a very busy year. He concluded his report by thanking all the states for their participation. VII. Committee/Task Force Reports a) Management Task Force Dr. Kendall Payne gave an overview of COCSA Executive Director search. Over 200 applications received. 10 distance interviews held last full week of October. 3 in-person interviews will be held Saturday, 11/11/2017. 3 COCSA Annual Business Meeting November 04, 2017 DRAFT

Recognition b) WatchDog Task Force Dr. Dan Spencer gave an overview of task force. c) Association Development Conference Task Force Dr. Don Cross gave an overview of task force. a) Dr. Cross gave special recognition to the Platinum level Corporate Sponsors. These entities donate $20,000 or more on an annual basis to support Congress of Chiropractic State Associations ChiroHealthUSA, Eclipse Mattress, Standard Process and SecureCare. b) Dr. Cross also gave special recognition to our Diamond level Corporate Sponsor Foot Levelers. Diamond level sponsors donate $15,000 on an annual basis to support Congress of Chiropractic State Associations. IX. Old Business No old business. X. New Business No New Business. XI. District Caucus Districts Caucus meetings were held via phone conference prior to this virtual meeting. 1. District 1 Dr. Gerald Stevens gave the report. ExComm Nomination slate accepted as put forth unanimously. Elections held for District Director and CCGPP representative. Dr. Gerald Stevens (NY) will continue to serve as the District 1 Director. Dr. Tom Augat (ME) will continue to serve as the COCSA District 1 representative to CCGPP. Top 3 choices for East for 2020 COCSA Convention are Miami, FL, Nashville, TN, and Philadelphia, PA. 2. District 2 Dr. Damian Palmer gave the report. ExComm Nomination slate accepted as put forth unanimously. No elections necessary in District 2. Dr. Damian Palmer (MI) will continue his term as the District 2 Director. Dr. Scott Mooring (MN) will continue to serve as the COCSA District 2 representative to CCGPP. Top 3 choices for East for 2020 COCSA Convention are Miami, FL, Savannah, GA, and San Juan, PR. 3. District 3 Dr. Thomas Wetzen gave the report. ExComm Nomination slate accepted as put forth unanimously. Elections held for District Director and CCGPP representative. Dr. Thomas Wetzen (VA) will continue to serve as the District 3 Director. Dr. RJ Crawford (TN) will continue to serve as the COCSA 4 COCSA Annual Business Meeting November 04, 2017 DRAFT

District 3 representative to CCGPP. Top 3 choices for East for 2020 COCSA Convention are Nashville, TN, Savannah, GA, and Tampa/St. Pete, FL. 4. District 4 Dr. Jacob Holkup gave the report. ExComm Nomination slate accepted as put forth unanimously. No elections necessary in District 4. Dr. Jacob Holkup (ND) will continue to serve as the District 4 Director. Dr. William Doggett (NM) will continue to serve as the COCSA District 4 representative to CCGPP. Top 3 choices for East for 2020 COCSA Convention are Boston, MA, Orlando/Miami, FL, and New York, NY. 5. District 5 Dr. Brian Stenzler gave the report. ExComm Nomination slate accepted as put forth unanimously. Elections held for District Director and CCGPP representative. Dr. Brian Stenzler (CA) will continue to serve as the District 5 Director. Dr. David Paris (CA) will continue to serve as COCSA District 5 representative to CCGPP. Top 3 choices for East for 2020 COCSA Convention are Oahu, HI, Maui, HI, and Kona, HI. XII. Executive Director at Large Election for Executive Director At Large held during this virtual meeting as COCSA 2017 Puerto Rico Convention was cancelled. Jeff Jenkins (TX) has been nominated and accepted for Executive Director at Large. Dr. Cross called for any additional nominations from the Executive Directors in attendance at this meeting. No additional nominations received. Motion to close nominations made by Marc Abla from Illinois Chiropractic Society and seconded by Katy Stulc from South Dakota Chiropractors Association. All in favor, none opposed. Jeffrey Jenkins, Executive Director for Texas Chiropractic Association elected unanimously to continue to serve as Executive Director at Large representative to the COCSA Board of Directors. XIII. Nomination of Officers Lisa Love-Smith read the nomination slate into the record as put forth to the membership in advance. Dr. Don Cross (FL) President Dr. Dan Spencer (MI) 1 st Vice President Dr. Brenda Holland (WI) 2 nd Vice President Dr. Kendall Payne (KS) Treasurer Kristine Dowell (MI) Secretary Dr. Cross called for nominations from the floor. No new nominations received. Dr. Arthur LeVine (FL)and Jeff Jenkins (TX) motioned to accept the slate as put forth and close nominations. Tiffany Stevens (TN) and Patricia McGuffey (IN) seconded the motion. Nominations closed. XIV. Election Dr. Don Cross called for a vote to accept ExComm Slate as put forth. Due to technical difficulties, the vote was changed to any opposed to raise their hand. None opposed - all states in favor. ExComm Slate accepted as put forth to the membership unanimously. XV.
