CANADIAN BIBLE SOCIETY, SASKATCHEWAN DISTRICT c. 01 3 1986 CHAPTER 01 An Act respecting the Canadian Bible Society, Saskatchewan District (Assented to April 3, 1986) Preamble WHEREAS the Canadian Bible Society, North Saskatchewan District and the Canadian Bible Society, South Saskatchewan District, have by their petition represented that they desire to amalgamate and form one body corporate under the name of Canadian Bible Society, Saskatchewan District, which body corporate will be managed and controlled in accordance with the provisions of a constitution to be approved by the members of the Canadian Bible Society, Saskatchewan District; and WHEREAS the petitioners have prayed that an Act be passed respecting the property, rights and powers of the amalgamated body corporate and it is expedient to grant the prayer of their petition; Therefore, Her Majesty, by and with the advice and consent of the Legislative Assembly of Saskatchewan, enacts as follows: Short title 1 This Act may be cited as The Canadian Bible Society, Saskatchewan District Act. 1986, c.01, s.1. Interpretation 2 In this Act: (a) society means the Canadian Bible Society, Saskatchewan District incorporated pursuant to section 3; (b) member means a member of the society. 1986, c.01, s.2. Amalgamation 3 The Canadian Bible Society, South Saskatchewan District and the Canadian Bible Society, North Saskatchewan District are amalgamated and continued as a single body corporate to be known as the Canadian Bible Society, Saskatchewan District. 1986, c.01, s.3. Objects 4 The objects of the society are to promote throughout Saskatchewan the wider circulation and use of the scriptures, without doctrinal note or comment, and to support the world-wide work of translation, production and distribution of the scriptures. 1986, c.01, s.4.
4 c. 01 CANADIAN BIBLE SOCIETY, SASKATCHEWAN DISTRICT Capacity and powers 5(1) The society has the capacity, and subject to the other provisions of this Act, the rights, powers and privileges of an individual. (2) Without limiting the generality of subsection (1), the society has the power to: (a) establish, erect, assist or maintain any buildings, literary productions or other properties and endeavours that may be necessary for carrying forward its religious, educational, missionary or charitable purposes; (b) hold, possess or acquire, by purchase, lease, exchange, donation, devise, bequest, endowment, trust or otherwise, any real or personal property necessary or useful for carrying out its purposes; (c) sell, lease, mortgage, pledge, hypothecate or alienate its property in any manner; (d) register real property in the proper Land Titles Office in the name of the society; (e) borrow from any person, firm, bank or corporation any moneys that are considered necessary for its purposes and secure any loan to the land by bonds, debentures, bills of exchange, promissory notes, mortgages or any other instruments that may be required or considered necessary or desirable; (f) invest all or any sums of money and any property or security for its use or purposes or benefit; (g) fix, charge and collect fees for any services or rental of properties; (h) make and enter into contracts and arrangements and affiliations with other organizations; (i) adopt a seal and change it according to the provisions of its constitution; (j) execute under the appropriate seal all deeds, bonds, mortgages, transfers, assurances, conveyances, contracts and other instruments with respect to real property, and have that execution attested by the appropriate signing officers according to the provisions of its constitution; (k) do any other things that are incidental or conducive to the attaining of its objects. 1986, c.01, s.5. Vesting of property 6 All of the estate, real and personal, belonging to or held in trust for or to the use of the Canadian Bible Society, North Saskatchewan District or the Canadian Bible Society, South Saskatchewan District, or belonging to or held in trust for or to the use of any corporation under the government or control of, or in connection with, either of the Canadian Bible Society, North Saskatchewan District or the Canadian Bible Society, South Saskatchewan District is vested in the society and is to be used and administered in accordance with this Act. 1986, c.01, s.6.
CANADIAN BIBLE SOCIETY, SASKATCHEWAN DISTRICT c. 01 5 Limited liability 7 No officer or member of the society is personally liable for the lawful and legal debts of the society. 1986, c.01, s.7. Convening first meeting 8 Within 120 days after the day on which this section comes into force, a meeting of all persons who are residents of Saskatchewan and who have, within the period of 12 months prior to the day on which this section comes into force, subscribed to the work of the Canadian Bible Society, South Saskatchewan District or of the Canadian Bible Society, North Saskatchewan District is to be held, at which meeting the proposed constitution of the society approved by the Canadian Bible Society, South Saskatchewan District at its annual meeting held on February 28, 1985 and by the Canadian Bible Society, North Saskatchewan District at its annual meeting held on February 26, 1985, with any minor revisions that may be approved by their respective boards of directors is to be placed before them for amendment and adoption. 1986, c.01, s.8. First officers and directors 9 The first officers and directors of the society are the officers and directors selected in the manner provided by the constitution of the society, except the nominating committee for the meeting mentioned in section 8 is to consist of three persons named by the executive of the Canadian Bible Society, North Saskatchewan District, and three persons named by the executive of the Canadian Bible Society, South Saskatchewan District, and the nominating committee need not solicit nominations from the annual meetings of the regions. 1986, c.01, s.9. S.S. 1925-26, c.75 and S.S. 1925-26, c.74 repealed 10 An Act to incorporate the South Saskatchewan Bible Society, Auxiliary to the Canadian Bible Society and An Act to incorporate the North Saskatchewan Bible Society, Auxiliary to the Canadian Bible Society are repealed. 1986, c.01, s.10. Coming into force 11(1) Subject to subsection (2), this Act comes into force on the day on which the constitution of the society is adopted in accordance with section 8. (2) Sections 1, 2, 8 and 9 of this Act come into force on the day of assent. 1986, c.01, s.11.
