Constitutional Amendments (March 2000) 1 Dated March 2000 - Proposed Amendments to CONSTITUTION of the GEORGIA THEATRE CONFERENCE, INC as amended November 8, 1997 ARTICLE I - NAME The name of this organization shall be "THE GEORGIA THEATRE CONFERENCE, INCORPORATED". ARTICLE II - OBJECT The object of the Georgia Theatre Conference, Inc., shall be to encourage and coordinate a closer relationship among the community, educational and professional theatres in the state of Georgia; to aid in the maintaining of the highest possible quality of live theatre; and to promote and facilitate education in varied phases of the theatre. The Georgia Theatre Conference, Inc. shall be a non-profit, non-partisan organization. ARTICLE III - MEMBERSHIP SECTION 1. Membership in GTC shall be open to all individuals and groups who support the purposes of GTC and who desire to participate in the work and programs of the conference. SECTION 2. Membership in GTC shall be divided into three groups: student, individual, and organizational. SECTION 3. In all conference and designated division business, each individual member shall be entitled to one vote. In addition, organizational members may appoint one voting delegate to represent the organization in voting matters. SECTION 4. Membership will be terminated for non-payment of dues. ARTICLE IV - TERM OF EXISTENCE The Georgia Theatre Conference, Inc. shall have perpetual existence. ARTICLE V - OFFICERS AND EXECUTIVE BOARD SECTION 1. The general management and control of this organization, with full power to act in its stead, shall be vested in the Executive Board.

The elected officials of GTC shall be a president, vicepresident for membership, vice-president for programming, a recording secretary, and a treasurer. Their terms of office shall be as provided in the by-laws. They shall be individual members in good standing. MOTION: Change officials to officers ; change bylaws to bylaws LOGIC: Consistency with usage in other GTC documents ACTION: SECTION 2. The elected officials officers of GTC shall be a president, vice-president for membership, vice-president for programming, a recording secretary, and a treasurer. Their terms of office shall be as provided in the bylaws bylaws. They shall be individual members in good standing. NOTE: The change of by-laws to bylaws corresponds to contemporary usage as well as the current form of Robert s Rules of Order. Subsequent appearances of the change from by-laws to bylaws carry the same reasoning and are noted by the motion only. SECTION 3. The Executive Board shall be constituted as provided in the by-laws. They shall be members in good standing. MOTION: Change by-laws to bylaws SECTION 4. Any vacancies on the Executive Board shall be filled as provided in the by-laws. MOTION: Change by-laws to bylaws ARTICLE VI - COMMITTEES AND DIVISIONS SECTION 1. The president may appoint, with the approval of the Executive Board, such standing or special committees as required to assist the Executive Board.

Within the conference, there shall be divisions reflecting the specific interests of the membership, such as: Professional Theatre College/University Theatre Community Theatre Secondary Theatre Theatre for Youth As the need exists. additional divisions may be created or existing divisions disbanded by the president with the approval of the Executive Board. SECTION 3. Each division shall have a chair and vice-chair to be appointed as provided in the by-laws. ******************************************************************* MOTION: by-laws to bylaws ******************************************************************** ARTICLE VII - MEETINGS SECTION 1. The time and place of the annual meeting for election of officers and for the transaction of business should be announced no later than at the previous annual meeting. SECTION 2. The Executive Board shall meet prior to and immediately following the annual meeting and at the call of the president or a majority of the Executive Board, or by a petition of twenty-five percent of the membership at large. SECTION 3. There shall also be called meetings of a planning nature for the annual convention and to settle other conference matters. ARTICLE VIII - AMENDMENTS Section 1. This constitution and/or by-laws may be amended or revised by a majority vote at an annual meeting. Proposals for amendments or revisions shall be submitted to the Executive Board and shall be sent to all members in good standing at least thirty (30) days prior to the annual convention. Constitutional Amendments (March 2000) 4 SECTION 2. All amendments and/or revisions shall become operative immediately upon adoption, unless otherwise provided in the amendment. ARTICLE XI - AUTHORITY **************************************************************** MOTION: Change ARTICLE XI to ARTICLE IX (as in 9); add word Parliamentary LOGIC: Correct typo. While this may not be necessary, the only version of this document I ve ever seen has this error. The added word clarifies the type of authority and is consistent with Robert s recommendations. ACTION: ARTICLE XI IX PARLIAMENTARY AUTHORITY FINAL: ARTICLE IX PARLIAMENTARY AUTHORITY Robert s Rules of Order, Revised" shall be the parliamentary authority for all matters procedure not specifically covered in these constitution and by-laws. MOTION: Change title to Robert s Rules of Order Newly Revised and use phrasing on p. 581 of 9 th edition. LOGIC: Prevents necessity of further constitution changes with publication of subsequent editions of the rules. ACTION: Robert s Rules of Order, Revised" shall be the parliamentary authority for all matters procedure not specifically covered in these constitution and by-laws. The rules contained in the current edition of Robert s Rules of Order Newly Revised shall govern the Georgia Theatre Conference in all cases to which they are applicable and in which they are not inconsistent with the bylaws and any special rules of order the Georgia Theatre Conference may adopt.

ARTICLE X - POLITICAL ACTIVITY No substantial part of the properties or income of GTC, Inc. shall ever be used or employed directly or indirectly by GTC, Inc. for the purpose of carrying on propaganda or otherwise attempting to Influence legislation or participating in or intervening in (including statements) any political campaign or on behalf of any candidate for public office.
