MINUTES OF A SPECIAL MEETING SIGNAL HILL OVERSIGHT BOARD April 25, 2012 A Special Meeting of the Signal Hill Oversight Board was held in the Council Chamber of City Hall on April 25, 2012. CALL TO ORDER 6:03 p.m. ROLL CALL PRESENT: Alex Cherniss, Member Ann-Marie Gabel, Member Douglas Haubert, Member Michael Noll, Member Tim Williamson, Member Pearl Yu, Member Albert Warot, Member PLEDGE OF ALLEGIANCE Member Noll led the audience in the Pledge of Allegiance. PUBLIC BUSINESS FROM THE FLOOR Bob Mendoza, Signal Hill resident thanked the members for serving on the Oversight Board and commented on the agenda. Carol Churchill, Signal Hill resident addressed the Oversight Board and commented on the training manual for the Board, the Oversight Board agenda, and concerns regarding procedures and representation. Philicia Lund, former Signal Hill property owner addressed the Oversight Board regarding potentially purchasing property back from the City. Maria Harris, Signal Hill resident addressed the Oversight Board regarding the entities each member represents and commented on the bylaws. INTRODUCTION(S) OF OVERSIGHT BOARD MEMBERS Chief Administrative Officer requested each Oversight Board member introduce themselves and speak about their background. Page 1 of 9
Dr. Alex Cherniss, representing Los Angeles County Office of Education is Chief Business Officer for the Los Angeles County Office of Education which has fiscal oversight of 80 school districts in Los Angeles County. Ann-Marie Gabel, representing California Community Colleges is Vice President of Administrative Services for Long Beach City College and has worked in community colleges for 14 years and prior to that worked as a CPA. Doug Haubert, representing Los Angeles County Supervisor Don Knabe is the elected City Prosecutor of Long Beach. Doug previously provided legal services to the City of Signal Hill through the firm of Aleshire and Wynder. Mike Noll, representing the City of Signal Hill is Vice Mayor and former member of the Redevelopment Agency of the City of Signal Hill and sits on the Measure K Board for Long Beach Unified School District. Tim Williamson, representing Los Angeles County Supervisor Don Knabe, is currently a Professor of Science of Education at California State University Long Beach and has 30 years experience with Long Beach Unified School District. Pearl Yu, representing the Signal Hill Employees Association is an Accountant for the City of Signal Hill and has worked for the city for six years. Previously Pearl worked at Price Waterhouse and a private CPA office. INTRODUCTION OF SUCCESSOR AGENCY STAFF Ken Farfsing is the City Manager and Chief Administrative Officer for the Successor Agency. Ken has about 35 years in local government experience and has spent the past 20 years as the City Manager in Signal Hill and South Pasadena. Prior to that Ken was the Community Development Director in the cities of La Verne and Downey. Dave Aleshire is the City Attorney for the City of Signal Hill and is with the firm Aleshire & Wynder. Dave has worked with Signal Hill since 1978. The firm represents a number of cities and has been involved in the unwinding of the redevelopment agencies. Charlie Honeycutt is the Deputy City Manager for the City of Signal Hill. Prior to that Charlie worked as the Public Works Director and has worked for the city for nearly 25 years. He is a 17 year resident of the city. Elise McCaleb is the Redevelopment/Economic Development Manager for the City of Signal Hill and has 14 years of experience working in city government. Suzanne Harrell is the Managing Director of Harrell and Company. Harrell and Company has been the financial advisors to the City of Signal Hill and the Redevelopment Agency for over 20 years. Chief Administrative Officer explained that Maida Alcantara, the Finance Director for the City of Signal Hill is absent but will be attending future meetings. ORAL REPORTS a. Form 700 City Attorney explained the Form 700, the filing process, and the Political Reform Act. Member Haubert clarified sources of income with the City Attorney. b. Election of Chair and Vice Chair Chief Administrative Officer requested nominations for Chair. Member Noll nominated Member Haubert as Chair of the Oversight Board. Chief Administrative Officer asked for any additional nominations. There were no additional nominations. Chief Administrative Officer closed the nominations and asked for a vote of the Board. MEMBER NOLL MEMBER HAUBERT Chair Haubert opened nominations for Vice Chair. Member Williamson nominated Member Noll for Vice Chair. Chair Haubert asked for any additional nominations. Chief Administrative Officer closed the nominations and asked for a vote of the Board. c. Oath of Office Deputy City Clerk performed the Oath of Office for the Oversight Board. d. Designate Maida Alcantara as the California Department of Finance Contact Chief Administrative Officer explained the Department of Finance has requested one contact person on behalf of the Agency and the Finance Director would be the best point of contact. Oversight Board discussed the designation. It was moved by and seconded by to designate Maida Alcantara as the California Department of Finance Contact. Page 4 of 9
e. Determine Oversight Board s Regular Meeting Location, Day and Time Oversight Board discussed setting a regular meeting day, time, and location. It was moved by and seconded by to designate the fourth Wednesday of each month at 6:00 p.m. in the Council Chamber for Oversight Board meetings. CHIEF ADMINISTRATOR REPORTS a. Adopt Bylaws Chief Administrative Officer and City Attorney presented the staff report. Oversight Board discussed the bylaws and amendments. It was moved by and seconded by to adopt bylaws with amendments. Page 5 of 9
b. AB26, Roles and Responsibilities of Oversight Board and History Chief Administrative Officer introduced Redevelopment/Economic Development Manager who presented the staff report and Chief Administrative Officer discussed the properties and prioritizing. Oversight Board had no questions and there was no discussion. c. Adopt Recognized Obligation Payment Schedule Chief Administrative Officer introduced Suzanne Harrell who addressed Council regarding the Recognized Obligation Payment Schedule (ROPS). Chief Administrative Office discussed the ROPS. Oversight Board asked questions regarding the ROPS. Suzanne Harrell, Chief Administrative Officer, and City Attorney addressed the questions posed by the Board. Oversight Board asked the City Attorney about modifying the Recognized Obligation Payment Schedule. City Attorney addressed the questions. It was moved by and seconded by to certify and approve the ROPS and request that the Successor Agency staff forward it to the County Auditor, State Controller, and Department of Finance with requested modifications. Chair Haubert asked Member Cherniss and Member Gabel if they would like to state for the record why they abstained. Member Cherniss and Member Gabel stated they would like to understand the structure of the Recognized Obligation Payment Schedule and speak with staff prior to approving the schedule. Bob Mendoza, Signal Hill resident requested the Board speak into the microphone. d. Future Agenda Items City Attorney discussed future agenda items with the Oversight Board. It was moved by and seconded by to add the following items to the agenda for future meetings: a. 700 Spring Street b. 3100 California Avenue c. Review Long Beach City College Request d. 1400 E. Spring Street e. 2099 E. 27 th Street to 2701 St. Louis Avenue f. 2700-2730 Cherry Avenue Walker g. CarMax h. Review of other Properties i. Recognized Obligation Payment Schedule for July-December 2012 j. Budget and Administrative Cost Allowance i. Discuss pros and cons of the Board having its own legal counsel Page 7 of 9
Maria Harris, Signal Hill resident addressed the Board regarding the review of the amended bylaws at the next meeting and public comment.
