RULES FOR THE GENTLEMEN S SECTION OF TURNBERRY GOLF CLUB These rules are part of the Constitution of Turnberry Golf Club Gentlemen Membership 1. Any Gentleman who has attained the age of 18 years may be proposed for Membership of the Gentlemen s Section of the Club by any of the following routes; Proposed for membership of the Gentlemen s Section of the Club by two Gentlemen Members of at least two years standing on a specially printed Nomination Form which must be signed by the two proposers and contain such information as required by the Gentlemen s Committee. No Member can propose or second more than two applicants within a calendar year. Where the applicant has no access to a proposer and/or seconder then an interview should be held at the first convenient opportunity with the applicant. The Club will be represented by the Captain and/or Vice-captain and Honorary Secretary or by any other group of Committee Members as delegated by the Gentlemen s Committee. On completion of the interview the decision of the interview panel will be presented at the first suitable meeting of the Gentlemen s Committee for consideration. The applicant is proposed for membership of the Gentlemen s Section of the Club by the Resort Owner, the Director of Golf or the Hotel Management. 2. Members will be made aware of any application for membership in the following way; An excerpt from the completed Nomination Form for Membership shall be displayed on the Gentlemen s Notice Board in the Clubhouse for at least fourteen days prior to consideration by the Gentlemen s Committee. An excerpt from the Nomination Form for an applicant with no proposer and/or seconder shall be displayed on the Gentlemen s Notice Board in the Clubhouse for at least fourteen days prior to interview. An excerpt from the Nomination Form for the applicant being proposed by the Resort Owner, the Director of Golf or the Hotel management shall be displayed on the Gentlemen s Notice Board in the Clubhouse for at least fourteen days prior to consideration by the Gentlemen s Committee. No more than 5 applications in a calendar year can be approved through this route. In exceptional circumstances the Gentlemen s Committee may agree to review this number. 3. All Gentlemen Members shall be elected by the Gentlemen s Committee by a show of hands or a ballot. Three votes against shall exclude. There shall, however, be no more than twelve Professional Golfers at any one time holding Playing and /or Non-playing membership of the Gentlemen s Section. 4. On election of a new Gentleman Member, the Honorary Secretary shall notify that individual and provide a copy of the Club Constitution and the Gentlemen s Section Rules in force and request payment of the entrance fee, subscription and other charges. Unless these

are paid within one month from the date of notification, the election will be void. An applicant may decline and ask to be put to the bottom of the waiting list but on a third refusal to accept Membership the applicant shall be removed from the waiting list and his deposit forfeit. Junior Members 5. Persons from 10 to 17 years of age may be admitted as Junior Members. The procedure for admission of Junior Members shall be the same as for Gentlemen Members, except that the proposer and seconder may come from the Gentlemen s or Ladies Section. 6. The conduct of any Junior Member shall be the responsibility of his or her parent or legal guardian. 7. Rules for the participation of Junior Members in competitions shall be formulated by the Gentlemen s Committee. Non-Playing Members 8. Gentlemen Playing Members may be transferred to Non-Playing Membership on submission of a written application when such transfer shall receive automatic approval. Such an application must be submitted to the Honorary Secretary of the Gentlemen s Section within fourteen days of the Gentleman Member receiving his Subscription Notice for the year to which that subscription applies, otherwise the Gentleman Member shall then be liable to the Club in a proportion of the annual subscription or other charges as shall be fixed by the Gentlemen s Committee and also for the Club s expenses in recovering same. There shall be no entry by a gentleman to Non-Playing Membership other than directly from Gentlemen Playing Membership. Such Gentlemen Members so transferring can at a subsequent date gain reinstatement as Gentlemen Playing Members. A fee for this reinstatement as a Gentleman Playing Member may be charged by the Club and/or Hotel. The Club portion of this fee for reinstatement would be agreed by the Membership. Re-entry as a Gentleman Playing Member will only be possible where there is a vacancy. Waiting List 9. The Gentlemen s Committee will admit Gentlemen Members to the Club from the waiting list in the following priorities, subject to compliance with the provisions of Rule 3 hereof: 1) Male Junior Members applying for Gentlemen Membership. 2) Gentlemen Non-Playing Members applying for restoration to Gentlemen Playing Membership. 3) New applicants for Gentlemen Membership to be considered in chronological order relative to the date of application, but subject to interview where deemed necessary. Management and Gentlemen s Committee, Office Bearers and Committee Members 10. The management of the Gentlemen s Section shall be vested in a Committee (herein called the Committee ) consisting of the Captain, Vice-captain, Honorary Secretary and Honorary Treasurer or Honorary Assistant Secretary (if such Office Bearers be appointed in terms of Rule 12 hereof) hereinafter described as the Office Bearers and twelve other

Committee Members. If an alteration in the number of Committee Members is approved in General Meeting, then that alteration will be achieved in the shortest time scale reasonably practicable. 11. Nomination for election of Gentlemen Playing Members as Office Bearers and as Members of Committee shall be sent to the Honorary Secretary, signed by at least two Gentlemen Playing Members, by 14 th February in that year and shall be posted in the Clubhouse for fourteen days before the Annual General Meeting of the Gentlemen s Section (hereinafter referred to as the A.G.M. ). The names of all candidates shall be inserted in the Notice of the Meeting. The nominations for election of Gentlemen Playing Members as Office Bearers shall be considered by the Gentlemen s Committee who may make recommendations in respect thereof to the A.G.M. Should there be any insufficiency in nominations for Office Bearers or for vacancies on the Committee, the Committee shall have the power subsequently to co-opt Gentlemen Playing Members to complete requirements (subject to Rule 15 hereof). 12. The Captain, Vice-captain, Honorary Secretary and Honorary Treasurer or Honorary Assistant Secretary shall be elected by ballot if necessary at the A.G.M. as Office Bearers and shall hold office for one year and shall then be eligible for re-election to these offices or for election to the Gentlemen s Committee. One person may combine the offices of Honorary Secretary and Honorary Treasurer in which case an Honorary Assistant Secretary may be elected as an additional Office Bearer if so decided by the A.G.M. Nominees for Captain and Vice-captain must have served on Committee. 13. Election to the Gentlemen s Committee shall take place at the A.G.M. When a vote, if necessary, shall be taken by ballot, each Gentleman Playing Member and Gentleman Honorary Life Member being entitled to vote for as many candidates as there are vacancies but to give only one vote to each candidate. In the event of a tie, a vote will be taken between those who tied for last place. In the event of a further tie, the tied candidates will draw lots. 14. The Members of the Gentlemen s Committee, other than Office Bearers, shall be elected for a term of three years. After serving a three year term that Member shall not be eligible for re-election to Committee until the lapse of one year. 15. Any vacancy occurring in the Gentlemen s Committee during the year may be filled by the Committee and any Gentleman Playing Member so elected shall, if approved by the Gentlemen s Section, at the next A.G.M., complete the unexpired term of service arising from the vacancy for which he was elected. Such a Gentleman Playing Member on completion of the unexpired term of service shall not be eligible for re-election until the lapse of one year. Meetings of Committee 16. The Captain, or when absent the Vice-captain, will act as Chairman of all Gentlemen s Committee Meetings. In the absence of both, the Committee will elect a Chairman for the Meeting. All Office Bearers and Members of Committee shall be entitled to vote. The Chairman shall have a casting vote as well as a deliberative vote and shall have discretion to decide whether voting shall be by a show of hands or by a ballot. If so requested by two or more members, voting shall be by ballot. At all meetings of the Gentlemen s Committee,

eight Members of Committee shall be a quorum provided that such number includes at least one Office Bearer and the Committee shall meet at least once per month or more frequently as required. However, should the number of Committee Members be altered in terms of Rule 10 hereof, there shall be a pro rata reduction in the number constituting a quorum. 17. The Gentlemen s Committee may appoint Subcommittees, such as Social Committee, Match and Handicap Committee, Junior Committee, Finance Committee, etc. under a Convenor (who will act as Chairman) but all Office Bearers shall be ex officio members of all Subcommittees. The Committee may also invite the Past Captain or any other member to serve on any Subcommittee where the Committee deem this appropriate. Honorary Secretary, Honorary Treasurer or Honorary Assistant Secretary 18. The Honorary Secretary shall keep full and correct Minutes of all proceedings at Meetings of the Club or of the Gentlemen s Committee and shall be responsible, with the Honorary Secretary, if appointed, for keeping a proper handicap record. The Honorary Secretary shall exhibit in the Clubroom, for the convenience of Gentlemen Members, a list of Gentlemen Members showing names, addresses and telephone numbers if any. 19. The Honorary Secretary shall be responsible for receiving all monies on behalf of the Club and the Gentlemen s Section, lodging them timeously in the name of the Club or Gentlemen s Section in a Bank to be fixed by the Gentlemen s Committee, shall be responsible for the payment of all monies due by the Club and the Gentlemen s Section and for keeping proper Books of Accounts. All cheques shall be signed by the Honorary Treasurer and Captain or Vice-captain of the Gentlemen s Section. 20. The Honorary Treasurer shall be responsible for preparing and submitting to the A.G.M. of the Gentlemen s Section each year an Income and Expenditure Account for the Gentlemen s Section for the year to 31 st December and an audited Balance Sheet as at 31 st December the close of the Gentlemen s Section financial year. The Gentlemen s Section shall appoint an Auditor at each A.G.M. Management 21. The Gentlemen s Committee shall be responsible for the management of the business affairs of the Gentlemen s Section. 22. The Gentlemen s Committee may make regulations not inconsistent with the Club Constitution and these Rules for the day to day conduct of the Gentlemen s Section and may from time to time vary or revoke such regulations, provided this remains within the spirit of these Rules and the said Constitution. 23. The property of the Gentlemen s Section shall be vested in the Office Bearers for the time being and their successors in office as Trustees on behalf of the Gentlemen s Section. Any significant proposed use of funds of the Gentlemen s Section, property or resources shall be approved by the Gentlemen Honorary Life Members and Gentlemen Playing Members at a General Meeting. 24. The Gentlemen s Committee shall have the power to borrow for the purpose, and on the security of all or any of the assets of the Gentlemen s Section, such sum or sums of money as

may be approved by two-thirds of the Gentlemen members present and entitled to vote at a General Meeting of the Gentlemen s Section. General Meeting 25. Except in case of elections, voting at all General meetings of the Gentlemen s Section shall be by a show of hands unless a majority of those present shall demand a ballot. Only Gentlemen Honorary Life Members and Gentlemen Playing Members shall be entitled to vote. If any Motion obtains a simple majority of those present entitled to vote, it shall be carried, subject however to the proviso (1) that a Motion to alter these Rules and (2) that approval of a Committee decision to expel a Member shall not be carried unless it receives the votes of at least two-thirds of the Members present and entitled to vote. 26. The quorum at a General Meeting shall be twenty members entitled to vote. In the event of no quorum fifteen minutes after the time for which the Meeting is called, the Chairman shall declare that the Meeting shall be held at the same time and place in fourteen days and the Honorary Secretary shall immediately circularise all Gentlemen Members stating the place and new time for the Meeting and the reason for postponement. In this case, shorter notice of the Meeting than specified under Rules 27 and 28 hereof will be valid. 27. The A.G.M. of the Gentlemen s Section shall be held on the last Saturday of March in each year. Gentlemen Members shall receive at least seven days notice of the forthcoming Meeting, specifying the business, including nominations for Office Bearers and Committee, and enclosing a copy of the Annual Accounts. The business of the A.G.M. shall be; (a) To receive the Balance Sheet and Accounts of the Gentlemen s Section (b) To receive a Report from the Gentlemen s Committee as to general conditions and progress of the Gentlemen s Section throughout the preceding year (c) To appoint the Office Bearers and Members of the Gentlemen s Committee and to fix Honoraria for the Honorary Secretary, Honorary Treasurer and Honorary Assistant Secretary (if appointed) (d) To appoint the Auditor for the ensuing year s accounts (e) To consider Motions by members (f) To transact any other business relevant to the affairs of the gentlemen s Section. Notice in writing shall be sent to the Honorary Secretary by 14 th February of that year of any Motion to be proposed at the Meeting, with the names of the proposer and seconder, and the text of the Motion shall be included in the Notice calling the Meeting. Special General Meeting 28. A Special General Meeting of the Gentlemen s Section shall be convened by the Honorary Secretary if the Gentlemen s Committee so resolve or upon a requisition signed by no fewer than 15 Gentlemen Honorary Life Members or Gentlemen Playing Members of the Club. The Honorary Secretary shall call such a Meeting within thirty days of the date of such resolution or requisition and shall give Gentlemen Members at least seven days notice of the Meeting specifying the business.

Complaints and Discipline 29. All complaints relating to the Gentlemen s Section shall be made in writing to the Honorary Secretary and shall be signed by the person or persons complaining. The Gentlemen s Committee shall consider the complaint and shall give a decision in writing to the originator of the complaint. 30. If the Gentlemen s Committee receives a written complaint or should it otherwise come to the notice of the Gentlemen s Committee that a member of the Gentlemen s Section is alleged to have behaved in a manner which might be considered by the Gentlemen s Committee to be damaging to the reputation and standing of the Club or detrimental to the objects of the Club (hereinafter referred to as the complaint ) then the Gentlemen s Committee shall instruct the Honorary Secretary to write to that member advising him of the complaint made, inviting either a written response to the complaint or the member s personal attendance before the Gentlemen s Committee to respond to the complaint. If the member admits the complaint, then the Gentlemen s Committee shall make reasonable and best investigations into the complaint, including reasonable investigation of any evidence raised in defence by the member concerned. The Gentlemen s Committee shall make its findings known to the member in writing, or in person at a further interview, and the member shall be given the opportunity to answer these findings. The Gentlemen s Committee shall then decide whether the complaint is proved and the member shall be advised in writing, or in person, of the Gentlemen s Committee decision. If the complaint is not proved, then it shall be dismissed. If the complaint has been admitted or is found by the Gentlemen s Committee to be proved, then the Committee shall have the power; (i) To reprimand the member concerned, either verbally or in writing, and the reprimand may be noted in the member s disciplinary record for whatever length of time the Committee may decide or (ii) To suspend the member from Gentlemen s competitions, tournaments and social events for such time as the Committee may decide, again noting the suspension on the members disciplinary record or (iii) To suspend a member from all playing rights, Club competitions, tournaments and social events of the Club for a period of less than 12 months or (iv) To expel the member from the Club. In all cases where disciplinary action results in expulsion or suspension from all playing rights, Club competitions and tournaments and social activities the member shall forfeit any remaining portion of their annual subscription paid to the Hotel and Club. In all cases the member s previous disciplinary record may be taken into account by the Gentlemen s Committee. If the Gentlemen s Committee decides to reprimand or suspend a member, then this decision shall be final. If the Committee moves to expel a member from the Club, then the member shall have the right of appeal to a Special General Meeting of the Gentlemen s Section. That right of appeal must be exercised within ten days of the date of the Honorary Secretary s letter to the member intimating the Committee s decision to expel. The member concerned may be represented at that Special General Meeting at which the Captain or other Office Bearer or Member of the Gentlemen s Committee shall inform the member of the nature of the complaint, the investigations carried out and the findings of the Gentlemen s Committee. The member or his representative shall be given an opportunity to be heard in response hereto, following which the Gentlemen Honorary Life Members and Gentlemen Playing

Members shall be called upon to vote on the Committee s decision to expel. That decision shall stand approved if supported by at least two-thirds of those members present and entitled to vote. If the requisite majority is not obtained, but it appears to the Chairman that there is support for the Committee s finding of the complaint having been proved, then the Chairman may call upon the Gentlemen Honorary Life Members and Gentlemen Playing Members to vote again, on this occasion requiring a simple majority, for the case to be remitted to the Gentlemen s Committee to reconsider and to proceed with other disciplinary action short of expulsion. The decision of the Special General Meeting shall be communicated to the member concerned in person, or by letter, from the Honorary Secretary. In all cases where disciplinary action results in expulsion or removal of all playing rights, Club competitions and tournaments and social activities the member shall forfeit any remaining portion of the annual subscription paid to the Club and Hotel. Winding Up 31. In the event of the Gentlemen s Section of the Club being wound up, the Gentlemen Honorary Life Members and the Gentlemen Playing Members shall decide in General Meeting of the Gentlemen s Section on a vote, by two-thirds of those present and entitled to vote, in which way the net assets. i.e. the assets of the Gentlemen s Section after payment of all sums due by the Gentlemen s Section, shall be distributed, but in the absence of such a majority for any scheme of distribution, then the net assets shall be distributed among Gentlemen Playing Members and Gentlemen Honorary Life Members who were formerly Gentlemen Playing Members equally, but no member being entitled to a share in the net assets unless he has been a Gentleman Playing Member for at least five years prior to the date of winding up.
