Final Version February 26, 2018 Article I Name and Purpose Section A Name The name of the club shall be the Green Meadows Seniors Club, hereafter called the club. Section B Purpose To facilitate activities such as dances, dinners, teas, meet-and-greets, bazaars, and any other fun and engaging activities to bring members together in a social setting. To welcome new tenants to either 100 or 110 Unity Road, Toronto. Section A Eligibility for Membership Article II Membership, Dues and Rights Any person (59 years or older) is eligible to become a member of the Green Meadows Seniors Club. A spouse of a resident is also illegible for membership if 55 years of age or older. The Executive Committee has the final authority on the eligibility of any person for membership. Section B Dues The amount of dues should be established by the Executive Committee and ratified at a General Meeting. Once ratified the new amount of dues shall be applicable. Section C Rights of Members All members of the club in good standing shall have the right to vote at general meetings. Club members, in good standing, and are also residents of either 110 Unity Road or 100 Unity Road, shall have the right to run for Executive Committee positions. Candidates must have a high degree of integrity with no history of impropriety to run for office. 1
Article III Meetings Section A General Meetings General Meetings may be held in the months of October, December, February, April, and June of each year, as scheduling permits. Other general meetings may be called if the Executive Committee deems it necessary. Elections for the Executive Committee members shall take place at the June general meeting. This is called election night. The club year starts on September 1, and ends on August 31, of the next year. It is traditional that the club ceases all functions and takes the summer months of July and August off. The new executive committee usually begins after Labour Day. Section B Executive Meetings Executive Committee meetings will be held as required to facilitate the smooth running of the club. Executive meetings are closed. Section C Entertainment Committee Meetings Entertainment committee meetings shall be scheduled by the Executive Committee as required. Article IV Officers and Duties The Executive Committee Members have the following positions, and duties: Section A President Chair meetings; Vote only in case of a tie on all motions. The president may vote during the election process; Represent the club; Perform other duties as ordinarily pertain to this office; and The president has the right to reassign duties of any Executive Committee member. This provision is intended to allow for the smooth functioning of the club by using the aptitudes and abilities of each member to full advantage. This provision is not intended to consolidate authority, or power, to a few (or one) individual. 2
Section B Vice President To preside in the absence of the president; To serve as a stand in for members of the Executive Committee that are unavailable; and Section C Secretary Record the minutes of all meetings; Keep a file of club records; Issue notices of meetings and conduct the general correspondence of the club; and To give a report at a General Meeting, as required. Section D Treasurer Keep an itemized account of all incoming funds, receipts, and expenditures; To provide an adequate float for club functions, when required; and All banking records and cash on hand will be physically located within either 100, or 110 Unity Road. No one that lives outside of either building shall have possession of club funds. Section E Membership Secretary Look after the administration of receiving dues from members and record membership information; Administer tickets for any club events; Give a report at a general meeting, if required; and Arrange for prizes at club functions, as required. Section F Kitchen Manager The Kitchen Manager shall be in charge of all kitchen operations during non-catered functions; To provide assistance to caterers during club events that are catered; To delegate responsibilities to volunteer staff as required; To operate within an established budget for the club year; To record all moneys coming into the kitchen and all expenses going out; To keep track of inventory as much as possible. To report to the Executive Committee an accounting of the finances of the kitchen; and 3
Article V Committees There shall be at least two (2) standing committees (a) the Executive Committee, and (b) the Entertainment Sub-Committee. Section A The Executive Committee See Article IV Officers and Duties (above) Section B The Entertainment Sub-Committee The Entertainment Sub-Committee members shall consist of volunteers willing to help out at any, or all, club events. Entertainment Sub-Committee meetings shall be scheduled as required by the Executive Committee. These meetings are chaired by the President, or as assigned. Membership in the Entertainment Sub-Committee in no way makes it compulsory to attend either meetings or events. Participation is greatly appreciated. However if someone is not physically able to help at any club event they will not be criticized in any way for being absent. Article VI Amendments Changes to this constitution shall take place by way of Robert s Rules of Order with a two-thirds (2/3) vote of those in attendance at any General Meeting. Article VII Elections At least one week prior to election night a notice shall be placed in both 100 and 110 Unity Road, on the bulletin boards showing information about the upcoming election. Candidates wishing to run for any given position shall make it known to any Executive Committee member. The Executive Committee member will insure that the candidate's name is added to a list of nominees. A list of nominees and the positions that they are running for, shall be posted on the ground floor bulletin board, of 110 Unity Road. As new candidates make it known that they wish to run for any position, their name will be added to the list of nominees. On election night the chair (President) shall add all names to the official nomination list. 4
The Executive Officer s positions of President, Vice President, Secretary, Treasurer, Membership Secretary and Kitchen Manager shall be elected according to Robert s Rules of Order, in June of each year by the following procedure: 1. The general club meeting in June of each year shall be designated as election night. 2. Nominations shall be accepted from the official nomination list and also from the floor. 3. Nominations will be closed. 4. Each person nominated will have an opportunity, if desired, to speak to the membership for a short time (two minutes is recommended) 5. A paper ballot shall be used for the election process. 6. The election for President shall take place. 7. Nominations for the next Executive Office shall be re-opened, and then closed. This gives an opportunity for anyone previously not elected to run for the next subsequent position. 8. The procedure will continue for all of the remaining positions of the Executive Committee in the order of President, Vice President, Secretary, Treasurer, Membership Secretary and Kitchen Manager. Any member of the club can nominate someone, or nominate themselves. Proxy votes will not be accepted. Everyone nominated must make it clear to the club that they are willing to stand for the position, for the term. All club members are eligible to run for all Executive positions, with the provisions set forth in Article II, Section C. Article IX All previous By-Laws and Constitutions Rescinded All previous By-Laws and versions of this constitution are here by null and void. This constitution is signed by every member of the Constitution Sub-Committee, as indicated below. In addition, this constitution takes effect when ratified by the members of the Green Meadows Seniors Club at the next General Meeting. 5
