Preamble The American Concrete Institute Student Chapter at the University of Virginia does hereby dedicate itself to the professional development of students at the University of Virginia. By acting as a liaison between students and ACI, ACI@UVA strives to better prepare students for concrete-related industry tasks upon graduation. Article I Name and Definition Section 1 Name This organization shall be called the American Concrete Institute at the University of Virginia, a non- profit student-run organization, hereafter referred to as the University of Virginia Chapter of ACI. Section 2 Definition of Chapter The organization is to be known as the student chapter of the American Concrete Institute (ACI). The chapter shall be subject to all rules and regulations set forth in the constitution and by-laws of ACI. If any conflict exists between this constitution and the National ACI constitution, the latter will govern. Article II Objective The objective of the University of Virginia Chapter is to act as a liaison between the American Concrete Institute and students at the University of Virginia. This objective shall be accomplished through attendance at National Conventions and participation in student competitions. Article III Membership Section 1 - Membership Disclaimer Our student organization does not restrict its membership, programs, or activities on the basis of age, color, disability, gender identity, marital status, national or ethnic origin, political affiliation, race, religion, sex (including pregnancy), sexual orientation, veteran status, and family and genetic information. Notwithstanding these requirements, a CIO may petition to restrict its membership based on gender (e.g. all-male or all-female a cappella groups) or an ability to perform the activities related to the 1
organization s purpose by filing a written request with the Office of the Dean of Students. In evaluating any such requests, the University will look not merely to the constitution of an organization but to its actual practices and operations. Section 2 Membership Qualifications Any student, undergraduate or graduate, currently enrolled as a student at the University of Virginia, may become a member in good standing with the University of Virginia Chapter of ACI. A member in good standing will meet the following requirements: 1. Agree to abide by the objectives and regulations set forth in this constitution. 2. Must help with the Student Competition. 3. Must attend the majority of General Body Meetings. Article IV Dues The Executive Board shall set dues at the beginning of each academic year. The fiscal year of the University of Virginia Chapter of ACI shall be from the beginning of the academic year to end of the academic year. Dues for the 2017-2018 academic year shall be $0. Article V Voting 1. Each elected and appointed executive board member shall have one vote in all executive board decisions. 2. Each Chapter Body member shall have one vote in all chapter decisions. 2
Article VI Administration Section 1 - Definition of Executive Board There shall be an Executive Board, which shall consist of the following, but not limited to: 1. Elected Executive Officers: a. President b. Vice President c. Treasurer d. Conference Planning Chair e. Membership Chair 2. Appointed Positions a. Faculty Advisors b. First-Year Representative Section 2 Obligations of Executive Board The Executive Board shall: 1. Govern the chapter through policy and shall administer the affairs of the American Concrete Institute under the and By-Laws, and the general provisions of the law under which it is incorporated. 2. Be subject to the orders of membership and none of its acts shall conflict with decisions made by the vote of the general body, or the goal and objective of the organization. 3. Not receive any salary for service. 4. Coordinate chapter activities and programs. 5. Produce the year s agenda and budget for the upcoming academic year no later than two months after taking office. 6. Make all appointments to the Executive Board (elected Executive Board only). 7. Review any item, written article or presentation, representing the University of Virginia Chapter of ACI. In addition, the Executive Board will approve by majority vote any item, article, or presentation representing the University of Virginia Chapter. 3
Section 3 Duties 1. President a. Shall head and preside over meetings of the Administrative Zone b. Shall monitor and access the progress of the members of the Executive Board c. Shall prepare for and preside over all General Body meetings 2. Vice President a. Shall prepare for and preside over meetings of the Executive Board b. Shall monitor all executive board members and enforce due date s action items 3. Treasurer a. Shall create an annual budget b. Shall maintain accurate records of all monetary transactions c. Shall submit reimbursement paperwork d. Shall handle all reimbursements to members 4. Conference Planning Chair a. Shall organize travel, lodging, and board for bi-annual National Conferences b. Shall work with treasurer and president to determine a budget c. Shall maintain contact with the Richmond Professionals chapter (Marie Derby) 5. Membership Chair a. Shall organize events to recruit and retain members b. Shall work with professors to provide reasonable extra credit opportunities for members 6. Faculty Advisor a. Shall act as a liaison with the present between the Chapter at the University of Virginia and the University administration b. Shall receive all minutes and serve an indefinite term 4
Section 4 Election of Officers Election of officers shall take place every year at the last General Body Meeting of the spring semester. 1. The elected positions are established through election. 2. The appointment of appointed executive members shall occur within three weeks of the aforementioned election of officers. 3. The newly elected officers shall assume authority after their installation. 4. Notice of the meeting for the purpose of electing officers shall be emailed to all (active and inactive) members at least seven days prior to the meeting. Meetings shall be held at the University of Virginia or any suitable meeting place designated by the Administrative Zone. 5. Any active member in good standing is eligible to vote in official elections. Section 5 Elections Timetable Official elections will proceed as follows: 1. Nominations will begin at a body meeting designated by the Administrative Zone and will continue until a week after the aforementioned meeting. During this period, the Membership Chair will take all written and oral nominations and acceptances. 2. Elections will be held at the body meeting following the nomination period. The candidates for election will address the body, including all other candidates for election and excluding those candidates competing for the same position. 3. Candidates shall leave the room and body members will vote anonymously. 4. The executive board will be announced within 48 hours of filling all positions. 5
Article VII Termination of Officers Section 1 - Removal from position All elected and appointed officials are subject to removal of their position. Section 2 Removal process 1. The removal process shall proceed as follows: a. Motion for removal and second or a written petition to the President by two or more members in good standing b. Discussion among executive board members c. A vote of all active Board members. If three-fourths of said members vote in favor of removal, the said individual will be removed from their position d. This said removal process will be overseen and facilitated by the President or in the situation that a motion for removal is brought up against the President, then the Vice President e. Any position left vacant because of this removal process will be filled by appointment. In the case of the office in question being that of the President, the Vice President shall assume the Presidential duties until a President can be appointed 2. In the case that any officer chooses to resign, the position should be filled by a an appointed general body member in good standing 6
Article VIII Meetings Section 1 - Meetings 1. Executive Board Meetings shall be held. These meetings shall: a. Be held at the beginning of the semester b. On an as-needed basis, determined by the Vice President c. Discuss all business pertinent to the operation of the University of Virginia Chapter 2. University of Virginia Chapter General Body Meetings shall be held. These meetings shall: a. Be held once a month throughout the academic year b. Serve as a vehicle to incorporate business and professional growth c. Discuss the state of the chapter. Relay all relevant information and decisions pertinent to the welfare of the University of Virginia Chapter to the general body d. Outline upcoming events that are being held and effectively plan for them Section 2 Quorum 1. A Quorum for the Executive Board shall be defined as two executive officers. 2. A Quorum for the University of Virginia Chapter General Body for the purpose of business decisions shall be defined as one-half of all active members in good standing. 3. The order of business in a meeting shall proceed in the following order: a. Roll call b. Reading of the minutes of the previous meeting c. Financial report d. Executive board reports e. Unfinished business f. New business g. Adjournment 7
Article IX Finances Section 1 General No funds shall be expended, encumbered, or otherwise disbursed by the University of Virginia ACI Chapter other than in accordance with the procedure for the authorization of expenditures. Section 2 Budget 1. Executive board members requiring funding for any activities shall present an operating budget detailing proposed monies needed for the following year s activities. 2. These said board members shall submit these proposed budgets by the deadline set by the Treasurer. 3. The Treasurer shall coordinate preliminary chapter budget with the assistance of the Conference Planning Chair. 4. The executive board shall discuss chapter budget at meetings so called for this purpose. Section 3 Budgetary Authority 1. The Chapter President must approve of all monies distributed by the Treasurer in excess of $100. 2. The Treasurer shall not release monies for activities unless proper documentation is provided. Article X By-Laws The By-laws of the University of Virginia Chapter shall be amended by a twothirds vote of the University of Virginia Chapter of ACI active general body members in good standing present at an advertised meeting called for this purpose. If a two-thirds vote cannot be met, matter discussed may be represented and a revote must be conducted. In the event that a two-thirds vote is never met, amending cannot be conducted. 8
